AMENDMENT TO MARCH 3, 2014 AGREEMENT CONCERNING 180 EAST FREEDOM WAY, CINCINNATI, OHIO 45202 As the parties to the Lease agreement for the premises located at 180 East Freedom Way, Cincinnati, Ohio 45202 ("Premises") continue to make progress on issues relating to curing the event of default, it is agreed as follows: Whereas, on February 20, 2014, the owner and landlord of the Premises, NIC Riverbanks One, LLC, notified the tenant of the Premises, Mahogany's at the Banks, LLC ("Mahogany's") of an event of default and opportunity to cure, and; Whereas, on March 3, 2014, NIC and Mahogany's entered into an agreement whereby Mahogany's agreed that it was in default and was provided additional time to cure the event of default provided, inter alia, that it pay $26,422.25 on March 3, 2014, which payment was to be applied to the delinquency, and; Whereas, on March 3, 2014, Mahogany's did pay $26,422.25 to NIC and was provided until March 10, 2014 to cure the remaining delinquency and event of default, and; VVhereas, in the March 3, 2014 agreement between NIC and Mahogany's, it was agreed by Mahogany's that if the default was not cured by March 10, 2014 that it would voluntarily turn over the Premises to NIC on or before March 1 1, 2014, and; Whereas, NIC and Mahogany's continue to work together in order to make a mutually agreeable arrangement whereby Mahogany's can cure the event of default and remain in the Premises, and; Whereas, Mahoganys's has continued to make a good faith effort to cure the event of default and has complied with all of the terms of the March 3, 2014 agreement, except those amended by this agreement: It is hereby agreed by and between Mahogany's and NIC that Mahogany's shall be granted two additional days in order to cure the event of default until 5:00 P.M., Wednesday, March 12, 2014. It is further agreed that if Mahogany's fails for whatever reason to cure the default in its entirety by 5:00 P.M., Wednesday, March 12, 2014, that Mahogany's shall voluntarily leave the Premises and turn over custody and control of the Premises to NIC by noon, Thursday, March 13, 2014. All other terms and conditions of the March 3, 2014 agreement and the Lease between NIC and Mahogany's shall remain in force unless specifically altered by this agreement. The City of Cincinnati shall be granted a corresponding opportunity to cure event of default and pay the delinquency amount until 5:00 P.M., Wednesday, March 12, 2014.
