This is to inform you of the TRUE FACTS about TriHM Foundation, LLC and Dr. Cooper Date: March 23, 2014 Based on the facts from the funder for TriHM Foundation, LLC, I am writing this letter to inform all parties of the following in regards to the distribution instructions TriHM Foundation, LLC has given upon the funds arriving, which is taking place within 10 business days from today per the Funding Source: We will need an accurate amount TriHM Foundation, LLC owes for rent. Per article last week, Kevin Wolff, Board Chair stated $127,000.00. TriHM Foundation, LLC will want to fulfill their obligations and pay rent and improvements until June 30, 2014. However, they will need AACOG to finish all improvements as outlined in agreement. Rent will be paid by COB on March 31, 2014 or before. TriHM Foundation, LLC will pay all employees from 2012 to current and will pay in full all monies owed by March 31, 2014. All employees hired were done with verbal and written permission of the previous funding groups associated with Mr. Arron Carter. That source is no longer involved with TriHM Foundation, LLC. Dean Danos, Michael Quinn and Dr. Jackqueline Cooper are complying with the confidentiality agreement put in place by the funding source for TriHM Foundation, LLC. Dr. Cooper is aware that both gentlemen were in communication with both AADC and AACOG boards on the ongoing grant funding opportunities and the delay in rent as evidence of emails and weekly meetings for updates. Please view sign- in log at AACOG. TriHM Foundation, LLC have in the past been the recipients of funds by humanitarian and economic groups that did not come through and are still awaiting funds. That is why Dr. Cooper on behalf of TriHM Foundation, LLC went after their own funding sources and has successful done so as evidence of payment of all obligations and pending luncheon to give two months of working capital to all waiting projects that are seeking funding. Members of ACCOG and the media are more than welcome to attend. During the two months all projects will be asked to update their proposals, send new budgets, sign their contracts for funding, have their scope of work reviewed and approved for further funds. Dr. Cooper and TriHM Foundation, LLC will not have to wait for funding from the date of this letter forward. The funds have been secured by a lender and awaiting agency clearance for the transfer initial funds. Dr. Cooper is emotionally distraught by ACCOG's decision to distance themselves from her and TriHM Foundation, LLC especially since she has served on the PNAC Advisory Board for 5 years. She, Mr. Danos and Mr. Quinn have worked tirelessly on the following projects for and within ACCOG, which now will not be funded due to premature decisions by the Board of Directors. These projects are: a. The Spirit Program. 94.5M over 5 years. This program would keep those who are losing their jobs with TWC at the end of March 2014 employed. b. Veteran One Call. AACOG proposed a Capital Project, a One-Call/One-Click Center, at a cost of $988,900. The FTA requires AACOG to provide a 20% match from the total, or $197,780, for the grant, leaving the award from FTA at $791,120. The match funding will pay for capital expenses related to the technology required for the One-Call/One-Click Center. The match funding must come from sources other than the Federal government. In addition to the Capital Project funding, FTA awarded AACOG an additional $50,000 for research and marketing to help assure the success of the project. This funding is not subject to a match requirement. Therefore, the total award from FTA to AACOG is $841,120. As a Capital Project none of this funding can be used for operational expenses. These funds will be lost because as of today, AACOG has NOT been able to come up with these funds. TriHM has pledge the $197,798.00 by March 31, 2014 to save this much needed program. c. EFS Assessment. There are many gaps in the EFS regarding infrastructure conditions, master plans for communities, development standards, and solid community condition data that are all essential to economic security. These items are needed in one comprehensive compendium to demonstrate the total needs for the EFS. HNTB has developed and implemented a process that assesses community infrastructure needs, called “Quad Sheets.” In the generation of Quad Sheet data, the quantified infrastructure needs for communities is captured. The utilization of this data has been implemented on a scale larger than the EFS with success. In summary, communities will be engaged in developing local plans with quantified needs that will be used to specifically acquire third-party funding and support for the EFS. This process is detailed and has significant deliverables that are too detailed to provide in letter. Total from TriHM Foundation 5M over 2 years. d. Interoperable Radio Communication. LCRA, Lower Colorado River Authority, will deploy 700 MHz trunked radio system across the eleven counties making up AACOG. The system could be utilized by all local and state public safety entities for both operability as well as interoperability. The system will consist of 20 sites/towers. Six of the twenty sites have been deployed from other grant sources. Of the remaining 14 sites required, six will be existing LCRA sites, and eight will be new sites. These sites will become part of an existing P25 network that covers the hurricane evacuation corridor from Harris County to Bexar County along IH-10 and Hwy 71 and Hwy 290 into Austin. The P25 network provides the capability to interoperate within the Houston, San Antonio, Austin, Dallas, and Corpus Christi regions, as well as, the 9000 users currently utilizing LCRA’s existing 900 MHz system. When completed, this project will finalize a P25 Network; enabling both operable and interoperable communications between first responders (police, fire, EMS, and volunteer fire), covering jurisdictions within the boundaries from Tarrant County (Dallas) in the north to Hidalgo County (McAllen) in the south and from Chambers County (Anahuac) in the east to Kimble County (Junction) in the West, providing better emergency response to over 17.5 million Texans, and facilitating emergency communications designed to assist Homeland Security along the entire Gulf Coast and the Texas Mexico border. Total from TriHM Foundation, LLC. 18.6M in a 5 phase project. Please note that this has been talked about for over 40 years and no one has come up with the funding to do so even though the importance is obvious. e. Alamo Area Regional Law Enforcement Academy. At the beginning of the FY 2012-2013 biennium, State officials informed the Alamo Area Council of Government (AACOG) that $600,000 annual funding for the academy operations would cease on August 31, 2013. The result of this funding decision would be the closure of the AARLEA, which would leave local law enforcement, correctional officers, and telecommunication specialist without a place to obtain initial and required continued training. The goal of this project is to enable the AARLEA continue operations for an additional five year period during which efforts would be made to secure permanent funding sources. The amount requested would be $600,000/year for five years totaling $3,000,000. TriHM has agreed to fund the entire 3M. f. ALA. TriHM Foundation major focus is the IDD community and knowing that ALA has proposed a project which includes the construction of a full-inclusion facility to provide daycare, after-school programming, and day habilitation and respite services with the capacity to offer 24-hour safety-net care. Plus the project will enable ALA to fill an existing gap in services, to enhance existing relationships and develop new partnerships with community-based service providers and organizations serving the IDD community throughout 12 county regions is exciting and much needed. TriHM Foundation has approved and comitted 40M request over 10 year period. g. Veteran's Program. TriHM committed 2.5M for this organization through AACOG. h. Project Fund Program. This fund was for the surrounding counties to submit projects or funding needs. Mr. Danos wanted the surrounding regional counties to have an opportunity to get assistance if needed. TriHM Foundation committed 20M yearly for 5 years. In regards to Chase bank account, Dr. Cooper was NOT on the account as a signer nor could she, herself take money out of that account. She also has a contract dated August 13, 2013 as an AGREEMENT FOR PROVISION OF PROFESSIONAL SERVICES BETWEEN THE ALAMO AREA COUNCIL OF GOVERNMENTS AND TriHM FOUNDATION whereas AACOG would charge TriHM Foundation, LLC accounting fees for that account. The terms were as follows: The AACOG agrees to provide administrative and financial services to the Client according to the terms of this agreement. Direct services that AACOG shall perform for the Client shall include: 1. Providing all necessary accounting and financial management through the AACOG’s Finance Department. 2. Providing accounts payable, accounts receivable and other bookkeeping services with oversight of such services. 3. Providing for a repository of records. It is understood and agreed that access to AACOG staff resources by the Client is secondary to the needs of the AACOG. It is the express purpose of this agreement for the AACOG to provide certain management, professional, administrative and financial services to the Client. AACOG employees are not employees of the Client and AACOG is acting as an independent contractor under this agreement. All income taxes, self-employment taxes, social security taxes and the like associated with the AACOG employees providing the services hereunder shall be and are the responsibility of the AACOG. This Agreement is not intended to and shall not create a joint-enterprise between the Client and the AACOG. Subject to early termination as provided in Article V below, this agreement shall be in effect for a period of twenty-one days commencing August 13, 2013 and ending September 3, 2013, and said agreement may be extended by mutual agreement of both parties for an additional period thereafter under the same terms and conditions unless one party gives to the other party written notification of its desire to terminate the agreement. Some origination fees and certification fees for loan that Dr. Cooper and TriHM Foundation, LLC had to pay for were sent to this account to be wired to funding source for monies she has been awarded to fund all awaiting projects. None of the funds were used personally for herself. Dr. Cooper worked with a surety performance bonding company to ensure monies would not be lost in this transaction pertaining to the fees that had to be paid. It is unfortunate that the Board of Directors did not have a closed meeting and invite Dr. Cooper, Mr. Dean Danos and Mr. Michael Quinn to attend for if they had it is our belief that they would not have jumped off of this bridge so hastily. This trio did nothing illegal unless trying to fill the gaps that other financial sources were unable to fund is criminal. All of the meetings were about when the funding would occur, changes within the potential funding sources, TriHM getting their own funding and what are the needs of AACOG and the surrounding counties. Never has Dr. Cooper or TriHM Foundation received monies from AACOG nor did Mr. Danos or Mr. Quinn ever give AACOG governmental funding to TriHM or Dr. Cooper. Required resolution to the unfounded negative communications by AACOG, KENS5, San Antonio Express News, KSAT and all media outlets they used would be a public apology and retraction with all people involved present. Dr. Cooper would be reinstated on PNAC Board without prejudice. Whereas TriHM Foundation, LLC nor Dr. Cooper can speak for Mr. Danos nor Mr. Quinn but they too deserve to be cleared of all unsubstantiated charges for like Dr. Cooper, their families, friends and business relationships have been affected by people jumping the gun on issues that by no means even resembled what was been claimed. Eighty-five percent of the conversations, emails and text messages that Dr. Cooper had between her and potential funding groups plus the one who has come through for TriHM Foundation, LLC was shared with Mr. Danos and Mr. Quinn. They knew funding was taking place and they shared that information with their supervisors accordingly to the best of Dr. Cooper's knowledge. The relationship was professional and the ONLY agenda between all parties was to get funding in to pay employees, debts and fund 50 projects. Office rental updates were documented and Dr. Cooper has communication to prove so. Never did Mr. Danos or Mr. Quinn negate that this bill had to be paid by TriHM Foundation, LLC. Invoices were given to Dr. Cooper monthly on total due which are signed by AACOG Comptroller. . NOTE: None of the projects have paid any money for obtaining funding through TriHM Foundation, LLC and Dr. Cooper. All the projects that are to receive funding are due to the fact of TriHM Foundation, LLC and Dr. Cooper’s knowledge of the services they provide to the communities they serve. I will only respond to emails NOT phone calls, regarding this release. We are bound by confidneitaly from our funding source.
