INDIANA UNIVERSITY DEPARTMENT OF INTERCOLLEGIATE ATHLETICS BLOOMINGTON, INDIANA GAME CONTRACT THIS CONTRACT is made and entered into this '7th day of May, 2014 by and between Indiana University, by and through the Trustees of Indiana University? a statutory body politic, and the University of Cincinnati In consideration of their promises and agreements as set forth hereinafter? the parties agree as follows: l. EVENT The following games (If Football shall be played between the intercollegiate varsity teams of each institution as set forth below; DATE PLACE TIME 1 September 18, 2021 Bloomingtons IN TBA 2 September 24, 2022 Cincinnati. OH TBA CONSIDERATION The HOME TEAM shall compensate the VISITING TEAM as set forth below: COMPENSATION AMOUNT 1 $350,000 (Indiana to CINCINNATI) 2 $350,000 (CINCINNATI to Indiana) Payment by the HOME TEAM will be made within 60 days following the game. RULES Each contest shall be governed by the rules in effect at the time of each game of the National Collegiate Athletic Association the Big Ten Conference (?The Big Ten?) and the American Athletic Conference (?The American?). OFFICIALS The officials for the game will be assigned as follows: ASSIGNMENT The Big Ten 2 The American TICKET ALLOCATION (A) Ticket prices for the game shall be determined by the HOME TEAM. (B) Bands, cheerleaders and mascots for each institution shall be admitted without charge when in uniform with advance written approval and shall not be included in the complimentary ticket allowance. Seating for the band will be determined by the HOME TEAM. (C) The VISITING TEAM shall be allowed 400 complimentary tickets. (D) The VISITING TEAM shall be allotted up to 3,500 tickets for sale to its fans if requested. Unsold ticket must be returned to the HOME TEAM 14- days prior to the game date. (E) The VISTING TEAM shall be allowed 4-0 sideline passes at no charge. These shall be in addition to complimentary tickets, and are for use by coaches, trainers and working personnel only. RADIO The HOME TEAM shall retain the right of contracting for radio broadcasting rights to the game, the receipts form which shall belong to the HOME TEAM. Notwithstanding the foregoing, the VISITING TEAM shall have the right of designating one radio station in its home area which shall be given the right, for free, to broadcast a live radio description of the game. Receipts for this broadcast shall belong to the VISTING TEAM. TELEVISION CINCINNATI acknowledges and agrees that all rights to telecast or distribute (live or delayed, whole or condensed (including highlights), throughout the universe, in any and all markets, in any and all languages and via any and all forms of media and methods of distribution and distribution technology) Indiana University home football games and certain games played at a neutral site have been assigned by Indiana University to The Big Ten Conference, Inc. (?The Big Ten?), which in turn has entered into agreements with certain third parties for the telecast of distribution of such games, Indiana University has no ability to grant to CINCINNATI any rights for the telecast or distribution of games played pursuant to this Agreement in which Indiana University is the home football team or of games played pursuant to this Agreement at certain neutral sites and the Big Ten shall have the exclusive right to retain all revenues derived from the telecast or distribution of games played pursuant to this Agreement in which Indiana University is the home team or of games played pursuant to Agreement at certain neutral sites. Indiana University acknowledges and agrees CINCINNATI shall have the exclusive right to enter into agreements with respect to the telecast or distribution of games played pursuant to this Agreement in which CINCINNATI is the home football team and to retain all revenues derived therefrom. Notwithstanding the foregoing, the respective rights, if any, of Indiana University and CINCINNATI with respect to the telecast or distribution of games played pursuant to this Agreement in which they are the visiting football team (and the revenues derived therefrom) shall be governed by a separate agreement between The Big Ten and CINCINNATI which separate agreement shall govern certain aspects of any football games IO. ll. played between the member institutions of The Big Ten and CINCINNATI, provided that, in the absence of any such separate agreement the terms of this Agreement shall control. USE OF GAME VIDEO The visiting team shall have the right to produce films and/or videotapes of the games played pursuant to this Agreement for coaching purposes and for use in a weekly coaches? show only and for no other purpose. Such films and/or videotapes may not be replayed, used or otherwise distributed by the visiting team to any person other than the incorporation of up to eight minutes (8:00) of highlights of the game as part of a weekly coaches? show and to its football team coaches and players. The host institution agrees to provide reasonable facilitiesfor such cameras as may be reasonably required by the visiting team to produce such ?lms and/or videotapes. Any other usage by the visiting team of footage of games played pursuant to this Agreement shall be governed by a separate agreement between The Big Ten and CINCINNATI, ACCESS TO TELEVISION PRODUCTION FEEDS CINCINNATI agrees to grant, or cause to be granted? to Indiana University and The Big Ten access to a clean television production feed of each game. CINCINNATI acknowledges that The Big Ten?s media agreements prohibit access to television production feeds by third parties, but CINCINNATI may seek access to game footage from The Big Ten through a separate agreement between The Big Ten and CINCINNATI. FORCE MAJEURE This contract shall be void with respect to any of the games in the event that it becomes impossible to play such game(s) by reason of an unforeseen catastrophe or disaster such as fire? flood, earthquakea war, confiscation? by order of governmenta military or public authority or prohibitory or injunctive orders of any competent judicial or other Governmental authority. Notice of such a catastrophe or disaster shall be given as soon as possible. No such cancellation shall affect the parties? obligations as to subsequent games covered by the contract, unless agrees to by mutual consent. TERMINATION AND DAMAGES This contract may be terminated under the following conditions: (A) By mutual consent of both parties? in writing; or (B) Due to a party?s conference adopting new scheduling requirements, provided that said party gives written notice to the other party at least 18 months prior to the date of the game to be cancelled. For purposes of this section, a change in scheduling requirements shall include without limitatiom changes in the number of conference games to be played? changes resulting from the addition or subtraction of conference members, or any other changes in conference schedules. If either party breaches this contract, the party causing the breach shall pay to the other 3 12. party a liquidated sum of $350,000 for the game which it breaches? which shall represent liquidated damages to the non-breaching damaged party. INTEGRATION This contract constitutes the entire agreement between the parties. There are no understanding agreements, or representations, oral or written, not specified herein regarding this contract.
