University of Minnesota Athletic Agreement THIS AGREEMENT, entered into this day of September 2009, by and between Indiana State University and the Regents of the University of Minnesota, First: That the football teams representing the above institutions shall play in one (1) athletic contest as follows: Location: at the University of Minnesota Date: September 10, 2016 Time: TBD Second: That the said contest and all arrangements incident thereto shall be conducted under the rules and regulations of the NCAA. ?We it Third: That in consideration of playing said contest the following ?nancial arrangements are agreed: Wart)!? 52? a. The University of Minnesota will pay Indiana State University the sum of four hundred ?fty? thousand dollars (3475,000) as a guarantee for playing in the September 10, 20l6 game. Fourth: That contest of?cials for the September 10, 2016 game shall be assigned and compensated by the Big Ten Conference. Fifth: That radio rights shall be retained by the University of Minnesota, except that Indiana State University shall be given one origination, without charge; the station to be designated by Indiana State University. Sixth: Indiana State University acknowledges and agrees that all rights to telecast or distribute (live or delayed, whole or condensed (including highlights), throughout the universe, in any and all markets, in any and all languages and via any and all forms of media and methods of distribution and distribution technology) University of Minnesota home football games and certain games played at a neutral site have been assigned by the University of Minnesota to The Big Ten Conference, Inc. (?The Big Ten?), which in turn has entered into agreements with certain third parties for the telecast or distribution of such games, the University of Minnesota has no ability to grant to Indiana State University any rights for the telecast or distribution of games played pursuant to this Agreement in which the University of Minnesota is the home football team or of games played pursuant to this Agreement at certain neutral sites and The Big Ten shall have the exclusive right to retain all revenues derived from the telecast or distribution of games played pursuant to this Agreement in which the University of Minnesota is the home team or of games played pursuant to this Agreement at certain neutral sites. The University of Minnesota acknowledges and agrees that Indiana State University shall have the exclusive right to enter into agreements with respect to the telecast or distribution of games played pursuant to this Agreement in which Indiana State University is the home football team and to retain all revenues derived therefrom. Notwithstanding the foregoing, the respective rights, if any, of University of Minnesota and Indiana State University with respect to the telecast or distribution of games played pursuant to this Agreement in which they are the visiting football team (and the revenues derived therefrom) shall be governed by a separate agreement between The Big Ten and Indiana State University which separate agreement shall govern certain aspects of any football games played between the member institutions of The Big Ten and Indiana State University, provided, that in the absence of any such separate agreement, the terms of this Agreement shall control. Name: Indiana State University shall have the right to produce ?lms andfor videotapes of the games played pursuant to this Agreement for coaching purposes and for use in a weekly coaches? show only and for no other purpose. Such ?lms and/or videotapes may not be replayed, used or otherwise distributed by Indiana State University to any person other than the incorporation of up to eight minutes (8:00) of highlights of the game as part of a weekly coaches? show and to its football team coaches and players. The University of Minnesota agrees to provide reasonable facilities for such cameras as may be reasonably required by Indiana State University to produce such ?lms and/or videotapes. Any other usage by Indiana State University of footage of games played pursuant to this Agreement shall be governed by a separate agreement between the Big Ten and Indiana State University. Indiana State University acknowledges that The Big Ten?s media agreements prohibits access to television production feeds by third parties, but Indiana State University may seek access to game footage from The Big Ten through a separate agreement between The Big Ten and Indiana State University. (Force Majeure Provision) That if it becomes impossible to play the football game(s) by reason of severe weather, ?res, ?oods, power failure, strikes, riots, war, terrorism or threats of terrorism, governmental orders or other unforeseen reasons beyond the control of either party, this Athletic Agreement may be cancelled by either party and the game(s) shall be cancelled, and neither party shall be responsible to the other for any loss or damage. No such cancellation as to one game shall affect the palties? obligations as to any other game(s) covered by this Agreement. That other provisions are: A. Indiana State University shall be allotted 300 complimentary tickets. B. If requested, 2,700 tickets for purchase shall be made available to indiana State University. The tickets will be made available by no later than August 15 preceding the scheduled event and Indiana State University shall account for all tickets issued at the designated printed price. Indiana State University shall return for credit all unsold tickets by the Monday preceding the date of the game. C. The University of Minnesota shall have a medical doctor present and a standby ambulance at the game site throughout the period of said contests. If, for reasons that are not covered by the Force Majeure provisions of this Agreement, a team breaches this Agreement by failing to appear at the time and place stated for the above games, then the breaching team shall pay the other team as liquidated damages the amount of $475,000. Payment shall be made within 30 days of the date the cancelled game would have been played. The parties agree that it is dif?cult to predict attendance, revenues and expenses for any sporting event and that the sum stated above represents liquidated damages and shall not be regarded . a penalty.
