TDC has failed to commence construction within the time limits required by 9.1 and 9.11 of the Ground Lease. 2. Under 6.1 of the Ground Lease, use of the Premises must be ?commensurate with a first class science and technology campus.? Similarly, 9.2(i) requires that proposed improvements and their use be ?consistent with high- quality development and a first class science and technology campus.? 1743 has repeatedly advised that proposal to build 279MW of generating capacity is not consistent with that standard and has suggested that TDC scale down its proposed generation facilities. TDC has refused to do so and apparently continues to prepose a generation facility of unprecedented scale; indeed, a facility with. twice the capacity of the model to which our attention was drawn by TDC. refusal to plan for a facility consistent with the standard articulated in the Ground Lease constitutes a breach justifying termination under 17.Mr. Earl Eugene Kern, CEO July 10, 2014 I Page 2 For these reasons, 1743 hereby terminates the Ground Lease.
