THIRD AMENDMENT TO AGREEMENT

The parties to this Third Amendment to Agreement are the SAN DIEGO UNIFIED PORT
DISTRICT, a public corporation (District) and HELIX ENVIRONMENTAL PLANNING, INC., a
California Corporation (Consultant).
Recitals:
District and Consultant are parties to an agreement for professional services whereby
Consultant is to provide professional consulting services on an as-needed basis. The
Agreement is on file in the office of the District Clerk as Document No. 54451, dated January
27, 2009. A First Amendment to the Agreement is on file in the Office of the District Clerk as
Docurnent No. 55057, dated May 27, 2009. A Second Amendment to the Agreement is on
file in the Office of the District Clerk as Document No. 57133, dated December 30, 2010.
The parties desire to enter into a Third Agreement to update the "fully burdened hourly billing
rates" for all classifications of the Consultant.
The Parties Agree:
The Agreement, pertaining to the above-described professional services, is amended as
follows:
1. The Consultant classification and hourly rates listed on Exhibit C of the First Amendment
to the Agreement is hereby deleted in its entirety and replaced by Exhibit 1 to this Third
Amendment to the Agreement.
2. All other terms, covenants, and conditions in the original Agreement shall remain in full
force and effect and shall be applicable to this amendment.
