Thanks, Phil Sent from Phil's iPad Begin forwarded message: From: Phil Wowak  Date: September 21, 2015 at 2:06:19 PM PDT To: "advice@fppc.ca.gov"  Subject: Legal Opinion ­ request Greetings, I recently learned of FPPC rule 87406.3 and I have been questioned about a possible "conflict of interest" as it pertains to my employment after leaving elected office.  I believe I have not violated this rule but seek your opinion as the subject matter experts.  A brief summary of my circumstances are as follows: I was the elected Sheriff­Coroner for Santa Cruz County from May 2009 thru December 2014.  During my tenure as Sheriff, I partnered with a local software company for the purpose of development and testing of a firearm tracking safety device.  The test was performed using our patrol deputies in the field.  The company is named Yardarm Technologies and their software and sensor tracks officers in the field, locating them on a map in a dispatch center whenever a sidearm is drawn and/or fired. The initial Beta test for the Yardarm product occurred when I held office.  The county and the Sheriff's Office received no compensation for the testing and we did not enter into any contract with the privately held company.  This partnership was established with the knowledge and assistance of County Counsel and there has never been a purchase agreement between Yardarm and the County of Santa Cruz. Yardarm has promised that the Santa Cruz Sheriff's Office will receive the product free of charge when it becomes commercially available in exchange for the assistance in product testing and development. The initial Beta test with Yardarm ended around the time I retired from office, with the understanding that a future field trial would happen sometime in 2015.  The month after I retired, (January 2015) I was approached by the CEO of Yardarm.  I was asked to be a member of their advisory board and help further develop their product.  I took a paid position with Yardarm and began working the same month. Since I took a position with Yardarm, a commercial version of their sensor has been produced.  In 2015 I have been in contact with the Sheriff's Office for several reasons, all of which I believe are not a violation of the FPPC rule.  My contact has been for the purpose of retrieving the Beta test equipment and for scheduling the next phase of field testing of the Yardarm sensor.  To date, there has been no testing scheduled but it is anticipated to occur in the next 90 to 180 days. Again, no financial relationship has been established between Yardarm and the County of Santa Cruz.  There has not been, and there will not be, a contract for the sale or purchase of goods between Yardarm and Same Cruz County.
