The Principal Recipient and the Global Fund are referred to herein individually as a ?Party? and collectively as the ?Parties?. RECITALS The Principal Recipient and the Global Fund have entered into the following Program Grant Agreement(s): Program Grant Agreement effective 23 December 2009 with grant number for a disease program that had a Phase 1 Starting Date of 1 January 2010 and a Phase 1 Ending Date of 30 June 2012, and a total grant amount of 40,938,126 of which 37,690,725 has been disbursed by the Global Fund to the Principal Recipient up to the starting date of the Implementation Period indicated in block 5 of the face sheet of this Program Grant Agreement for a Single Stream of Funding (as amended from time to time, referred to as the ?Original Grant Agreement?); The Principal Recipient has also been nominated to be the principal recipient for the Round 10 proposal that has been approved for funding by the Global Fund under the 10?1 call for proposals (the ?Round 10 Proposal?); The Principal Recipient has agreed to consolidate the Original Grant Agreement and the grant approved under the Round 10 Proposal into a single grant under this Agreement and, correspondingly, the programs that were funded in the Original Grant Agreement and the one proposed to be supported in the Round 10 Proposal will be consolidated into a single stream of funding that is described in Annex A of this Agreement (hereinafter, referred to as the ?Program?) as of the starting date of the Implementation Period indicated in Block 5 of the face sheet; The Principal Recipient and the Global Fund wish to amend the Original Grant Agreement in accordance with the terms and conditions set out in this Agreement for the purposes of implementing the above?mentioned grant consolidation; This Agreement sets out the terms and conditions on which the Global Fund will make available the consolidated grant funds to the Principal Recipient to implement the Program; and This Agreement is comprised of: the face sheet the Special Terms and Conditions due to Consolidation and the Standard Terms and Conditions provided below; (ii) the document entitled ?Annex A Program Implementation Description?, attached to this Agreement; and the documents entitled ?Performance Framework Implementation Period 1: Indicators, Targets and Periods Covered? and ?Summary Budget Implementation Period as attached to Annex A of this Agreement. (ii) At the time of execution of this Agreement, the Global Fund shall deliver to the Principal Recipient the revised face sheet for the Original Grant Agreement(s) re?ecting the amendments agreed in paragraph above. The Principal Recipient acknowledges and agrees that all funds disbursed by the Global Fund under the Original Grant Agreement, and all revenue generated by activities funded under such agreement (including interest), (collectively, ?Pre?Single Stream Funds?) shall be treated as follows: 1) all such Pre?Single Stream Funds that have been spent by or on behalf of the Principal Recipient prior to the starting date of the Implementation Period shall be subject to, and accounted for under the terms and conditions of the Original Grant Agreement pursuant to which such funds were disbursed or generated; and 2) all such Pre?Single Stream Funds that have not been spent, including funds that have been committed as of the starting date of the Implementation Period shall be subject to, and accounted for under the terms and conditions of this Agreement. Rurale (SAN RU) Recipient: Capitalized terms and acronyms used but not de?ned in this Annex A or the attachments to this Annex A have the meaning given to them in the Standard Terms and Conditions of this Agreement. In the event of any con?ict between the terms of this Annex A and any provision of the Standard Terms and Conditions of this Agreement, the terms of this Annex A shall prevail. A. PROGRAM DESCRIPTION 1. Background and Sununary: The Democratic Republic of Congo (DRC) has one of the heaviest burdens of malaria in Africa, with at least 27 million cases in 2006 according to the World Health Organization (reference: Global Malaria Report, 2008, preliminary estimates). In a country larger than the Whole of Western Europe, malaria is endemic in over more than 97% of its territory. The most frequently encountered pathogen is the Plasmodium falciparum. Malaria is the number one cause of morbidity and mortality, and is a signi?cant cause of poverty in DRC: 59% of outpatient Visits in children 5 48% of hospitalizations in children 5 37% of deaths in children 5 during hospitalization 41% of outpatient consultations in pregnant women 54% of hospitalization in pregnant women The DRC is divided into 11 provinces, which are subdivided into 515 health zones. The ?rst grant by the Global Fund for malaria was in Round 3, and it covered 119 health zones distributed throughout the country. The Round 8 grants aimed at ?lling in the gap in terms of universal coverage for monitoring and to ensure the continuity of interventions within the same 119 health zones. Nevertheless, not all of the country?s health zones bene?t from the minimum package of intervention in terms of the prevention and control of malaria. The Round 10 proposal aims at reinfOrcing the national strategies of prevention and malaria case management supported by the previous Global Fund subsidies and other partners in the country?s malaria control. The geographical area coverage is increased to include an additional 100 new health zones. The choice of these health zones mainly responds to imperatives concerning the lack of ?nancial partner support for the implementation of priority interventions in the ?ght against malaria. The analysis of the malaria situation in the DRC requires intensi?cation in the struggle against the disease through the reinforcement of precautionary measures such as long- lasting insecticide treated mosquito nets (LLINs), intermittent preventive treatment (IPT) and treatment through artemisinin-based combination therapies (ACTS). The extension of case management operations at the community level will also be implemented to ensure a better control of the disease. The interventions are in line with the National Malaria Control Plan 2011?2015 whose goal is to contribute to a 50% reduction in morbidity and mortality rates linked to malaria by 2016. The three single stream of funding (SSF) grants are consolidations of the Phase 2 of the Round 8 grants and the Round 10 proposal. In addition, the activities implemented by the principal recipient United Nations Development Programme (UNDP) in Phase 1 of Round 8 will be split between the three principal recipients signing SSF grants, as UNDP is phasing out of the country as a principal recipient. Three principal recipients will implement the Program. The ?rst principal recipient, Population Services International (PSI), will manage all activities related to the mass distribution of bed nets, including training, supervision and micro?planning, in two provinces during the ?rst implementation period, namely Kinshasa and Province Orientale. The second principal recipient, Sant? Rurale (SAN RU) (Principal Recipient for this Program Grant Agreement), will manage the prevention and treatment activities, including at community level, in 119 targeted health zones under Round 8 and 100 additional health zones under the Round 10 proposal, involving the routine distribution of bed nets to pregnant women and small children, and the provision of RDTs, ACTS, IPT and other antimalarials used for treatment purposes. The third principal recipient, the Ministry of Health will be responsible for the training of health workers, supervisions, monitoring and evaluation work including studies, in collaboration with the National Malaria Program and other public sector structures in the same 219 health zones. The Ministry of Health will also implement some planning activities at public sector level related to the mass distribution campaign in the two provinces. 2. Goal: Contribute to a 50% reduction in morbidity and mortality rates linked to malaria by 2016. 3. Target Group Bene?ciaries: Children under five years of age; Pregnant women; and The general population. 4. Strategies: - Implementation of routine Long Lasting Insecticidal Nets (LLIN) distribution activities; Grant RU Annex A Page 2 of 8 - Making available effective antimalarial treatment in conformity with the national directives in 219 targeted health zones; - Implementation of biological diagnosis activities in 219 targeted health zones; and - Social mobilization raising the awareness of the community regarding the of malaria, the need to have a biological diagnosis for children under 5, the need to use effective medication ACTS) and the prevention methods. 5. Planned Activities: - Provision of LLIN to health facilities in 219 health zones for routine distribution to pregnant women and children; 0 Social mobilization activities including production of posters, radio and TV spots and interpersonal communication; 0 Provision of malaria rapid diagnostic test (RDT) to health facilities in. 219 health zones; and 0 Provision of antimalarials and medical supplies to health facilities in 219 health zones for the treatment of simple and severe malaria cases as well as for 1PT. B. CONDITIONS PRECEDENT TO DISBURSEMENT 1. Condition(s) Precedent to First Disbursement (Terminal Date as stated in block 7A of the Face Sheet) The ?rst disbursement of Grant funds by the Global Fund to the Principal Recipient is subject to the satisfaction of each of the following conditions: a. the delivery by the Principal Recipient to the Global Fund of a statement con?rming the bank account into which the Grant funds will be disbursed as indicated in block 10 of the face sheet of this Agreement; and b. the delivery by the Principal Recipient to the Global Fund of a letter signed by the Authorized Representative of the Principal Recipient setting forth the name, title and authenticated specimen signature of each person authorized to sign disbursement requests under Article 10 of the Standard Terms and Conditions of this Agreement and, in the event a disbursement request may be signed by more than one person, the conditions under which each may sign. 2. Condition(s) Precedent to Second Disbursement (Terminal Date as stated in block 73 of the Face Sheet) The second disbursement of Grant funds by the Global Fund to the Principal Recipient is subject to the satisfaction of each of the following conditions: a. the delivery by the Principal Recipient to the Global Fund of an updated consolidated plan for monitoring and evaluating Program activities (the ?Updated Plan?), developed in conjunction with the other Principal Recipients for the malaria program. The Updated Plan shall be aligned with the national plan, and shall include, but not be limited to, the following: 1 Grant RU Annex A Page 3 of 8 i. clear details on how the Principal Recipients plan to contribute to strengthening the national system, including the ii. a description of strengthening measures to improve data collection, analysis and reporting at the community level; a description of the Principal Recipients? M&E?related technical assistance needs; iv. detailed information and timelines for intended surveys and studies; v. a description of strengthening measures to address 2011 OSDV and DQA recommendations, and related budget; and vi. a description of strengthening measures related to data management and use at the health zone/health facility level, to be developed in conjunction with other relevant stakeholders, including the national program, and which shall be harmonized with other implementers. b. the delivery by the Principal Recipient to the Global Fund of a revised budget for the Implementation Period (the ?Revised Program Budget?) if the amendments incorporated into the Updated Plan require amendments to the budget for the Implementation Period that was approved by the Global Fund as of the effective date of this Agreement; and c. the written approval of the Global Fund of the Updated Plan and, where applicable, the Revised Program Budget. 3. Condition(s) Precedent to Disbursement or Use of Grant Funds for Procurement of Health Products (as de?ned in Article 19 of the Standard Terms and Conditions) (Terminal Date as stated in block 7C of the Face Sheet) The disbursement by the Global Fund or use by the Principal Recipient of Grant funds to finance the procurement of Health Products (as de?ned in Article 19 of the Standard Terms and Conditions of this Agreement), is subject to the satisfaction of each of the following conditions: a. the delivery by the Principal Recipient to the Global Fund of a plan for the procurement, use and supply management of the Health Products for the Program as described in subsection of Article 19 of the Standard Terms and Conditions of this Agreement (the Plan?); b. the delivery by the Principal Recipient to the Global Fund of a revised budget for the Implementation Period (the ?Revised Program Budget?) if the PSM Plan requires amendments to the budget for the Implementation Period previously approved by the Global Fund. The Principal Recipient acknowledges that any savings identi?ed through the development of the PSM Plan must be brought to the attention of the Global Fund and shall not be reallocated to other budgetary posts without prior written approval of the Global Fund; and Grant RU Annex A Page 4 of 8 c. the written approval of the Global Fund for the PSM Plan and, where applicable, the Revised Program Budget. 4. C0ndition(s) Precedent to Disbursement of Grant Funds to Finance Sub- Recipient Activities (Terminal Date as stated in block 7D of the Face Sheet) The disbursement of Grant funds by the Global Fund to the Principal Recipient to ?nance Sub-recipient activities is subject to the satisfaction of each of the following conditions: a. the delivery by the Principal Recipient to the Global Fund of a Sub-recipient management manual (the Manual?), in form and substance satisfactory to the Global Fund, which shall include, without limitation, the following elements: i. ii. iv. vi. vii. procedures for complying With Article 14 of the Standard Terms and Conditions of this Agreement with regards to the standards of assessment and selection of Sub?recipients; procedures for the negotiation of Sub?recipient agreements as described in Article 14(b) of the Standard Terms and Conditions of this Agreement, including a detailed procedure for the programmatic and ?nancial reporting of Sub-recipients, including the proper accounting of use of disbursed funds; procedures for the identi?cation of gaps and/or weaknesses in Sub? recipients? capacity and the description of relevant measures to be taken to address these gaps and/or weaknesses; procedures for the Principal Recipient?s programmatic and ?nancial oversight of Sub-recipients, including procedures governing the frequency of reporting by Sub-recipients and quality controls to ensure integrity of ?nancial and programmatic data; procedures for the development and implementation of an ef?cient and transparent disbursement system for Sub-recipients based on the agreed upon budget and work plan; procedures for internal control, ensuring that adequate mechanisms are in place at the Principal Recipient and Sub?recipient levels for proper segregation of duties, authorization and reconciliation of ?nancial transactions with respect to disbursement, expenditures and overall ?nancial oversight of Sub-recipients and their staff; procedures for the management of assets at Sub-recipient level; and establishment of a detailed checklist on documentation required by the Principal Recipient from each Sub-recipient as justi?cation of expenditures; b. the written approval by the Global Fund of the SR Manual; and ?ip Grant RU Annex A Page 5 of 8 5. c. the delivery by the Principal Recipient to the Global Fund, in form and substance satisfactory to the Global Fund, of: i. ii. evidence that the Principal Recipient has completed the selection of the Sub?recipients and the assessment of the capacity of each selected Sub? recipient to implement Program activities (including the management of funds) and to report thereon in accordance with the Global Fund?s requirements; copies of draft Sub?recipient agreements to be signed with each Sub- recipient, including work plans and budgets, in accordance with Article 14 of the Standard Terms and Conditions of this Agreement. The work plans and budget shall not exceed the total approved Sub?recipient budget and shall include a detailed breakdown, respecting the Global Fund?s established cost categories, of the activities to be implemented by each Sub?recipient; and a plan for the on?going monitoring and supervision (including the ?nancial aspect) of Sub-recipients? performance and capacity?building activities for Sub?recipients. Condition(s) Precedent to Use of Grant funds for Training Activities (Terminal Date as stated in block 7E of the Face Sheet) The use by the Principal Recipient of Grant funds to finance training activities is subject to the satisfaction of each of the following conditions: a9 b. Fund. the delivery by the Principal Recipient to the Global Fund of a detailed plan and budget for training activities to be conducted during the Implementation Period (the ?Detailed Training Plan and Budget?). In particular, such plan shall: i. ii. iv. demonstrate that no duplication of training activities will occur; demonstrate that trainings are linked to the Program?s Objectives, how the trainings will allow for better achievement of performance targets; demonstrate how the quality of trainings will be assessed; clearly state the ?nancial control measures taken by the Principal Recipient before, during and after the training and that cash transactions related to the cost of organizing and per diems are limited whenever possible; and the written approval of the Detailed Training Plan and Budget by the Global SPECIAL AND CONDITIONS FOR THIS AGREEMENT No later than 30 September 2012, the Principal Recipient shall deliver to the Global Fund a memorandum of understanding in form and substance satisfactory to the Global Fund, between the Principal Recipients of the Program, de?ning and governing, without limitation, the terms and conditions of the collaboration between Grant RU Annex A Page 6 of 8 them for the implementation of the Program, and the mechanisms of coordination and communication in respect of, among other things, monitoring and evaluation activities, and how the Principal Recipient will monitor compliance with the MOU and report on such compliance to the Global Fund, the whole in compliance with the terms of this Agreement. No later than 30 September 2012, the Principal Recipient must submit to the Global Fund evidence, in form and substance satisfactory to the Global Fund, that it has implemented adequate measures to ensure that health products are stored in appropriate conditions and managed properly at all levels, including, if necessary, review and development of Standard Operating Procedures and upgrades of infrastructures and equipment. In addition, the Principal Recipient must ensure that storage capacity is suf?cient to absorb the increased volumes of pharmaceutical and health products. The Global Fund reserves the right to withhold any portion of any disbursement for the procurement, storage or distribution of health products until the Principal Recipient has ful?lled this condition. . The Global Fund shall conduct a review prior to 1 July 2013 measuring utilization of the Round 8 Program budget against performance targets, agreed with the Global Fund. For this purpose, the Principal Recipient shall proxdde to the Global Fund no later than 1 March 2013, in form and substance satisfactory to the Global Fund, the data required for the Global Fund to conduct a review of performance of the Round 8 malaria Program for the period 1 January 2012 to 31 December 2012 together with the Principal Recipient?s proposed revised Program budget for the remaining term of the consolidated Program in form and substance satisfactory to the Global Fund. If the Global Fund determines that the Principal Recipient has not achieved a rating of at least Bl for the period or has underspent against the Program budget for the Round 8 malaria Program on an unconsolidated basis, it may, at its own discretion, revise the Program budget for the remainder of the Program, together with revision of targets as deemed appropriate by the Global Fund, and decommit any funds no longer required under the revised Program budget. . The Principal Recipient acknowledges and agrees that the salary supplements approved under the terms of this Agreement re?ect the existing plan for salary supplements which was previously approved by the CCM. The Principal Recipient further acknowledges that the Ministry of Health is currently developing a new plan to govern the payment of performance?based salary supplements (the ?National Plan for Results-Based Financing?), which shall replace the existing plan for salary supplements, and agrees that when such National Plan for Results-Based Financing receives ?nal approval from the Global Fund, this Agreement may be modi?ed as necessary to re?ect the contents of such plan. No later than 31 December 2012, the Principal Recipient shall submit to the Global Fund a time-bound and costed supervision plan, in form and substance satisfactory to the Global Fund, developed in conjunction with all other relevant Principal Recipients, which sets forth the Principal Recipients? plan for supervising monitoring and evaluation activities (the ?Joint Supervision Plan?), detailing and mapping the supervision activities to be managed by each Principal Recipient (or the Sub? recipients managed by each Principal Recipient) under each disease component, and Grant RU Annex A Page 7 of 8 demonstrating that no duplication of supervision activities will occur and that the activities are harmonized. The Joint Supervision Plan shall cover the relevant supervision activities to be conducted across all disease components (including Health System Strengthening) at the central, provincial and health zone levels, and shall address, among other things, how the Principal Recipients will improve and harmonize supervision tools. 6. No later than 31 December 2012, the Principal Recipient shall deliver to the Global Fund an updated Comprehensive Manual of Procedures for the Program Management Unit (UGPR) of the Principal Recipient, updated to re?ect the new responsibilities which the Principal Recipient will undertake under this Program. E. FORMS APPLICABLE TO THIS AGREEMENT For purposes of Article 15b of the Standard Terms and Conditions of this Agreement entitled ?Periodic Reports,? the Principal Recipient shall use the ?On-going Progress Update and Disbursement Request?, available from the Global Fund upon request. F. ANTICIPATED DISBURSEMENT SCHEDULE For the purposes of Article 10a. of the Standard Terms and Conditions of this Agreement, the anticipated disbursement schedule for the Program shall be semi-annual starting from the start date of the Implementation Period. F. GLOBAL FUND STAGGERED FUNDING COMMITMENT POLICY At the time of signing this Agreement, the Global Fund shall set aside (?commit?) funds up to the amount of the First Commitment indicated in block 8 of the face sheet, subject to the terms and conditions of this Agreement. Second and Third Commitments of Grant funds, up to the amounts indicated in block 8 of the face sheet, may be committed by the Global Fund under this Agreement for one-year increments (or, if the period of the Program covered by the Commitment is less than one year, the duration of that period). Any Second or Third Commitment shall be undertaken in a manner consistent with the Global Fund?s discretion and authority as described in Article 10 of this Agreement, taking into account, among other things, the availability of Global Fund funding and the reasonable cash flow needs of the Principal Recipient. If a Second or Third Commitment is made, it will be communicated to the Principal Recipient through written notice from the Global Fund. The Principal Recipient acknowledges and understands that a Second or Third Commitment may not be released in full or part by the Global Fund in the event of non?compliance by the Principal Recipient with the terms of this Agreement, based on the sole judgment of the Global Fund.
