November 12, 2015 Donald L. Cupps Chairman . The Curators of the University of Missouri One Hospitai Drive Columbia, Missouri 65112 Dear Mr. Cupps, The purpose of this letter is to express our concern that, without the prior knowledge or consideration of Center Corporation, the Terms of Transition Agreement entered into by the Board of Curators and R. Bowen Loftin included contemplation of a supporting role for Dr. Loftin within the Tiger institute for Health Innovation. The Tiger institute follows a robust governance structure and process to oversee all initiatives and strategic decisions. Decisions regarding matters material to the Tiger institute require consensus from the Tiger Institute Board of Governors, a body with equal representation from Cerner and the University. Cemer was not consulted or notified in advance that the Tiger institute wouid be included in the transition term sheet. Upon learning of the document, we immediately requested the removal of ali references to Cerner and the Tiger Institute from the transition term sheet, pending the appropriate review by the Tiger institute?s Board of Governors. Sincerely; Amy Fre man Pierce Cerner Vice President and Corporate Counsel CC: Mitch Wasden, Chief Executive Officer and Chief Operating Officer Michael Middieton, Interim President I James Stanndard, interim Dean
