AGREEMENT AUG 18 2014 THIS AGREEMENT is made this day of JULY, 2014 by and between the TOWN OF RED RIVER, a Municipal Corporation, acting by and through its duly authorized of?cers, and located in the County of Taos, State of New Mexico, ("Town") and UNIVERSAL PROFESSIONAL SERVICE, INC., PO. BOX 1067, Questa, New Mexico 87556 ("Consultant"): SECTION ONE PURPOSE OF EMPLOYMENT The Town hereby employs Consultant to perform and render assistance to the Town and the Town Council in relation to all matters involved in obtaining ?scal appropriations from the State of New Mexico Community Development Block Grant Program, Federal Agencies and the New Mexico State Legislature. Under the agreement, the Consultant shall prepare and submit all information needed for the purpose of acquiring monies from these governmental sources. The Consultant shall attend Town meetings and Public Hearings as necessary and also agrees to continue lobbying, on behalf of the Town, throughout the legislative session. SECTION TWO ACCEPTANCE OF EMPLOYMENT Consultant accepts the employment and promises and will render to the best of his ability the services described in Section One during the term of this Agreement. SECTION THREE COMPENSATION OF CONSULTANT As compensation for all services to be rendered by Consultant herein, the Town shall pay Consultant the sum of Nineteen Thousand Nine Hundred Ninety Nine Dollars and no cents payable in installments for the duration of one year. Total compensation under this Agreement shall not exceed $19,999.00. SECTION FOUR TERM OF AGREEMENT The term of this Agreement shall be one year from the effective date. SECTION FIVE TERMINATION This Agreement may be terminated by either party at any time after reasonable notice in writing. In that event, compensation payable in Section Three above shall be prorated appropriately. SECTION SIX EXPENSES Except for out-of-state travel, all expenses, including per diem, which Consultant shall expend on behalf of the Town in ordinary course of his employment, shall be borne entirely by the Consultant from the Compensation payable in paragraph three above. The Town shall reimburse the Consultant all reasonable expenses incurred in out-of?state travel authorized by the Town. SECTION SEVEN CONFLICT OF INTEREST Consultant warrants that he represents no clients with interest adverse to the Town's, and can zealously lobby the Town's interest without con?ict of interest.
