I refer to your email of 12 November 2015 requesting the following information under
the Official Information Act 1982 (the Act) relating to the appointment of Phil Heatley to
the board of the Energy Efficiency and Conservation Authority (EECA):

All advice relating to the appointment In particular, I am interested in the
person specification for the role (if any), whether the position was advertised,
how possible candidates were identified, how the success/Hi candidate entered
the process response to advertisement, selection from database, advice
from Minister), how many candidates were considered, and how many were

1. The terms of the Chair of the Energy and Ef?ciency Conservation Authority (EECA), Tom
Campbell, and board member, Elena Trout, expire on 31 January 2016. Both Tom and
Elena have served a term of three years, and both have expressed interest in a second term.
Tom has indicated his support for Elena?s reappointment.

2. As a Crown agent, EECA board members are appointed by the Minister of Energy and
Resources, following consideration by Cabinet Appointments and Honours Committee.

3. The Energy and Efficiency Conservation Act 2000 (the Act) requires that the Minister, when
appointing a person to the Authority, must have regard to the need for members to have
between them a balanced mix of knowledge and experience in matters relevant to the
functions of the Authority?.

4. Before appointing a member of the Authority, the Minister must publicly invite nominations of
persons who wish to be appointed? It is not possible to roll over any existing members
without ?rst seeking expressions of interest in the position before making a ?nal decision.

POSITION DESCRIPTION: ENERGY EFFICIENCY AND CONSERVATION
AUTHORITY MEMBER

 

 

Legislative Framework

The Energy Ef?ciency and Conservation Authority (EECA) was established as a Crown Entity in
July 2000 following the passing of the Energy and Efficiency Conservation Act 2000. It is a
Crown agent in terms of the Crown Entities Act 2004.

The Authority consists of no fewer than 6 and no more than 8 members (as set out in clause 24
of the Energy Ef?ciency and Conservation Act 2000). Appointments to th@ority are

governed by the provisions of the Crown Entities Act 2004 as they apply to Cr nts.

The Authority is accountable to the Minister of Energy and Resources @ance.

entity board members must re?ect an ethos of public service and an understanding of
the accountabilities and sensitivities that apply in the State sector.

The collective duties of Crown entity boards are to:

0 act consistently with their objectives, functions, Statements of Intent (SOI), and Output
Agreement;

the public;

0 ensure that the entity complies with the Crown Entities Act requirements relating to its

The individual duties of statutory entity board members, when acting in that role, are to:

Role of the Board

The Board's responsibilities include:

a providing leadership in its relationships with key stakeholders including, where relevant,
industry groups, Maori and staff;

- ensuring adequate preparation for, and attendance at, meetings;

Zealand Energy Ef?ciency and Conservation strategy, SCI and business plan;

0 establishing appropriate governance structures (such as Board committees and clear lines
of responsibility and accountability between the Board and management) to ensure the
smooth, efficient and prudent management of 

0 ensure that governance arrangements and risk management policies are
continually reviewed and updated to re?ect current best practice;

support the Chair in reporting to the responsible Minister in accord @egislativ
requirements and the expectations set out; and

Terms of Appointment

Members hold of?ce for a term not exceeding three years. There can be no expectation on the
part of appointees or incumbents that they will be re-appointed.

Any member of the Authority may be at any time removed from of?ce by the Minister of Energy
and Resources at his or her discretion (section 36 of the Crown Entities Act 2004). Members
may resign their position at any time by writing to the Minister.

 
   

Remuneration

The fee payable to Board members for carrying out their duties is $14,000 per year. In addition,
a member is entitled to receive reasonable and actual allowances for travelling and other
expenses relating to performance of their duties.

Conflicts of Interest

Members must be aware of the importance of personal integrity and the need to declare
con?icts of interest, either potential or actual. A con?ict of interest arises where a prospective or
existing board member has an interest which con?icts (or might con?ict, or might be perceived
to con?ict) with the interests of the Authority itself.

A con?ict of interest will not necessarily bar an appointment, although a 5
mean a candidate is not suitable for appointment, or should resign if
the course of appointment. Con?ict of interest is covered in 

practices in place to identify, manage and record all con?icts.

Following the brie?ng of 20 August 2015 [0562 15-16], you agreed to a process for replacing
or reappointing these members. You also indicated you wanted to appoint an additional
member, Hon Phil Heatley, increasing the board size to seven members.

An advertisement seeking expressions of interest was published in the main daily
newspapers and nominations were sought from the Ministry for Women and Te Puni Kokiri.
This ful?ls the requirement in the Energy and Ef?ciency Conservation Act 2000 that the
Minister may not recommend a person for appointment without ?rst seeking nominations
from interested parties.

There were 85 expressions of interest. Many did not explicitly state whether they were

interested in the Chair, member or both positions.

You nominated Hon Phil Heatley as a suitable candidate for the EECA board. Hon Heatley?s
experience as Minister of Energy and Resources from December 2011 to January 2013
gives him an excellent understanding of the governance structure of EECA, its projects, and
role in the energy sector. This is complemented by his experience in agribusiness and
engineering. Hon Heatley?s experience in working with community organisations and local
government networks shows that he can work collaboratively and maintain relationships with
key stakeholders.

We recommend that you appoint Hon Heatley to a term of three years.

6 The Act states that the EECA Board consists of no fewer than six and no more than eight
members. The Board currently has six members. I am taking this opportunity to increase
the number to seven to widen the mix of skills and experience on the Board.

Description of the positions

7 The Board is the governing body of ECCA, and its members must be recognised as
professionals in their fields, with relevant experience and specialist expertise at a high
leVel. As well as complying with the relevant criteria of the Crown Entities Act 2004
(section 29), the members must have between them a balanced mix of knowledge and
experience in matters relevant to functions and responsibilities. This may include
knowledge of, and experience in, the energy sector and the environment; community
organisations; commerce; marketing and communications; governance and public sector
management; and science and technology (section 25 of the EECA Act).

The function'g??vituth . size in section 21 of the Energy Ef?ciency and Conservation Act 2000,
is to encoura e, pro pport energy efficiency, energy conservation and the use of renewable
energy resourc and. The Authority undertakes this function by:

a) advis? star on matters relating to energy efficiency and conservation and the use of

Members of the Board are appointed by the responsible portfolio Minister, the Minister of Energy and
