THE NORTH CAROLINA ASSOCIATION, INC.

The undersigned, being of the age of eighteen years or
more, does hereby make and acknowledge these Articles of
Incorporation for the purpose of forming a non-profit
corporation under and by virtue of the laws of the State of
North Carolina:

I.

The name of the Corporation is The North Carolina Grower's
Association, Inc.

 

 

II.

The period of duration of this Corporation shall be
perpetual.



The purpose or purposes for which the Corporation is
organized are:



To operate as an agricultural trade association which

will promote and support its members in the production and
marketing of agricultural products by providing assistance in.

the areas of labor management, legislation, marketing and other
such related activities.

Articles, this Corporation will not carry on any activities not

Revenue Code of 1954 or the corresponding provisions of any

IV.

The corporation will be composed of several classes of
members including persons, partnerships, corporations or other
organizations engaged in the production of agricultural
products.

The directors of the Corporation shall be elected or
appointed in the manner and for the terms provided for in the
By-Laws.

VI.

No part of the net earnings of the Corporation shall inure
to the benefit of any officer, director or member of the
Corporation;

55A., and this corporation shall have the power and authority
as well as be restricted to those limitations, as set out
therein.

Said Corporation is organized exclusively for charitable,
religious, educational, and scientific purposes, including, for
such purposes, the making of distributions to organizations
that qualify as exempt organizations under Section 501(c)(3) of
the Internal Revenue Code of 1954 (or the corresponding
provision of any future United States Internal Revenue law).

In the event of dissolution, the residual assets of the
organization will be turned over to one or more organizations
which themselves are exempt as organizations described in
Section 501(c)(3) and 170(c)(2) of the Internal Revenue Code of
1954 or corresponding sections of any prior or future law, or
to the Federal, State, or local government for exclusively

public purposes.
