COOPERATIVE ENDEAVOR AGREEMENT BETWEEN CITY OF NEW ORLEANS AND MIRABEAU WATERSHED INC. MIRABEAU WATER GARDEN THIS COOPERATIVE ENDEAVOR AGREEMENT (the ?Agreement?) is made and entered into on this 26th day of October, 2015 (the ?Effective Date?), by and between the City of New Orleans, represented by Mitchell 1. Landrieu, Mayor (the and. Mirabeau Watershed Inc, represented by Sister Patricia Bergen, (the WHEREAS, the City is a political subdivision ofthe State of Louisiana; WHEREAS, Mirabeau Watershed Inc, a not for profit corporation registered in the State of Louisiana; WHEREAS, pursuant Article 7, Section of the Louisiana Constitution of 1974, and related statutes, and Section 9-314 of the Home Rule Charter of the City of New Orleans, the City may enter into cooperative endeavors with the State of Louisiana, its political subdivisions and corporations, the United States and its agencies, and any public. or private corporation, association, or individual with regard to cooperative ?nancing and other economic development activities, the procurement and development of immovable property, joint planning and implementation of public works, the joint use of facilities, joint research and program implementation activities, joint funding initiatives, and other similar activities in support of public education, community development, housing rehabilitation, economic growth, and other public purposes; WHEREAS, the City and the desire to accomplish a valuable public purpose of sustainable water management and flood mitigation as well as recreational and educational enjoyment by repurposing the Property (as defined below) owned by for use as Mirabeau Water Garden (the ?Project?); WHEREAS, MWI grants the City the right to use and possess MWl?s 25 acre property more fully described in Appendix A attached hereto (the ??Property?) for the Project for water management, recreational and other health, welfare and educational uses as more fully described below; and WHEREAS, the City will be responsible for the construction and continuing maintenance of the Project and Property for water management, recreational and other health, welfare and educational uses as more fully described below. NOW THEREFORE, the City and each having the authority to do so, agree as follows: I. OBLIGATIONS OF THE PARTIES. Cooperative Endeavor Agreement Page I of 30 City of New Orleans and Mirabeau Watershed, Inc. Mirabeau Water Garden A. Obligations of MWI. will: 1. Allow and grant the City the right to possess the Property under the terms of this Agreement. 2. Advise the City in the conceptual development of the Mirabeau Water Garden, as more fully described in the materials set forth in Appendix attached hereto, including; a. Participating on the Project implementation team, including participation in weekly and key meetings; b. Provide guidance for site use and programming, including written approval of any subleases the City wishes to grant for compatible uses; 0. Provide designated point of contact for coordination and approval of communications released by the City around this Project; Reimburse the City for any duplication costs associated with copies of materials review of plans, specifications, design documents or other instruments of service or documents requested by 3. As land owner, assist the City with grant applications and presentations, where appropriate; 4. Provide a plaque, bench, or other material of its choosing for the memorial to MWI that will be established on the Property; 5. Starting at completion of Project construction, on an annual cycle, MWI will meet with the designated City agency to review the Project and Agreement to determine if the original intent is still being satis?ed, and to execute mutually agreeable changes. If chooses to terminate this Agreement after start of construction of the structural water management features, they will agree to retain the features speci?c to the FEMA Hazard Mitigation Grant Funding for the ?useful life? of the project, and will allow full rights of access to the City to operate and maintain the water management features until all City obligations to have been met. If MWI believes, in its sole discretion, that the original purpose and use intent is being ignored, neglected, or not carried out, or if the use has changed from the original purpose without the written agreement of MWI has the right to terminate this Agreement. a. The original purpose and use intent of this Agreement is defined as follows: For the City to construct, maintain and operate a water park that will have three functions: I. To minimize pressure on Pump Station #4 during peak flow periods; 2. To provide a recreational and education opportunity for the surrounding community; 3. To provide a pilot for testing the ef?cacy of this approach for possible replication as part of a city-wide integrated infrastructure strategy; 4. To meet all of the obligations conferred to the City and the Project through the FEMA Hazard Mitigation Grant Program (HMGP) funding. b. If need ceases to exist relative to the water management purpose, and the City will meet to agree the highest and best use of the Property for public benefit, and will enter negotiations to determine if an ongoing relationship to purpose the Property to this use is appropriate. c. Ownership of the Property and final decisions concerning the conceptual Cooperative Endeavor Agreement Page 2 of 30 City of New Orleans and Mirabeau Watershed, Inc. Mirabeau Water Garden development of the Project will remain with so long as the decisions do not conflict with the City?s obligations to FEMA under the HMGP program, as more fully set forth in the Phase 1 Agreement letter of FEMA to the City as set forth in Appendix attached hereto, and subsequent commitment letters which will be provided to for their records. 6. obligations above shall not include any professional services related to architectural, engineering or construction services. B. Obligations of the Citv. The City will: 1. Design, construct and maintain the Project and Property for the term of this Agreement, at its sole cost and expense, including water management features and other site features within the site program determined by the City and approved by MWI, unless this obligation is expressly passed by contract to a sublessee with the consent of 2. Complete construction of water management features, to the degree where they are functioning for the purpose of water management as de?ned in the construction bid package to be available on or before December 31, 20i7, are required to be completed within seven (7) years of the notice to proceed to the architect dated September 21, 2015. Failure to do so is cause for termination of this Agreement by Ning 3. Develop a funding strategy and Project partnerships agreeable to MWI. The cost of construction and maintenance of other sublessee/partner?s improvements will be borne by said partners, unless otherwise agreed; 4. Sublease portions of site, as appropriate, to recommended partners (without waiver of its obligations except as may be provided for elsewhere in this Agreement) for programming, athletics, scientific uses, environmental education or other compatible uses at the rental rate of One Dollar per year. Any deviation from this rental rate will require the written authorization of 5. Keep informed as to progress of the Project, including response within ten (10) calendar days to requests from MWI for information. This includes requiring, contemporaneously with any transmittals to the City, that Architect transmit to plans, specifications, design documents or other instruments of service or documents requested by MWI reserves the right to approve final design for the site, and must do so within the review periods designated in the Project schedule for team design reviews, typically ten (10) days but not to be less than seven days. These will include design reviews at the following milestones: thirty percent design, sixty percent design, ninety percent design, ?nal design, construction and construction administration. Should MWI not provide input within the allocated period specified in the Project schedule, the City will proceed with plans as issued. Should MWI respond that it is withholding approval for any reason, this will be addressed within the design review period so that instructions can be transmitted to the design team with the review comments, including determining any mutually agreeable changes so that the Project can proceed; 6. Coordinate outside communication and marketing with MWI for approval by 7. Reserve a fifty by fifty (50 50) foot area of the parcel at the corner of Mirabeau Avenue and Cartier Street for use by MWI. The City will be responsible for maintenance of this area. Should erect a memorial that requires any maintenance over and above grounds maintenance or general upkeep, MWI will be responsible for the cost of maintaining the Cooperative Endeavor Agreement Page 3 of 30 City of New Orleans and Mirabeau Watershed, lnc. Mirabeau Water Garden memorial for the term of the Agreement; 8. Retain and maintain the trees at Northeast portion of the land at or about the same level of density as of the Effective Date, unless deemed a threat to public safety; 9. Allow free communication between MWI and the design team during design and construction; 10. Fund Project to completion, as per design specifications in the bid package. 11. DURATION. This Agreement will be in effect for 99 years from the Effective Date. TERMINATION. A. Termination for Convenience. Until such a time as ground is broken with construction activity, the City may terminate this Agreement at any time during the term of the Agreement by giving written notice of its intention to terminate at least thirty (30) days before the intended date of termination. If terminated during construction, but before completion of construction, the City agrees to return the land as close to its original conditions as it practical. The City shall not have the right to terminate after completion of the water management features until such time that the City is no longer obligated under the HMGP agreement with for the operations and maintenance of the water management features. B. Termination for Cause. Either party may terminate this Agreement immediately for causes outlined in this Agreement. If either party prevails in a. challenge to a termination for cause, the termination for cause will be deemed to be a termination for convenience effective thirty (30) days from the date that the original written notice of termination for cause without the requirement of notice. IV. DUTY TO DEFEND AND INDEMNITY. A. Indemnity by MWI a. MWI's Duty to Indemnity the City. MWI will indemnify and hold harmless the City, its agents, officers, and employees (collectively, the "City Indemnified Parties?) from and against all liabilities, injury, damages, losses, and costs, but only to the extent such is caused by any (1) act or omission in the performance of this Agreement by and its employees, and (2) act outside the scope of this Agreement by MWI or its employees. b. Expenses. The MWI will bear all expenses, including reasonable attorney fees, of the City in enforcing the terms ofthis article. c. Indemnity Survival. MWl?s indemnity obligations shall survive the term of this Agreement. B. Defense and Indemnity by City a. City's duty to defend and indemnify MWI. To the fullest extent permitted by law, the City has the duty to defend its agents, officers, and employees (collectively, the indemni?ed Parties"), and will protect, hold harmless, and indemnify (by paying on behalf of) the MWI indemnified Parties from and against all claims, demands, actions, suits, liabilities, damages, injury, losses (including, without limitation, economic losses), taxes, and costs, arising out of or related to actual or Cooperative Endeavor Agreement Page 4 of 30 City of New Orleans and Mirabeau Watershed, inc. Mirabeau Water Garden alleged acts or omissions in the performance, and any breach, of this Agreement by the City, its agents, employees, contractors, and subcontractors, including but not limited to the design, construction and maintenance of the Project and the Property, act outside the scope of this Agreement by the City, its agents, employees, contractors, and subcontractors; (0) claims and suits against the Indemni?ed Parties by City employees, agents, contractors, and subcontractors for bodily injury (including emotional distress, disability, and death), damage and loss of every kind related to the Property and/or the Project, and the condition, and/or the City?s possession, of the Property. b. Independent Duty of Citv to Defend. Notwithstanding anything in this Agreement to the contrary, the City has the duty to defend the MWI indemnified Parties from and against, and also reimburse the MWI Indemnified Parties for their costs incurred in the defense of, claims and suits that actually, potentially, or allegedly (in whole or in part) fall within the scope of the City?s indemnity, even if the claim and/or suit is groundless, false, or fraudulentthe Indemnified Parties are absolved of The MWI Indemnified Parties shall select its legal counsel. c. Expenses. The City will bear all expenses, including without limitation reasonable attorney fees, of the MWI indemnified Parties in enforcing the terms of this article. d. Indemnity Survival. The City?s indemnity obligations shall survive the term of this Agreement. V. INSURANCE. A. To the extent the City requires contractors and subcontractors retained to perform services related to any aspect of the design and construction of the Project and/or the maintenance of the Project and the Property (collectively ?City Contractors?) the City shall require the City Contractors to defend and/or indemnify the City, (in) obtain and maintain insurance as de?ned in Appendix D, and name the City as an additional insured, then, in that event, the City shall also require by written contract that such City Contractors also provide the same indemnity to obtain and maintain the same insurance for MWI, and name MWI as an additional Insured with same terms, provisions, amounts, and coverages provided to the City as an additional insured. Ali such City Contractor insurance shall contain a separation of insureds provision and a waiver of subrogation against the MWI indemnified Parties. B. City shall require by written contract with City Contractors a release of MWI indemnified Parties from any and ali liability, costs and expenses or responsibility to City Contractors and to any other party claiming through or under City by way of subrogation or otherwise, for any demand, claim, suit, accident, injury, damage, loss, occurrence, or casualty which is covered by the City Contractor?s insurance or that would have been covered by such insurance but for the failure of the City Contractors to procure or maintain such insurance, even if such demand, claim, suit, accident, injury, damage, loss, occurrence, or casualty may have resulted, in whole or in part, from any act or omission of MWI indemni?ed Parties. VI. A. Non-Discrimination in Employment. With regard to any hiring or employment decision made in connection with the performance of this Agreement, including without limitation employment, upgrading, demotion, transfer, recruitment, recruitment advertising, layoff, termination, rates of pay or other compensation, and selection for training including Cooperative Endeavor Agreement Page 5 of 30 City of New Orleans and Mirabeau Watershed, inc. Mirabeau Water Garden apprenticeship, the MWI: 1. Will not discriminate or retaliate, in fact or in perception, against any employee or person seeking employment on the basis of race, color, national origin, religion, creed, culture, ancestral history, age, gender, sexual orientation, gender identity, marital or domestic partner status, physical or mental disability, or or HIV?status; 2. Will take affirmative action to ensure compliance with this section; 3. Will include statements in all solicitations or advertisements for employment that all quali?ed applicants will receive consideration for employment without regard to race, color, national origin, religion, creed, culture, ancestral history, age, gender, sexual orientation, gender identity, marital or domestic partner status, physical or mental disability, or or HIV- status; 4. Will post notices containing the provisions of this section in conspicuous places available to employees and persons seeking employment. B. Non?Discrimination. in the performance of this Agreement, MWI: 1. Will not discriminate or retaliate, in fact or in perception, on the basis of race, color, national origin, religion, creed, culture, ancestral history, age, gender, sexual orientation, gender identity, marital or domestic partner status, physical or mental disability, or or HIV-status against: any employee of the City; any employee of any person working on behalf of the City; or any person seeking accommodation, advantages, facilities, privileges, services, or membership in all business, social, or other establishments or organizations operated by 2. Will comply with and abide all federal, state, and local laws relating to non- discrimination, including without limitation Title Vii of the Civil Rights Act of 1964, as amended, Section of the Rehabilitation Act of 1973, and the Americans with Disabilities Act of 1990. C. Subcontraets. City will incorporate the provisions of this Article by reference into all subcontracts relating to the performance of this Agreement. VII. NOTICES. Except for any routine communication, any notice, demand, communication, or request required or permitted under this Agreement will be given in writing and delivered in person or by certified mail, return receipt requested as follows: 1. Ogden Street LaGrange Park, Illinois, 60526 Notices are effective when received, except any notice that is not received due to the intended recipient?s refusal or avoidance of delivery is deemed received as of the date of the ?rst attempted delivery. Each party is responsible for notifying the other in writing that references this Agreement of any changes in its designated representative or the address(es) set forth above. INCORPORATED DOCUMENTS. The following documents are incorporated by reference into this Agreement: A. The following documents are incorporated by reference into this Agreement: 1. Appendix A: Property description. 2. Appendix B: Description of Mirabeau Water Garden Project. 3. Appendix C: Phase I Approval Letter from FEMA to the City. 4. Appendix D: Minimum Scope of insurance for Contractors. 5. Appendix E: Obligations to FEMA. B. If any these documents con?ict, in whole or in part, with this Agreement, the terms and conditions of this Agreement will control except as provided by law. IX. TAXES. A. MWI will work with the New Orleans Assessor?s Of?ce to establish exemption from property taxes on the Property for the term of this agreement. The City will assist in supporting MWI in maintaining any agreed exemption on the Property during the life of this Agreement. B. The City will work with MWI regarding potential sublessees/occupants to minimize any potential taxation on the Property. Said sublessees/occupants shall bear the payment of any property taxes imposed. X. MISCELLANEOUS PROVISIONS. A. Ownership of Documents. All data collected and all products of work prepared, created, or modi?ed by in the performance this Agreement, including, without limitation, any and all notes, tables, graphs, reports, tiles, computer programs, source code, documents, records, disks, original drawings, or other such material, regardless of form and. whether finished or un?nished, (collectively, ?Work Product?) are the exclusive property of the City. The City shall have all right, title, and interest in all Work. Product, including without limitation the right to secure and maintain the copyright, trademark, and/or patent of Work Product in the name of the City. This City may use or distribute all Work Product for any purpose without the consent of and for no additional consideration owing to MWI. B. Limited License Grant. The City hereby grants a limited license to use, display, reproduce and distribute the Work Product solely for not-for?pro?t purposes to promote MWI and further MWI initiatives. Typical and anticipated use of the Work Product includes promoting Cooperative Endeavor Agreement Page 7 of 30 City of New Orleans and Mirabeau Watershed, Inc. Mirabeau Water Garden the good works of marketing and development materials, public relations and other mission advancement activities. C. Prohibition Against Financial Interest in Agreement. No elected of?cial or employee of the City shall have a ?nancial interest, direct or indirect, in this Agreement, including through any financial interest held by the spouse, child, or parent. Any willful violation of this provision, with the expressed or implied knowledge of MWI, will render this Agreement voidable by the City and shall entitle the City to recover, in addition to any other rights and remedies available to the City, all monies paid by the City to pursuant to this Agreement without regard to the MWl?s satisfactory performance. I). Non-Solicitation Statement. MWI swears that it has not employed or retained any company or person, other than a bona tide employee working solely for it, to solicit or secure this Agreement. has not paid or agreed to pay any person, other than a bona fide employee working for it, any fee, commission, percentage, gift, or any other consideration contingent upon or resulting from this Agreement. E. Convicted Felon Statement. MWI. swears that it complies with City Code No principal, member, or officer of MWI has been convicted of or pled guilty to a felony under state or federal statutes for embezzlement, theft of public funds, bribery, or falsi?cation or destruction of public records in the past ?ve years. F. Audit and Other Oversight. will abide by all provisions of City Code 2-4120, including without limitation City Code 2-1 12002), which requires to provide the Office of inspector General with documents and information as requested. Failure to comply with such requests is a material breach of the Agreement. In signing this Agreement, agrees that it is subject to the jurisdiction of the Orleans Parish Civil District Court for purposes of challenging a subpoena. G. Non-Exclusivitv for the City. The City shall be free to engage the services of other persons for the performance of some or all of the obligations contemplated this Agreement. H. Assignment. With the written agreement of the City, may assign this Agreement to a similarly situated entity so long as the function and use of the property as described in l_.A.5.a is protected. Provided however may assign this agreement to an affiliate without the City's consent. I. Acknowledgment of Exclusion of Worker?s Compensation Coverage. MWI expressly agrees and acknowledges that it is an independent contractor as defined in La. RS. 2321021 and as such, it is expressly agreed and understood between the parties hereto, in entering into this services agreement, that the City shall not. be liable to MWI. for any benefits or coverage as provided by the Workmen's Compensation Law of the State of Louisiana, and further, under the provisions of La. RS. 232l034, anyone employed by the shall not be considered an employee of the City for the purpose of Workers? Compensation coverage. J. Acknowledgment of Exclusion of Unemployment Compensation Coverage. MWI herein expressly declares and acknowledges that it is an independent contractor, and as such is being hired by the City under this Agreement for hire as noted and defined in La. R.S. and therefore, it is expressly declared and understood between the parties hereto, in entering into this services agreement, or agreement for hire, and in connection with unemployment compensation only, that: Cooperative Endeavor Agreement Page 8 of 30 City of New Orleans and Mirabeau Watershed, Inc. Mirabeau Water Garden l. MWI has been and will be free from any control or direction by the City over the performance of the services covered by this contract; and 2. Services to be performed by are outside the normal course and scope of the City?s usual business; and 3. MWI has been independently engaged in performing the services listed herein prior to the date of this Agreement. Consequently, neither MWI nor anyone employed by shall be considered an employee of the City for the purpose of unemployment compensation coverage, which is expressly waived and excluded. K. Waiver of Bene?ts. The City and MWI agree and understand that MWI, acting as an independent agent, shall not receive any sick and annual leave, health or life insurance, pension, or other bene?ts from the City. L. Jurisdiction. MWI consents and yields to the jurisdiction of the State Civil Courts ofthe Parish of Orleans and formally waives any pleas of jurisdiction on account of the residence elsewhere. M. Governing Law. Any dispute arising from or relating to this Agreement or the performance of any obligations under this Agreement shall be resolved in accordance with the laws of the State of Louisiana. N. Rules of Construction. This Agreement has been reviewed by all parties and shall be construed and interpreted according to the ordinary meaning of the words used so as to fairly accomplish the purposes and intentions of all parties. The headings and captions of this Agreement are provided for convenience only and are not intended to have effect in the construction or interpretation of this Agreement. The singular number includes the plural, where appropriate. Neither this Agreement nor any uncertainty or ambiguity herein shall be construed or resolved in favor of or against either party on the basis of which party drafted the language. 0. Severabilitl. The parties intend all provisions of this Agreement to be enforced to the fullest extent permitted by law. Accordingly, if a court of competent jurisdiction ?nds any provision to be unenforceable as written, the court should reform the provision so that it is enforceable to the maximum extent permitted by law. If a court finds any provision is not subject to reformation, that provision shall be fully severable and the remaining provisions of this Agreement shall remain in full force and effect and shall be construed and enforced as if. such illegal, invalid, or unenforceable provision was never included, and the remaining provisions of this Agreement shall remain in full force and effect. P. Survival of Provisions. All representations and warranties and all responsibilities regarding record retention, access, and ownership, cooperation with Office of Inspector General investigations, and indemni?cation shall survive the termination of this Agreement and continue in full force and effect. Q. No Third?Party Beneficiaries. This Agreement is entered into for the exclusive benefit of the City and the MWI, and the parties expressly disclaim any intent to benefit any person that is not a party to this Agreement. R. Non?Waiver. The failure of either party to insist upon strict compliance with any provision of this Agreement, to enforce any right, or to seek any remedy upon discovery of any default or breach of the other party shall not affect or be deemed a waiver of any party?s right to COOpei-ative Endeavor Agreement Page 9 of 30 City of New Orleans and Mirabeau Watershed, lnc. Mirabeau Water Garden insist upon compliance with the terms and conditions of the Agreement, to exercise any rights, or to seek any available remedy with respect to any default, breach, or defective performance. S. Agreement Binding. This Agreement is not assignable by either party unless authorized by a validly executed amendment. T. Modifications. This Agreement shall not be modified except by written amendment executed by authorized representatives of the parties. U. Voluntary Execution. MWI has read and fully understands the terms, covenants and conditions set forth in this Agreement and is executing the same willingly and voluntarily of its own volition. V. Complete Agreement. This Agreement supersedes and replaces any and all prior agreements. negotiations, and discussions between the parties with regard to the terms, obligations, and conditions of this Agreement. Mirabeau Water Garden Appendix B: Description of Mirabeau Water Garden Proieet The Mirabeau Water Garden is a City of New Orleans pilot for progressive urban water management and city Proposed in the Urban Water Plan, the project is expected to detain, retain, and infiltrate approximately 1.25 miliion cubic feet of stormwater from a nearby trunk line owned by the Sewerage and Water Board of New Orleans and surface runoff from adjacent areas in Gentilly. This couid help mitigate flood risk for 3,095 properties by significantly reducing the peak drainage pressures on Pump Station ii 4 at the head of the London Avenue Canal, as weil as decrease contaminants in the water being pumped into Lake Pontchartrain. The 25 acre parcei is located in the Fiimore neighborhood on Mirabeau Avenue between Bayou St. John and the London Avenue Canal, and formerly housed the Congregation of St. Joseph and school run by the Sisters of St. Joseph. The Congregation and the City have agreed to use of the property for water management, localized flood mitigation, and for complimentary educational and recreationai uses.
