payable by you in respect of or arising out of any member or employee or associate of
your company or associated companies holding any office, directorship or shareholdings
in the company or by reason of or in consequence of any act or decision made by any

attached, which should be considered to be an integral part of the present Letter of

- HOLDINGS NC. is hereby consented to appoint FIDES
LIQUIDATORS INC. as liquidatcr for the Company;

- FIDES LIQUIDATORS INC. is hereby authorized to execute all documents
pertaining to the liquidation process of the Company and, as required under
Panamanian law;

- FIDES LIQUIDATORS INC. as the Liquidator shall not be required to send
members any statement of account;

- All of the assets and liabilities in respect of the above Company have been
disposed of, but in any case, the Company is, and will continue to be able to
discharge or pay or provide for the payment of atl claims, debts, liabilities and
obligations in full.
