Minutes of a Meeting of the Foundation Council of

DIMAN FOUNDATION

A Minutes of a Meeting of the Foundation Council of DIMAN FOUNDATION was help in
Athens on 2519/2014 at 3:00 pm

NOTICE Notice to this meeting as to the date ,time, place and purpose was waived by all
persons entitled thereto.

PRESENT: The totality of the members of the Foundation Council, there being thus the
required quorum, to wit:

PRODROMDS PETRIDIS
ALEXANDROS PATOUNIS
sraavos PAPASTAVROU

DIMITRIS 

CHAIRMAN OF THE MEETING: Mr. PRODROMOS PETRIDIS, was elected Chairman for the
purpose of the meeting.

SECRETARY OF THE MEETING: lvlr. DIMITRIS DIMITRIOU, was elected Secretary for the
purpose of the meeting.

IT WAS RESOLVED:

llTo dissolve this Foundation, as it is hereby dissolved, effective as of the close of this
meeting.

2) To appoint as they are hereby appointed, Prodromos Petridis, Alexandros Patounis,
Stravos Papastavrou and Dimitris Dimitriou, members of the Foundation Council of this
Foundation, as its Liquidator as of this date with full powers to act in the name and on
behalf of the Foundation in order to liquidate all its assets, pay all its debts and distribute
the balance according to the provisions of the Regulations .Its duties and obligations shall be
effective for the term of the liquidation of assets and it may only be replaced by virtue of a
decision of the Foundation Council or a competent court in accordance with the Law.

3]To instruct MF LEGAL SERVICE, law firm established in Panama and the Registered Agent
of the Foundation, to register this minute of the Foundation Council at the Public Registry
and, once this is done to publish the dissolution notice in a local newspaper circulated in
the City of Panama, Republic of Panama.

IT W- 5 FINALLY RESOLVED:

     

To authorize MF LEGAL SERVICES, the Foundation's Resident Agent, to have this minute
protocolize by a Panamanian Public Notary;r and to register same at the Panama Public
Registry.

TERMINATION: There being no other business, the meeting ended.

Greece, exclusively for the legalization of the above signatures of Mr. Prodromos Petridis
and Mr. Dimitris Dimitriou.
