POWER OF ATTORNEY

KNOW ALL MEN BY THESE PRESENTS that on this 17th day of August, 1999, we.
DORLING INTERNATIONAL LIMITED. a company incorporated and existing under the
Act of the British Virgin islands, whose registered office is situated at Akara Building,
24 De Castro Street, Wickharns Cay I, Road Town, Tortola. (hereinafter referred to
as "the Company") have made, constituted and appointed, and by these presents do hereby
make, constitute and appoint Mr. Rami MAKHLOUF (hereinafter referred to as "the
Attorney") as our true and lawful Attorney?infact for us and in our name, place and stead,
to do, execute and perform all and every act or acts in law needful and necessary to be done
in and about and in relation with the following matters:

To represent the Company and to negotiate and. conclude any contract or agreement in the
frame of the Company business, in particular:

To negotiate and conclude agreements and joint ventures in the ?eld of manufacturing and
research in the oil and gasoline industry.

The Company grants to the Attorney full powers and authority to do and perform all and
every act and thing whatsoever requisite, necessary, and proper to be done in the exerczse
of the rights and powers herein granted, as fully to all intents and purposes as it might or
could do if personally present, hereby ratifying and continuing all that the Attorney shall
lawfully do or cause to be done by virtue of this power of attorney and the rights and
powers herein granted.
