We, ATC ADMINISTRATORS INC., DO HEREBY ACKNOWLEDGE AND DECLARE
that the beneficial interest in and ownership of the Shares issued in the name of ATC
ADMINISTRATORS INC. fully paid-up shares, represented by Share Certificate
number 1 of HEARNVILLE INC., with registered address at Mossfon Building, Second
Floor, 54?? East Street, PO. Box 0832-0886 W.T.C.. Panama. Republic of Panama,

and in respect of which we are registered as the holder. are exclusivel vested in
favour of Mr. KONRAD MIZZI, with address at 
TA SLIEMA, SLM 3011. (?hereafter called ?the client?).

WE UNDERTAKE AND DECLARE that we will upon request dully account and/or pay
to the client, all the dividends and other monies or rights paid or accruing to which we
may be entitled by virtue of our holding of the said shares, and further undertake and
agree that we will execute a transfer thereof, or exercise the voting powers thereby
conferred, or otherwise deal with the said shares in such manner as we may from time
to time be instructed by the client.
