October 2, 2014 Letter to SBA Dear Ms. Lum: This letter is an of?cial withdrawal and retraction of our prior letter sent to your attention and the SBA titled, "Letter issued pursuant to 13 CPR. 124.10 15" dated October 2, 2014 Letter") which we now realize was based on mistakes and misunderstandings on our part. As with our last request, we do not know to whom this letter should be directed and kindly request that you see that it gets routed to whomever received it the last time. As you know, we sent the SBA Letter to you and the SBA in which we raised some fairly serious accusations against Nan, Inc. Patrick Shin ("Shin") and Fooney Freestone ("Freestone"), as well as against myself that raised issues of fraud, breach of contract, failing to comply with SBA laws and other wrongdoings. We also alleged that Mr. Shin and Nan, Inc. made certain false statements and submitted false claims to government of?cials in connection with the SBA. After further examination of the issues we raised, getting a better understanding of the law, regulations, and the conduct of the Parties over the past two years, we now realize that our accusations were in large part based on various mistakes and misunderstandings. A large part of our mistake was due a misunderstanding as to Nan's mentorship strategy and plan with Su-Mo. Another factor is that we now realize that the parties have a good faith disagreement over the meaning and effect of SBA statutes, regulations and the various joint venture agreements between the Parties; in other words that Nan had and has a good faith basis to believe that its actions were in compliance with such laws, regulations and agreements. We now understand that many of the issues we raised, especially as to fraud, were previously discussed and had been evaluated "above board" with the SBA and we can also understand and appreciate (new) dealing with Nan's "tough parenting" in having to branch out on our own to ensure our companies future independence and growth. Further, Nan and Su-Mo Builders have reached an agreement on all previously outstanding issues relating to our joint ventures, which agreement I believe is fair and equitable to both parties. This letter will serve as a public apology for any injuries, monetary or otherwise, that Mr. Shin, Mr. Freestone or any of the Nan, Inc. employees may have suffered because of the Ms. Erlyne Lum April 15, 2016 Page 2 accusations due to our misunderstandings set forth in our SBA Letter. We hope this letter will ameliorate any damage the SBA Letter might have caused Mr. Shin's, Mr. Freestones and Nan, Inc. employees' reputations Within the Hawaii community in general as well as with the federal contracting community in Hawaii, especially in light of various media articles and publications that cited to our SBA Letter putting Mr. Shin, Mr. Freestone and Nan, Inc, in a bad light. We further hope that this letter of apology will assist in reestablishing Mr. Shin's, Mr. Freestone's and Nan, Inc.?s goodwill, and the reputation in the community.
