Plaintiff hereby responds to the Order to Show Cause entered on May 18,

2015. Since plaintiff filed its prior order to show cause response, settlement

24

negotiations stalled but thereafter resumed. Defendants recently signed a

25

settlement agreement but the release in the settlement agreement is not effective

26

unless defendants take certain action prior to August 15, 2015.

In view of the foregoing, it is respectfully requested that the Court either

keep this matter open until August 31, 2015 or dismiss this case without
