SUBJECT: Payment of Invoice to Outside Counsel

The question has been raised whether or not it is appropriate to pay Black Slaughter and Black
for an invoice dated February 17, 2016. The City of Greensboro entered into a professional
services agreement with Rossabi Black and Slaughter, P. A. on September 21, 2015, attached
hereto for your information. Rossabi Black and Slaughter, P.A. represented Mayor Vaughan at
her deposition in the QUB Studios LLC and Eric Robert v. City of Greensboro case on October
21, 2015. An invoice dated 2/ 17/ 16 was received by the City Attomey?s Of?ce for representing
Mayor Vaughan at her deposition from Rossabi Black and Slaughter, P. A. A copy of the
aforementioned invoice is attached for your information.

Rossabi Black and Slaughter, P.A. broke up on May 1, 2016. Black, Slaughter Black
informed the City Attorney that their ?rm should receive payment for the services indicated in
the invoice dated February 17, 2016. A copy of the aforementioned email is attached for your
information. Amie] Rossabi, Esq. con?rmed that Black, Slaughter Black should receive the
payment rather than his new ?rm, Rossabi Law Partners. A copy of the con?rmation email is

attached for your information. 7

The Iran Divestment Form, E-Verify Form and 1099 Form ?'om Black, Slaughter Black are
attached for your information. Also, I have attached information on how to contact the bank for
Black, Slaughter Black in order that payment of the invoice in the amount of $8,545.80 can be

wired to American National Bank Acct# . aba routing today.
The City Attorney?s Of?ce has reviewed all documentation in this matter. It is our opinion that

payment to Black, Slaughter Black rather than Rossabi Black and Slaughter, RA. is legal. If
