Petition for Declaratory Ruling Dear Chai1man Chiusano and Board Members: In accordance with the Code of Ethics for Public Officials and applicable Regulations of Connecticut State Agencies, and in my capacity as General Counsel of the Office of State Ethics, I hereby recommend that the Citizen's Ethics Advisory Board issue a declaratory ruling addressing the following questions raised by Cheri Quickmire, of Common Cause of Connecticut, in her June 13, 2016 Petition for Declaratory Ruling, attached: • Whether the Connecticut Insurance Commissioner - a former vice-president of (and registered lobbyist for) Cigna whose husband cunently works as counsel for the insurance company and whose mother and brother previously worked for it - has a conflict of interest, real or apparent, concerning the proposed merger between Cigna and Anthem and must, therefore, recuse herself from the matter. Long-time Cigna lobbyist Katherine Wade was appointed Connecticut insurance commissioner in April, 2015 when Anthem's pla11 to acquire Cigna was being negotiated. Prior to this time Ms. Wade worked at Cigna from 1992-2013; she wa~ a vice president, overseeing government affairs for the company in all 50 states. In addition she was an tjfficer In the CT Association of Health Plans from 2005-2013 and cu rrently serves as health Insurance and managed care chair of the National Association of Insurance Commissioners. Ms. Wade's husband works as counsel for Cigna and her mother and brother previously worked there. Ms. Wade overs~es Connecticut's review of Clgna's merger.
