AMENDMENT NUMBER 2

This is Amendment Number 2 to the Employment Agreement between THE UNIVERSITY

OF TENNESSEE (?University?) and DAVE HART, JR. Hart?) executed on March 29, 2012

(?Agreement?).

WITNESSETH:

In consideration of the mutual promises contained in this Amendment, the parties agree as

follows:

3.9:

Article of the Agreement is amended by adding the following language as a new Section

Section 3.9 The Athletics Director will be eligible for an annual bonus under the terms
and conditions of the University?s bonus policy for employees of the Athletics Department
the bonus policy in effect as of July 1, 2014 or thereafter amended and approved by the
Chancellor). For the purpose of calculating the bonus for which the Athletic Director is
eligible under that policy, the University agrees that Mr. Hart?s total compensation shall
include the compensation identified in Section 3.1, Section 3.2, Section 3.3, and the amount
of the Athletic Director?s annual non-accountable expense allowance/reimbursement (set
forth in Schedule A).

Except as revised by this Amendment No. 2, the Agreement remains in full force and effect.

IN WITNESS WHEREOF, the parties have executed this Amendment No. 2 on the dates

shown below.
