CONVENTUS PARTNERS, LLC, as Landlord and FORT SCHUYLER MANAGEMENT CORPORATION as Tenant FIRST AMENDMENT TO LEASE AGREEMENT Dated as of January Ll, 2015 FIRST AMENDMENT TO LEASE AGREEMENT THIS FIRST AMENDMENT TO LEASE AGREEMENT (?First Amendment?) is made as of the day of January, 2015 by and be1 ween by and between CONVENTUS PARTNERS, LLC, a New York limited liability company having a mailing address at Centerpointe Corporate Park, 350 Essjay Road, Williams ville, New York 14221 (the "Landlord"), and FORT SCHUYLER MANAGEMENT CORPORATION, a New York not-for-pro?t corporation having a mailing address at 259 Ful~ er Road, Albany, New York 12203, (the "Tenant"). WHEREAS, Tenant and Landlord have entered into that certain lease agreement dated as of December 2014 (the ?Original Lease?) pursuant to which Tenant leases from Landlord approximately 767 rentable square feet on the ?rst (lst) ?oor of the building located at 1001 Main Street, Buffalo, New York (the ??Building?) and 51,750 rentable square feet located on the sixth (6th) ?oor of the Building; and WHEREAS, Landlord desires to lease to Tenant and Tenant desires to lease from Landlord additional space located on the ?rst ?oor of the Building and Landlord and Tenant have agreed to modify the Lease to incorporate the leasing such additional space and to set forth any speci?c lease terms with respect to such additional space. NOW, THEREFORE, for one dollar and or her good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, Tenant and Landlord hereby agree as follows: 1. All capitalized terms used in this First Amendment, but not de?ned herein, shall have the meaning ascribed thereto in the Original Lease. 2. The ?rst paragraph of Section 1 of the Original Lease is hereby deleted in its entirety and replaced with the following: ?Landlord hereby leases to Tenant and Tenant agrees to lease from Landlord that portion of the Building comprising Seven Hundred Sixty-Seven (767) rentable square feet located on the ?rst (1st) ?oor of the Building and approximately Fifty?One Thousand Seven Hundred Fifty (51,750) rentable square feet located on the sixth (6th) floor of the Building, with access to and from. Main Street and High Street 1nd the interior of the Building (collectively, the "Original Leased Premises") upon the terms and conditions set forth in this Lease Agreement, which Original Leased Premises are depicted with more particularity on Exhibit attached to the Original Lease, and Four Thousand Three Hundred Sixty-One (4,361) rentable square feet located the north-easterly portion of the ?rst ?oor of the Building and Three Thousand ven Hundred orty-SiX (3,746) rentable square feet located in the south?easterly portio of the ?rst ?oor of the Building, with access to and from Main Street and High Street nd the interior of the Building (collectively, the ?Additional Leased Premises?, wh ch Additional Leased Premises are depicted with more particularity on Exhibit B-l ached to this First Amendment. The ?rst page of Exhibit attached to the Original Lease is hereby amended to replace the words ?Leased Premises on 1st Floor? with the words ?Original Leased Premises on Floor?. 4. The first paragraph of Section 5 of the Original Lease is hereby deleted in its entirety and replaced with the following: ?5 Rent. Tenant covenants and agrees to pay to Landlord base rent (?Base Rent?) as follows: a. With respect to the Original Leased Premises: Lease Years Base Rent Per Rentable Square Foot Per Lease Year 1-5 $23.27 6-10 $25 .30 1 1-15 $27.32 16-20 $29.35 and b. With respect to the Additional Leased Premises: Lease Years Base Rent Per Rentable Square Foot Per Lease Year 1-5 $27.43 6-10 $28.43 11-15 $29.43 16-20 $30.43 5. Except as expressly amended by this First Amendment, the Lease is hereby rati?ed, con?rmed and approved in all respects.
