Plaintiffs are a collection of entities that constitute approximately 80% of the licensed taxicabs and dispatchers operating in Philadelphia. 2. Plaintiffs bring this action to seek immediate and permanent relief from the unconstitutional two-tiered regulation and taxation of the Philadelphia for-hire transportation Case Document 1 Filed 08/26/16 Page 5 of 89 industry orchestrated by the Philadelphia Parking Authority and its Executive Director Vincent J. Fenerty, Jr. (collectively, the 3. Unless immediate relief is provided, it is likely the Philadelphia taxicab industry will be bankrupted and completely decimated. 4. The PPA has arbitrarily violated Plaintiffs? constitutional rights by applying burdensome and costly tariffs and regulations to Philadelphia taxicabs, while not equally taxing or regulating the Transportation Network Companies Uber and Lyft), which operate in Philadelphia as defacto taxis in direct competition with Plaintiffs. 5. Although Plaintiffs and TNCs are similarly situated entities and competitors in the Philadelphia for-hire transportation provide point-to-point ?call or demand? traHSportation service under law?mthe PPA does not equally treat or regulate traditional taxicabs and TNCs. 6. The PPA allows TNCs to use practically any vehicle and charge any fare, while the PPA simultaneously micro?regulates every facet of the similarly situated traditional taxicab industry. 7. The regulatory favoritism towards TNCs has allowed Uber, and other de facto taxicabs to undercut Plaintiffs? business because TNCs are not subjected to the same vehicle limitations, assessments, vehicle inspections or driver requirements that burden the traditional taxicabs. 8. Free from the regulatory burdens the PPA imposes on traditional taxicabs, Uber openly boasts that its service is ?better, faster, and cheaper than a taxi.? Case Document 1 Filed 08/26/16 Page 6 of 89 9. The PPA recently turned against traditional taxicabs, secretly negotiating a deal to permit Uber and other TNCs to operate legally in Philadelphia, and to allow those TNCs to operate without any of the onerous burdens applied to traditional taxicabs. 10. As result of the actions, the streets of Philadelphia have been ?ooded with more than 12,000 active TNC vehicles which currently provide taxi services, despite not owning taxicab medallions or meeting the exacting and costly burdens which the PPA imposes on traditional taxicabs. 11. The conduct has unconstitutionally deprived Plaintiffs of their exclusive taxicab medallion property rights by allowing thousands of other vehicles to provide taxi service in Philadelphia despite not owning taxicab medallions. 12. The harm caused by the PPA to Philadelphia taxicab industry is devastating. On top of steep declines prior to 2015, taxicab fares declined 30% since 2015 and Plaintiffs? revenues have plummeted up to 50% over the same period. 13. This deterioration has been accelerated by the underhanded July 2016 deal with Uber, and its July 26, 2016 Order granting TNCs authority to operate freely in Philadelphia. 14. Most recently, the PPA imposed steep monetary assessments on the Plaintiffs and demanded they install safety cameras in every Philadelphia taxicab. Neither was required of TNCS. 15. Without providing just compensation to Plaintiffs, the PPA has permitted TNCs such as Uber and to operate. as unregulated de facto taxicabs in Philadelphia and thereby usurp and trespass upon the exclusive property rights of Plaintiffs. As result of the unconstitutional taking of Plaintiffs? exclusive right to operate taxicabs in Philadelphia, Plaintif?s? have already been deprived of approximately $558 million by the PPA without receiving any fast compensation. 17. The breaking point has been breached, and without immediate relief, Plaintiffs will be bankrupted, Philadelphia?s taxicab industry will be permanently decimated, and thousands of Philadelphians will lose their jobs. 18. Pursuant to 42 U.S.C. 1983, Plaintiffs seek preliminary and permanent injunctive relief ordering an immediate end to the unequal regulatory treatment of the Philadelphia taxicab industry which violates the Equal Protection Clause of the United States Constitution. This includes revoking the July 26, 2016 Order and Article XVI-M of Act 85 of 2016, which grant TNCs the right to operate in Philadelphia, and prohibiting the PPA from promulgating or enforcing any rules or regulations that impose burdens on traditional taxicabs any greater than those burdens imposed upon similarly situated TNCs, including without limitation the Camera Safety Regulation and the 2017 Annual Assessment. Plaintiffs also seek to recover compensatory damages caused by the past and ongoing equal protection, due process and constitutional taking violations. PARTIES 19. Plaintiffs are a collection of entities engaged in the licensed taxi and livery industry in Philadelphia. Plaintiffs hold certi?cates of public convenience issued by the PPA to own and operate Philadelphia medallion?taxicabs, as well multiple dispatch CPCS. In total, Plaintiffs control well over 1,200 of the 1,631 Philadelphia taxi medallions, and approximately 80% of the City?s entire taxicab ?eet. As set forth in the attached veri?cations, owners of hundreds of these medallion owners are direct parties to this Complaint, with principal Case Document 1 Filed 08/26/16 Page 8 of 89 places of business at 2301 Church Street, Philadelphia, PA 19124, 6930 Norwitch Drive, Philadelphia, PA 19153; PO. Box 52221 Philadelphia, PA 19115, 2351 S. Swanson Street, Philadelphia, PA 19148, PO. Box 14393, Philadelphia, PA 19124, 641 North Broad Street, Philadelphia, PA 19123. The remainder of the medallions are represented through Taxi Association, which has a principal place of business at 2301 Church Street, Philadelphia, PA 19124. 20. Plaintiffs operate iconic Philadelphia taxi brands such as 215GETACAB, Crescent Cab, Freedom Taxi, Philadelphia Taxi, PHL Taxi, and Quaker City Cab, among others. 21. Defendant Philadelphia Parking Authority is a governmental agency that is charged with the regulation and oversight of taxicab and limousine services in Philadelphia, including 22. Defendant Vincent J. Fenerty, Jr. (?Fenerty?) is the executive director of the Philadelphia Parking Authority. Fenerty has the legal authority and obligation to regulate the for?hire transportation services in Philadelphia. 23. Both the Philadelphia Parking Authority and Fenerty have a principal place of business at 701 Market Street, Suite 5400, Philadelphia, PA 19106. 1 In 2004, the General Assembly repealed that portion of the Public Utility Code pertaining to the regulation of medallion taxicabs by the Public Utility Commission 66 Pa. C.S. 510(b)(5), 1103(0), and 2401-2416 (the ?Medallion Act?), and substantially reenacted such regulation under Chapter 57 of the Parking Authorities Law, 53 Pa. C.S. 5701-?5745, thereby transferring the powers and functions under the Medallion Act to the PPA. The transfer of power took place on March 12, 2005. As result, the PPA regulates all service that begins or ends in Philadelphia. . . Case Document 1 Filed 08/26/16 Page 9 of 89 JURISDICTION AND VENUE 24. This Court has original jurisdiction over this matter pursuant to 28 U.S.C. 1331, as the claims at issue arise under the laws of the United States, as well as 42 U.S.C. 1983, because the claims stem from violations of Plaintiffs? civil'rights. 25. Venue is proper pursuant to 28 U.S.C. 1391(b), because the events giving rise to the claim occurred within this district. 26. Venue is also proper pursuant to 28 U.S.C. 1391(0), because the PPA is subject to personal jurisdiction within the district. BACKGROUND A. Plaintiffs and TNCs are Similarly Situated Entities and Direct Competitors in the For-Hire Transportation Industry 27. TNCs are de facto taxicabs because they provide the exact same service as traditional medallion taxicabs??TNCS dispatch drivers to passengers who pay fares based on the time and distance traveled. 28. In particular, Plaintiffs and TNCs both provide for-hire transportation within the City of Philadelphia, offering rides that can be prearranged for a set time, hailed, or virtually- hailed through an app, with consumers that are contractually bound to pay for the services and may do so by credit card. Both traditional taxicabs and TNCs like Uber and use meters and respond to an immediate demand for transportation service. 29. The business model for traditional taxic'abs and TNCS such as Uber and is exactly the same in all material serve the same Customers, they deliver the same services, they transact sales in the same manner, and use the same strategies to generate revenue. Case Document 1 Filed 08/26/16 Page 10 of 89 30. Although certain TNCs claim to be novel technology companies that connect passengers and vehicles, all TNCs and taxicabs operate through dispatch and use apps and smartphones to schedule point?to-point transportation service. 31. Under law, both taxicabs and TNCs provide ?call or demand? taxi service, which is de?ned as ?local common carrier service for passengers, rendered or either an exclusive or nonexclusive basis, where the service is characterized by the fact that passengers normally hire the vehicle and its driver either bv telephone call or bv hail, or both.? 53 5701 (emphasis added). 32. The PPA openly admits that TNCs are taxicabs subject to its regulation under this statute. In particular, Fenerty stated to Philadelphia Magazine that ?UberX is a hack cab and that is the sole authority for regulating? Uber and other de facto TNC taxicabs. 33. Courts also agree. In Than My Trinh v. PPA, Case No. 150603686 (Phila. CCP May 18, 2016), the Philadelphia Court of Common Pleas agreed with the PPA and held that under law, a transportation service ?hailed via' the UBERX phone app . . . falls within the legislative de?nition of a ?telephone call? and a ?hail? and, thus, [the Uber driver vehicle was providing ?call or demand? taxi service.? (emphasis added). 34. The only ways in which taxicabs and TNCs are dissimilar have been caused by the own regulations, forcing taxicabs to use of commercial vehicles, professional drivers, install cameras and meters, etc., which the PPA does not apply to TNCs. 35. In a recent hearing, when questioned about the similarities of traditional Philadelphia taxicabs and the new TNCs, the former Director of Taxicab and Limousine 10 Case Document 1 Filed 08/26/16 Page 11 of 89 Division, James Ney, candidly testi?ed: ?Well, I mean, admittedly, it can be very close on all the levels of service, the various levels of service.? 36. The fact that certain TNCs dispatch the car and driver via smartphone does not distinguish their business activity from that of traditional medallion taxicabs, which now also use smartphones as one means of connecting driver and passenger. Whether a customer uses their hand to catch a cab on the street or their hand to catch a cab by pushing a button on a phone, the result is the same: the cab appears to provide transportation to the customer. Most importantly, whether an app is used or not to hail a ride, the underlying service remains for-hire transportation. 37. Moreover, as operators in the for-hire transportation industry, both traditional taxicabs and TNCs have the same exact public safety concerns regarding the vehicle, driver, and insurance. B. The Equal Protection Clause Requires the PPA to Treat Similarly Situated Taxicabs and TNCs the Same 38. The Equal Protection Clause of the Fourteenth Amendment to the United States Constitution prohibits state and local governments from denying persons the equal protection of the laws: similarly situated persons must be treated in the same way. 39. Federal Courts in the Northern District of Illinois and the District of Massachusetts have already recognized that taxicabs and TNCs such as Uber and are similarly situated competitors in the for-hire transportation industry for purposes of the Equal Protection Clause. 40. In Illinois Transp. Trade Ass ?n v. City of Chicago, Case No. l4?cv-827 Sept. 22, 2015), the Court explained that ?[e]ven a cursory examination of these purported differences demonstrates that these are not material differences justifying disparate treatment of 11 Case Document 1 Filed 08/26/16 Page 12 of 89 taxis and TNPs [transportation network providers such as Uber and Lyft],? ?that taxis and TNPs are similarly situated,? and ?none of the supposed differences are rationally related to the differences in treatment under the 41. The Court in Illinois ransp. Trade Ass ?n concluded that it ?fails to see how any of the purported differences relate to the [government?s stated interests of safety, increasing availability and accessibility of cost-effective transportation, and fostering diversity and consumer choice] such that it justi?es maintaining substantially heavier burdens on taxis . . Both the purported differences between taxis and TNPs and their relationship to the stated rational appear utterly arbitrary to this Court.? (emphasis added). 42. In Boston Taxi Owners Ass Inc. v. City of Boston, Case No. 15-cv-10100 (D.Mass. Mar. 31, 2016), the Court similarly found that ?plaintiffs have stated at least a plausible claim that Equal Protection Clause requires that the two groups be treated alike? and that taxis and TNCs are similarly situated because ?[t]he fact that taxicabs alsomay initiate rides through street hails and accept other forms of payment does not necessarily mean they are dissimilarly situated to TNCs for the purpose of equal protection analysis.? 43. The Court in Boston Taxi further found that ?Plaintiffs have also raised a plausible claim that the City?s disparate treatment of taxicab?operators and TNCs is not rationally related to a legitimate gove'rnment'objective.? 44. Because Plaintiffs and TNCs are similarly situated entities and competitors in the Philadelphia for-hire transportation industry, the PPA is constitutionally obligated to treat them equally and without discrimination under the Equal Protection Clause of the Fourteenth Amendment. 12 Case Document 1 Filed 08/26/16 Page 13 of 89 45. There are no material differences between Plaintiffs and TNCs that justify disparate treatment, taxation, or regulation by the PPA. C. The Disparate Regulatory Treatment of Similarly Situated Competitors 46. The Philadelphia for-hire transportation industry is heavily regulated by the PPA to ensure that taxi services will Operate safely, reliably and without discrimination. 47. The regulations are elaborate, highly detailed and control virtually every aspect of the taxi business. See 52 Pa. Code 1011-1129. 48. In December 2015, a policy study published by Street concluded that ?[t]he worst transportation climate in the country is shared by both Philadelphia and Miami, both with a score of 61.6 and a grade of in part because of their ?strict taxi regulations? and being ?the least-free transportation climates of any major American city.? 49. The PPA has long held that taxicabs may not operate absent compliance with its restrictive regulatory scheme. 50. Plaintiffs have invested signi?cant capital and resources to develop systems of infrastructure and taxicab ?eets that meet the broad ranging requirements and regulations. 51. For example, the PPA regulations require that Plaintiffs and other Philadelphia taxicabs pay for licenses and certi?cates in order to operate, undergo bi-annual vehicle and safety inspections, cap their meter rates, pay license transfer and application fees, conduct criminal background checks, provide wheelchair accessible service, install standardized cameras and meters, and pay dispatch dues, and require their drivers undergo training or safety courses. See 52 Pa. Code 1011u1129. 52. The PPA does not require the same from TNCS. 13 Case Document 1 Filed 08/26/16 Page 14 of 89 53. In contrast, Uber advertises that all it takes to become a driver in Philadelphia is a smartphone and an insured vehicle that is model year 2001 or later. 54. In the limited areas in which the PPA does impose regulations on TNCs, these regulations are far less onerous than its regulations of traditional medallion taxicabs. 55. In particular, while TNCs pay annual assessments, these assessments are not assessed on a per-vehicle basis and are signi?cantly lower than the thousands of dollars demanded annually by the PPA from each and every taxicab. 56. While each Philadelphia taxicab must pay an annual assessment of $1,819, TNCs are only required to pay 1% of their gross receipts to PPA on a quarterly basis. In 2015, Uber claimed it provided 1 million rides in Philadelphia. Even if the PPA did assess Uber in 2015 (which it did not), Uber ?s entire annual assessment would have been approximately 3 50, 000 for its ?eet of 2, 000 vehicles. In contrast, Philadelphia?s 63 taxicabs were collectively assessed approximately $2.3 million in 2015, 7 million in 2016 and $2.9 million in 20] 7. 57. In addition, TNCs are permitted to use personal insurance, as opposed to the commercial insurance required of traditional Philadelphia taxicabs which costs $5,000 $7,000 annually. 58. As result of the unequal and two-tiered regulatory scheme, it costs approximately $100,000 more in start-up costs to ?eld a medallion taxicab in Philadelphia than a similarly situated TNC vehicle providing the same service. 59. The regulations also drive-up the yearly Operation costs?it now costs over $10,000 more per year to operate a medallion taxicab in Philadelphia than a similarly situated de facto TNC taxicab. 60. By reauiring Plaintif?s to spend thousands of dollars per taxi to engage in the taxi business, while permitting de facto taxi TNCs to compete in the same business without the same assessments, Plaintiffs are treated unfairly and placed at acompetitive disadvantage. 62. In addition to these costs, Plaintiffs and medallion taxicabs must incur additional labor costs complying with the regulations and requirements which do not apply to TNCs, including an 18-hour training class for drivers, a typical 30?90 day wait to schedule training, and undergoing a PPA driver examination. See 52 Pa. Code 1021.1, 5, 7-8. 63. No rational basis exists for the differences in the unequal treatment of Plaintiffs and TNCs, which are similarly situated competitors. 64. The disparate treatment of similarly situated entities is unfair and in violation of the Equal Protection Clause of the United States Constitution. D. The PPA Strikes Inside Deals with Uber and 65. For years, Plaintiffs have repeatedly attempted to work with the PPA to find a way to level this lopsided playing ?eld, but Plaintiffs attempts fell on the deaf ears of the PPA. 66. Plaintiffs have ?led countless challenges in administrative, state and federal courts seeking relief from the onerous regulation and enforcement. 67. Although 53 5702 authorizes an advisory committee to work with the PPA to address issues and questions ?regarding the regulation, enforcement, compliance and operation of taxicabs,? the PPA never convened such a committee or consulted with Plaintiffs. 68. Instead of seeking 'or considering input from the taxicab industry, the PPA acted unilaterally to increase enforcement, raise annual assessments, authorize TNCs to operate without equal regulation, and promulgate additional regulations which have further burdened and disadvantaged the Philadelphia taxicab industry. 16 Case Document 1 Filed 08/26/16 Page 17 of 89 69. In contrast, the local governments in other cities, including New York, Chicago and Boston, have worked to try to keep medallion taxicabs on equal footing with the in?ux of TNCs by eliminating or lessening many of the burdens imposed on traditional taxicabs. 70. In Boston, for instance, each Uber and ride is taxed $0.20, with $0.05 of this revenue designated for the traditional taxi industry. 71. Rather than protecting traditional taxicabs, or regulating and taxing TNCs on an equal basis, the PPA struck secret private deals to bene?t TNCS and give them a leg up in the Philadelphia for-hire transportation market. 72. On July 7, 2016, for example, the PPA announced that Uber agreed to pay $350,000 in exchange for the agreement to resolve all disputes with Uber, drop an additional $700,000 in ?nes owed by Uber, and allow Uber to operate legally in Philadelphia while the PPA works with the state legislature to permanently legalize TNCs. Under the agreement, the PPA also agreed to ?suspend all enforcement against? Uber and its af?liates. 73. Uber?s Chief Executive Of?cer, Travis Kalanick, was even enlisted to ?y into Philadelphia for at least one private meeting with top of?cials to ensure the negotiations ran smoothly. 74. Director, Vince Fenerty, publicly trumpeted the inside deal with Uber, stating hope to have a very productive relationship? with Uber and posting a picture of himself standing in unity with an Uber executive wearing a PPA hat: l7 Case Document 1 Filed 08/26/16 Page 18 of 89 75. The agreement with a private TNC, to the exclusion and detriment of other companies, is per se favoritism and unconstitutional. 76. Upon information and belief, on July 13, 2016, less than 1 week after the deal with Uber, the PPA lobbied and pushed Article XVI-M (Sections 1601-M and 1602-M) of Act 85 of 2016 through the General Assembly in an attempt to ratify its secret deal with Uber and legalize TNCs without equal regulation. 77. In particular, Section 1601-M(d) retroactively states the PPA ?may enter into a settlement with a traHSportation network company relating to legal disputes . . . through July 7, 2016 [the date of the secret deal with Uber].? 78. Upon information and belief, the PPA dictated and participated in the drafting of the language of Article XVI-M of Act 85 of 2016 and lobbied the General Assembly for its approval. 18 Case Document 1 Filed 08/26/16 Page 19 of 89 79. On July 26, 2016, less than 3 weeks after the deal with Uber, the PPA unilaterally issued an Order pursuant to Act 85 of 2016 which greenlighted all TNCs the right to operate freely in Philadelphia in open competition with medallion taxicabs. 80. Yet instead of equally regulating and taxing these similar competitors, the July 26, 2016 Order grants autonomy to TNCs without subjecting them to the regulations and taxes which burden traditional taxicabs. 81. The reversal on TNCS in Philadelphia is startling, as the PPA had previously called TNCS ?hack [taxi]cabs? and successfully argued that TNCs were unauthorized taxis as de?ned by law and subject to the taxi regulations. 82. As result of the secret meetings and deal with Uber, and subsequent Order legalizing TNCs, Uber and are currently in full~blown operation in Philadelphia. 83. TNCs appear to be openly violating the few limitations which the PPA did impose in its July 26, 2016 Order, without any repercussion by the PPA. 84. For example, this July 26, 2016 Order states that service may not be provided at a designated taxi stand, no stopping or standing zone? at the Philadelphia Amtrak train station, but pictures taken in August 2016 re?ect otherwise: 19 Case Document 1 Filed 08/26/16 Page 20 of 89 85. Despite opening up the ?oodgates to TNCS, the PPA continues to levy heavy tariffs on Plaintiffs and other taxicab medallions. 86. On August 12, 2016, for example, the PPA issued an Annual Assessment Notice to each Plaintiff which assesses ?every taxica $1,819 and ?every dispatcher? $3,980 for Fiscal Year 2017. 87. These Annual Assessment Notices, which steeply tax medallion taxicabs and dispatchers, were not issued to the similarly situated NCs. 88. Pursuant to the July 26, 2016 Order, TNCs are assessed at a signi?cantly lower rate than Plaintiffs and other taxicabs despite currently operating as de facto taxicabs without limitation in the City of Philadelphia. 89. In contrast to the $2.9 million recently assessed to Philadelphia taxicabs per taxicab), the estimated assessment to Uber in 2015 Mad Uber been assessed, which it was not) would have been approximately $150,000 $12.50 per vehiclel. 20 Case Document 1 Filed 08/26/16 Page 21 of 89 90. According to Manager of Enforcement, William Schmid, these assessments collected from taxicabs make up 80% of the funding for its taxi and limousine division. 91. Despite the proliferation of competing TNCs and the loss of market share by traditional taxicabs, the PPA actually increased its annual assessment to medallion taxicabs, up from $1,458 for Fiscal Year 2015 and $1,721 for Fiscal Year 2016. 92. In addition to not addressing the already unequal playing ?eld, the PPA compounds its disparate treatment by imposing and defending new regulations which further restrict traditional taxicabs but do not apply to TNCs like Uber. 93. In particular, the PPA recently codified the Safety Camera Regulation, 52 Pa. Code 1017.71-78 (the ?Safety Camera Regulation?), which requires Plaintiffs to purchase and install safety camera systems for all of their taxicabs. 94. The PPA has not applied the Safety Camera Regulation to de facto TNC taxis like Uber. 95. Permitting TNCs to operate in Philadelphia without the same safety cameras required for traditional taxicabs will have serious detrimental effects on the Philadelphia medallion taxicab industry because it further increases costs and hinders taxicabs? ability to compete fairly with TNCs. 96. By way of further illustration, the Safety Camera Regulation imposes on medallion taxicabs?but does not subject the competing and similarly situated TNCs?to the initial cost of the cameras, the installation costs, ongoing maintenance costs, replacement costs, increased liability in case a camera does not function properly, and the PPA penalties taxicab ,21 Case Document 1 Filed 08/26/16 Page 22 of 89 owners and drivers will be subject to if a camera does not function properly. See 52 Pa. Code 1017.71?78. E. The Impact of Disparate Regulatory Treatment 97. Instead of leveling the playing ?eld for everyone in the for-hire transportation industry, the preferential treatment of TNCs has caused a devastating ?nancial and liquidity crisis for Philadelphia?s traditional taxicabs. 98. Unburdened by PPA onerous regulations or taxes, TNCS multiplied rapidly and created an over-supply in the Philadelphia for-hire transportation market. 99. The streets of Philadelphia have been ?ooded with more than 12,000 active TNC taxicabs, all of which compete with medallion taxicabs, but none of which have to meet the burdens which the PPA imposes on traditional taxicabs. 100. To date, TNCs have taken away millions of local for?hire transportation rides from Plaintiffs in Philadelphia, despite the fact that these de facto taxi TNCS do not pay the same assessments as Plaintiffs and are not subject to the same regulations as Plaintiffs. 101. In the past 3 months alone, more than 500,0001ri'ders have used Uber?s service in the Philadelphia metro area. 102. The harm to the traditional Philadelphia taxicab industry has been devastating and the deterioration continues to accelerate. 103. Due to the preferential treatment of TNCS in Philadelphia?s for-hire transportation market, taxicab fares declined 30% since 2015 and Plaintiffs? revenues have plummeted up to 50% over the same period. These figures are on top of steep declines which occurred prior to 2015. At the same time, insurance costs, annual assessments, and regulatory compliance costs have increased. 22 Case Document 1 Filed 08/26/16 Page 23 of 89 104. As result, net cash ?ow per medallion taxicab held by the Plaintiffs has fallen approximately $20,000 from 2014 to 2016. 105. The overbearing and unequal regulations and taxation has also taken away Plaintiff?s medallion property rights and redistributed them to TNCs, who operate without regulation while traditional medallion taxicabs have been undercut and handcuffed by the PPA. 106. Plaintiffs have an exclusive property right in their medallions under law because taxicab medallions are a recognized property right, see 53 Pa. C.S.A. 5713, and the number of permitted taxicab medallions is capped, see 53 Pa. C.S.A. 5711. 107. The conduct unconstitutionally deprived Plaintiff?s of their exclusive property rights in these medallions by allowing another 12,000 vehicles provide taxi service in Philadelphia despite not owning taxicab medallions. 108. In July 2014, a Philadelphia taxicab medallion cost $545,000. A little over a year later, in December 2014, the PPA was unable to sell taxicab medallions for $350,000. In August 2016, the PPA approved the sale of taxicab medallions for $75,000 and $80,000. In October, 2016, the PPA will open bidding on new medallions starting at just $10,000. 109. Prior to the conduct, in 2014, Plaintiffs medallions were worth approximately $654 million. As a result of the taking, Plaintiffs medallions are now worth approximately $96 million. The PPA has taken $558 million ofPlaintif?s? property without inst compensation. 110. As the value of Plaintiffs? taxicab medallions wanes, the medallion ?nancing market has begun to collapse, threatening irreparable harm to the ability of the holders of Philadelphia taxicab medallions to continue operating in the industry. 23 Case Document 1 Filed 08/26/16 Page 24 of 89 111. In addition to lost revenues and medallion equity, Plaintiffs have also lost drivers to TNCs despite lowering medallion lease rates. 112. Most immediately, Plaintiffs cannot afford to pay the current PPA assessments due on September 12, 2016, which at $1,819.00 per taxicab represent almost 4-months of current operation income. 113. Plaintiffs also cannot afford to install or comply with the Camera Safety Regulation, which would cost almost 3-months of current operation income. 114. Plaintiffs also cannot afford the endless PPA inspections, fees, ?nes and burdens, especially as their main competitors Uber and operate without these same encumbrances. 115. Plaintiffs also cannot afford to pay loan payments on their medallions, which have crashed in value because of the decision to not regulate TNCs which caused an oversupply of transportation services, and as result these loans will soon be defaulted by the banks. 116. In sum, without immediate relief from the unequal assessments and regulations, the traditional Philadelphia medallion taxicab industry will be unable to continue and will likely fold. Thousands will lose jobs and the taxicab industry will be bankrupted by the unconstitutional preferential treatment of TNCs. No amount of money can compensate Plaintiffs for the loss of their livelihood or the decimation of the iconic Philadelphia taxicab industry. 117. Emergency relief 'is further required to prevent the PPA from disconnecting Plaintiffs? taxicab meters, revoking CPCs, and interrupting Plaintiffs? transportation service for failure to comply with its unconstitutional and unequal regulations and assessments. 24 Case Document 1 Filed 08/26/16 Page 25 of 89 118. Unless enjoined immediately, the PPA will be successful in its plan to ruin the Philadelphia taxicab industry and replace Plaintiffs with its preferred transportation providers, Uber and Lyft. COUNT I Violation of Equal Protection under the Fourteenth Amendment to the United States Constitution Pursuant to 42 U.S.C. 1983 119. Plaintiffs hereby incorporate each of the foregoing paragraphs of this Complaint as if they have been fully alleged herein. 120. The intentional actions in regulating and taxing the traditional Philadelphia taxicab industry, including but not limited to Plaintiffs, while not applying those same regulations and taxations to similarly situated TNCs, including Uber and Lyft, denied Plaintiffs the benefit of the equal protection of the laws in Violation of the Equal Protection Clause of the Fourteenth Amendment to the United States Constitution. 121. Traditional taxicabs and TNCs operate under the same business models and are similarly situated for purposes of the Equal Protection Clause of the Fourteenth Amendment of the United States Constitution. 122. Defendants have not offered any rational justi?cation for the unequal application of the disparate treatment, regulation or taxation of traditional taxicabs and TNCs. 123. The actions are irrational and wholly arbitrary, and without any rational basis or legitimate government purpose. 124. Plaintiffs are suffering and will continue to suffer direct and tangible injury and damages from the actions and inactions. 125. The actions and inactions are intentional. The PPA is aware that numerous TNCs, including Uber and Lyft, are operating similarly situated transportation businesses, and 25 Case Document 1 Filed 08/26/16 Page 26 of 89 are competing against traditional taxicabs in the same market and for the same passengers, but are doing so free of the onerous burdens imposed on taxicab medallion holders by the PPA. 126. Defendants? actions, under color of law, deprivedPlaintiffs of their rights under the United States Constitution, and threaten to continue to deprive Plaintiffs? of those constitutional rights. 127. Defendants? actions were deliberate, reckless, and indifferent to Plaintiffs? constitutional rights. 128. As a direct and proximate cause of the misconduct and constitutional violations detailed above, Plaintiffs have suffered damages in an amount to be determined at trial but reasonably believed to be in excess of $75,000. COUNT II Violation of Due Process and Unconstitutional Taking Pursuant to 42 U.-S.C. 1983 129. Plaintiffs hereby incorporate each of the foregoing paragraphs of this Complaint as if they have been fully alleged herein. 130. The Takings Clause of the Fifth Amendment to the United States Constitution, applicable to state and local governments under the Due Process Clause of the Fourteenth Amendment, provides that the government may not take property unless it is for a public purpose and just compensation is paid to the property owner. 131. Plaintiffs are owners of property that may not be taken by the PPA without payment of just compensation. 132. Without providing just compensation to Plaintiffs, the PPA has permitted TNCs such as Uber and to operate as unregulated de facto taxicabs in Philadelphia and thereby usurp and trespass upon the exclusive property rights of Plaintiffs. 2'6 Case Document 1 Filed 08/26/16 Page 27 of 89 133. The ownership of taxicab medallions is a recognized property right under state law. See 53 Pa. C.S.A. 5713. 134. In August 2016, general counsel Dennis Weldon was quoted by Philadelphia CBS Local as stating a taxicab is ?medallion is a property right? in 135. Plaintiffs? property right is also an exclusive one, as the number of medallions is capped by state law. See 53 Pa. C.S.A. 5711. 136. The conduct unconstitutionally deprived Plaintiffs of their exclusive property rights by allowing another 12,000 vehicles provide taxi service in Philadelphia despite not having taxicab medallions. 137. As result of the unconstitutional taking, Plaintiffs have been deprived of approximately $558 million in property by the PPA without receiving any just compensation. 138. The conduct has knowingly, arbitrarily and capriciously deprived Plaintiffs of their property interests in their taxicab medallions to the point of destroying the value of the Philadelphia taxicab medallion. 139. As result, the PPA has taken private property rights belonging to Plaintiffs and in essence transferred them to TNCs without paying any compensation to Plaintiffs, let alone the just compensation required by the Takings Clause. 140. The actions are irrational and wholly arbitrary, and without any rational basis or legitimate government purpose. 141. Plaintiffs are suffering and will continue to suffer direct and tangible injury and damages from the actions and inactions. 27 Case Document 1 Filed 08/26/16 Page 28 of 89 142. Defendants? actions, under color of law, deprived Plaintiffs of their rights under the United States Constitution, and threaten to continue to deprive Plaintiffs? of those constitutional rights. 143. Defendants? actions were deliberate, reckless, and indifferent to Plaintiffs? constitutional rights. 144. As a direct and proximate cause of the misconduct and constitutional violations detailed above, Plaintiffs have suffered damages in an amount to be determined at trial but reasonably believed to be in excess of $75,000. COUNT Declaratory Judgment 145. Plaintiffs hereby incorporate each of the foregoing paragraphs of this Complaint as if they have been fully alleged herein. 146. The July 26, 2016 Order and Article of Act 85 of 2016, which grant TNCs the right to operate in Philadelphia, are unconstitutional under the Equal Protection Clause. 147. The rights, duties and legal privileges of Plaintiffs are affected, impaired and threatened because these laws allow TNCs to operate without complying with the same regulations and tariffs imposed upon Plaintiffs and other traditional Philadelphia taxicabs. 148. Plaintiffs request that a declaratory judgment be entered declaring that the July 26, 2016 Order and Article XVI-M of Act 85 of 2016 are unconstitutional under the Equal Protection Clause of the Fourteenth Amendment to the United States Constitution. 149. Plaintiffs request that a declaratory judgment be entered against the PPA prohibiting the PPA from promulgating or enforcing any rules or regulations that impose burdens on medallion taxicabs any greater than those burdens imposed upon similarly situated TNCs, 28 Case Document 1 Filed 08/26/16 Page 29 of 89 including Uber and Lyft, without a rational basis for such disparate treatment, including without limitation the Camera Safety Regulation and the Annual Assessment. COUNT IV Preliminary and Permanent Injunction 150. Plaintiffs hereby incorporate each of the foregoing paragraphs of this Complaint as if they have been fully alleged herein. 151. Preliminary and permanent injunctive relief should be granted to enjoin the July 26, 2016 Order and Article XVI-M of Act 85 of 2016, which unconstitutionally grant TNCs the right to operate in Philadelphia in competition with traditional taxicabs without complying with the same regulatiOns or taxes, and prohibit the PPA from promulgating or enforcing any rules or regulations that impose burdens on medallion taxicabs any greater than those burdens imposed upon similarly situated TNCs, including Uber and Lyft, without a rational basis for such disparate treatment, including without limitation the Camera Safety Regulation and the Annual Assessment. 152. Plaintiffs are likely to succeed on the merits Of their claims because the PPA is unconstitutionally regulating and taxing the Philadelphia medallion taxicab industry, including but not limited to Plaintiffs, while not applying those same regulations and taxatio'ns to similarly situated TNCs, including Uber and Lyft, in Violation of the Equal Protection Clause of the Fourteenth Amendment to the United States Constitution. 153. Irreparable harm will occur if injunctive relief is not granted because the actions of the PPA threaten the very existence of the traditional Philadelphia taxicab industry and thousands of related jobs. In particular, the current taxicab assessments (which were not demanded of TNCs) are due on September 12, 2016, and cannot be paid by Plaintiffs. Without relief, Plaintiffs will be bankrupted by the PPA, and their businesses and jobs cannot be restored. '29 Case Document 1 Filed 08/26/16 Page 30 of 89 Philadelphians will also be left without the taxicab service which they have depended on for decades. 154. There is no adequate remedy at law to abate the constitutional violations. 155. Greater hardship will be in?icted upon Plaintiffs by the denial of its request for injunctive relief than by granting'such relief. In faCt, Plaintiffs? injunction request only seeks to put the medallion taxicabs on equal footing as the preferentially treated TNCs. There is no hardship in requiring the PPA to comply with the Constitution and treat similarly situated competitors the same. 156. The requested injunction will restore the parties to the status quo that existed before the PPA violated the Equal Protection Clause and permitted TNCs to operate de facto taxicabs in Philadelphia without equal regulation or taxation. 157. The requested relief is reasonably suited to abate the offending activities of the PPA and prevent further harm to traditional Philadelphia taxicabs. 158. Public policy and interest is not violated by Plaintiffs? requested relief because the injunction will maintain and protect the iconic Philadelphia taxicab industry from being forced out of commission by the unequal regulation and taxation. 159. No public safety issue exists if the requested relief is granted, as Plaintiffs will continue to inspect their vehicles, conduct criminal background checks, and undergo annual state vehicle inspections?j ust as the PPA permits TNCs to currently operate. 30.
