CONTRACT Between, Planet Aid, Inc. (Planet Aid) One Cross Street, Holliston MA 01746, USA And, The Federation for Associations connected to the International Humana People to People Movement (F AIHPP) Av. Louis-Casai 18, CH-1209 Geneva, Switzerland WHEREAS: I. FAIHPP is an association of national development organizations worldwidc. The purpose of F AIHPP is to provide services to its members to assist them in achieving their objectives. 2. FAIHPP has a staff of around 30 based in its international headquarters in Zimbabwe assisting its members within a wide range of fundraising and development activities. 3. Planet Aid is a member of FAIHPP. 4. Planet Aid has through its membership of F AIHPP access to the resources of F AIHPP to provide General Support and Supervision to development assistance programs worldwide. 5. Planet Aid has entered into an agreement with The Government of the United States of America, acting through the Commodity Credit Corporation under the United States Department of Agriculture (USDA) with number FCC-656-2007/007-00, FCC-656-2008/007-00, FCC-6562009/007-00 (the USDA contract). 6. The USDA contract specifies that Planet Aid receives 60,000 metric tons of wheat for monetization and 70 metric tons of textured soy protein for distribution, both to use for assistance in Mozambique. 7. Specifically Planet Aid is going to deliver assistance in Mozambique with the following activities: 1 - Total Control of the Epidemic (TCE), - Soy Canteens, - Teacher Training, - Farmers Clubs, - Construction of One World University, and - Training of Constructors. 8. Planet Aid has contracted a Recipient Agency, ADPP Mozambique, to implement the activities in Mozambique. 9. ADPP Mozambique, like Planet Aid, is a member of FAIHPP. 1O.The basic programs used for the activities planned under the USDA contract have originally been developed by FAIHPP and FAIHPP is continuously developing program updates. II.Planet Aid and FAIHPP wish to agree on the general outline of the General Support and Supervision services F AIHPP is to deliver in connection with the USDA contract. NOW IT IS AGREED: h 1. The period of this agreements starts on July i 2007 and is anticipated to end by October 20 10. However the obligations ofFAIHPP towards Planet Aid under this agreement continue until USDA has approved the final nalTative and financial reports under the USDA contract and any future amendments. 2. FAIHPP shall deliver General Support and Supervision to all the activities carried out by Planet Aid under the USDA contract. The volume of these activities will depend on the amounts that will be realized through the monetization of wheat in 2007, 2008 and 2009 respectively. 3. FAIHPP shall deliver adequate General Support and Supervision services as requested by Planet Aid in support of reaching the outcomes specified in the USDA contract. 4. The General outline of the General Support and Supervision services to be delivered under this agreement are: 2 A. Program Development and Support To provide general support to ADPP Mozambique according to the standards and systems FAIHPP provides to its members to assist ADP Mozambique to implement the USDA supported activities successfully, including but not limited to: • To support and guide project staff through production of guidelines, programs books and manuals; through organizing meetings, workshops and conferences, through project visits and in other ways. • To continue research and development of the major basic programs used in the activities - TeE, Farmers Club, DNS Teacher Training and One World University - and use the results in the ongoing activities. • To adjust and refine the programs to the local conditions in Mozambique. To develop new programs for additional activities and/or missing elements. • To build up the general capacity of the Recipient Agency and its staff, to sustain the activities that will be established under the USDA contract in the future. B: Supervision • To supervise the general progress of the USDA supported activities towards achieving the agreed goals. • On Planet Aid ' s instructions and when required, to act as an agent of Planet Aid. • To assist both Planet Aid and ADPP Mozambique in their cooperation, and when expedient to liaise between the 2 organizations. • To assist both Planet Aid and ADPP Mozambique with their administrational task and reporting obligations and to streamline that information of the 2 organizations is reconciling. 5. Planet Aid shall pay a fee to F AIHPP for the General SUppOit and Supervision services of 5.2% of the money spent on the activities in Mozambique under this agreement. The fee shall be paid in half yearly instalments and all services for a calendar year should be paid up at the end of that calendar year. 6. F AIHPP shall deliver quarterly reports to Planet Aid on the progress of the General Support and Supervision provided to the activities with examples of specific services delivered. 7. FAIHPP shall use adequate staff resources and it shall use its facilities at its international headquarters in Zimbabwe to fulfil its obligations under this agreement. 8.
