The annual or specia meetings or oar overnors all be held at the time and place set forth in a notice to each Board member given either by personal delivery, telegram or cablegram at least five (5) days before the meeting or by notice mailed to the Board member at least ten (l0) days before the meeting. Notice of a meeting of the Board of Governors need not be given to any Board member who signs a waiver of notice either before or after the meeting. Attendance of a Board member at a meeting shall constitute a waiver of notice of such meeting and waiver of enmr and all obligations for notificatimw as to the place of the meeting, the time of the meeting, or the manner in which it has been called or convened, except when a Board member states, at the beginning of the nmeting, any objection to the transaction of business because the meeting is not lawfully called or convened. Neithe; the business to be transacted at, nor the purpose of, any annual or special meeting of the Board of Governors need be specified in the notice or waiver of notice of such meeting. A majority of the Board members present, whether or not a quorum exists, may adjourn any meeting of the Board to another time and place. Notice of any such adjourned meeting shall be given to the Board members who were not present at the time of the adjournment and, unless the time and place of the adjourned meeting are announced at the time of the adjournment, to the other Board members. Annual meetings of the Board. of Governors shall be called by the Chairman of the Board, and special meetings of the Board may be called upon written notice to the Chairman by no fewer than fifteen (15) Board members. Section 13. Executive Director. The Executive Direc- or a Be a member of the Executive Committee and shall be selected by a majority of the Executive Committeeivoti ng on suc selection. The Executive Director shall be responsible for the ongoing management and administration of the affairs of the Coalition, its offices and staff, whouz he shall in his sole discretion appoint and whom he may dismiss. He shall implement the Coalition's programs and shall personally or with his designee closely coordinate and work with each of the members of the Executive Com ittee and the officers in the performance of his duties. The Executive Director shall be an ex-officio member of all standing and/or temporary committees (other than the Nominating Committee). The Executive Director shall serve at the pleasure of the Board. Any vacancy in this position shall be filled as soon as possible by the Executive Committee. The Executive Director shall have authority to fix the salaries of all employees of the Coalition, other than officers elected by the Board of Governors. Any agent or employee appointed by the Executive Director may be dismissed by the Board whenever in its judgment the best interests of the Coalition will be served thereby Section 14. Nominatin Committee. There shall be a standing committee ca ominating Committee" which shall consist of seven (7) members. The Chairman of the Board shall appoint the Chairman of the Nominating Committee, an additional six (6) members of the Nominating Committee and two (2) alterna- tives. These appointments shall be approved by a majority of the Executive Com ittee. The Chairman shall include in his appoint- ment of members at least one member from the Board_ Members and alternate members of the Nominating Com ittee shall serve for a period of one year. The Nominating Committee shall be in session throughout the year and shall meet from time to time as the Chairman cm? the Nominating Committee deems necessary. The Nominating Committee shall forward to the Executive Director those nominations for members of the Board no less than seventy (70) days prior to the commencement of the Board's annual meet- ing. The Executive Director shall, no less than sixty (60) days prior to the Board's annual meeting, mail to each member of the Coalition a copy of the said nominations. Members of the Execu- tive Committee may submit additional nominations so long as the said submission contains the signatures of no fewer than twenty (20) percent of the members of the Board Committee. Such submis- sion must be received by the Chairman of the Nominating Committee and the Executive Director no less than ten (10) days prior to the members' meeting at which elections are held. Nominations from the floor may not be submitted. Section 15. Other Committees. The Board of Governors, by resolution adopted by' a majority of the full Board, may designate from among its members one or more other committees each of which shall have the authority provided in such resolution. ARTICLE OFFICERS Section l. Officers. The officers of the Coalition shall consist of the Chairman. of the Board \du> shall 'be the President, Vice Presidents, a Secretary, a Treasurer, and Regional and Honorary Chairmen. The number of Vice Presidents and Regional and Honorary Chairmen shall be determined by the Executive Committee. Such other officers and assistant officers and agents as may be deemed necessary may be elected or appointed by the Board of Governors from time to time. Any two or more offices may be held by the same person. The officers need not be members of the Coalition. Section 2. Duties. The officers of' this Coalition shall have the following duties: The Chairman of the Board is the Chief Executive Officer of the Coalition and shall perform all functions incident to the office of the Chairman. The Chairman may from time to 5 if time designate one or another of the members of the Executive Committee to perform any of the functions of the Chairman in his absence. Each Chairman of the Coalition shall, upon relinquish- ing the office of Chairman, be eligible to become an Honorary Chairman by action of the Board. Upon election to that office111- lf 'Cf 'ff iff; ff- :EliHonorary Chairmen shall be officers of the Coalition, with full voting privileges and shall not be subject to any limitation on term of office. The Vice Presidents shall assist the Chairman and Executive Director in the management of the business and affairs of the Coalition and perform such other duties as may be pre- scribed by the Chairman. The Secretary shall have custody of and maintain all of the Coalition's records except the financial records; he shall record the minutes of all meetings of the members, the Board of Governors and the Executive Committee; he shall send all notices of meetings out; and he shall perform such other duties as may be prescribed by the Chairman. The Treasurer shall have custody of all funds and financial records of the Coalition; he shall keep full and accurate accounts of receipts and disbursements and render accounts thereof at the annual meetings of members and whenever else required by the Board of Governors or the Chairman; and he shall perform such other duties as may be prescribed by the Chairman. The Regional and Honorary Chairmen shall perform all functions incident to their offices as determined by the Board and such other functions as may be assigned by the Chairman. Section 3. Election and Term of Office. The Board, at a meeting Held at least thirty (305 days prior to the Board's annual meeting and acting upon recommendation of the Nominating Committee, shall elect the officers. Officers shall serve for a term of two (2) years and may be re-elected for no more than two (2) succeeding two-year terms. Section 4. Removal of Officers. Any officer elected by the Board of Governors may be removed by the Board whenever in its judgment the best interests of the Coalition will be served thereby. Removal of any officer shall be without prejudice to the contract rights, if any, of the person so removed; however, election of appointment of an officer or agent shall not of itself create contract rights. Section 5. Com ensation. The compensation of the Chairman, Vice Presi ents, Secretary, Treasurer' and any other officers elected by the Board of Governors shall be fixed by the 7 "Tri Er.. Tai" 2. . ARTICLE VII CERTIFICATES The Board of Governors may issue certificates to members of the Coalition. No certificate shall be issued until approved by the Board of Governors. ARTICLE BOOKS AND RECORDS Section ln Books Records. This Coalition shall keep correct an comp ete oo an records of account and shall keep minutes of the proceedings of its members, Board of Governors, Executive Committee and other committees. The Coalition shall keep at its principal place of business a record of its members, giving the names and addresses of all members. Any books, records and minutes may be in written form or in any other form capable of being converted into written form within a reasonable time. Section 2. Financial Information. Not later than four (4) months a ter ose ol eac iscal year, the Coalition shall prepare a balance sheet showing in reasonable detail the financial. condition of the Coalition as of the close of its fiscal year, and a profit and loss statement showing the results of the operations of the Coalition during its fiscal year. This requirement may be modified by a resolution of a majority of the members not later than four (4) months after the close of each fiscal year. The balance sheets and profit and loss statements shall be kept for at least five years, and shall be subject to inspection during business hours by any member in person or by agent. ARTICLE IX CONTRACTS, LOANS, CHECKS AND DEPOSITS Section 1. Contracts. The Board of Governors may authorize any icer or agent to enter into any contract or execute and deliver any instrument in the name of and on behalf of the Coalition and such authority may be general or confined to specific instances. All checks, drafts, or other orders for payment of money, notes or other evidences of indebtedness issued in the name of the Coalition shall be signed by such officer or officers, agent or agents, of the Coalition and in such manner as shall from time to time be determined by resolution of the Board of Governors. Section 4. De osits. All funds of the Coalition not otherwise emp a eposited from time'to time to the credit of the Coalition in such banks, trust companies, or other depositories as the Board of Governors may select. ARTICLE AMENDMENT Unless otherwise provided herein, these Articles may be repealed, altered or amended, and new By-Laws may he adopted, at any annual or special meeting of the Board by a majority of those present and voting, provided written notice of such meeting and the full text and purpose of such proposed amendments shall have been mailed to each member of the Board at the address furnished by the member for receipt of mail no less than fourteen (14) days in advance of the meeting at which amendments are to be acted upon. The presence of at least fifteen (15) members of the Board shall constitute a quorum for purposes of amending the Articles. Any change in these Articles shall also be approved by a majority of the Executive Committee voting on such change.
