On behalf of Competitive Power Ventures, I wish to inform you that Millennium Pipeline Company, LLC
(Millennium) executed a Precedent Agreement in December, 2010 with CPV Valley, LLC (Valley).
While the terms of the agreement are con?dential, the agreement outlines the terms under which
Millennium will provide natural gas transportation service on the Millennium Pipeline, as well as, the

construction and permitting of the natural gas lateral connecting CPV Valley Energy Center to the
Millennium Pipeline.
