CITY OF ST. LOUIS PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT, made and entered into this _lQ?f?day of 2002, by and between the City of St. Louis, a municipal corporation, (hereinafter "City") acting by and through the Office of the Mayor (hereinafter "Mayor") and John E. Scott, Brian H. May and Rodney J. Boyd, (hereinafter, collectively "Contractors"). WITNESSETH, THAT: In consideration of the payments hereinafter provided to be made by the City, Contractors covenant and agree to faithfully perform the services called for in this Agreement. l. Scope of work. Contractors shall work with the Mayor's Office and other City departments to draft, introduce and attempt to pass legislation, monitor legislation of interest to and affecting the City, monitor and identify opportunities for state grants, act as a liaison to the executive branch of state government and the Missouri legislature regarding issues relating to the City, work with groups and individuals who support legislation of interest to the City or which will have a favorable impact on the City, represent the City before state boards and commissions, facilitate presentations to the appropriate state agencies and committees regarding state legislation or state assistance, assist in coordination and arrangement of meeting with state agencies, legislators or officials, prepare and present legislative and regulatory actions of interest to the City, assist in arranging consultations with state officials, and generally assist in matters in governmental relations. The City shall, through the Mayor, designate a representative to coordinate he services of the Contractors. Said designation shall be made upon the execution of this Agreement. 2. Term. This Agreement shall commence on the date of execution and shall continue for one year, unless extended in writing by the parties hereto. 3. Compensation. The compensation under this Agreement shall be one hundred fifty thousand dollars ($150 000 00) . in the aggregate. All checks shall be made individuals. Said com payable to all three named pensation shall be paid in twelve (12) equal monthl installments which will be paid commencing February 1,2002 and the first day of each subsequent month. All expenses of the Contractors are the responsibility of the Contractors a there will be no reimbursement or advances for xpenses. 4. Termination. The City or the Contr actors may terminate thirty (30) days written notice and Contractors will only be paid for this Agreement, with cause, onths worked. S. Assignment and Subcontracting. The Cont ractors may not assign nor subcontract any part of this Agreement. 6. Indemnification. Contractors sh all indemnify and hold harmless the City, its officers agents and employees from 1. b. ia ility of any nature or kind, including costs and expenses, for or on account of any or all suits or dama ges of any character whatsoever resulting i ole or in part from the negligent performance or omission of an employee, agent or representative of the Contractor. 7. Miscellaneous. A. This Agreement shall be construed under the laws of the State of Missouri. B. LOUIS PROFESSIONAL SERVICES AGREEMENT THIS AMENDMENT, made and entered into this day of December, 201 l, by and between the City of St. Louis, a municipal corporation, (hereinafter "City") acting by and through the Office of the Mayor (hereinafter "Mayor") and Rodney J. Boyd, (hereinafter "Contractor"). WITNESSETH, THAT: WHEREAS, Rodney J. Boyd was party to an Agreement (Comptroller's Office Document #4l434) with the City of St. Louis for professional services including, but not limited to, lobbying and; WHEREAS, said Agreement is may be amended and the tem1 extended, to Sections 2 and 7 and WHEREAS, the City desires that Rodney J. Boyd continue to perform said professional services; and WHEREAS, tl1e parties have executed previous Amendments to City of St. Louis Professional Services Agreement; and WHEREAS, the undersigned desire to amend and extend their current agreement by way of this Amendment. NOW THEREFORE the parties agree as follows: l. Section 2. Term shall be deleted and inserted in lieu thereof is the following: This Agreement shall continue, subject to appropriation, until June 30, 2013, unless terminated or extended in writing by the parties. 2. Section 3. Compensation shall be deleted in its entirety and inserted in lieu thereof the following: The compensation on this Agreement commenced on July I, 2009 and shall continue in equal installments of Seven Thousand Five Hundred Dollars payable on the first day of each month, subject to appropriation, for a total of $360,000.00, of which $l35,000.00 shall be paid for services rendered after execution of this Amendment. All expenses of the Contractor are the responsibility of the Contractor and there will be no reimbursement or advances for expenses. 3. The terms "Contractor" and "Contractors" shall refer to Rodney Boyd. 4. In all other respects the Agreement shall remain the same.
