UNANIMOUS WRITTEN CONSENTOF THE
BOARD OF DIRECTORS OF
ENERGIA GLOBAL INTERNATIONAL, LTD.

We, the undersigned, being all the Directors of Energia Global International, Ltd. (the
?Company?), being a company incorporated in the Islands of Bermuda, pursuant to the authority
so to act without a meeting conferred by Bye-Law 95(a) of the Company?s Bye-Laws, HEREBY
ADOPT the following resolutions as set out below with effect as of the date the last Director
signs these unanimous written resolutions.

These unanimous written resolutions may be executed in counterparts, and a copy shall
be inserted in the Company?s Minute Book. All actions taken herein shall be of the same force
and effect as if adopted at a duly convened meeting of the Board of Directors of the Company.

It is hereby:

RESOLVED, that the chief executive o?icer of the Company (the ?Authorized Of?cer?)
be and hereby is authorized and empowered in the name of and on behalf of the Company to
negotiate, execute and deliver such amendments, supplements or extensions to the Loan
Agreement dated as of December 28, 2001 (the ?Loan Agreement?) between the Company and
Enel Green Power International, SA. (including without limitation, an increase in the
commitment amount of to a total loan commitment equal to and
any extensions of the maturity date) and such other instruments or documents in connection
therewith as the Authorized Of?cer may determine to be necessary or advisable, with the
execution thereof by such Authorized Of?cer- to be conclusive evidence of such determination
and the approval thereof by this Board; and

FURTHER RESOLVED: That all acts and actions of the Company prior to the date
hereof with respect to the Loan Agreement, any instruments and documents entered into in
connection therewith, and any amendments, supplements or extensions thereof; be, and they
