MEMORANDUM or FRIENDSHIP AND COOPERATION
BETWEEN
THE REPUBLIC or THE GAMBIA

This Agreement of Intent is entered into between:

The Government of the Republic of The Gambia, represented by the Secretary
General Dawda D. adera, hereinafter referred to as The Gambia,



And,

The Government of Romanov Empire, represented by the Minister of Foreign Affairs
Modou Lamin Saidykhan, hereinafter referred to as Romanov Empire,

Secondly,

hereinafter jointly referred to as the Parties.

The project which has been agreed by the Parties will include the construction of the
arti?cial islands and the foundation of Saint Nicholas, the first Smart City in Africa,
hereinafter referred to as the Project.

1. Preamble

1.1 The Gambia has expressed its interest in the attraction of large-scale
international investments, in the acceleration of the economic growth, in the
creation of additional jobs, in the signi?cant increase of the taxable income
of the Gambian economy and in the increase of the level and quality of life
of the people of The Gambia.

1.2 Romanov Empire aims to establish a modem economic zone that will be the
Gate for international investors to Africa.

1.3 Noting that in 2012 - 2017' The Gambia invited Romanov Empire to present
the Project and in the year 2013 the ETA report of the Project was submitted
to the National Environmental Agency of The Gambia.

1.4 By signing this Memorandum, the Parties wish to approve the Project and
jointly specify their mutual intentions with regard to it.

1.5 The Gambia recognizes Romanov Empire with the state capital in Saint
Nicholas.

2. Objectives

2.1 The purpose of this Memorandum is to con?rm that both Parties will
cooperate and unite their forces to implement the Project.

 

 

 



 

2.2 This will include joint work of different authorities, performing various tasks
for the preparation and the implementation of the Project and signing of the
Treaty between the Parties before December 31, 2018.

2.3 The Gambia and Romanov Empire have obliged to establish diplomatic
relations in a mutual consent manner.

Intentions of Romanov Empire

The preparation and construction of the arti?cial islands with the total area
of 10 square kilometers on the shallow coastal part of the territorial waters of
The Gambia.

3.2 The foundation of the ?rst African Smart City called Saint Nicholas.

3.3 The attraction of the most advanced investors to start operations in Saint
Nicholas.

3.4 The payment to The Gambia of 60 000 000 USD in equal annual shares
within 6 years after signing of the Treaty between The Gambia and
Romanov Empire.

Intentions of The Gambia

4.1 According to the Article 2 of the United Nations Convention on the Law of
the Sea (UNCLOS) the Republic of The Gambia passes the right to construct
and regulate the construction, operation and use of the arti?cial islands in its
territorial waters to Romanov Empire.

4.2 The area of the newly built by Romanov Empire arti?cial islands should not
exceed 10 square kilometers, and the channel between the arti?cial islands
and the low?water line along coast of The Gambia should not be narrower
than 100 meters.

4.3 These arti?cial islands are the part of the state territory of Romanov Empire.
They do not possess the status of islands and have no territorial sea of their
own, and their presence does not affect the deiimitation of the territorial sea,
the exclusive economic zone or the continental shelf. Romanov Empire does
not claim any of the resources, including ?sh stocks, which are in the
exclusive economic zone of the Republic of The Gambia.

4.4 The breadth of the safety zones around Romanov Empire arti?cial islands
should be determined by the present Memorandum as much as 100 meters
distance.

4.5 Romanov Empire should have exclusive jurisdiction over these arti?cial
islands, including jurisdiction with regard to customs, ?scal, health
protection, ecology, safety and immigration laws and regulations.

4.6 These arti?cial islands will always be considered as neutral, demilitarized
and inviolable.

5. Duration of the Memorandum
5.1 The Memorandum shall enter into force upon its signature by both Parties.
5.2 The present Memorandum is not limited in operation time and can be

changed or terminated by mutual consent of The Gambia and Romanov
Empire.

6. Language of the Memorandum

6.1 This Memorandum shall be produced and signed in English.
