SHORT FORM OF OPTION AGREEMENT

Lockwood Farm Properties LLC, a Michigan limited liability company with an address
of 237] Tomlinson Road, Caro, Ml 48723 the ?Owner?) and Boulevard Associates, LLC, a
Delaware limited liability company, with an address of 700 Universe Boulevard, Juno Beach,
Florida 33408 ("Operator") have entered into that certain Wind Farm Basement and Option
Agreement ("Agreement") whereby OWner granted to Operator an option to purchase and upon
exercise of the option the Operator will have been granted the following easements in connection
with the deve10pment, construction and operation of a wind energy project in Tuscola County,
Michigan (collectively, the "Easements"):

(1) Turbine Easements

(2) Access Easement

(3) Collection Easement

(4) Construction Easement

Wind Non-Obstruction Easement

MEMQMQUM OF REAL ESTATE PURQHASE OPTION AGREEMENT

This Memorandum of Real Estate Purchase Option Agreement is made as of the

entered into that certain Wind Farm Basement and Option Agreement ("Agreement") whereby
