We will pursue support from the U.S. Agency for International Development for a project for the planting of vegetation in the coastland areas of Suriname to prevent flooding and land mass erosion. We also will pursue support from that agency, the U.S. Overseas Private Investment Corporation, the U.S. Export-Import Bank, perhaps other agencies, and Congress for joint U.SySuriname projects in the fields of military cooperation, national security, illegal drug interdiction, joint antiterrorism exercises, and possible projects in the agricultural area. In addition, we will seek to improve the commercial relationship between Suriname and the United States, and to enhance trade and investment in areas such as solar energy. 9. Witnesseth WHEREAS, the Embassy of the Republic of Suriname has determined that it requires assistance with respect to enhancing the diplomatic, political, security and commercial trade and investment relationship of the Republic of Suriname with the United States; and WHEREAS, Consultant has the experience and expertise necessary to supply the Embassy of the Republic of Suriname with the assistance it requires; and WHEREAS, the Embassy of the Republic of Suriname desires to engage Consultant to provide consulting services for Embassy of the Republic of Suriname with respect to the services mentioned above; and WHEREAS, the Embassy of the Republic of Suriname and Consultant are entering into this Agreement in order to establish the terms of Consultant’s duties and responsibilities in performing consulting services for APA and to set forth their understanding concerning the relationship of the Embassy of the Republic of Suriname and Consultant; NOW, THEREFORE, in consideration of the foregoing recitals, each of which is incorporated herein and made a part hereof, and in consideration of the mutual covenants hereinafter contained, the Embassy of the Republic of Suriname and Consultant agree as follows: 1. Engagement. The Embassy of the Republic of Suriname retains and engages Consultant to perform various services for the Embassy of the Republic of Suriname as described above, and Consultant hereby agrees to serve the Embassy of the Republic of Suriname on the terms and conditions set forth in this Agreement. 2. Term. Consultant shall be retained by the Embassy of the Republic of Suriname for one year, January 15, 2018, until January 15, 2019. This Agreement may be renewed on a year-to-year basis upon the viritten agreement of both parties. 3. Duties. Compensation. For services performed under this Agreement, the Embassy of the Republic of Suriname shall pay Consultant $ 25.000 a month, beginning January 15, 2018. Consultant shall provide the Embassy of the Republic of Suriname with a monthly statement of services rendered, detailing the nature of the services performed. Payments will be transferred directly from the Republic of Suriname. 5. Relationship. Consultant is retained and engaged by the Embassy of the Republic of Suriname only for the purposes and to the extent set forth in this Agreement and engagement hereunder, of an independent contractor. It is expressly understood and agreed that Consultant shall riot be considered as having an employee, partnership or agency status with respect to the Embassy of the Republic of Suriname for any purpose whatsoever. Consequently, Consultant shall not have any of the rights, benefits, duties or obligations typically conferred upon an employee of the Embassy of the Republic of Suriname and Consultant shall, among other things, be solely responsible for the payment of all payroll, social security and income taxes with respect to the compensation he receives under this Agreement 6- Cancellation This Agreement may be cancelled by either party at any time for any reason whatsoever upon thirty (30) days written notice to the other party. If terminated by the Embassy of the Republic of Suriname, the Embassy of the Republic of Suriname will pay for continued services performed or expenses incurred by Consultant for 3d days after written notice of termination during the month following the written notification of cancellation of services to be performed, or expenses to be incurred, should be mutually agreed to, prior to the contract of services. If terminated by Consultant, Consultant will nevertheless provide whatever services are necessary to insure the protection of the Embassy of the Republic of Suriname interests with respect to the work performed under this Consulting Agreement. 7, Work Product. All documents, supporting work papers, arid other materials prepared or compiled by Consultant, including electronic files incorporating any of these materials, shall become and remains the property of the Embassy of the Republic of Suriname. 8, Filings. Consultant shall be responsible for required filings, including filings under the Lobbying Disclosure Act and the Foreign Agents Registration Act. 10. Entire Agreement. This Agreement contains the entire agreement between the Embassy of the Republic of Suriname arid Consultant and may be modified only by a written agreement signed by both parties. This Agreement shall be governed by, construed and enforced in accordance with the laws of the District of Columbia. 13. Waiver. The failure of either party to insist in any one or more instances upon performance of any of the terms or conditions of this Agreement shall not be construed as a waiver of future performance of any of the terms or conditions contained herein. 14. Severability The fact that any provision of this Agreement is held illegal or unenforceable by a court or other tribunal of competent jurisdiction shall not affect the validity or enforceability of any other severable portion of this Agreement. 15. Assignment Neither the Embassy of the Republic of Suriname nor Consultant may assign, sell or otherwise transfer any rights or interests created under this Agreement without prior written consent of the other party.
