MODIFICATION OF CONTRACT FOR THE PROVISION OF SERVICES NUMBERED
DGRMSG-69-17 BETWEEN THE FEDERAL EXECUTIVE BRANCH ACTING THROUGH
THE SECRETARIAT OF THE ECONOMY, HEREAFTER “LA SECRETARIA”,
REPRESENTED BY THE GENERAL DIRECTOR OF MATERIAL RESOURCES AND
GENERAL SERVICES P. MIGUEL ANGEL CASTILLO LOPEZ, AND THE FIRM
PILLSBURY WINTHROP SHAW PITTMAN LLP, REPRESENTED BY ITS LEGAL
REPRESENTATIVE MR. STEPHAN ERNEST BECKER, HEREINAFTER “EL
PROVEEDOR”, IN CONFORMITY WITH THE FOLLOWING STATEMENTS AND
CLAUSES:
Declare “THE PARTIES”:
a) That on May 12,2017, they entered into the contract to provide services numbered
DGRMSG-69-17, in order to establish the terms and conditions under which " LA
SECRETARIA" requires the "Legal Advice Services in Foreign Trade in the US, corresponding
to fiscal year 2017."
b) That , said instrument was authorized and registered by the Office of the General Counsel on
June 22,2017, under number 292/2017.
c) In said legal instrument it was stipulated as being valid from April 28 to December 31,2017.
d) That in accordance with the provisions of Declaration 1.2 of the contract for the rendering of
services number DGRMSG-69-17, "LA SECRETARIA" was represented by C.P. Miguel Angel
Castillo L6pez, in his capacity as General Director of Material Resources and General Services.
e) That the contract referenced in the previous paragraph was signed by Mr. Stephan Ernest
Becker, in his capacity as Legal Representative of "EL PROVEEDOR", who states the the
authority with which he appeared in that act, for which he established his authority to the
satisfaction of "LA SECRETARIA", has hot been revoked,-.
f) That this Modification Agreement is executed based on the extension request filed with the
General Directorate of Material Resources and General Services by.means of official.letter
number DGCJCI.511,36.582.2017 dated December 8, 2017, as-well as in the Justification
attached to this request, in which detailed reasons were explained, both documents signed under
the responsibility of the Ms. Samantha Atayde Arellano, General Director of Legal Consultancy
of International Commerce in "LA SECRETARIA".
g) That in the Third and Fifth Clauses of the contract for the rendering of services number
DGRMSG-69-17, the following was stipulated as amount and validity:
THIRD.- AMOUNT
"THE PARTIES" agree that this contract will be opened, in accordance with the
provisions of article 47 of the "LAASSP", with a total minimum amount of USD
$ 576,000.00 (Five hundred seventy six thousand US dollars 00/100), and a total

maximum amount of USD $ 960,000.00 (Nine hundred and sixty thousand US
dollars 00/100).
In accordance with the provisions of articles 1 and 16 of the Law on Value Added
Tax in force, this tax is not applicable to the services derived from this contract,
since "EL PROVEEDOR" does not provide the same in national territory nor he
has residence in the country.
The prices for the services that are the subject matter of this contract will be fixed
during the term thereof and will be those established in the economic proposal of
"EL PROVEEDOR".

FIFTH.- VALIDITY
The validity of this contract will be from April 28 to December 31,2017.
h) That based on the foregoing, "THE PARTIES" confirm that they are recognized to have
broad authority, which has not been revoked or limited in any way, and are consistent with the
individual indicated to be accredited and recognized in the service provision contract numbered
DGRMSG-69-17 and based on article 52 of the Acquisitions, Leases and Services of the Public
Sector, articles 91 and 92 of its Regulations and Sixth Clause of the aforementioned instrument,
agree to sign this Modification Agreement, stating that nothing has changed in the original
conditions of the contract, to the undue benefit or in favor of "EL PROVEEDOR" nor is there a
conflict of interest, and affirm the above in light of the following:
CLAUSULAS
FIRST.- OBJECT OF THE AGREEMENT
"THE PARTIES" for well-founded and explicit reasons indicated in the justification dated
December 7, 2017, submitted by Ms. Samantha Atayde Arellano, General Director of the Legal
Consultancy of International Commerce, agree to modify by 20% the THIRD and FIFTH
CLAUSES of the contract for the rendering of services numbered DGRMSG-69-17, respecting
the terms and conditions thereof, to be as follows:.
SECOND.- AMOUNT AND VALIDITY
THIRD CLAUSE - AMOUNT of the service provision contract numbered DGRMSG-69-17 is as
follows:
THIRD CLAUSE.- AMOUNT
"THE PARTIES" agree that this contract will be opened, in accordance with the
provisions of article 47 of the "LAASSP", for a total minimum amount of USD $
691,200.00 (Six hundred and ninety-one thousand two hundred US dollars

00/100), and a maximum total amount of USD $1,152,000.00 (one million one
hundred and fifty two thousand US dollars 00/100).
In accordance with die provisions of articles 1 and 16 of the Law on Value Added
Tax in force, this tax is not applicable to the services derived from this contract,
since " EL PROVEEDOR" does not provide the same in national territory nor has
residence in the country.
The prices for the services subject matter of this contract will be fixed during the
term thereof and will be those established in the economic proposal of "EL
PROVEEDOR".
CLAUSE FIFTH.- VALIDITY of the service provision contract numbered DGRMSG69-17, is as follows:
FIFTH CLAUSE., VALIDITY
The validity of the contract will be from April 28, 2017 to February 18,2018.
THIRD.- GUARANTEE
"EL PROVEEDOR" shall modify the guarantee previously granted with respect to the
obligations contacted in the original contract, for which it shall submit to "THE
SECRETARIAT" the corresponding additional bond policy.
If the policy is not presented within a period of 10 (ten) calendar days following die signing of
this instrument, "THE SECRETARIAT" may declare this Modification Agreement
administratively terminated.
The guarantee of compliance must be granted in favor of the Treasury of the Federation.
FOURTH.- APPLICATION OF THE CONVENTION
With the exception of die modifications that have been specified and for the legal and
administrative effects that may arise, "THE PARTIES" are in agreement to apply to this
instrument, as applicable, each and every one of the clauses contained in the contract service
provision number DGRMSG-69-17.
Let it be recorded that the parties to this Modification Agreement have read it and are well aware
of the value and legal significance of the stipulations contained therein, and hereby ratify and
sign it in Mexico City, on the 28th of December 2017.

OECLARACIONES
peclaran “LAS PARTES”:
a) Que con fecha 12 de mayo de 2017, ceiebraron el contrato de prestacidn de servicios numero
DGRMSG-69-17, con el objeto de establecer los termlnos y condiciones bajo los cuales “LA
SECRETARlA" requiere de los “Servicios de Asesoria Legal en materia de Comerelo Exterior en
EE.UU., correspondlente al ejercfcio fiscal 2017“.
b) Que dicho instrument quedd autorizado y registrado por la Oficina del Abogado General el dfa 22
de junto de 2017, bajo' el numero 292/2017.
c) En dicho instrument jundico se estipuld como vigencia del 28 de abril al 31 de diciembre de 2017.
d) Que de conformidad con lo estableoido en la Declaration 1.2 del contrato de prestacion de
servicios numero DGRMSG-69-17, “LA SECRETARlA” quedd representada por el C.P. Miguel
Angel Castillo Ldpez. en su cardcter de Director General de Recursos Materiaies y Servicios
Generaies.
e) Que el contrato mencionado en eMncisp anterior, fue suscrlto por el Sr. Stephan Ernest Becker, en
su caracter de Apoderado Legal de “EL PROVEEDOR”, quien maniftesta que no le ha sido revocado
de forma alguna el poder con el gue comparecid en aquel acto, por lo que acredita su personalldad a
satisfaction de “LA SECRETARlA”.
f) Que el presente Convenio Modificatorio se celebra con base en la solicitud de ampliation
presentada ante ta Direction General de Recursos Materiaies y Servicios Generaies mediante ofitio
numero DGCJCI 511.36.582:2017 de fecha 8 de ditiembre de 2017, asi como en la Justification
adjurita a dicha solicitud, en la que se exponen las razones fundadas expKcitas, ambos documentos
suscritos bajo la responsabilidad de la Mtra. Samantha Atayde Arellano, Directdra General de
Consultoria Juridica de Comercio International en “LA SECRETARlA”.
g) Que en las Cldusulas Tercera y Quinta del contrato de prestacidn de servicios mimero DGRMSG69-17. se estipuld como monto y vigencia lo siguiente:

De conformidad con to dispuesto an los articutos 1* y 16 de la Ley del Inipuesto al Valor
Agregado vigente, no esaplicable dicho impuesto.a los servicios derivadds del presente
contrato, toda vezque "EL PROVEEDOR" nopresta los mlsmos en territorto nacionai ni
tiene residencia en el pals.
Los precios por fos serviclos materia del presente contrato serdn fijos durante la vigencia
de! mismo y serdn los establecidos en la propuesta econdmica de “EL PROVEEDOR
QUINTAVIGENCIA
La vigencia del presente contrato serd del 26 de abril al 31 de diciembre de 2017.
h) Que con base en lo anteriormente expuesto, “LAS PARTES” manifiestan que se reconocen
ampliamente las facultades con las que se ostentan, mismas que no les han sido revocadas o
iimitadas en forma aiguna, per lo que conforime a la personaiidad que tierten acredrtada y reconocida
en el contrato de prestacion de serviclos nunrtero DGRMSG-69-17 y con fundamento en el articulo 52
de la Ley de Adquisiciones, Arrendamientos y Servicios del Sector Publico, articulos 91 y 92 de su
Reglamento y Clausula Sexta del instrumento referido, acuerdan suscribir el presente Convenio
Modificatorio, manifestando que en nada cambian las condiciones originales de la contratacibn, no
existe beneficio indebido en favor de “EL PROVEEDOR” ni existe confHcto de interes alguno, lo
anterior lo hacen al tenor de las siguientes:

PRIMERA.- OBJETO DEL CONVENIO
“LAS PARTES” por razones fundadas y explicitas sefialadas en la justificacibn de fecha 7 de
diciembre de 2017, suscrita por la Mtra. Samantha Atayde Arellano, Directora General de Consultorla
Juridica de Comercio Intemacional, convienen en rriodificar en un 20% las CLAUSULAS TERCERA
y QUINTA del contrato de prestacidn de servicios nOmero DGRMSG-69-17, respetando los terminos
y condiciones del mismo, para quedar comp sigue:
SEGUNDA.- MONTO Y VIGENCIA
La CLAUSULA TERCERA.- MONTO del contrato de prestacion de servicios numero DGRMSG-69-17
queda de la siguiente forma:
CLAUSULA TERCERA.- MONTO
“LAS PARTES” convienen en que el presente contrato sera abiertp, de.conformidad con lo/
dispuesto por el articulo 47 de la “LAASSPr\*por un monto mfnimo total de USD $691,200.00
(Seiscientos noventa y un mil doscientps dolares estadounidenses 00/100). y un morjto
mdximo total de USD $1,152,000.00 (Un mifibn ciento cincuerrta y dos mil ddlares
estadounidenses 00/100).

De conformidad con lo dispuesto en los articulos 16 y 16 de la Ley del Impuesto al Valor
Agregado vigente. no es aplicable dicho impuesto a los servicios deriyados del presente
contrato, to.da vez que "EL PROVEEDOR'' no presto los mlsmqs en territorio nacional ni tiene
residencia an el pals.
Los precios par los servicios materia del presente contrato serdn fijos durante la vigencia del
mismo y serin los establecidos en la propuesta econdmica de “EL PROVEEDOR”.
La CLAUSULA QUINTA.- VIGENCIA del contrato de prestacidri de servicios nCimero DGRMSG-69-17,
queda de la sig'uierite forma:
CLAUSULA QUINTA.- VIGENCIA
La vigencia del contrato seri del 28 de abril de 2017 al 1S de febrero de 201.8,
TERCERA.-GARANTIA
“EL PROVEEDOR” deberi modificar la garantla otorgada anteriormente respecto de las
obiigaciones contra/das en eJ contrato original, para lo cual presentart a “LA SECRETARIA” la
pdliza de fianza adicional correspondiente.
De no presentar la pdliza en el plazo de 10 (diez) dias naturaies siguientes a la fiima de este
Instrumento, “LA SECRETARIA” podra declarer rescindido admiriistrativamente el presente
Convenio Modificatorio.
La garantla de cumplimiento deberi otorgarse a favor de la Tesoreria de la Federacidn.
CUARTA.- APLICACION DEL CONVENIO
Con la excepcidn de las modificadones que han quedado precisadas y para los efectos legates y
administrjativos a que haya lugar, “LAS PARTES” estin conformed en aplicar ai presente
instrumento, eh lo condupente. tbdas y cada una de las cliusutaS contenidas en el contrato de
prestacidn de servicios nunYerq DGRMSG-69-17.
Leldo que fue el'presente Convenio Modificatorio par las partes que en dl Intervinieron y bien
enteradas del valor y alcance legal de todas y cada una de las estiputaciones que contierie, estan
conformes y lo ratifican y firman en esta Ciudad de Mexico, el d(a 28 de diciembre de 2017.
