January 31, 2018 Gail J. McGovern President CEO American Red Cross 430 17th Street, NW Washington, DC 20006 Dear Gail: It is with a heavy heart that I am tendering my resignation effective today from my position of General Counsel and Chief International Officer of the American Red Cross, an organization I have served for 12 V2 years. I have a deep respect for the Red Cross mission, and I want to ensure that the reputation of the institution remains strong and that nothing interferes with the organization?s ability to effectively carry out its important mission. In 2012, allegations of sexual harassment by Gerald Anderson were brought to my attention. Mr. Anderson was a Red Cross employee who reported to me as I was then the Senior Vice President for International Services. Based on the results of the investigation conducted by an outside law firm, I determined that Mr. Anderson could not continue with our organization. I recognize now, however, that the language I used at that time in association with Mr. Anderson?s departure was inappropriate given the circumstances. I deeply regret the damage this language may have caused the organization and its wonderful staff particularly the employees involved in this matter. I also deeply regret that my words could have undermined confidence in the commitment of the Red Cross to properly address complaints of this nature. I would never want to be the cause of such a result. Rather, I feel strongly that every employee must feel comfortable and protected in reporting harassment and other misconduct to management. I know that you and my colleagues at the Red Cross share that commitment and will continue working to ensure that the organization is a safe and inclusive environment for all of the people who work here. Sincerely, David B. Meltzer
