S3 AGREEMENT This Agreement is made as of December 20,2017 by and between Trippi & Associates (TAA) and The Press and Communications Office of Embassy of Greece in Washington DC, hereinafter known as CLIENT. SERVICES AND TERM TAA shall provide CLIENT with global strategic communications counsel and services as described in ANNEX I and summarized here: • • • Enhancing the reputation of Greece with the US business community and the general public Managing Greece's reputation within the EU and globally Providing information to a global audience about Greek culture, its economy and potential • business opportunities Other tasks as mutually agreed to by TAA arid CLIENT In exchange for services described above TAA shall receive a retainer of $50,000 per month from CLIENT. Full payment of the $150,000 retainer covering the 3 month assignment may be paid no later than December 26,2017. Services performed by TAA shall commence on December 15,2017 or as mutually agreed. Services will continue for 90 days. This agreement lriay be extended upon approval of both parties. REGULATORY FILINGS CLIENT acknowledges that portions of the services provided by TAA may be subject to registration under the US Foreign Agents Registration Act of 1938. TAA shall prepare all filings in a timely manner. All fees associated with such filings shall be borne by TAA. EXPENSES While ordinary business expenses will be borne by TAA, CLIENT shall reimburse TAA, at cost, for extraordinary expenses other than regulatory tees Extraordinary expenses may include items such as long-haul travel, lodging, specialized consulting or creative contract work and other expenses exceeding $150 per incidence. CLIENT will approve such expenses in advance. TAA will, upon request, submit copies of receipts for such expenses to CLIENT. -1- Received by NSD/FARA Registration Unit 02/15/2018 3:30:37 PM ETHICS TAA warrants that its officers, employees and contractors will perform all duties outlined in this agreement with full integrity and to die highest ethical standards. TAA will work at all times in the best interest of CLIENT. TAA officers, employees and contractors will work at all times within the confines ofUS law. Subcontractors of TAA who are privy to sensitive or confidential information regarding CLIENT will be required to sign non-disclosure agreements. INDEMNIFICATION CLIENT hereby indemnifies TAA, its officers, employees and contractors from any and all injuries, losses, claims and damages to any person or property, and all costs and expenses, including attorney fees and any other liabilities incurred by TAA as a result of any act or omission by CLIENT, their employees, contractors or agents. INDEPENDENT CONTRACTOR STATUS TAA and its employees are independent contractors and are not employees or agents of the CLIENT. CHOICE OF LAW This agreement will be governed by and construed in accordance with the laws of the District of Columbia. RIGHT TO WORK PRODUCT In the performance of this of any supplemental agreement, all work prepared by TAA for the CLIENT shall be the exclusive property of CLIENT. ENTIRE AGREEMENT This Agreement, including Annex I, constitutes the entire Agreement between the parties. All amendments must be in writing and signed by both parties. CONFIDENTIALITY TAA will not disclose to any third party any information regarding CLIENT, other than in connection with the provirion of Services pursuant to Section 1 hereof. Confidentiality provisions shall not apply to (a) information which is in the public domain; (b) information disclosed to a government regulatory authority; (c) information that TAA~receives from a third party.
