("the Firm"), 60113th Street NW, Suite 200 N, Washington, D.C. 20005. For the purposes of this Agreement the Client and the Firm shall hereinafter collectively be referred to as the "Parties" and individually referred to as a "Party". Recitals Whereas, the Client wishes to retain the services of the Firm in order that the Firm may provide strategic consulting and advocacy services to the Client in connection with its business with the United States government; and Whereas, the Firm wishes to provide such representation as the Client may from time to time required; and Whereas, the parties have agreed to the terms under which the Firm will represent the Client and wish to memorialize their agreement in writing. Now, therefore, in consideration of the mutual covenants herein contained and intending to be legally bound hereby, the parties agree as follows: 1. Term of Agreement. This Agreement shall become effective on the date signed by all Parties and shall remain effective for 12 (twelve) months, at which time if either Party wishes to extend the term of this Agreement, it shall be agreed to in writing by both Parties. During the term of this Agreement, the Agreement may be terminated within thirty (30) days written notice by either Party. 2. Duties of the Firm. Confidentiality. a. The Firm will not disclose or use any Confidential Information for any purpose other than the performance of its obligations under this agreement, or cause to be disclosed or used, at any time during or subsequent to this agreement, any secret or Confidential Information of or relating to the Client, its business dr clients. b. For the purposes of this Agreement "Confidential Information" means all and any information documents, data and opinions of whatever nature disclosed by the Client to the Firm (or otherwise acquired by the Firm in any way, directly or indirectly, as a result of the performance of its obligations under this Agreement) including without limitation, commercial, financial or proprietary material, information concerning any client or customer (past, present and prospective) of the Firm, pricing information, data, know-how, trade secrets, ideas, formulae, processes, operating methods and procedures and any other information whatsoever relating to the business, finances, accounts of the Client and whether in written, electronic, pictorial, visual or oral form, or disclosed pursuant to discussions with any employee of the Client or any Authorised Firm and whether or not indicated as confidential. c. The Firm will not remove or retain electronically nor in any other way any data or documents that may reasonably be deemed to fall within such description. d. Third Party Contracts Subject to the Client's prior written consent, the Client authorises the Firm to enter into contracts with third parties ("Authorised Contracts"), as an agent for a disclosed principal, when such contracts are necessary for the Services. 6. Compensation. The Firm shall receive from the Client $50,000 a month for this agreement, plus the reasonable costs associated with the representation, including but not limited to, necessary registration fees; and travel express such as hotel, air fare car.services and meals, excluding costs typically associated with the operation of an office such as overhead, staff, and equipment The fee shall be paid in 12 equal instalments of $50,000 a month, beginning February 11th, 2018, and continuing to be due on the fifteen of each month until the termination of the agreement. If it is reasonably determined by the Client that the standards and activity levels of the service provided by the Firm fail to meet the parties' contractual obligations, the parties' shall make goodfaith efforts to resolve such issues and if such efforts fails arid the Client decides to end the parties' contract, the Client shall give the Firm no less than 30 (thirty) days' notice of the Firm's intention to do so. In the event that notice is given, the contract shall only terminate at the end of the notice period. In the interim, ail of the respective duties and obligations of the Firm under the contract shall remain in force.
