PANAMA - INCORPORATION

In Panama. the words ?Limitada? and "Limited" and the abbreviation ?Ltd?. can not be used as endings. as same are used
for Limited Liability Companies".

Please note that the company will be incorporated with:

directors will be duly empowered to issue shares as registered shares or to the bearer, as they may at their
discretion determine by resolution.
