Statement of complaint including provision of the Code of Ethics that was
allegedly violated:

On May 17th, 2018, HCC Board of Trustees convened in a regularly scheduled
session. The Board was presented the agenda for the first time 3 days prior to the
commencement of the Board Meeting. At the meeting, I raised a Point of Order
and requested that the Board reset the meeting after the Board complies with its
Bylaws.

Article H.2.e. ?Trustees shall receive a final copy of the agenda no later than five
calendar days prior to the meeting?,

Article H.2.h. ?Supplementary (or explanatory) information should be sent to
Trustees well in advance of the general meeting?,

Article H.2.i. ?Trustees shall be provided with all necessary background
information on any issue being considered for a vote, no later than five days prior
to said vote.",

prepare and present an agenda at least 7 calendar days prior to the regular Board
meeting, having followed the agenda preparation process established by the

The Board conducted the meeting over my objection. The Board did not take a
vote and waived the requirements of the Bylaws. The Bylaws are not arbitrary
and capricious. If the Board of Trustees does not intend to follow the existing
change them.
