PRICING STRUCTURE Description of pricing structure including low-income and other discounted customer plans, including cash payment Scoot Networks is considering the following pricing structure for our powered scooter (hereinafter “mini-scoot”) program, and respectfully reserves the right to amend pricing pending written notice to the SFMTA. SINGLE RIDE, STANDARD PLAN We are considering $2.00 for the first 15 minutes, and $0.10 cents per minute after the initial 15 minutes. We expect most rides to last 15 minutes or less. LOW-INCOME CUSTOMER PLAN AND CASH PAYMENTS Scoot Networks provides a service that is fundamentally affordable and will not require a deposit from its low-income customers. We are expecting to implement an automated sign-up and qualification process for users who are eligible through Calfresh, PG&E Care and Muni Lifeline as acceptable income verification proxies for affordability membership. Scoot Networks is already developing a cash payment option for eligible members of the low-income plan to rent our electric mopeds, which will also apply to our mini-scoot rentals. FLEX PLANS Similar to our existing electric moped service offerings, we are considering a monthly Flex Plan, which offers a more affordable option for frequent riders who pay a monthly rate in addition to a single discounted rate for each ride. The Flex Plan will be offered under a single subscription and will provide riders a discount on all Scoot Networks electric vehicles. The “Plan Type Breakdown” below provides an example of the method we may use to communicate our pricing to our customers in a chart comparison. SCOOTER AVAILABILITY AND SERVICE AREA Hours of operation Scoot Networks already operates 24/7 with its fleet of electric mopeds, and we plan to offer miniscoots 24/7, as well. Storage of scooters during non-operational hours Our electric mini-scoots will have no need for storage as they will be available for service 24/7. We will, at times, incentivize our riders to park their mini-scoots at the end of their rides in one of our 40+ garages located throughout the City for recharging. Proposed fleet size and service area at launch FLEET SIZE Scoot Networks is proposing to launch 1,250 mini-scoots, or as many as the City will allow, for service use1 during the first six months of the pilot (hereinafter “Phase I”). During the second six   “Service use” here refers to the number of mini-scoots that are actually available to be put into service. The number of mini-scoots required to maintain a fleet of 1,250 in operation 24/7 will exceed 1,250 because there will always be a percentage of mini-scoots taken out of service for recharging, maintenance, or otherwise. 1 13 of 117 months of the pilot (hereinafter “Phase II”) we are also proposing an additional 1,250 scooters for service use. SERVICE AREA During their ride, Scoot users can drive anywhere in the City they want to go. They may also park at any legal parking area in San Francisco or garage “during their ride”--which means they are not yet ready to leave the vehicle for the next person, and the vehicle won’t be available through the app until the user “ends their ride.” The Scoot Networks service area, or “blue zone” as we call it, merely designates the streets where Scoot riders are permitted to park their vehicles at the end of their rides--that is, when they’re ready to leave the vehicle for the next person. In the alternative, riders may end their rides in one of our 40+ garages, as available, regardless of whether it is located in the blue zone. In that manner, Scoot Networks garages are basically off-the-street blue zones conveniently located all around San Francisco.2 During Phase I (ideally launching with 1,250 mini-scoots), our service area will include significant areas of census tracts designated as “communities of concern” (hereinafter “CoCs”) by the San Francisco Metropolitan Transportation Commission (hereinafter “SFMTC”), and will extend much further into CoCs located in the Bayview Hunter’s Point and Tenderloin neighborhoods than our current service area for electric mopeds, which already encompasses substantial portions of CoCs (See Phase I map on p.18) During Phase II (ideally launching an additional 1,250 mini-scoots), our planned blue zone will extend much further into our existing service area for electric mopeds as well as areas of the city not currently served by Scoot (See Phase II map on p.19). At the end of the pilot, Scoot may seek the SFMTA’s permission to launch additional mini-scoots to support further expansion into blue zone areas where we currently maintain electric mopeds, or otherwise. (See existing service area map on p.20). We know that a substantial percentage of our existing customers rely on our shared vehicles to provide them with affordable mobility in order to commute to their daily jobs or to support their ability to work as couriers for supplemental income. In short, the more mini-scoots we can launch, the greater our service areas can expand to support SF residents who rely on affordable mobility options. For mini-scoots only, we’re also considering limiting our blue zone to flatter parts of the city in order to: (a) reduce the temptation for mini-scoot riders to use sidewalks as a safe way to climb hills more slowly, (b) reduce injuries or accidents while riding downhill, and (c) reduce the tendency for parked mini-scoots to fall over on sloped streets. How many scooters would you deploy in different portions of the service area, including disadvantaged communities? Applicants should bear in mind that the Pilot Program provides for a maximum of 1250 scooters total in San Francisco in the first six months and 2500 total in the second six months of the pilot.   Scoot Networks garage spaces are free of charge, as well as incentivized in some cases, and are reservable on a first-come, first-served basis. Locations are subject to change. 2 14 of 117 Scoot Networks respectfully requests the privilege to launch the maximum number of miniscoots permitted under the pilot program (i.e., 1,250 in Phase I and 1,250 in Phase II) so that we can optimize service in all areas of San Francisco including communities of concern. If we were to launch less than 2,500 mini-scoots during the pilot program, our blue zones (i.e., the designated streets where our riders may park at the end of their rides) may shrink depending upon the number of mini-scoots we are permitted to launch. Mini-scoots will not be “deployed,” per se, into different areas by Scoot Networks personnel. Rather, mini-scoots will be distributed organically throughout the City by our riders who may park the vehicles at the end of their rides, at any lawful spot within the blue zone, or at one of our 40+ designated garages, at or near their final destination, just like our current 24/7 Scoot Networks model for electric mopeds. There is no need to deploy service trucks for the purpose of redistribution, collection, or recharging, since our riders distribute our vehicles organically throughout the City, the vehicles are available 24/7, and the batteries are swapped wherever our vehicles are parked. We believe this model not only helps achieve a zero-emissions service, but it also sets Scoot Networks apart from other powered scooter share companies who require extensive large truck deployment miles for the purpose of loading and reloading their powered scooters all day, everyday, and have created new traffic and parking issues throughout the City as a result of docking area congestion and double parking. On the occasions that we need to pick up vehicles (e.g., out-of-service or unlawfully parked vehicles) we deploy company-owned electric service vehicles driven by our highly skilled employees who are already trained on all relevant laws and are familiar with San Francisco neighborhoods. We do not rely on third-party vehicles or staff. We will rebalance our fleet, if necessary, to maintain a minimum of 20% overall mini-scoot availability within CoCs.3 For any mini-scoot taken out-of-service and brought back to the garage for repair, or otherwise, we will usually re-deploy the vehicle by placing it back into service use at or nearby our garage headquarters where the vehicle was repaired. Would your deployment area change depending on the number of scooters you are permitted for? For the reasons stated above, we do not have “deployment areas,” per se. PARKING AREA INCENTIVES Scoot Networks currently offers incentives to our riders, in the form of discounted or free rides, to either: (1) bring low-battery vehicles to a nearby garage to recharge, or (2) bring vehicles to any blue zone area that demonstrates a need for increased rebalancing efforts. We are very likely to extend these same types of incentives to our mini-scoot riders, including incentives for our riders to park their vehicles back into communities of concern, as needed. We are also considering a point system incentive program to carry out the same objectives and more (see p.28). FLEXIBLE, DYNAMIC PARKING One of the most desirable (and underrated) qualities of the Scoot Networks model is its dynamic control of parking. Since our vehicles are monitored by GPS in real time, we know where every single vehicle is at every moment. So, it’s easy to identify when an area is becoming overloaded with parked vehicles. And since there’s no benefit to Scoot, its customers, or the City to have too many Scoot vehicles parked in one location, we can “turn that area off” as a parking zone and 16 of 117 riders will simply look for parking in areas that have less Scoot vehicles nearby. Like a virtual garage--any street or zone can be “closed for parking” whenever it’s deemed full at our discretion.4 COMMUNITY PARTNERS We, at Scoot Networks, are uniquely oriented to find sustainable urban mobility solutions, not just to sell rides. While other companies prioritize sales over sustainable solutions, Scoot Networks was born from an urban planner’s desire to make cities run better.5 Scoot Networks includes, as a measure of its success, our ability to respond to a community’s needs. As an example, if San Francisco officials had a specific need to limit Scoot Network vehicles from parking on certain city blocks, on particular days, or during certain events, Scoot Networks can easily make that change by simply “turning off” those streets for parking. On the flipside, if vehicles are in high demand in a particular area or during peak times of commuter congestion, say, after a ballgame or major conference in the center of town, we can incentivize our riders to park more vehicles in the right place at the right time. No other shared vehicle company offers this level of parking flexibility and control in coordination with our municipal partners when necessary. We have always been committed to working with the SFMTA, and other City officials and municipal agencies, in order to find sustainable mobility solutions that work best for San Francisco, and we would continue to do so under the mini-scoot pilot program. COMMUNITIES OF CONCERN Our designated service areas within communities of concern will be delineated on our custom fleet software to ensure our vehicles are made available to riders in accordance with our proposal above. PLAN FOR SAFE RIDING AND STORAGE OF SCOOTERS Proposed approach to ensure compliance with laws - The SFMTA will monitor the degree to which scooter share program users comply with applicable laws, particularly related to riding on sidewalks and safe parking of scooters. If the SFMTA in its sole discretion determines that the permittee’s users are not sufficiently compliant with applicable laws, the SFMTA may require that the permittee implement additional measures or may revoke the permit. Describe any education, incentives, training, scooter modifications, notification systems, infrastructure, etc. you propose. At Scoot Networks, we are always looking for ways to ensure that our riders comply with applicable laws and Scoot policies. Below, we offer detailed descriptions of many of the measures we have already taken to ensure our riders’ compliance, as well as any new measures we will implement with the addition of mini-scoots to our fleet of electric vehicles. Such measures will help specifically address compliance issues related to riding on sidewalks and safe parking of miniscoots, and include the following: (1) Rider education and training, (2) Infrastructure that promotes safety and orderly parking, (3) Notifications to riders, (4) Rider incentives, (5) Community building, and (6) Scooter modifications. RIDER EDUCATION/TRAINING ONLY RESPONSIBLE RIDERS, PLEASE Scoot Networks has a vested interest in making sure its community of users is made up of safe, responsible riders who know the rules and follow them. And we know a-thing-or-two about how to achieve that after years of experience managing a network of shared electric mopeds in San Francisco. With the addition of mini-scoots to our fleet of electric vehicles, we look forward to welcoming SF’s mini-scoot riders into the Scoot Networks community, where they will be given the proper tools, education, and support that’s needed for everyone’s safety and benefit. MOBILE APP PRE-RIDE REMINDERS One of the easiest ways to educate riders on the rules is simply to remind them each time they start a ride. At minimum, riders will be reminded before the start of every ride to: (1) Wear a helmet, (2) Ride in the street, not the sidewalks, and (3) Only park in permitted areas. FREE IN-PERSON CLASSES Scoot Networks offers free in-person classes on the operation and proper use of our light electric vehicle (hereinafter “LEV”) rental fleet. These classes are taught by experienced and skilled riders who are trained to teach riding, road rules, and safety lessons to new riders. Part of the in-person class curriculum will include instructions on how to park electric mini-scoots safely, as well as information on applicable laws particularly related to riding on sidewalks. Classes are optional and riders may attend as many classes as they desire over the lifetime of their membership. 21 of 117 MOBILE APP INSTRUCTIONAL VIDEOS (MANDATORY) Scoot has also developed a series of training videos that cover the same riding, road rules, and safety lessons directly in our mobile app, which is a mandatory step during the user’s onboarding process. ONLINE INSTRUCTIONAL VIDEOS Instructional videos are available on the Scoot Networks website informing our riders on the operation and proper use of our LEV rental fleet. Part of the online video curriculum will include instructions on how to park electric mini-scoots safely, as well as information on applicable laws particularly related to riding on sidewalks. REAL-TIME REMINDERS Our Field Service Technician team already operates 18 hours per day swapping batteries and conducting visual inspections of our existing 650+ electric mopeds in the field. And while they’re en route to service identified vehicles in need, they stop all along the way to manage any improperly parked vehicles they see, and to educate riders in real time whom they’ve observed breaking the rules or driving unsafely. With the addition of mini-scoot vehicles, we will be expanding our number of Field Service Technicians, as well as their hours of operation so that we can respond around the clock, if needed. With the addition of mini-scoots to our fleet of electric vehicles, we will add articles that are specific to mini-scoot issues, such as safe parking and not riding on the sidewalk. Example: Scoot Networks Blog posts subjects such as “How to park perfectly in all situations” and “Scoot Safety Guide” (relating to electric mopeds here). INFRASTRUCTURE Our existing infrastructure of Field Service Technicians utilizing high-tech fleet tools and real-time maps to monitor riders, as well as our numerous garage locations, and sustainable vehicle design choices, are some of the key components that will help ensure that our riders comply with applicable laws, particularly related to riding on sidewalks and safe parking of scooters. OUR FIELD SERVICE TECHNICIANS ARE ALWAYS WATCHING, EDUCATING RIDERS, MOVING IMPROPERLY PARKED VEHICLES, AND SERVICING VEHICLES, AND... Our Field Service Technician team already operates 18 hours per day swapping batteries and conducting visual inspections of our existing 650+ electric mopeds in the field. And while they’re en route to service identified vehicles in need, they stop all along the way to manage any improperly parked vehicles they see, and to educate riders in real time whom they’ve observed breaking the rules or driving unsafely. Our Field Service Technicians also service non-users in the field who approach them with questions. With the addition of mini-scoot vehicles, we will be expanding our number of Field Service Technicians, as well as their hours of operation so that we can respond around the clock, if needed. This means Scoot Networks will presumably have more eyes on the street supporting the effort to 24 of 117 monitor compliance and educate riders in real time, than any other shared vehicle provider in the City. Bottom line is, our team of Field Service Technicians is one of our best assets for educating riders and enforcing the rules throughout the City. This means less complaints to the City about parking or unsafe drivers, and safer city streets for everyone. Much more, unlike other powered scooter companies that hire third-party contractors to simply move powered scooters around from place to place, our Field Service Technicians are highly skilled, trained Scoot Networks employees8 who care about the safety of our riders and upholding the rules set forth by Scoot Networks, the SFMTA, and the City and County of San Francisco. All Field Service Technicians are trained through a four-tiered certification process, which promotes growth and longevity at our Company. In contrast to other powered scooter companies that “hire,” with little regard for the qualifications or monitoring of, third-party contractors to service their vehicles, our service engineering department is structured to ensure that our Field Service Technicians are among the most qualified in the industry to conduct maintenance and repairs on our fleet of shared electric vehicles. Just like any municipal transportation organization would not approach the maintenance of its vehicles as though they were merely toys that passengers ride at their own risk, our riders’ safety is our first priority, and we have put into place an infrastructure that prioritizes safety above all else. Each point represents a "check-in" from a technician's vehicle over the course of one week. These check-ins are recorded every 20 seconds while a technician is in the field. 8  Most, if not all, of whom are full-time, employees who are paid a living wage, as well as medical benefits, retirement plans, and equity share offerings. 25 of 117 OUT-OF-SIGHT PARKING Scoot Networks currently has over 40 garages located throughout San Francisco, where our riders are offered free off-the-street parking, as well as incentives in some cases where the vehicle’s battery is low and needs to be recharged. With our existing infrastructure, we believe Scoot Networks is uniquely situated to provide more orderly off-the-street parking options for our miniscoot riders than any other shared powered scooter provider. Example: Red squares with our lightning bolt emblem represent existing Scoot Networks garages. VEHICLES WITH SWAPPABLE BATTERIES, INFRASTRUCTURE LOCKS AND HELMETS At Scoot Networks, we take pride in our ability to make the most sensible and safe vehicle design choices in order to maintain a successful and sustainable shared mobility program in San Francisco, as part of the overall infrastructure package that we offer. Having vehicles with swappable batteries, and that lock to infrastructure, are foundational to Scoot’s sustainable shared miniscoot model. • Swappable Batteries: Like our electric mopeds, our electric mini-scoots at the time of launch will incorporate “swappable” batteries, which will be kept charged either by plugging them into one of our 40+ garages throughout San Francisco, as available, or by utilizing our Field Service Technicians to swap the batteries wherever the electric mini-scoots are parked. When a battery is low, the vehicle is no longer visible in the mobile app for users to rent. The major upside of having swappable batteries is that there is no need to collect our entire fleet of mini-scoots each day and shuttle them back and forth for recharging purposes, and so Scoot Networks, has, and will, not compound the traffic congestion problems that full-scale loading 26 of 117 and unloading of powered scooters has been shown to cause throughout the City. Additionally, by swapping batteries, more vehicles will be available to riders, and so, can serve more people more of the time, which helps us to reduce costs and to continue to provide fundamentally affordable pricing to our riders. • Locks to Infrastructure: We believe that requiring our riders to lock our mini-scoots to in- frastructure is the most sustainable approach to operating a shared mini-scoot service in San Francisco because tethering will help: (a) limit unlawful parking outside the furniture zone, (b) limit vehicles being moved by non-users or passerbys so that we can know with better certainty if our riders are responsible for parking unlawfully, so that we can hold them accountable, (c) reduce trip and fall accidents if the vehicle is already attached to another object, (d) reduce theft of our vehicles, and (e) allow us to make mini-scoots available 24/7. While our mini-scoots at launch may not feature the components required to lock to infrastructure, it is a feature we’re already discussing with our production partner to incorporate on an expedited basis. • Helmets and Helmet Boxes: Like our existing fleet of electric mopeds, Scoot Networks would like to produce mini-scoots with a helmet that is secured to the vehicle in a lockable box. While our mini-scoots at launch may not feature these components, it is a feature we’re already working with our production partner to incorporate on an expedited basis. In the meantime, all mini-scoot riders will be offered a free helmet (for-keeps!) during the sign-up process, subject to certain terms and conditions. NOTIFICATIONS LAUNCH NOTIFICATION OF THE RULES Upon the launch of mini-scoots into our fleet of electric vehicles, we will send notifications to all of our existing 50,000+ subscribers about our new vehicle, as well as any new rules, laws, or requirements that mini-scoot riders need to know and abide by. These notifications will be made either through email, or in-app messaging, or both. Additionally, we will publish information regarding the same on our website and other online marketing channels available to users and non-users, as well as through our mobile application. NOTIFICATION TO NON-COMPLIANT RIDERS Scoot riders who are caught driving unsafely or who park their mini-scoots improperly will be sent an email reminder of the Scoot Networks parking and safe-driving policies. After their first warning, non-compliant riders are charged a fee for subsequent offenses (see p.34 for fee schedule). In its discretion, Scoot Networks may also discontinue service to flagrant abusers of any Scoot Networks policy. MOBILE APP PRE-RIDE NOTIFICATIONS Through our mobile app, riders will be reminded before the start of every ride to: (1) Wear a helmet, (2) Ride in the street, not the sidewalks, and (3) Only park in permitted areas. MOBILE APP END-RIDE NOTIFICATIONS Similarly, through our mobile app, riders will be reminded at the end of every ride to report any 27 of 117 maintenance or safety issues they may have encountered during their ride (for more details see p.39). ONGOING PUBLICATIONS Safety is our first priority at Scoot Networks, so we are passionate about educating our riders and publishing enticing online articles that frequently make reference to the rules of the road as well as the best practices for promoting safe and courteous riding behavior. RIDER INCENTIVES FREE AND DISCOUNTED RIDE INCENTIVES Scoot Networks currently offers incentives to our riders, in the form of discounted or free rides, to either: (1) bring low-battery vehicles to a nearby garage to recharge, or (2) bring vehicles to any blue zone area that demonstrates a need for increased rebalancing efforts. We are very likely to extend these same types of incentives to our mini-scoot riders, as well as add two new incentive opportunities for (3) parking their mini-scoots back into communities of concern, when needed, and (4) selecting mini-scoots that were parked unlawfully or outside the blue zone by the previous rider in an effort to remedy the problem even faster than our Field Service Technicians’ one-hour response time. “POINT” OR “REWARD” SYSTEMS We are also considering a point, or reward, system to carry out the same objectives and more, including points for being good Scoot citizens, by never: (a) leaving a vehicle parked unlawfully, (b) being caught riding in a manner that is unlawful or against the rules, (c) riding without a helmet, or (d) leaving the bike unlocked, for example. Points would be awarded in regular, predetermined intervals, the accumulation of which would result in desirable rewards such as free Scoot Networks rides, gear, swag, or otherwise. COMMUNITY BUILDING IT TAKES A VILLAGE It takes a village to maintain a sustainable network of shared emissionless vehicles, if we, as a community, want to enjoy the many benefits it brings to our City and our planet. Therefore, we will make efforts in our online marketing, educational components, or otherwise, to encourage our entire community of riders, as well as non-users, to support the cause by picking up a fallen mini-scoot they happen to come by, or to educate fellow riders, such as friends and family, or new riders they see struggling, on how to ride and park safely. Everybody wins! PEDESTRIAN AND BICYCLE SAFETY Scoot Networks has always sought to develop partnerships with bicycle advocacy and pedestrian safety organizations throughout San Francisco in order to find ways for our riders to safely coexist with cyclists, pedestrians, disabled persons, or any group who may be potentially impacted by our shared mobility services. 28 of 117 Accordingly, Scoot Networks has collaborated with local organizations including the San Francisco Bicycle Coalition, WalkSF, and SF Lighthouse for the Blind, to help find ways to achieve that important goal. This collaboration has, as an example, resulted in our pledge, as shared electric moped operators, to not permit our mopeds to ride in bike lanes or to park on sidewalks or at bike racks, both of which are legal for our moped riders to do. We will continue to engage in dialog with any and all advocacy groups potentially impacted by shared electric mini-scoot operation. SCOOTER MODIFICATIONS 9 At Scoot Networks, we take the concerns of the SFMTA and our community partners seriously, especially when it comes to designing a vehicle that is safe for our riders, and is suitable for driving in San Francisco’s manifold street, traffic, and weather conditions. As such, we propose the following solution-based design improvements to address common issues that have arisen during the operation of non-permitted powered scooter programs in the City. AVAILABLE AT LAUNCH • Swappable Batteries: Like our electric mopeds, our electric mini-scoots at the time of launch will incorporate “swappable” batteries, which will be kept charged either by plugging them into one of our 40+ garages throughout San Francisco, as available, or by utilizing our Field Service Technicians to swap the batteries wherever the electric mini-scoots are parked. When a battery is low, the vehicle is no longer visible in the mobile app for users to rent. Each vehicle’s unique identification number will be featured in a large, easily visible font size, so pedestrians can photograph and report unsafe drivers or improperly parked vehicles more easily. • Sturdy Stand-Up Design: Like our existing fleet of electric mopeds, our mini-scoots will be parked standing upright with a sturdy kickstand that won’t easily be tipped over by: wind or other inclement weather conditions, gravity, animals, or being brushed against by passing pedestrians. EXPEDITED PRODUCTION TIMELINE • Helmets and Helmet Boxes: Like our existing fleet of electric mopeds, Scoot Networks 9  Scoot will begin producing our fleet of mini-scoots pending the approval of our application by the SFMTA. We expect that during the pilot period we will introduce more than one mini-scoot vehicle design to our riders as we fine-tune our final fleet. 29 of 117 would like to produce mini-scoots with a helmet that is, preferably, secured to the vehicle in a lockable box. While our mini-scoots at launch may not feature these components, it is a feature we’re already working with our production partner to incorporate on an expedited basis. In the meantime, all mini-scoot riders will be offered a free helmet (for-keeps!) during the sign-up process, subject to certain terms and conditions . • Infrastructure Locks: We believe that requiring our riders to lock our mini-scoots to infrastructure is the most sustainable approach to operating a shared mini-scoot service in San Francisco because tethering will help: (a) limit unlawful parking outside the furniture zone, (b) limit vehicles being moved by non-users or passerbys so that we can know with better certainty if our riders are responsible for parking unlawfully, so that we can hold them accountable, (c) reduce trip and fall accidents if the vehicle is already attached to another object, (d) reduce theft of our vehicles, and (e) allow us to make mini-scoots available 24/7. While our mini-scoots at launch may not feature the components required to lock to infrastructure, it is a feature we’re already discussing with our production partner. UNDER DISCUSSION • A Bit More Power: We believe that with a little more power, mini-scoot riders may feel safer riding in the street because they can get up to 15-20 MPH more quickly, and, therefore, they will be better able to keep up with the cars and bicycles they share the road with and will be less inclined to ride on the sidewalk. Thus, we’re evaluating the addition of a bit more power-just enough to help serve the hilly neighborhoods throughout the City while maintaining a safe and controllable vehicle for riders at different skill levels. • Improved Software to Detect Tipping: We are looking closely at incorporating improved software with accelerometer or gyroscope capabilities to detect when a vehicle has tipped over. • Bigger Wheels: We are exploring whether mini-scoots with bigger wheels, or a more robust front wheel, provide any substantial benefits when parked or driven. • Wider Deck: We are exploring whether mini-scoots with a wider deck provide any substantial benefits when parked or driven. • Foldable Design: We want our mini-scoots to feature design elements that reduce tipping (and tripping) issues when parked, as such we have considered foldable mini-scoot designs for certain areas of the city where furniture zones are very limited. • Three-Wheeled Design: We are exploring whether three-wheeled vehicle designs provide any substantial benefits when parked or driven. Describe how you would monitor compliance, including any technology innovations that allow monitoring, and how you would address users who are noncompliant. HOW WE MONITOR COMPLIANCE 30 of 117 END-RIDE PHOTOGRAPHS With the introduction of mini-scoots to our existing fleet of electric vehicles, Scoot Networks will be implementing a brand new program to determine right away whether a mini-scoot rider has complied with parking laws by having our riders take a photograph of their parked mini-scoot before they can officially end the ride through the mobile app. We believe this added step will yield several functional benefits, such as: • Educating our riders with specific feedback about how to park properly in the future, • Holding our riders accountable for improper parking etiquette, • Providing expeditious notice to our Field Service Technicians of known parking violations, • Learning more from our riders about common parking mistakes, so that we can adjust our new-rider training with added emphasis on common non-compliance issues, • Learning more about how many parking infractions are the direct result of our riders versus other factors (e.g., knocked over by wind, gravity, animals, or passerbys; moved to another location by irritated residents, etc.), • Providing visual documentation of the condition of our vehicles after each ride. 24/7 GPS MONITORING CAPABILITY All Scoot Networks electric mini-scoots will be connected on a wireless communication network and have location awareness through GPS and antenna. This enables our mini-scoots to connect to the Scoot Networks IOT Cloud, which gives our Field Service Technicians situational and location awareness of all vehicles in the fleet so that they can be actively monitored via our Fleet Map and Fleet Tools. The Scoot Networks Fleet Map and Fleet Tools enable our Field Service Representatives to see where all Scoot Networks electric mini-scoots are located at all times. These tools also give our Field Service Technicians visibility into whether any mini-scoots have been unlawfully parked or brought outside of the blue zone. The information provided through GPS monitoring allows our Field Service Technicians to relocate our mini-scoots straightaway, when necessary. In light of these industry best practices we have already implemented, and are committed to continue with the addition of mini-scoots to our fleet of electric vehicles, we propose Scoot Networks be permitted to launch the maximum number of vehicles under the pilot. For the following reasons, we believe that having a single operato under the pilot best serves the public interest and addresses many of the stated concerns of the SFMTA, other City officials, and the public, generally, regarding the safe use and orderly parking of powered scooters. First, a single operator can optimize service to the field--meaning the response time would naturally be faster because more neighborhoods will already have responders nearby--as opposed to a pilot with multiple operators having smaller fleets, all of whom still have to respond to unlawfully parked vehicles citywide. The latter would be inefficient and contradictory to the SFMTA’s quick-response requirements under the pilot rules. Second, it may, with sound reason, cause further frustration and confusion among members of the public to see powered scooter operators clean up or move some tipped over or unlawfully parked vehicles, while other operators’ vehicles just a few feet away are left unremedied. For a resident or business owner, this may seem wholly inefficient, or absurd. Third, while we do not necessarily support a single operator permit process for other shared electric vehicles (e.g., bicycles, mopeds) we believe shared powered mini scooters without lock-to-infrastructure capability may warrant separate consideration because they have shown to raise peculiar parking and safety issues that are by and large unique as a vehicle class, such as tipping (and tripping) issues, and the natural inclination for users to ride them on the sidewalk or park outside the furniture zone within the right-of-way. We believe Scoot Networks is the most experienced, and best situated to be a single operator under the pilot program, and for these reasons, we propose that Scoot be granted the exclusive opportunity to operate under the shared powered scooter permit, during which time we will work with the SFMTA to carry out our common objectives under the pilot program. 10  Most, if not all, of whom are full-time, employees who are paid a living wage, as well as medical benefits, retirement plans, and equity share offerings. 32 of 117 Example: This map represents the coverage of our Field Service Technicians' rides during the course of one week. These check-ins are recorded every 20 seconds while a technician is in the field. 24/7 CUSTOMER SERVICE REPRESENTATIVES Our customer service representatives for mini-scoot related issues will be available twenty-four hours per day, seven days per week. By phone, Scoot Networks will utilize the same customer service “Hotline” number for users and non-users, which is located on every vehicle, as well as our website and mobile app. Scoot Networks also maintains a separate direct line for the SFMTA, to ensure that within one hour vehicles are parked in a correct manner or removed by our Field Service Techs. Customer service representatives may also be reached by email or directly through the mobile app. Our email address is located on our website as well as in our mobile app. Additionally, Scoot Networks maintains an internal community management channel where instances of improperly parked electric mini-scoots are reported, which enables our Field Service 33 of 117 Technicians to follow up expeditiously. Our customer service program is discussed in more depth below, as well as information regarding our multilingual customer service offerings (p.51). HOW WE ADDRESS NON-COMPLIANT USERS EMAIL NOTIFICATION AND RIDER ACCOUNTABILITY FEES 11 Scoot riders who park their vehicles improperly are sent an email reminder of the Scoot Networks parking policy. After their first warning, non-compliant riders are charged a fee for subsequent offenses. Some of Scoot Networks’ existing parking, safety and locking fees are summarized here, in relevant part, which we plan to extend to our mini-scoot riders, as well: • Not plugging the vehicle in, $10: If a rider doesn’t plug the vehicle in at a Scoot parking • • • • • • location where it could have been plugged in, Scoot will charge the rider a $10 fee. In cases where the vehicle cannot be plugged in, no fee is applied. Parking citations or traffic violations during or after the trip, $10+: Our riders are responsible for any parking citations or traffic violations that occur as a result of their vehicle use during the ride or after drop-off. If a rider gets a ticket and knows it, he or she may go ahead and pay it. Otherwise, if Scoot gets the bill we’ll add the ticket to the rider’s account, plus a $10 service fee. Safety violations, $25: If a rider rides without a helmet, carries a passenger, lets someone else ride the vehicle, or uses the vehicle in any other way that is unsafe to the rider or to others, including moving violations while riding, we will charge the rider a $25 fee and may limit his or her use of the service. Leaving the vehicle unlocked, $25: If a rider forgets to lock up the vehicle or any lockable components (such as a helmet box, for example), the vehicle and its accessories could get stolen, so we will charge a $25 fee for re-securing the vehicle. Parking at a Scoot Spot or Scoot Garage without reserving the space, $50: If a rider doesn’t use the app to reserve a parking space at a Scoot location, he or she might be parking in someone else’s space, and we may have to move the vehicle, so we will charge a $50 relocation fee. Ending the ride on the street outside of a Blue Zone, $50+: If a rider ends the ride and leaves the vehicle on the street outside of our designated blue zone areas, we will have to go retrieve it, so we will charge a $50 fee. The rider is also responsible for any tickets or parking violations on that vehicle until it has been retrieved. Getting towed, $50+: The rider is responsible for paying parking tickets and towing fees (usually $400+) that occur as a result of his or her use of a vehicle during the ride or after drop-off. Since we will have to rescue the vehicle from the tow lot, we’ll add the parking tickets and towing fees to the rider’s account, plus a $50 service fee. 11  Scoot Networks respectfully reserves the right to modify these provisions, as needed, taking into account different variables within our permit and pilot rollout proposals. 34 of 117 SERVICE SUSPENSION In its discretion, Scoot Networks may also temporarily or permanently suspend service to unresponsive or flagrant abusers of Scoot Networks policies. Describe how you would phase in additional measures if your initial approach does not achieve desired levels of compliance. SEEKING IMPROVED SOFTWARE SOLUTIONS We are currently exploring software and other tech solutions for improving fleet map and fleet tools capabilities, so that we can better detect compliance issues, such as: whether a mini-scoot has tipped over or has encroached past the furniture zone on the sidewalk into the right-of-way, or when a rider is driving in an unsafe manner. EXPANDED INCENTIVES PROGRAMS Our existing incentives program for electric mopeds has been a successful tool that’s helped us carry out the objectives the program is set up to achieve. And our riders like it, too. We believe that encouraging our riders to follow the rules by rewarding good behavior through an incentives or points program will have similar results. As with all aspects of our business, we will monitor the program and adjust it accordingly, until our objectives are achieved, which in this case is a desired level of compliance with parking and safe driving. For more information about our incentives program, see p. 28. RIDER NOTIFICATION AND REMINDERS Upon the launch of mini-scoots into our fleet of electric vehicles, we will send notifications to all of our existing 50,000+ subscribers about our new vehicle, as well as any new rules, laws, or requirements that mini-scoot riders need to know and abide by. These notifications will be made either through email, or in-app messaging, or both. Additionally, we will publish information regarding the same on our website, which is available to users and non-users, as well as through our mobile application. As we phase-in our new vehicles and mini-scoot riders, we will monitor our riders’ level of compliance with the rules. If our initial approach does not achieve desired results, we will continue to communicate, as necessary, until we achieve our objectives. The SFMTA is potentially interested in a tethering/locking pilot. Describe opportunities to consider a tether or locking mechanism for the scooters to be secured to fixed objects and how much notice would be needed in order to deploy such a program if determined necessary by the SFMTA. Scoot Networks would positively invite the opportunity to work with the SFMTA on a tethering/ locking pilot. As mentioned above, we believe that requiring our riders to lock our mini-scoots to infrastructure is the most sustainable approach to operating a shared mini-scoot service in San Francisco. In order to deploy mini-scoots that lock to infrastructure, we will require approximately six months for production, which we are already working with our production partner to incorporate 35 of 117 into our mini-scoot vehicles (produced after the initial launch of mini-scoot vehicles in August 2018) on an expedited basis. Separately, we would invite the opportunity to partner with the SFMTA on virtually any pilot that studies the benefits or concerns of any shared mobility electric vehicle, including the measure of complaints relating to the use of bicycle lanes, or otherwise; or relating to dedicated parking12 versus no dedicated parking, to name just a few examples. As we have stated many times already, we are always looking for ways to improve our service and help make cities run better. How will you ensure customers have valid driver’s licenses? In order to make it easier for users to upload their government-issued ID documents, Scoot will use a third party identity verification software. Users will simply upload their documents and our partner’s software will extract all of the license information and perform fraud checks to make sure the document is valid and authentic. Additionally, we will have users take a selfie to prove they have possession of their document. Example: Third party identity verification software will be available through our mobile app for driver license authentication. 12  The issue of dedicated parking versus open infrastructure is many-sided, which we believe may warrant a meaningful study, especially in a dense urban population where shared space is a valuable asset to the City and its inhabitants, such as San Francisco. Shared spaces that we believe may deserve closer scrutiny (as to its proposed benefits, if any, when compared to shared stationless vehicles) include allocated parking spaces reserved only for privately owned shared vehicle companies, as well as the proportion of allocated publicly available street parking spaces for large, privately-owned vehicles. We know that every person’s mobility needs are as unique as they are personal, and so, just as San Francisco has decided to allocate more bicycle lanes throughout the City, we believe it is important to balance everyone’s unique needs with the benefits of also maximizing our shared spaces by piloting multimodal mobility solutions whenever possible. 36 of 117 D. SCOOTER RECHARGING PLAN Describe how scooters will be recharged SWAPPABLE BATTERIES As described above, our electric mini-scoots at the time of launch will incorporate “swappable” batteries, which will be kept charged either by plugging them into one of our 40+ garages throughout San Francisco, as available, or by utilizing our Field Service Technicians to swap the batteries wherever the electric mini-scoots are parked. When a battery is low, the vehicle is no longer visible in the mobile app for users to rent. The major upside of having swappable batteries is that there is no need to collect our entire fleet of mini-scoots each day and shuttle them back and forth for recharging purposes, and so Scoot Networks, has, and will, not compound the traffic congestion problems that full-scale loading and unloading of powered scooters has been shown to cause throughout the City. Additionally, by swapping batteries, more vehicles will be available to riders, and so, can serve more people more of the time, which helps us to reduce costs and to continue to provide fundamentally affordable pricing to our riders. FREE AND DISCOUNTED RIDE INCENTIVES Scoot Networks currently offers incentives to our riders, in the form of discounted or free rides, to bring low-battery vehicles to a nearby Scoot Networks garage to recharge (See p.28), which we will offer to our mini-scoot riders, as well. How will you know when a scooter needs to be recharged? Our custom fleet software and real-time mapping allows our our Field Service Technicians to monitor our entire fleet of electric vehicles, including diagnostic information such as when a vehicle’s battery needs to be recharged. Will independent contractors be used to charge scooters? If so, describe the incentive structure for charging scooters and any information provided to contractors concerning safe charging practices. No. Unlike other powered scooter companies that hire third-party contractors to simply move powered scooters around from place to place, our Field Service Technicians are highly skilled, trained Scoot Networks employees13 who care about the safety of our riders and upholding the rules set forth by Scoot Networks, the SFMTA, and the City and County of San Francisco. All Field Service Technicians are trained through a four-tiered certification process, which promotes growth and longevity at our Company. In contrast to other powered scooter companies that “hire,” with little regard for the qualifications or monitoring of, third-party contractors to service their vehicles, our service engineering department is structured to ensure that our Field Service Technicians are among the most qualified in the industry to conduct maintenance and repairs on our fleet of shared electric vehicles. How will the permittee minimize potential negative impacts associated with practices 13  Most, if not all, of whom are full-time, employees who are paid a living wage, as well as medical benefits, retirement plans, and equity share offerings. 37 of 117 related to collecting, redistributing, and recharging scooters? At Scoot Networks, our Field Service Technicians will exclusively rely on electric vehicles in the field. Moreover, we do not rely on third party contractors to service our mini-scoots in the field, so there is no concern that any third-party’s vehicle would be creating negative impacts associated with the collection, redistribution, or recharging of vehicles in the field. Will the permittee document new vehicle miles generated by collecting, redistributing and charging activities? Yes, unlike companies that use contracted workers, we are able to monitor, document, measure, and see what can be learned from any new vehicle miles14 because all of this work in conducted by our employees who will track that data, as required. E. MAINTENANCE, CLEANING AND ZERO WASTE PLAN How will you know when a scooter needs maintenance? CUSTOM FLEET SOFTWARE Our custom fleet software and real-time mapping allows our our Field Service Technicians to monitor our entire fleet of electric vehicles, including diagnostic information such as when a vehicle may need maintenance. NOTIFICATION TO SCOOT NETWORKS BY USERS AND NON-USERS Scoot Networks provides several ways for users and non-users to report a safety or maintenance issue with our electric mini-scoots 24/7, including: through our mobile app, by phone, or by email. Our current language offerings include English, Spanish, Catalan, and Chinese. Additional languages can be added, as required by the SFMTA. (See p.51 to learn more about our multilingual service options). Should a Scoot rider report a problem with an electric mini-scoot, it will automatically go out of service once the ride is ended. No one else will be permitted to rent the electric mini-scoot until attended to by a Scoot Networks employee. Scoot’s Field Service Technicians are dispatched to inspect the electric mini-scoot and either repair it onsite, or, if needed repairs are more extensive, flag the electric mini-scoot for return to the shop. In addition to any needed repairs or adjustments, our Field Service Technician team will perform a routine preventative maintenance check before an electric mini-scoot is put back into service. Similarly, within one hour after notice from the City, any inoperable electric mini-scoot that is not safe to operate shall be removed from the right-of-way, and will not be returned to revenue service until careful inspection and repairs are successfully performed, and a fully charged battery is installed. 14  Monitoring these miles helps us to analyze long-term benefits, for example, how many miles of emissionless service vehicles may replace the potentially greater number of miles that might otherwise be traveled in taxis or private cars. 38 of 117 THROUGH THE MOBILE APP Safety is our first priority at Scoot Networks, so we ask every rider after every ride for immediate feedback about any performance issue they may have experienced. And we value their feedback so much--we’ve made it mandatory! How it works: At the end of every ride our mobile app prompts our users to report any safety or maintenance issues they may have experienced. The rider must respond to the prompt in order to complete the ride process. Example: At the end of the ride, the Scoot Networks mobile app prompts our users to report any safety or maintenance they may have experienced. Additionally, Scoot Networks mobile app users can send a direct message to our customer service representatives by selecting the “Chat” link. SAFETY IS OUR PRIORITY We value our riders’ safety above all else. Our fleet of 650+ light electric vehicles are serviced by a professional team of certified Field Service Technicians who work around the clock to ensure the safety of our riders. Our team is supported by custom fleet applications that allow our Field Service Technicians to locate every vehicle deployed, as well as repair and record their interaction with the unit. In anticipation of the mini-scoot launch in San Francisco, Scoot Networks will be adding even more Field Service Technicians to handle the extra volume. And not to brag (but we’re about to) Scoot Networks was the first company to ever launch an all electric fleet of shared vehicles in North America (which happened to be here in San Francisco). After 7+ years of proudly serving San Franciscans, we have developed a staff of highly qualified Field Service Technicians who know how to service electric vehicles and who know the streets of San Francisco better than any third-party contractor can ever provide.15 Moreover, we have done so in an exemplary manner and we stake our reputation on the fact that we, above all others, have the best-in-class experience and infrastructure in place to maintain a large fleet of shared, electric vehicles in a safe and responsible manner. Scoot Networks Fun Fact: All of our Field Service Technicians are Scoot Networks employees. 15  Our Field Service Tech are well-versed in the maintenance, cleaning and repair of many types of electric vehicles, including mopeds and bicycles, both of which require far more knowledge, maintenance, and monitoring than electric mini-scoots. 42 of 117 FLEET MONITORING AND DATA CAPTURING Scoot’s fleet management tool monitors each LEV in real time, 24/7. We can place vehicles out of service instantly on-site or remotely. The system allows our team to see the complete repair and maintenance history, ride history, exact location, and more. Data captured from interaction with the vehicles is immediately available for review and can be aggregated for historical analysis. MAINTENANCE, CLEANING AND REPAIR Scoot’s Field Service Technicians perform daily maintenance and repair activities both in the shop and in the field. Our Field Service Technicians will monitor electric mini-scoots in the field and perform preventative maintenance checks to ensure that electric mini-scoots are fit for riding. This includes checking critical components such as brakes, tire pressure, a functional bell, head and tail lights/reflectors, and locks. Our Field Service Technicians always have the tools and basic parts with them to perform simple repairs, to fix a flat, or to inflate tires. Preventative maintenance also includes basic cleaning, and ensuring the electric mini-scoots are properly parked. More extensive repairs will be performed in our shop including major part replacement, wheel changes, bent or broken frames, and more. Our shop is fully equipped to build and fix any and all electric mini-scoot related issues. ELECTRIC MINI-SCOOT BATTERIES The Scoot Networks electric mini-scoots incorporates a “swappable” battery. In such case, we will be able to send our Field Service Technician team out to swap the batteries where the electric mini-scoots are parked. Otherwise, we are able to charge our vehicles either by plugging them into one of our 40+ garages throughout San Francisco. The swappable batteries in all our LEVs are examined regularly for damage or defect. The lifespan of our batteries are expected to have a lifespan of at least two-years. Another upside of having a swappable battery is that they’re more easily recyclable and, thus, the failure of the battery does not require the wholesale scrapping of the vehicle. REMOVAL OF ELECTRIC MINI-SCOOTS THAT ARE UNSAFE TO OPERATE Should a Scoot Networks rider report a problem with an electric mini-scoot, it will automatically go out-of-service once the ride is ended. No one else will be permitted to rent the electric miniscoot until attended to by a Scoot employee. Our Field Service Technicians are dispatched to inspect the electric mini-scoot and either repair it onsite or, if needed repairs are more extensive, flag the electric mini-scoot for return to the shop. In addition to any needed repair or adjustment, Scoot’s Field Service Technicians will perform a routine preventative maintenance check before an electric mini-scoot is put back into service. Similarly, within one hour after notice from the City, any electric mini-scoot that is inoperable or unsafe to operate shall be removed from the right-of-way, and will not be returned to revenue service until careful inspection and repairs are successfully performed and a fully charged battery is installed. PREVENTIVE MAINTENANCE Every electric mini-scoot will undergo a set of preventative maintenance tasks performed on a regular basis including tune-ups or adjustments to the: brakes, tires, headset, electric motor and battery, wires and cables, fasteners, and any other issues that may arise during a test ride. Electric 43 of 117 mini-scoots will also be cleaned before redeployment. Our Scoot Networks software generates preventive maintenance chores based on last inspection date or miles ridden. As with our existing fleet of LEVs, each electric mini-scoot will be inspected every 15-17 days on average, and we will increase that cadence, if necessary. Additionally, each electric mini-scoot will be completely overhauled at least once per year. This entails a complete dismantling of the vehicle, and repairing or replacing any worn parts, such as bearings and hub motors, for example. SFMTA DATA SHARING, MAINTENANCE AND CLAIMS Scoot Field Service Technicians record all maintenance activities by utilizing our custom fleet management application and a connected hand-held device. These records can be sorted in many ways, such as, by electric mini-scoot vehicle identification number or by specific maintenance or repair performed. We will aggregate the data and send it to the SFMTA, as required. Example: Image of the Scoot Networks custom fleet management application, which our Field Service Technicians utilize to record all maintenance activities. 45 of 117 Additionally, our Scoot Networks Claims Department keeps a record of all reported collisions. Such data is stored in a secure database and may be sent to the SFMTA, as required. Describe how you will comply with the City’s zero waste and producer responsibility policies, including taking responsibility for the scooters throughout their life cycles by properly managing hazardous components including batteries, reducing the need for new scooters through repair, redistributing for reuse, and recycling or otherwise properly disposing of all component parts. Since we’ve been operating for 7+ years, our garage is already fully compliant with laws and regulations pertaining to recycling, disposal, and hazardous waste. Most, if not all, of our electric vehicle components are recycled including dead batteries.16 Scoot Networks is also in compliance with the City and County of San Francisco’s “Clean and Green” initiative, and received an award in December 2017 from the Department of Public Health for meeting the requirements of the program. Additionally, we have inspectors visit our workplace bi-annually to check specifically for compliance with California OSHA requirements. With the introduction of mini-scoots to our fleet of electric vehicles, we will continue to operate in compliance with all laws and regulations pertaining to recycling, disposal, and hazardous waste. The mini-scoot model that we’ve selected for our initial launch is a high quality and durable vehicle expected to have a two-year lifespan with the support of our robust repair plan. What fleet size is needed to maintain a given number of active scooters? Based upon our experience with low batteries and out-of-service vehicles, we estimate that we will require approximately 1,500 mini-scoot vehicles in order to maintain 1,250 in service use. F. HIRING AND LABOR PLAN Describe the staffing plan, including hired staff and contractors, for operation and maintenance of your scooter share program. The vast majority of Scoot Networks workers are full-time, fully benefited employees.17 Currently we have a staff of 30+ Fleet team employees18 to service our existing fleet of 650+ LEVs. These things matter to us too, which is why Scoot Networks was created. Founded by Michael Keating--who holds a Masters in Urban Planning and MBA from Harvard--Scoot Networks provides a solution to all of these problems by offering a diverse fleet of shared, stationless, emissions-free vehicles, which come at no cost to the City, requires no construction or physical infrastructure, is fundamentally affordable, and promotes equitable access. By working side-by-side with local communities and city agencies, we believe the Scoot Networks shared mobility model will help make our city a better place to live--for everyone. COMMUNITY OUTREACH GRANT-FUNDED WORK Scoot Networks has recently applied, and is currently a finalist, for a private grant of $750K for the purpose of conducting additional pilots dedicated to making mobility services more accessible and affordable. Also, as part of the grant, we will conduct additional community outreach regarding new modes of mobility, as well as launch further into communities of concern. Pending grant approval, our grant-funded work is slated to begin in January 2019. PEDESTRIAN AND BICYCLE SAFETY PARTNERS Scoot Networks has developed many partnerships with bicycle advocacy and pedestrian safety organizations throughout San Francisco. Our goal is to safely coexist with cyclists, pedestrians, disabled persons, and others who may be potentially impacted by our shared mobility services. Accordingly, Scoot Networks has collaborated with local organizations including the San Francisco Bicycle Coalition, WalkSF, and SF Lighthouse for the Blind, to help find ways to achieve that important goal. This collaboration has, as an example, resulted in our pledge, as shared electric moped operators, to not permit our mopeds to ride in bike lanes or to park on sidewalks or at bike racks, both of which are legal for our moped riders to do. We will continue to engage in dialog with any and all advocacy groups potentially impacted by shared electric mini-scoot operation. 48 of 117 COMMUNITY BENEFIT ORGANIZATIONS As exemplified by the pilot permit process for our electric scooter program, our community outreach efforts enabled local community groups to have a voice in developing a first-of-its-kind permit solution for shared electric scooters in collaboration with the SFMTA. Such outreach will include efforts to establish relationships with at-risk youth and youth health clinic groups, public and affordable housing groups, San Francisco neighborhood associations, local business and labor organizations, public agencies within the City and County of San Francisco, bicycle and transportation advocacy groups, pedestrian and safety advocacy groups, and environmental advocacy groups, among many others. MULTILINGUAL AND CULTURALLY RELEVANT COMMUNICATIONS Scoot Networks is committed to meeting the diverse needs of our riders and our community, so we’ve prepared our customer-facing digital interfaces with multilingual abilities available twenty-four hours a day, seven days a week. Combined with our telephone and email customer service options, our current language offerings include English, Spanish, Catalan, and Chinese. MULTILINGUAL WEBSITE Our website is available 24/7 and has the ability to be displayed in more than one language. Currently, the specific language offerings include English, Spanish and Catalan. Additional languages can be added, as required by the SFMTA. Additionally, Scoot Networks is exploring ways to further expand its culturally relevant communications and marketing efforts in collaboration with groups that provide services to low-income populations, such as Calfresh, SFMTA (Low Income) Lifeline Pass, PG&E CARE, and other community partners. Scoot Networks Fun Fact: All of our Marketing team members are all full-time, fully benefitted Scoot Networks employees. EQUITABLE IMPLEMENTATION PLAN Promoting equitable access to shared electric vehicles is one of the cornerstones of Scoot’s business model, which is why our motto is: Electric Vehicles for Everyone. Below are just a few ways that we will provide our users equitable access to Scoot Networks’ shared electric mini-scoots. SUBSTANTIAL EXPANSION INTO COMMUNITIES OF CONCERN Our service area for mini-scoots will include significant portions of CoC areas, and will extend much further into CoCs located in the Bayview Hunter’s Point and Tenderloin neighborhoods than our current service area for electric mopeds (which already serviced substantial portions of CoCs). Also, in order to maintain equitable access to mini-scoot vehicles, we will rebalance our fleet, if necessary, to maintain approximately 20% of overall mini-scoot availability within CoCs. 54 of 117 AFFORDABLE AND LOW-INCOME PRICING Scoot Networks provides a service that is fundamentally affordable and will not require a deposit from its low-income customers.20 We are expecting to implement an automated sign-up and qualification process for users who are eligible through Calfresh, PG&E Care and Muni Lifeline as acceptable income verification proxies for affordability membership. Scoot Networks is already developing a cash payment option for eligible members of the low-income plan to rent our electric mopeds, which will also apply to our mini-scoot rentals. MULTILINGUAL COMMUNICATIONS As part of our genuine interest in reaching out to all communities in San Francisco, Scoot Networks has already made its consumer facing touchpoints and customer service outlets available in multiple languages (described in more detail on p.51). H. EXPERIENCE AND QUALIFICATIONS Describe your qualifications to operate a scooter share program including experience operating shared mobility programs in North America WE ARE EXPERIENCED OPERATORS Scoot Networks was the world’s first company dedicated to operating 100% electric fleets of shared, light electric vehicles. Scoot is headquartered in San Francisco and has operated its shared, light electric vehicles here for 7+ years. During our 7+ years of operations, Scoot has developed industry-best hardware, software, data sharing, and fleet maintenance operations that are required to run and maintain a vehicle sharing service at the highest levels. Scoot’s proprietary backend administration was developed by our team specifically for shared vehicle networks, and that technology is essential to running our 24/7 service. We have delivered over five million miles of safe, affordable, reliable, accessible transportation in San Francisco, to tens of thousands of customers. Today there are more people in San Francisco with Scoot Networks accounts than there are people with private motorcycles or private light electric vehicles. WE EMPLOY THE INDUSTRY’S BEST AND BRIGHTEST From management to Field Service Technicians, our team possesses the deepest knowledge and understanding in the industry. In addition, Scoot maintains a 24/7 professional Field Service Technician presence all over San Francisco to maintain a well serviced and orderly fleet. In conjunction with our Field Service Tech team, we utilize a full-time Community Manager to ensure accountability throughout our ridership and network. Scoot has continued to hire and develop full-time employees at all levels of operations, avoiding over reliance on part-time contract labor or gig economy workers. WE EDUCATE OUR RIDERS Education of our riders is a crucial element in Scoot’s operational success. We offer in-person classes, free of charge, to all our riders, with no limits on the number of times you can attend. These classes are taught by experienced and skilled riders who are trained to teach riding, road rules, and safety lessons to new riders. Scoot has also developed a series of training videos that cover the same riding, road rules, and safety lessons directly in our mobile app, which is a mandatory step during the user’s onboarding process. WE ARE SAN FRANCISCO’S HANDS-DOWN EXPERTS ON SUCCESSFULLY OPERATING A SUSTAINABLE SHARED MOBILITY SERVICE IN GOOD FAITH We are experts in the market of shared electric mobility services, as we are experts on servicing San Francisco riders, specifically, and complying with all State and local laws and regulations as we have done in good faith for over seven years in the City. No shared mini-scoot operator is as deeply rooted as we are in our commitment to partner with the SFMTA and City officials, as well as neighborhood and business organizations, and bicycle advocacy groups, to ensure that our City’s streets are kept safe and orderly. WE HAVE THE MOST EXPERIENCED AND RESPONSIBLE RIDERS Scoot Networks already serves tens of thousands of customers in San Francisco with shared, light electric vehicles, all of whom are known to have clean driving records and are familiar with the rules and culture of LEV sharing in San Francisco. Many of our already existing electric moped riders will also utilize our fleet of electric mini-scoots and will already be familiar with our mobile app, our website, our customer service offerings, our incentive programs, and our rules. While some rules will be different for electric mini-scoots, our customer base of experienced users will be ahead-of-the-curve, safe and responsible mini-scoot riders from the onset of the pilot permit program, who will set an example, as model city riders, for subscribers who are new to shared LEV culture and best practices. WE SUPPORT A CULTURE OF SAFE, RESPONSIBLE AND COURTEOUS RIDERS Safety is always our #1 priority at Scoot. But being courteous riders and respectful of pedestrians and other types of vehicles is also a big part of our company’s culture. At Scoot, we receive very few complaints about our riders, which we believe is due to our efforts to educate our riders and also because we have been promoting a culture of courteous and responsible riding from the very beginning when our wheels first hit the ground. Example: Scoot’s “Be Seen, Be Safe, Be Nice” Motto 56 of 117 WE HAVE A SHARED VISION At Scoot Networks, we have always supported the SFMTA in its decision to adopt the permit process for powered scooter share companies operating in San Francisco in the furtherance of the SFMTA’s stated goals to: (1) ensure safety and access, (2) promote equity, and (3) increase accountability. At Scoot Networks we’ve built our business around these very same objectives because we know from experience they are essential to the sustainability of shared mobility services. That’s why we are confident Scoot Networks is exceptionally well-positioned to carry out our common goals under the SFMTA’s pilot program. If you have ever operated a shared scooter program in San Francisco, describe how you complied with applicable laws, including your efforts to ensure compliance by your users with applicable laws, your efforts to work in good faith with staff from the City and County of San Francisco, and your expeditious compliance with previous enforcement efforts and payment of administrative charges to the City and County of San Francisco for right-of-way violations (including sidewalk obstruction). WE HAVE A HISTORY OF BEING GOOD FAITH COMMUNITY PARTNERS Scoot Networks has operated a dockless shared electric vehicle service in San Francisco for over seven years and has been an essential partner in helping the SFMTA and the City of San Francisco to develop a first-of-its-kind shared electric moped permit in San Francisco. Beginning with our Company’s inception, we’ve always valued our community partners who have helped us understand the diverse needs of San Francisco residents and businesses, which we’ve learned can vary greatly from neighborhood to neighborhood. So, we invested innumerable hours working with the SFMTA, City officials, neighborhood groups, and business associations to construct a set of parking regulations that was workable for all, in light of our many discussions and shared insights. Since our very first permit pilot approval by the SFMTA, Scoot Networks has made continued efforts to meet the needs of our riders, as well as our community partners, not only to be considerate neighbors and show good faith, but also to ensure the sustainability of shared mobility vehicle programs in San Francisco. Scoot will continue to work with SFMTA, City officials, neighborhood groups and business associations to develop reasonable parking and vehicle regulations that enhance mobility, support safety, promote equitable access, and make San Francisco a better place to live, work, and play. OUR RECORD OF COMPLIANCE IS EXEMPLARY Scoot Networks has consistently complied with all applicable parking, vehicle, and safety regulations since the development of the permit pilot program for electric mopeds, even as laws were being newly developed for shared vehicle services--a mobility concept that had yet to exist on the streets of San Francisco when we opened our doors. Additionally, Scoot has expeditiously complied with all payments of administrative charges and any enforcement efforts during our ongoing operations of shared vehicles in San Francisco. 57 of 117 Scoot Networks will continue to maintain an open dialogue and level of transparency with the City and County of San Francisco that we hope will help improve the lives of San Francisco citizens through sustainable shared mobility services. WE’RE ON IT Our Field Service Technician team already operates 18 hours per day swapping batteries and conducting visual inspections of our existing 650+ electric mopeds in the field. And while they’re en route to service identified vehicles in need, they stop all along the way to manage any improperly parked vehicles and to educate riders who are breaking the rules or driving unsafely. With the addition of mini-scoot vehicles, we will be expanding our number of Field Service Technicians, as well as their hours of operation so that we can respond around the clock, if needed. This means Scoot Networks will presumably have more eyes on the street supporting the effort to monitor compliance and educate riders in real time, than any other shared vehicle provider in the City. Bottom line is, our team of Field Service Technicians is one of our best assets for educating riders and enforcing the rules throughout the City. This means less complaints to the City about parking or unsafe drivers, and safer city streets for everyone. Much more, unlike other powered scooter companies that hire third-party contractors to simply move powered scooters around from place to place, our Field Service Technicians are highly skilled, trained Scoot Networks employees21 who care about the safety of our riders and upholding the rules set forth by Scoot Networks, the SFMTA, and the City and County of San Francisco. All Field Service Technicians are trained through a four-tiered certification process, which promotes growth and longevity at our Company. In contrast to other powered scooter companies that “hire,” with little regard for the qualifications or monitoring of, third-party contractors to service their vehicles, our service engineering department is structured to ensure that our Field Service Technicians are among the most qualified in the industry to conduct maintenance and repairs on our fleet of shared electric vehicles. At Scoot Networks, we receive very few complaints about non-compliance because if there is any issue with a vehicle or rider, we probably already addressed it before it has become a problem for anyone else or the SFMTA. I. IMAGES AND DESCRIPTION OF POWERED SCOOTER ELECTRIC MINI-SCOOT LAUNCH MODEL Positioned to launch in August 2018, Scoot Networks eagerly anticipates the introduction in San Francisco of its fleet of electric mini-scoots. In the paragraphs below we have highlighted our vehicle’s components of interest as well as features that are relevant under the SFMTA’s pilot permit program considerations. WE WILL DEPLOY THE WORLD’S BEST BUILT-FOR-SHARING POWERED SCOOTER In order to offer San Franciscans the best shared power scooter in the world, we are partnering with one of the first companies to ever offer shared powered scooters. Telepod, a startup from Singapore, where shared powered scooters first emerged as a new mode of transportation, has agreed to supply their excellent shared powered scooter to Scoot in San Francisco. Telepod is a woman-run startup, founded in 2016, and has been operating shared powered scooters in Singapore for a year, longer than almost any other company in the world. Telepod’s founder & CEO, Jin Ni Gan, previously worked at Singapore’s public transportation authority, so just like Scoot’s founder, she is approaching scooter sharing as a new form of mass transit, not just as a business opportunity. Telepod has taken their experience operating shared powered scooters and has used that to inform the design of their Telepod Gen 2.5: The first powered scooter that was built to be used in a shared fleet, based on the lessons learned by a real shared powered scooter operator. At Scoot, we value the lessons learned from operating in the real world, and so we value Telepod’s experience and how that experience is embodied in the scooter that will become the Scoot mini-scoot. As part of our partnership, Telepod will also be sharing advice from running their service in Singapore, giving Scoot a further advantage managing the vehicles and riders in San Francisco. SUMMARY OF THE SCOOT NETWORKS/TELEPOD ELECTRIC MINI-SCOOT FEATURES Our electric mini-scoot will include the following features: • Front lights • Front suspension • Rear brake lights • Wireless networking • Solid tire (Puncture-free) • Swappable battery with lock • 350W motor • Speed limit of 15 MPH 60 of 117 SCOOT NETWORKS’ UNIQUE IDENTIFIER All electric mini-scoots will have unique identification numbers prominently displayed on both sides of the vehicle. Each vehicle’s unique identification number will be featured in a large, easily visible font size, so pedestrians can photograph and report unsafe drivers or improperly parked vehicles more easily. Example: Every mini-scoot’s unique vehicle identification number will be prominently displayed. Additionally, users and non-users will be able to identify our vehicles easily from afar as the entire fleet will be painted in our signature red color, and will feature the Scoot Networks signature “Scoot” logo and lightning bolt emblem on the most conspicuous areas of the vehicle. Example: The Scoot Networks signature “Scoot” logo and lightning bolt emblem. 61 of 117 SWAPPABLE BATTERIES Like our electric mopeds, our electric mini-scoots at the time of launch will incorporate “swappable” batteries, which will be kept charged either by plugging them into one of our 40+ garages throughout San Francisco, as available, or by utilizing our Field Service Technicians to swap the batteries wherever the electric mini-scoots are parked. When a battery is low, the vehicle is no longer visible in the mobile app for users to rent. The major upside of having swappable batteries is that there is no need to collect our entire fleet of mini-scoots each day and shuttle them back and forth for recharging purposes, and so Scoot Networks, has, and will, not compound the traffic congestion problems that full-scale loading and unloading of powered scooters has been shown to cause throughout the City. Additionally, by swapping batteries, more vehicles will be available to riders, and so, can serve more people more of the time, which helps us to reduce costs and to continue to provide fundamentally affordable pricing to our riders. ELECTRIC MINI-SCOOT MONITORING All Scoot Networks electric mini-scoots are connected on a wireless communication network and have location awareness through GPS. This enables our electric mini-scoots to connect to the Scoot Networks IOT Cloud, which gives our Field Service Technicians situational and location awareness of all vehicles in the fleet so that all electric mini-scoots can be actively monitored via our Fleet Map and Fleet Tools. The Scoot Networks Fleet Map and Fleet Tools enable our Field Service Technicians to see where all Scoot Networks electric mini-scoots are located at any given time. These tools also give our Field Service Tech team visibility into electric mini-scoots that are out of the service area or unlawfully parked. The rebalancing and redistribution of electric miniscoots will be facilitated by our Field Service Technicians, accordingly. UPRIGHT PARKING DESIGN All Scoot Networks electric mini-scoots will be designed to stand upright when parked and will feature a sturdily built kickstand for stability. Example: The Scoot Networks electric mini-scoot will be designed to stand upright when it is not in use. Note: illustrated prototype shown here--actual vehicle appearance may vary. 62 of 117 HIGH-QUALITY, USER-FRIENDLY DESIGN All Scoot Networks electric mini-scoots will be designed with a handlebar positioned at a height that accommodates a wide range of users, and a deck-width that takes into account the average user’s height and various skill levels. Our vehicles will also be sturdily designed to withstand the rigors of constant outdoor usage and are waterproof. ELECTRIC MINI-SCOOT FUTURE MODEL 22 At Scoot Networks, we take the concerns of the SFMTA and our community partners seriously, especially when it comes to designing a vehicle that is safe for our riders, and is suitable for driving in San Francisco’s manifold street, traffic and weather conditions. As such, we propose the following solution-based design augmentations to address common issues that have arisen during the operation of non-permitted powered scooter programs in the City--most notably, the ability for our mini-scoots to (1) lock to infrastructure, and (2) include a lockable helmet. Other interesting options we’re exploring are mentioned below, as well. We are always happy to meet with the SFMTA to discuss or share ideas, as well. PRIORITY DESIGN FEATURES • Locks to Infrastructure: We believe that requiring our riders to lock our mini-scoots to in- frastructure is the most sustainable approach to operating a shared mini-scoot service in San Francisco because tethering will help: (a) limit unlawful parking outside the furniture zone, (b) limit vehicles being moved by non-users or passerbys so that we can know with better certainty if our riders are responsible for parking unlawfully, so that we can hold them accountable, (c) reduce trip and fall accidents if the vehicle is already attached to another object, (d) reduce theft of our vehicles, and (e) allow us to make mini-scoots available 24/7. While our mini-scoots at launch may not feature the components required to lock to infrastructure, it is a feature we’re already discussing with our production partner. • Helmets and Helmet Boxes: Like our existing fleet of electric mopeds, Scoot Networks would like to produce mini-scoots with a helmet that is secured to the vehicle in a lockable box. While our mini-scoots at launch may not feature these components, it is a feature we’re already working with our production partner to incorporate on an expedited basis. In the meantime, all mini-scoot riders will be offered a free helmet (for-keeps!) during the sign-up process, subject to certain terms and conditions. FEATURES UNDER DISCUSSION • A Bit More Power: We believe that with a little more power, mini-scoot riders may feel safer riding in the street because they can get up hills more quickly, and, therefore, they will be less inclined to ride on the sidewalk. Thus, we’re considering the addition of a bit more power-just enough to help serve the hilly neighborhoods throughout the City while maintaining a safe and controllable vehicle for riders at different skill levels. 22  Scoot will begin producing our fleet of mini-scoots pending the approval of our application by the SFMTA. We expect that during the pilot period we will introduce more than one mini-scoot vehicle design to our riders as we fine-tune our final fleet. 63 of 117 • Improved Software to Detect Tipping: We are looking closely at incorporating improved software with accelerometer or gyroscope capabilities to detect when a vehicle has tipped over. • Bigger Wheels: We are exploring whether mini-scoots with bigger wheels, or a more robust front wheel, provide any substantial benefits when parked or driven. • Wider Deck: We are exploring whether mini-scoots with a wider deck provide any substantial benefits when parked or driven. • Foldable Design: We want our mini-scoots to feature design elements that reduce tipping (and tripping) issues when parked, as such we have considered foldable mini-scoot designs for certain areas of the city where furniture zones are very limited. • Three-Wheeled Design: We are exploring whether three-wheeled vehicle designs provide any substantial benefits when parked or driven. 64 of 117 K. IMAGES AND DESCRIPTION OF MOBILE APPLICATION Our electric mini-scoots will be accessible through the same mobile application that our riders currently use to access and ride Scoot’s shared electric mopeds. The Scoot Networks mobile app is available for both iOS and Android, and can be downloaded from the App Store or Google Play. Our mobile app has many features designed to make rides fast and enjoyable. BEFORE THE RIDE: • Vehicle Selection Map: When a user opens the mobile app, he or she can select any electric mini-scoot convenient to his or her location. • Discounted or free rides are available in select instances when a vehicle has a low battery or is parked illegally, for example. • Parking Options: Riders can type in an address or business name and the app will help them identify the best available parking locations. This Policy is incorporated into and is subject to the Scoot Networks Terms of Use, located here and the Membership Agreement if you are a Member. Your use of the Services and any Personal Information You provide via the Services are subject to the terms of this Policy and Scoot’s Terms of Use. PERSONAL INFORMATION “Personal Information,” as used in this Policy, is information that specifically identifies an individual, such as an individual’s name, address, telephone number, or e-mail address. Personal Information also includes information about an individual’s activities, such as information about his or her activity on our Services, demographic information, such as date of birth, gender, geographic area (including location), and preferences, when any of this information is linked to Personal Information that identifies that individual. ANONYMOUS AGGREGATED DATA: Anonymous data is information (originally personally identifiable or non-personally identifiable) that subsequently is used in aggregate form. Although anonymous data may be based in part on personal data, it does not identify You personally. We may collect anonymous data whether or not You are a Member. We and/or third parties that are providing services in connection with the Services may use anonymous data for a number of purposes, including analysis of the usage of the Services, and interests and behavior. INFORMATION SCOOT COLLECTS: Collection of Voluntarily-Provided Information • User Provided Information. When You register and set up an account, use or visit the Services, or contact us by e-mail or other means for any reason, You may provide Personal Information to Scoot. Personal Information may also be collected if You provide such information in connection with creating a profile or group, leaving comments, posting content, sending an 85 of 117 email or message to another User or participating in any features of the Services. In addition, from time to time we may collect other Personal Information You provide in connection with Your participation in promotional offers and other activities on the Services. If You use the Services with Your mobile device, we may have access to Your phone number, Unique Device Identifier or other device information that uniquely identifies individual smartphones or mobile devices. • Payment Information. If You purchase services or products from the Services, we will collect the billing and financial information necessary to process Your charges, which may include Your postal and email addresses. We may also receive the billing and payment information that You provide when Your purchase is processed by another party. • Invitation Service. Scoot may offer an invitation service to tell a friend about the Services. If You choose to use our invitation service to tell a friend about the Services, we may ask You for information needed to send the invitation, such as Your friend’s email address or phone number. We may also offer You the opportunity to invite Your friend via third party services such as Facebook or Twitter. We will automatically send Your friend a one-time email or text message inviting him or her to try the Service. By providing email addresses or phone numbers of non-Users, You represent that You have the right to do so and that such information may also be provided to the third party service that You have designated to contact the non-User. We store and use this information to send this invitation, to register a friend if Your invitation is accepted, and to track the success of our invitation service. Your friend may contact us at hi@ scoot.co to request that we remove this information from our database. Passively Collected Information • Automatically Collected Information. When You use the Services, some information is also automatically collected, such as Your Internet Protocol (IP) address, Your operating system, the browser type, the address of a referring Web site and Your activity on the Services. We treat this information as Personal Information if we combine it with or link it to any of the identifying information mentioned above. Otherwise, it is used in the aggregate only and is not considered by Scoot to be subject to the restrictions in this Privacy Policy. • “Cookies” and Clear Gif Information. We may automatically collect certain information through the use of “cookies” and/or clear gifs. Cookies are small data files that are stored on a User’s hard drive at the request of a Web site to enable such Web site to recognize Users who have previously visited them and retain certain information such as customer preferences and history. If we combine cookies with or link them to any Personal Information, we would treat this information as Personal Information. Clear gifs (also known as web bugs or web beacons) are small, invisible graphic images that may be used by the Services or in emails relating to the Services to collect certain information and monitor user activity on the Services and may be combined with Your IP address or other information that we have gathered with respect to a User’s use of the Services. If You wish to block, erase, or be warned of cookies, please refer to Your browser instructions or help screen to learn about these functions. However, if a browser is set not to accept cookies or if a User rejects a cookie, some portions of the Services may not function properly. For example, You may not be able to sign in and may not be able to access certain features of the Services. • Location Information. Scoot may offer features designed to help You use the Services, such as to locate scooters available through the network, including in whole or in part based on Your location. You will be given the opportunity to opt-in to location-based services, normally through an opt-in screen on the App. If You choose to enable location-based services, we may collect Your location based on information provided by You or Your mobile device, including, if available, GPS, IP address or cell tower information. If You, as a Member, do not opt-in to location-based services, You may not have access to the features necessary to use the Services. 86 of 117 • We use analytics tools to track how You get to our Site and to understand how You use the Site after You arrive. Although this allows us to see and analyze Your movements around the Site, our systems do not provide a way for that information to be tied to any Personal Information You choose to give us. Information from Other Sources • We may receive information about You, including Personal Information, from third parties and third party Web sites (e.g., Facebook, Twitter, etc.) (“Third Party Sites”), in accordance with the policies and terms of such Third Party Sites. Scoot may combine this information with other Personal Information we maintain about You. If we do so, this Policy governs any combined information that we maintain in a personally identifiable format. THE WAY SCOOT USES AND DISCLOSES INFORMATION: • In general, we use Personal Information we collect to process Your requests or transactions, to provide You with information or services You request, to inform You about other information, events, promotions, products or services we think will be of interest to You, to facilitate Your use of, and our administration and operation of, the Services, and for the purpose for which the information was provided. For example, we may use the information we collect: • to send You a welcoming email and to contact You about Your use of the Services, to provide other services, products or information You request and to complete any transactions in connection therewith; • to enable Your use of the Services, including to determine your service eligibility and credit-worthiness, access Your driving safety records, and obtain insurance; • to respond to Your emails, submissions, comments, requests or complaints; • to request feedback and to enable us to develop, customize and improve the Services; • to contact You about our or a third party’s services, products, activities, special events or offers and for other marketing, informational, product development and promotional purposes; • for the specific purpose for which the information was provided; and • to conduct an aggregate analysis of the performance of the Services. • Scoot may use “cookies” or clear gif information for a number of reasons related to the Ser- vices, including to: (a) remember Your information so that You will not have to re-enter it during Your visit or the next time You use the Services; (b) monitor aggregate site usage metrics such as total number of visitors and pages viewed; and (c) track Your entries, submissions, and status in any promotions or other activities. • We have a policy that Scoot’s employees, agents and contractors must have a legitimate business reason to obtain access to the Personal Information You may provide to register as a member of the Site and/or to use the Services. We may share Your Personal Information with companies that provide services to us, including outside contractors or agents who help us manage our information activities (for example, for payment processing, insurance, services to search driving records, data storage, customer service, email delivery, and to assist us in our marketing efforts), but we limit the Personal Information that is provided to these service providers to that which is reasonably necessary to provide us with a specific service and not for any other purpose and we require them to maintain the confidentiality of the Personal Information. • Personal Information provided online may be linked together or merged with other Personal Information so that we may better understand Your needs and inform You about our products or services and those of our partners. You understand that when You use the Services, information You post in Your public profile and in any other interactive areas of the Services will be available to other Users and in some cases may be publicly available and You provide that information at Your sole risk. We may disclose Personal Information in connection with the reorganization, reincorporation, acquisition, debt financing, merger, sale of Scoot’s relevant assets or business or similar transaction, as well as in the event of an insolvency, bankruptcy, or receivership in which Personal Information is transferred to one or more third parties as one of our business assets. We may use the location information that You provide or that we collect to provide content and services to You based on Your location, such as for making You offers based on your geographic location. We use all of the information that You provide or that we collect and/or aggregate to understand and analyze the usage trends, interests, and preferences of our Users, to improve the way the Services work and look and to create new features and functionality. HOW SCOOT PROTECTS INFORMATION: • Scoot uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of Your Personal Information. We cannot, however, ensure or warrant the security of any information You transmit to Scoot, and You do so at Your own risk and this is not a guarantee that such information will not be accessed, disclosed, altered, or destroyed by breach of any of Scoot’s physical, technical, or managerial safeguards. • If Scoot learns of a security systems breach, then we may attempt to notify You electronically through the contact information that You have provided to Scoot so that You can take appropriate protective steps. Scoot may also post a notice on the App and/or the Site if a security breach occurs. Depending on where You live, You may have a legal right to receive notice of a security breach in writing. CHOICES YOU HAVE REGARDING THE USE OF YOUR PERSONAL INFORMATION: • You may, of course, decline to share Your Personal Information with Scoot, in which case Scoot will not be able to provide to You some of the features and functionality found in the Services. If You register as a member of Scoot, You may update, correct, or delete Your profile information and preferences at any time by emailing us at hi@scoot.co. • You may “opt out” of receiving promotional and marketing materials by emailing us at hi@ scoot.co. However, this shall not affect our ability to send You service and account related emails and to use Your Personal Information as otherwise described in this Privacy Policy. Please be aware that if You “opt out” of receiving commercial email from us, it may take up to ten business days for us to process Your “opt out” and You may receive commercial email from us during that period. • To protect Your privacy and security, we take reasonable steps to verify Your identity before granting You account access or making corrections to Your information but You are solely responsible for maintaining the secrecy of Your unique password and account information at all times. 88 of 117 LINKS TO OTHER WEBSITES: • The Services may be linked to Third Party Sites operated by other companies (including facebook.com), products, or services that we do not own or operate. Some of these Third Party Sites may be co-branded with our name or logo, even though they are not operated or maintained by us. If You choose to visit or use any third party products or services, please be aware that this Policy will not apply to Your activities or any information You disclose while using third party products or services or otherwise interacting with third parties. We are not responsible for the privacy practices of these Third Party Sites and third party services. Additionally, please be aware that the Services may contain links to Web sites and services that we operate but that are governed by different privacy policies. We encourage You to carefully review the privacy policies applicable to any Web site or service You visit other than the Services before providing any Personal Information on them. THIRD PARTY CONNECTED SERVICES We may permit Users with accounts on certain Third Party Sites (including social networking, search, sharing, and other services delivered by third parties) to bypass standard registration processes on our Services. If You connect to our Services through an authorized Third Party Site, You may be able to use Your third party login information to log into our Services, and You may be able to publish Your comments and any other activity on our Services to the Third Party Site. We are not responsible for the sharing, posting, commenting, or other content and information-gathering practices on any Third Party Site. Please review their terms of service and privacy policies carefully before using their services and connecting to our Services. By using any Third Party Site to log in to our Services, or otherwise connecting to any Third Party Site, You permit us to access and use all information related to Your account on the Third Party Site that may be accessible to us through the Third Party Site pursuant to this Policy. To limit or control the information that is available to us through such Third Party Site, or to disconnect the Third Party Site from our Services, You should check (and, if applicable, modify) the applicable settings on the Third Party Site. OUR COMMITMENT TO CHILDREN’S PRIVACY: Protecting the privacy of young children is especially important. For that reason, our Services are not directed to persons under 21 years-of-age and Scoot does not knowingly collect or maintain Personal Information from persons under 21 years-of-age, including children under the age of 13. If Scoot learns that Personal Information of persons under 13 years-of-age has been collected in the Services without verifiable parental consent, then Scoot will take the appropriate steps to delete this information. If You are a parent or guardian and discover that Your child under the age of 13 has obtained a Scoot account, then You may alert Scoot at hi@scoot.co and request that Scoot delete that child’s Personal Information from its systems. International Visitors Our Services are hosted in the United States and generally are intended for United States visitors. If You visit from the European Union or other regions with laws governing data collection and use that may differ from United States law, please be aware that You are transferring Personal Information to the United States. The United States does not have the same data protection laws as the European Union and other jurisdictions. By providing Personal Information to us, You consent to the transfer of it to the United States and the use of it in accordance with this Policy and applicable law. The terms “we,” “our” and “Scoot” refer to Scoot Networks, Inc. The terms “you” and “your” refer to the user (including users who have registered for an account) visiting the Site and/or using the Services. USE OF THE SERVICES Scoot may provide the Services through the App, Site, Third Party Sites, and any other media or channels now known or hereafter developed. The Services may require that you agree to additional terms and conditions in order to use the Services, including those contained in the Membership Agreement and those of Third Party Sites. Any terms and conditions required by Scoot for use of any portion of the Services offered by Scoot (but not those of any Third Party Site) will, unless otherwise expressly stated in such terms, supersede these Terms in the event of a conflict only as to the services with respect to which those terms relate. Such additional terms and conditions (but not those of any Third Party Site), are hereby incorporated into and made a part of these Terms by reference. You may also be subject to the terms of use of any Third Party Sites and you are solely responsible for your acceptance of and compliance with such terms. You should review the terms of use and privacy policies of Third Party Sites before using such Third Party Sites. You are responsible for obtaining at your own expense all equipment and services needed to access the Services, including but not limited to a mobile device that is compatible with the App. If you are accessing the Services by a mobile device, your wireless carrier may charge you fees for data, text messaging, and other wireless access or communications services. We do not guarantee that our mobile Services can be accessed through all wireless devices or service plans or are available in all geographical locations. 3. CHILDREN The Services are not intended for persons under 21, including children under the age of 13. By using the Services, you affirm that you are at least 21 years of age. If you are under the age of 21, you must not use or access the Services. 4. SERVICE SECURITY 4.1. Personal Security. Be smart when using the Services or any Third Party Sites. You should not disclose personal information to strangers that would enable them to locate you offline. This means you should not give out your name, address, place of employment, school, etc., while communicating with other users of the Services. 4.2. Service Security. You are prohibited from violating, or attempting to violate, the security of the Services. Any such violations may result in criminal and/or civil penalties against you, as well as the termination of your privilege to use the Services, at Scoot’s sole discretion. Scoot reserves the right to investigate any alleged or suspected violations and, if a criminal violation is suspected, refer such suspected violation to the appropriate law enforcement agencies and cooperate fully with such investigations, including, but not limited to, the disclosure of any or all of your activities on or related to the Services. 5. MATERIALS SUBMITTED TO THE SERVICES; LICENSE GRANT FROM YOU TO SCOOT 5.1. User Content. This section governs any material that you upload or transmit to or through the Services including, without limitation, comments, messages, photographs, or any 92 of 117 other form of copyrighted material (collectively, “User Content”). You are solely responsible for all User Content you submit to or through the Services. You agree, represent, and warrant that i) any User Content you upload or transmit to or through the Services is truthful, accurate, not misleading, and offered in good faith, ii) you have all rights, licenses, permissions, and authorizations necessary to upload or transmit the User Content to the Services and grant the rights to the User Content as set forth in these Terms, and iii) the Use of such User Content in a manner consistent with these Terms will not (a) infringe the rights of any third party, including copyright, trademark, patent and other intellectual property rights or other protected rights, such as the rights of privacy or publicity, or (b) require Scoot or any Third Party Site on or through which the Services are made available to pay any fees of any kind to any third party. We have the right, but not the obligation, to monitor, review, access, and remove any or all of your User Content from the Services at our sole discretion. 5.2. License Grants. You retain ownership of any User Content you provide to the Services. Except as expressly provided in Scoot’s Privacy Policy at https://scoot.co/privacy, you hereby grant Scoot an unrestricted, perpetual, assignable, sublicensable, revocable, royalty-free license throughout the universe to reproduce, distribute, publicly display, communicate to the public, make available, publicly perform (including by means of digital audio transmissions) on a through-to-the-audience basis, create derivative works from, and otherwise use and exploit (collectively, “Use”) all User Content you upload to or through the Services in any media or technology now existing or developed in the future; to advertise, market, and promote your User Content, Scoot, and the Services, with your name, image, voice, likeness, and/or any photographs or artwork made available by or on your behalf through the Services; and to sublicense any User Content, in each of the foregoing instances, in Scoot’s sole discretion. 5.3. Reporting of User Content. If you locate any User Content on or through the Services that you find offensive or objectionable, or if you believe any User Content is infringing of your intellectual property rights, please report such User Content to Scoot by sending an email to hi@scoot. co. Scoot reserves the sole right, but not obligation, to remove any message that it deems inappropriate in its sole discretion and without any liability to you. 6. REGISTRATION 6.1. Log In Credentials. In order to use some of the Services you will have to register for an account on the Services or log in using your Facebook or Google credentials and agree to additional terms and conditions included in the Membership Agreement. When registering you may be required to provide Scoot with certain personal information, which may include your name, birth date, email address, and, in some cases, payment information. This information will be held and used in accordance with Scoot’s Privacy Policy. You are responsible for maintaining the confidentiality of your log-in credentials in order to use the Services, and are fully responsible for all activities that occur through the use of your credentials. You agree to notify Scoot immediately of any unauthorized use of your log-in credentials or any other breach of security with respect to your account. Scoot will not be liable for any loss or damage arising from unauthorized use of your credentials prior to you notifying Scoot of such unauthorized use or loss of your credentials. You understand that on certain Scoot websites or Third Party Sites your user name and profile picture may be publicly available and that search engines may index your name and profile photo. 6.2. Accuracy of Information. You agree to provide true, accurate, current, and complete information about yourself as requested in any registration forms required by Scoot. You also agree to update the information about yourself promptly, and as necessary, to keep it current and 93 of 117 accurate. If messages sent to an email address provided by you are returned as undeliverable, Scoot reserves the right to terminate your account immediately with or without notice to you and without any liability to you or any third party. 6.3. Invitation Service. Scoot may offer an invitation service to tell a friend about the Services. If you choose to use our invitation service, we may ask you for information needed to send the invitation, such as your friend’s email address. We may also offer you the opportunity to invite your friend via third party services such as Facebook or Twitter. We will automatically send your friend an email inviting him or her to try the Service. By providing email addresses of non-Users, you represent that you have the right to do so and that such information may also be provided to the third party service that you have designated to contact the non-User. We store and use this information to send this invitation, to register a friend if your invitation is accepted, and to track the success of our invitation service. In using the Services, you agree not to: a) Upload or otherwise transmit to or through the Services any information that is unlawful, harmful, harassing, defamatory, libelous, threatening, vulgar, sexually explicit, hateful or otherwise objectionable material of any kind or information that contains a link to such objectionable material; b) Attempt to, or harass, abuse, or harm or advocate or incite harassment, abuse or harm of another person or group, including Scoot employees; c) Upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation (commercial or otherwise); d) Create a false identify or impersonate another person or entity in any way; e) Solicit or attempt to solicit personal information from other users of the Services; f) Restrict, discourage or inhibit any person from using the Services, disclose personal information about a third person on the Services or obtained from the Services without the consent of such person or collect information about users of the Services; g) Use the Service, without Scoot’s express written consent, for any commercial purpose, including, communicating or facilitating any commercial advertisement or solicitation; h) Undertake, cause, permit or authorize the modification, creation of derivative works, translation, reverse engineering, decompiling, disassembling or hacking of any aspect of the Services or any part thereof, or attempt to do any of the foregoing, except and solely to the extent permitted by these Terms, the authorized features of the Services, or by law, or otherwise attempt to use or access any portion of the Services other than as intended by Scoot; i) Gain unauthorized access to the Services, to other users’ accounts, names or personally identifiable information, or to other computers or websites connected or linked to the Services; 94 of 117 j) Reproduce, distribute, publicly display, publicly perform, sell, trade, resell or exploit any portion of the Services, use of the Services, access to the Services or content obtained through the Services, for any purpose other than expressly permitted by these Terms, including, by way of example and not limitation, by doing or engaging in any of the following without Scoot’s express written consent: i. framing, embedding and/or passing off User Content obtained from the Services in such a manner as to present them as originating from a source other than the Services; ii. copying, caching or reformatting any User Content for commercial purposes in any manner whatsoever, whether by copying to physical or electronic media for purposes of buffering delivery or converting transmissions from the Service to alternative delivery formats; iii. altering, defacing, mutilating or otherwise bypassing any approved software through which the Services are made available; and iv. using any trademarks, service marks, design marks, logos, photographs or other content belonging to Scoot or obtained from the Services. k) Post, transmit or otherwise make available any virus, worm, spyware or any other computer code, file or program that may or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment, or any other aspect of the Services or communications equipment and computers connected to the Services; l) Remove, disable, damage, circumvent or otherwise interfere with any security-related features of the Services, features that prevent or restrict the use or copying of any part of the Services or any content on the Services, or features that enforce limitations on the use of the Services or any content on the Services; m) Use any scraper, spider, cheats, exploits, robots or other automated means of any kind to access, modify or interfere with the Services, or harvest or manipulate data, except and solely to the extent permitted by these Terms and the features of the Services, deep-link to any feature or content on the Services, bypass any robot exclusion headers or other measures we may use to prevent or restrict access to the Services; n) Interfere with or disrupt the Services, networks or servers connected to the Services or violate the regulations, policies or procedures of such networks or servers; o) Violate any applicable federal, state or local laws or regulations or these Terms; or p) Assist or permit any persons in engaging in any of the activities described above. 8. INTELLECTUAL PROPERTY RIGHTS 8.1. Generally. The content made available on or through the Services, including without limitation, any text, software, graphics, photos, sounds, music, videos and interactive features, but excluding User Content, may be protected by copyright or other intellectual property rights and owned by Scoot or third party licensors of Scoot. No material made available on or through the Services may be copied, reproduced, republished, uploaded, posted, transmitted, or distrib- 95 of 117 uted in any way without written permission of the copyright owner. Modification of materials obtained from the Services, including, but not limited to, User Content, for any other purpose, including, without limitation, any commercial purpose, is a violation of the copyrights and other proprietary rights of Scoot or its licensors, unless you have obtained express written authorization to the contrary. All design rights, databases and compilations and other intellectual property rights, in each case whether registered or unregistered, and related goodwill are proprietary to Scoot. 8.2. Trademarks. All trademarks, service marks, logos and trade names on the Services, whether registered or unregistered, are proprietary to Scoot or to other companies where so indicated. You may not reproduce, download or otherwise use any such trademarks, service marks, logos or trade names without the prior written consent of the appropriate owner thereof. 8.3. No Implied Rights. There are no implied licenses granted in these Terms. 8.4. Feedback. You agree that Scoot shall acquire, and you hereby grant and otherwise transfer to Scoot, any and all right, title, and interest in and to any actual or suggested modifications, design changes, improvements, and other information regarding the features and performance of the Services you offer (“Feedback”) to Scoot, without the payment of additional consideration. 9. LINKS TO THIRD PARTY SITES As you use the Services you may notice links to Third Party Sites. These links are for convenience only. If you use these links, you will leave the Services. Certain of these Third Party Sites may make use of Scoot’s proprietary intellectual property rights (such as copyrights, trademarks, service marks, logos and trade names) under license from Scoot. Scoot is not responsible for the availability or content of these Third Party Sites or for any viruses or other damaging elements encountered in linking to a Third Party Site, whether or not Scoot is affiliated with the owners of such Third Party Sites. In addition, the provisioning of these links to Third Party Sites is not an endorsement or approval by Scoot of the organizations sponsoring such Third Party Sites or their products or services. These Terms do not apply to Third Party Sites, and you should review applicable terms and policies, including any relevant privacy policies, associated with any Third Party Sites, applications, software or services. YOU AGREE THAT SCOOT WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY SORT INCURRED AS THE RESULT OF ANY SUCH DEALINGS YOU MAY HAVE ON OR THROUGH A THIRD PARTY SITE OR AS THE RESULT OF THE PRESENCE OF ANY THIRD PARTY ADVERTISING ON THE SERVICES. 10. INDEMNITY You agree to indemnify, defend, and hold harmless Scoot and its parent, subsidiaries, affiliates, investors, sublicensees or any related companies, licensors and suppliers, and their respective directors, officers, employees, agents, representatives, contractors, and assigns, from all damages, injuries, liabilities, costs, fees and expenses (including, but not limited to, attorneys’ fees and court costs) arising from or in any way related to: (1) your use or misuse of the Services; (2) your User Content, including Scoot’s or any user’s Use of your User Content consistent with these Terms; (3) your breach or other violation of these Terms, including any representations, warranties and covenants herein; or (4) your violation of the rights of any other person or entity, including, but not limited to, claims that any User Content infringes or violates any third-party intellec- 96 of 117 tual property rights or other proprietary rights. Notwithstanding the foregoing, Scoot reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Scoot if Scoot, in its reasonable discretion, concludes that you are not adequately protecting Scoot’s interests or are incapable of protecting Scoot’s interests, and you agree to cooperate with Scoot’s defense of these claims. You agree not to settle any matter without the prior written consent from Scoot. Scoot will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it. 11. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, SCOOT AND ITS AFFILIATES, PARTNERS, LICENSORS, AND SUPPLIERS HEREBY DISCLAIM ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SCOOT, AN EMPLOYEE OR REPRESENTATIVE OF SCOOT OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN. SCOOT AND ITS AFFILIATES, PARTNERS, LICENSORS, AND SUPPLIERS DO NOT WARRANT THAT THE SERVICES OR ANY PART THEREOF, OR ANY PRODUCTS OR CONTENT OFFERED THROUGH THE SERVICES, WILL BE UNINTERRUPTED, OR FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS AND DO NOT WARRANT THAT ANY OF THE FOREGOING WILL BE CORRECTED. IN NO EVENT SHALL SCOOT OR ITS LICENSORS OR SUPPLIERS BE LIABLE IN THE AGGREGATE FOR ANY DAMAGES INCURRED BY YOU THAT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS OR (B) THE AMOUNT OF FEES YOU HAVE PAID SCOOT IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY. 13. IN SUCH CASES, YOU AGREE THAT BECAUSE SUCH WARRANTY DISCLAIMERS AND LIMITATIONS OF LIABILITY REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND SCOOT, AND ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SCOOT, SCOOT’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. YOU UNDERSTAND AND AGREE THAT SCOOT WOULD NOT BE ABLE TO OFFER THE SERVICES TO YOU ON AN ECONOMICALLY FEASIBLE BASIS WITHOUT THESE LIMITATIONS. 14. TERM AND TERMINATION 14.1. Term. These Terms, as amended, will be effective commencing with your first use, pre-registration or registration of the Services and will remain in full force and effect throughout your use of the Services. 14.2. Termination by Scoot. Scoot may terminate your use of the Services or any of our features or services at any time and for any reason, with or without notice, for conduct violating these Terms or upon Scoot’s sole determination. You hereby agree to Scoot’s broad right of termination. You agree that if your use of the Services is terminated pursuant to these Terms, you will not attempt to use the Services under any name, real or assumed, and further agree that if you violate this restriction after being terminated, you will indemnify and hold us harmless from any and all liability that we may incur therefor. 14.3. Termination by You. You are free to terminate your use of the Services at any time. You can simply choose to stop visiting or using any aspect of the Services. If you wish to terminate your account on the Services, you may do so by sending an email to hi@scoot.co or using any other account termination functionality that may be offered through the Services. 15. PRIVACY Use of the Services is governed by Scoot’s Privacy Policy at https://scoot.co/privacy, which policy is hereby incorporated into these Terms by reference. 16. JURISDICTIONAL ISSUES The Site and the Services are controlled and operated by Scoot from its offices within the State of California. Scoot makes no representation that materials on the Services are appropriate or available for use in other locations. Those who choose to access or use the Services from other locations, including from outside the United States of America, do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Access to the Services from jurisdictions where the contents or practices of the Services are illegal, unauthorized or penalized is strictly prohibited. 17. NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR OTHER INTELLECTUAL PROPERTY INFRINGEMENTS 17.1.1 If you are a copyright owner or an agent thereof, and you believe that any content posted on the Site or App infringes your copyrights, you may submit a notification pursuant to the Dig- 98 of 117 ital Millennium Copyright Act (“DMCA“) by providing our Designated Copyright Agent with the following information in writing (see 17 U.S.C. § 512(c)(3) for further detail): 17.1.1 A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; 17.1.2 Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works on the Site or App are covered by a single notification, a representative list of such works at the Site or App; 17.1.3 Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Scoot to locate the material; 17.1.4 Information reasonably sufficient to permit Scoot to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted; 17.1.5 A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and 17.1.6 A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. 17.2 The Scoot Designated Copyright Agent to receive notifications of claimed infringement can be reached as follows: Copyright Agent at Scoot Networks, Inc., 1077 Howard St., San Francisco, CA 94103, or by email at: hi@scoot.co. CHOICE OF LAW; VENUE Any dispute arising out of or relating to this Agreement or the breach thereof shall be governed by the federal laws of the United States and the laws of the State of California, USA for all claims, without regard to or application of choice of laws, rules or principles. The parties hereby consent to the exclusive jurisdiction of the state and federal courts in California, USA, for all claims and both parties expressly waive any objections or defense based upon lack of personal jurisdiction or venue. 19. MISCELLANEOUS 19.1. Waiver. A provision of these Terms may be waived only by a written instrument executed by the party entitled to the benefit of such provision. The failure of Scoot to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. 19.2. Severability. If any provision of these Terms shall be unlawful, void, or for any reason un- 99 of 117 enforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. 19.3. Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Scoot without restriction. Any assignment attempted to be made by you in violation of these Terms shall be void. These Terms will be binding upon and inure to the benefit of the parties hereto, and permitted successors and assigns. 19.4. No Agency. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Scoot as a result of these Terms or use of the Services. 19.5. Survival. The provisions of these Terms that are intended to survive the termination of these Terms by their nature will survive the termination of these Terms, including, but not limited to, Sections 4 (Service Security), 5 (Materials Submitted to the Services; License Grant from you to Scoot), 7 (Other Prohibited Activities), 8 (Intellectual Property Rights), 9 (Links to Third Party Sites), 10 (Indemnity), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Limitations; Basis of the Bargain), 15 (Privacy), 17 (Notice and Procedure for Making Claims of Copyright or Other Intellectual Property Infringements), 18 (Dispute Resolution), and 19 (Miscellaneous). 19.6. Headings. The heading references herein are for convenience purposes only, do not constitute a part of these Terms, and shall not be deemed to limit or affect any of the provisions hereof. 19.7. Entire Agreement. This is the entire agreement between you and Scoot relating to the subject matter herein and supersedes all previous communications, representations, understandings and agreements, either oral or written, between the parties with respect to said subject matter. These Terms shall not be modified except in a writing, signed by both parties, or by a change to these Terms made by Scoot as authorized in these Terms. 19.8. Disclosures. Scoot Networks certifies that upon permit approval our Membership Agreement will meet all SFMTA criteria. The Membership Agreement below reflects our current policy. SCOOT NETWORKS, INC. MEMBERSHIP AGREEMENT Membership Agreement Last Revised: October 11, 2017 THE SERVICES MADE AVAILABLE TO MEMBERS OF SCOOT NETWORKS ARE PROVIDED ONLY ON THE CONDITION THAT THE MEMBER AGREES TO THE TERMS AND CONDITIONS IN THIS MEMBERSHIP AGREEMENT (“AGREEMENT”) BETWEEN MEMBER AND SCOOT NETWORKS, INC. BY ACCEPTING THIS AGREEMENT OR BY USING THE SERVICES, MEMBER ACKNOWLEDGES THAT IT HAS READ, UNDERSTANDS, AND AGREES TO BE BOUND BY THIS AGREEMENT. IF THE INDIVIDUAL WHO SUBMITS AN APPLICATION DOES SO ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, THE INDIVIDUAL REPRESENTS THAT HE OR SHE HAS THE AUTHORITY TO BIND THAT ENTITY TO THE AGREEMENT. IF YOU HAVE ANY QUESTIONS REGARDING THIS AGREEMENT OR THE SERVICES, PLEASE CONTACT SCOOT NETWORKS VIA EMAIL AT HI@SCOOT.CO OR BY TELEPHONE AT (415) 3197020. “Agreement” means this Membership Agreement. “Application” means the Membership application process which must be completed on the Site or via the Apps in order to become a Member of Scoot Networks. “Apps” means the Scoot Networks proprietary software applications accessible via a mobile device or computer and by which members may access the Services. “Corporate Membership Agreement” means the agreement between a business or other legal entity and Scoot Networks to provide the Services to the employees or members of such business or other legal entity. “Effective Date” means the date on which your Application is approved by Scoot Networks. “Privacy Policy” means the privacy policy currently referenced at https://scoot.co/privacy, as it may be updated by Scoot Networks from time to time. “Rate Schedule” means the rate schedule currently referenced at https://scoot.co/prices, as it may be updated by Scoot Networks from time to time, and which is expressly incorporated herein by reference. “Rules Schedule” means the rules schedule currently referenced at https://scoot.co/rules, as it may be updated by Scoot Networks from time to time, and which is expressly incorporated herein by reference. 101 of 117 “Scoot” means the vehicle or other transportation device provided by Scoot Networks to Member in accordance with the Membership, including Scoots, Scoot Cargo, and “Scoot Quad”. “Scoot Networks” means Scoot Networks, Inc., a Delaware corporation with its principal place of business at 1077 Howard St. San Francisco, CA 94103, USA. “Services” means the Scoot Networks services as described in the Application and made available through the Site or the Apps. “Site” means the Scoot Networks web site located at https://scoot.co. “Member” means an individual that has submitted an Application, registered for a Member Account and been approved for Membership. “Member Account” means a web-based portal provided by Scoot Networks that is used by Member to manage its Membership, billing information and other Member information (e.g., name, address, email address, use privileges). “Membership” means a non-exclusive, nontransferable right to use the Services in accordance with and subject to the terms and conditions of this Agreement. “Membership Fees” means the agreed upon fees set forth in an Application, and as adjusted from time to time and described in the Rate Schedule. Membership Fees may be reduced or waived, depending on the Member’s initial sign up offer. “Membership Term” means the agreed upon time period set forth in an Application, and all subsequent renewal periods. “Orientation” means training provided by Scoot Networks, for no additional charge, to Members to orient Members with the Scoots and their appropriate use. The Services Membership. Contingent on Scoot Networks acceptance of Member’s Application, Member’s fulfillment of its payment obligations, and subject to the terms and conditions of this Agreement and the successful completion of Orientation, Scoot Networks will provide Member the Services as set forth in the Application for the Membership Term. Member may use the Services solely for Member’s own purposes (not for the benefit of any other person or entity) during the Membership Term, provided Member has paid and continues to pay any Membership Fees, if applicable. If a business or other legal entity has entered into a Corporate Membership Agreement, the Member’s covered by that Corporate Membership Agreement may use the Services solely for the purposes set forth in the Corporate Membership Agreement and Scoot Networks shall not be responsible for communicating such allowable uses to such Members. Purpose of the Agreement. This Agreement is a vehicle-sharing service subscription agreement between Scoot Networks and Member, but does not in itself confer any right of use of the Scoots. The Member may use Scoots belonging to Scoot Networks after registering and being approved for a Membership and paying any corresponding Membership Fees, if applicable. The Member does not, by this Agreement or otherwise, acquire any rights of ownership or control over Scoot 102 of 117 Networks, its operations or finances, or any vehicle or other transportation device made available for use by Members. Scoot Networks is the owner of the Scoot and any item it makes available to Member during the term of this Agreement. Changes to Member’s Membership. Scoot Networks retains the right to change, limit, or deny the Services to a Member for any reason at any time. Eligibility To be eligible for the Services, the Member must: Own or control a mobile device that is compatible with the Apps and the Scoots. Member is responsible for obtaining at its own expense all equipment and services needed to access the Services via such mobile device. Member understands that its wireless carrier may charge it certain fees for data, text messaging, and other wireless access or communications services. Scoot Networks does not guarantee that the Apps can be accessed through all wireless devices or service plans or are available in all geographical locations. Be at least 18 years old. Riders under 21 years old may be required to attend in-person orientation. To the extent permitted by law, agree to allow Scoot Networks to track Member’s movements whenever the App is running on Member’s mobile device. The use and collection of such information will be governed by Scoot Networks’ Privacy Policy. Scoot Networks may request Member feedback on their usage, experience, satisfaction and potential future interest in greater use or possible ownership of a low speed vehicle similar to Scoot Quad. Hold a valid driver’s license that authorizes the Member to drive in California; Have a driving history that meets Scoot Networks eligibility requirements, which may, in Scoot Networks’ sole discretion, be revised from time to time (current eligibility requirements can be found at https://scoot.co/whocanride); Deliver to Scoot Networks a fully complete Application, including an agreement to be bound by the terms of this Agreement, together with all documents requested by the Application, which shall be accurate and truthful in all respects. Submitting an Application authorizes Scoot Networks to obtain an applicant’s driving records from the jurisdiction in which applicant is licensed. Satisfying the eligibility criteria mentioned in Section 3.a. does not automatically give an applicant the right to become a Member. Acceptance of the person’s Application is subject to approval by Scoot Networks in its sole discretion. Security Deposit; Fees; Payment Security Deposit. Member may be required to pay Scoot Networks a refundable security deposit, dependent on their Membership, or because Scoot Networks determines (at its sole discretion) that the Member, or potential Member, may present a higher risk than other potential Members. No interest will be calculated or paid on any security deposit. Within 60 days following the termination of the Agreement, any security deposit shall be reimbursed to the Member, less any amounts owed to Scoot Networks by the Member under the Agreement. Should the security deposit be insufficient to cover the amounts owed, Scoot Networks reserves the right to take any actions necessary to recover the full amount and charge its Member any and all reasonable fees associated with its collection efforts. 103 of 117 Fees. The Member agrees to pay to Scoot Networks the Membership Fees (when applicable) and other charges and fees, in accordance with the type of Service Member has selected and as listed in the Rate Schedule as set forth at https://scoot.co/prices and hereby expressly incorporated into this Agreement by reference. RENEWAL: IF YOU SELECT A MEMBERSHIP PLAN THAT INCLUDES A MONTHLY MEMBERSHIP FEE, SCOOT NETWORKS WILL IMMEDIATELY CHARGE THE MONTHLY PAYMENT TO YOUR SELECTED PAYMENT METHOD FOR THE FIRST MONTH, AND WILL RENEW SUCH MEMBERSHIP AUTOMATICALLY AT THE END OF THE MONTHLY PERIOD, AND CHARGE THE MONTHLY MEMBERSHIP FEE FOR SUCCESSIVE MONTHS, UNLESS YOU CANCEL YOUR MEMBERSHIP, OR SELECT A DIFFERENT PLAN, WITHIN 30 DAYS OF SELECTING YOUR MEMBERSHIP PLAN. No Refunds. All fees relating to the Membership, including any Membership Fees, if charged, and other costs and fees as provided in this Agreement and the Rate Schedule are final and nonrefundable. If an application fee is required in connection with submitting an Application, such application fee is nonrefundable once Scoot Networks has paid to check the applicant’s motor vehicle record. Method of Payment. Member shall pay all fees and costs incurred when due, including application fees, Membership Fees (if applicable), and other costs and fees as provided in this Agreement and the Rate Schedule. Member agrees that Scoot Networks may charge Member’s selected payment method for any such payments. Scoot Networks accepts payments through payment methods detailed on the applicable payment screen, which may include various credit cards, Stripe, Square, and PayPal. Member may be asked to provide Scoot Networks with a credit card number from a card issuer that Scoot Networks accepts in order to activate and/or pay for any fees related to the Services. Pre-Authorization. Scoot Networks may seek pre-authorization of Member’s credit card account prior to a fee or cost becoming due to verify the credit card is valid and/or has the necessary funds or credit available to cover such fees or costs. Such pre-authorization may be in an amount up to the full replacement cost of a Scoot. These pre-authorizations will reduce Member’s available balance by the authorization amount until it is released or reconciled with the actual charge. Member should contact its card issuer if it has additional questions regarding when an authorization amount will be removed from a statement. Charges occur within a reasonable time of the transaction or shortly thereafter, and multiple charges during the same period may be aggregated together. Scoot Networks does not accept payment forms other than those specified on the applicable payment screen. Taxes. Member is responsible for paying any governmental taxes imposed on Member’s use of the Services, including, but not limited to, sales, use or value-added taxes. To the extent Scoot Networks is obligated to collect such taxes, the applicable tax will be added to Member’s bill. Disputed Charges. MEMBER AGREES TO SUBMIT ANY DISPUTES REGARDING ANY CHARGE TO MEMBER IN WRITING TO SCOOT NETWORKS WITHIN 30 DAYS OF SUCH CHARGE, OTHERWISE SUCH DISPUTE WILL BE WAIVED AND SUCH CHARGE WILL BE FINAL AND NOT SUBJECT TO CHALLENGE. Delinquent Accounts. Any Member Account which is delinquent will be suspended or terminated solely at Scoot Networks’ discretion. Any credit card which is rejected may result in suspension 104 of 117 or termination of Member’s Membership solely at Scoot Networks’ discretion. The Member must notify Scoot Networks in the event of the credit card on record being changed, expiring, or being no longer valid and replace it with a valid credit card. Scoot may seek third party assistance with unpaid or delinquent accounts if the Member does not pay outstanding charges. Damages; Liability Coverage; Collision Damage Fee Waiver Damages. Member is responsible for the first $500 of any damage caused to Scoot Networks’ property during the entire time a Member is responsible for a Scoot if such damage is determined to be the fault of Member or not otherwise attributed to a third party. Member is additionally responsible for the full cost of any damage caused to each and every third party and/or each and every third party’s property and/or person during the entire time a Member is responsible for a Scoot if such damage is determined to be the fault of Member or not otherwise attributed to a third party. Each and every claim for property damage or personal injury by each individual involved is paid separately with its own deductible. For damage to a Scoot Quad, the Member is responsible for the first $2,000 of any damage to the Scoot Quad. Scoot’s coverage is contingent on the Member paying any and all $500 deductibles per each claim. Liability Coverage. Scoot Networks provides liability coverage for damages arising from a Member’s use of Scoots if the Member complies with all rules and requirements of the Membership Agreement. The member agrees to use their own motor vehicle insurance as the primary insurance if available. The Member is required to pay for the first $500 of damages for each and every claim to any and all third parties for which the Member is liable, including separate charges for property and personal damages for each and every third party claim. Each and every claim for property damage or personal injury by each individual involved is paid separately with its own deductible. Scoot and our insurance provider offer coverage to the Member for up to $1,000,000 of third party liability. Damages beyond these levels, in addition to the first $500 of damages per claim mentioned above, are the responsibility of the Member. However, such liability coverage does not cover damage due to Member’s breach of this Agreement and in such an event Member will be responsible for the full cost of such damage. The Member must obtain a police report on the accident in order to benefit from Scoot Networks’ liability coverage or excess liability insurance. Scoot’s coverage is contingent on the Member paying any and all $500 deductibles per each claim that arises out of an incident. Collision Damage Waiver. To the extent that Scoot offers Members a Collision Damage Waiver (“CDW”) and Member purchases such CDW, the Member shall not be responsible for physical damage to the Scoot. Notwithstanding the foregoing, even with the purchase of a CDW, the Member will still be responsible for damages if: (i) the Member breaches any provision of the Agreement, or (ii) the Member fails to report collision damage to Scoot Networks and the local police in accordance with the Rules Schedule. Additionally, the CDW does not (i) cover damages caused by fire, theft, vandalism, or damage resulting from intentional or criminal acts, (ii) provide coverage to personal effects, (iii) provide any coverage to third parties, or (iv) cover the cost of returning the Scoot to Scoot Networks after repairs are made. Your own auto or umbrella policies or credit card coverage may provide coverage for damage to you, to Scoot Networks’ property or third parties. THE ELECTION OF OPTIONAL CDW COVERAGE FROM SCOOT NETWORKS MIGHT DUPLICATE, VOID OR CAUSE YOUR OWN POLICIES OR CREDIT CARD COVERAGE TO BECOME EXCESS COVERAGE. If Member is concerned about this, Member should check with Member’s insurer or credit card issuer. 105 of 117 Duties and Responsibilities of Member Orientation. Member agrees to complete Scoot Networks’ Orientation. Member’s Membership will not be activated until Member successfully completes Orientation. Successful completion is determined solely in Scoot Networks’ discretion. Acknowledgment. The Member declares to Scoot Networks that it has received all reasonable explanations of the content of this Agreement, the Rules and the Rate Schedule currently in force and that it has taken all reasonable and prudent measures to ensure that it has correctly understood all of its commitments and obligations. Driving Record. Member shall promptly notify Scoot Networks in the event that Member’s driver’s license is suspended, revoked or invalid or if convicted of driving under the influence of drugs or alcohol or while intoxicated, of reckless driving, or driving more than 20 miles per hour over the legal speed limit. Rules. Member agrees to follow all rules set out in the Rules Schedule as set forth at https://scoot. co/rules and hereby expressly incorporated herein. Reporting of Accidents and Cooperation. If, while Member is in possession of a Scoot, the Scoot is involved in an incident that results in injury or damage to a third party or third party property, Member must, as soon as possible, but in any event within 1 hour, notify 911 (if appropriate), contact the police and fill out an official police report, contact Scoot Networks immediately and provide the following information to Scoot Networks: Date, time and location of incident; Identification information for any other vehicles involved (e.g., license plate, vehicle identification number, make and model); Insurance information for third party vehicles involved (e.g., policy number, name, address and phone number of insurance agent); Contact information for third parties involved and owners of involved vehicles, if different (e.g., name, address, phone number, driver’s license number); Contact information for witnesses (e.g., name, address, phone number); Your insurance company’s information if you have a motor vehicle policy; and, Circumstances surrounding event. Member must not, without Scoot Networks’ prior written consent, make or give any offer, promise of payment, settlement, waiver, release, indemnity, or admission of liability in relation to the incident. In the event of injury or damage to a Scoot, a third party or third party property, Member agrees to cooperate fully with Scoot Networks’ investigation of such event and the defense of any resulting claim or litigation. If a Member fails to cooperate with Scoot in investigating or defending against a claim, then Scoot reserves the right to revoke coverage for third parties or any other claims against the rider. Member agrees that Scoot Networks or its insurer may at its own cost bring, defend, enforce, or settle any legal proceeding against a third party in Member’s name in relation to the incident. Indemnification & Limitation of Liability 106 of 117 Member agrees to indemnify, defend, and hold Scoot Networks harmless from all losses, liabilities, damages, injuries, claims, demands, costs, attorneys’ fees, and other expenses incurred by Scoot Networks arising from or related to Member’s use of a Scoot or any person permitted by Member to use a Scoot. Indemnification of Scoot Rental Locations. The Member agrees to indemnify and hold harmless third party garages or locations where Scoot Networks parks Scoots for Members to pick up, drop off, or otherwise operate during the course of their reservation or while present at said locations using the Scoot app and/or with any purpose associated with their Scoot membership. LIMITATION OF SCOOT NETWORKS’ LIABILITY. Except to the extent THAT ANY LOSS OR DAMAGE IS due SOLELY to Scoot Network’s Negligence: SCOOT NETWORKS MAKES NO WARRANTY EXPRESS OR IMPLIED AS TO ANY MATTER WHATSOEVER INCLUDING, WITHOUT LIMITATION, THE CONDITION OF A SCOOT, ITS MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SCOOT NETWORKS IS NOT LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF MEMBER’S USE OF A SCOOT. Scoot Networks shall not be responsible for any loss of, or damage to, any goods in or on the Scoot, including Member’s mobile device that is running the App, nor shall it be responsible for any loss or damage to third parties for the actions taken by any Member during the period Member is responsible for a Scoot. Membership does not guarantee the availability of a Scoot for use by Member. The use of Scoots by Members is subject to availability, on a first-come, first-served basis, and although Scoot Networks’ makes an effort to meet the demand for Scoots by Members, Scoot Networks cannot guarantee that supply will be adequate to provide a Scoot to Member at any given time. Scoot Networks cannot and does not guarantee the availability or functionality of a Scoot, whether or not reserved, and shall not be responsible for any direct, indirect, incidental or consequential damages or injuries arising from the reservation, non-availability, supply, operation or use of a Scoot, even if it has been advised of the possibility of such damages. Scoot Networks shall not be responsible for direct, indirect, incidental or consequential damages or injuries arising from the use of any Scoot accessories supplied by Scoot Networks (e.g., helmet, lock). The Member is responsible for the safe use of such accessories and must check their condition before each use. If any accessory is found not to be in good condition or working order, Member should not use such accessory and should promptly notify Scoot Networks and request a replacement. ANY USE OF A SCOOT THAT IS PROHIBITED BY THIS AGREEMENT VOIDS ALL INSURANCE, ACCIDENT, OR LIABILITY COVERAGES, INCLUDING ANY CDW (WHERE PERMITTED BY LAW); MAKES SCOOT SUBJECT TO IMMEDIATE RECOVERY BY SCOOT NETWORKS WITHOUT NOTICE TO MEMBER; AND MAKES MEMBER RESPONSIBLE FOR ALL LOSS OR DAMAGE TO, OR CONNECTED WITH THE SCOOT, INCLUDING SCOOT NETWORKS’ EXPENSES, TO THE EXTENT THAT SUCH LOSS OR DAMAGE IS DUE TO SUCH PROHIBITED USE. Scoot Quad – Use and Disclaimer of Warranty/Waiver of Liability The Scoot Quad, a Nissan New Mobility Concept, is a test low-speed vehicle temporarily import- 107 of 117 ed into United States for research and demonstrations. Member agrees to familiarize itself with Scoot Quad operation prior to use. Member acknowledges that the Scoot Quad is a test low-speed vehicle temporarily imported into United States for research and demonstrations and is not certified to meet the Federal motor vehicle safety standards applicable to low speed vehicles. Scoot Networks cautions Member to determine for itself the suitability of the use of the Scoot Quad/ Nissan New Mobility Concept for any purpose. Specifically, Members agree to observe the following precautions when using the Scoot Quad: Drive safely. Even driving within the speed limit, adjust driving behavior in order to drive safely according to road conditions. Drive with very careful attention to pedestrians and bicyclists. Be sure to look backwards before reversing, and reverse carefully. Ensure the vertical path of the doors are clear before opening or closing them. The low-speed vehicle doors are spring loaded and open fairly quickly. Hand placement after handle release is important to avoid trapping one’s hand against the plastic shield when inside the low-speed vehicle. Follow instructions to turn on the Quad. The procedure must be followed exactly, or the lowspeed vehicle will not turn on. Ensure the area surrounding the seat and seat runners is clear before adjusting the seat. There is no “Park” gear, so the hand brake must be engaged each time the vehicle is “parked”. There is no warning provided if the low-speed vehicle is left in Neutral without the parking brake engaged and the motor is turned off. Follow instructions on how to engage and disengage the hand brake. If there are any problems with the low-speed vehicle, park in a safe location and call the Scoot Hotline. Never touch the underside of the low-speed vehicle or any of the electronic parts of the vehicle. MEMBER ACCEPTS THE VEHICLES IN “AS IS” CONDITION. ACCORDINGLY, SCOOT NETWORKS, ITS AFFIILIATES, THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE USE OR PERFORMANCE OF THE VEHICLES. ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE HEREBY DISCLAIMED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. Nissan is explicitly deemed to be a third party beneficiary of this Agreement. Changes to the Agreement, Term, Notices Scoot Networks reserves the right to revise this Agreement in its sole discretion at any time and shall give notice to Member of such revisions. Notice will be considered given when the revised Agreement is posted to the Site or on the Apps or when sent by email to the Member email address on file with Scoot Networks. Any revisions to the Agreement are effective upon such notification. The Agreement will be identified as of the most recent date of revision. Member should 108 of 117 visit this page regularly to ensure its continued acceptance of this Agreement. Member’s continued use of the Services after any revision to these Terms constitutes its binding acceptance of the revised Agreement. Notwithstanding the preceding sentences of this Section 8, no revisions to this Agreement will apply to any dispute between Member and Scoot Networks that arose prior to the date of such revision. Term and Termination of the Agreement; Renewal. The Agreement shall be in force upon Scoot Networks acceptance of Member’s Application, payment of applicable fees, and completion of Orientation and shall remain in force until terminated pursuant to this Section 9 or as otherwise provided in the Agreement, as applicable. Termination by Member. Member may terminate this Agreement at any time without cause upon one week written notice to Scoot Networks. In order to be effective, notice of termination must be sent to Scoot Networks by email at hi@scoot.co. Termination by Scoot Networks. Without Cause. Scoot Networks may terminate this Agreement at any time without cause upon one week written notice to Member. For Cause. This Agreement shall be automatically and immediately terminated, upon written notice by Scoot Networks to the Member if the Member: is not paying its debts as such debts generally become due; becomes insolvent; files, or has filed against it, a petition (or other document) under any bankruptcy law or similar law that is unresolved within sixty (60) days after the filing of such petition (or document); proposes any dissolution, liquidation, composition, financial reorganization or recapitalization with creditors; makes a general assignment for the benefit of creditors; if a receiver, trustee, custodian or similar agent is appointed or takes possession of any of its property or business; or is convicted of a driving-related criminal offense (e.g., such as driving under the influence of alcohol or controlled substances, hit-and-run, reckless driving). Scoot Networks may, at any time, without notice, immediately terminate the Agreement if the Member fails to pay any sum due under the Agreement or the Rate Schedule. Operating a Scoot under this Agreement requires maintaining a good driving record, and therefore, Scoot Networks may, from time to time, check Member’s driving records and reserves the right to terminate this Agreement at any time, without notice, if Member’s driver’s license is suspended, revoked, invalid or if the Member is convicted of driving under the influence of drugs or alcohol or while intoxicated, of reckless driving, or driving more than 20 miles per hour over the legal speed limit. Scoot Networks may, at any time, without notice, immediately terminate the Agreement if the Member does not comply with any term or condition specified in the Agreement or the Site or Apps. In case of termination, the Member agrees to return immediately to Scoot Networks any Scoot, or any other article Member might have in its possession under the Membership. Member agrees to pay any attorneys’ fees, court costs or costs of other legal procedures necessary for Scoot Networks to recover any amounts due and owing, the Scoot or any other object the Member might have in its possession under this Agreement. Member shall be responsible for any fees or costs incurred up to and including the date of termi- 109 of 117 nation. Penalties. In addition to all its other rights and recourses set out in the Agreement, Scoot Networks reserves the right to impose service fees on the Member, in case of non-observance by the Member of any provision of this Agreement, in the manner and amounts specified in the Agreement and/or the Rate Schedule. Choice of Law; Venue. Any dispute arising out of or relating to this Agreement or the breach thereof shall be governed by the federal laws of the United States and the laws of the State of California, USA for all claims, without regard to or application of choice of laws, rules or principles. The parties hereby consent to the exclusive jurisdiction of the state and federal courts in California, USA, for all claims and both parties expressly waive any objections or defense based upon lack of personal jurisdiction or venue. The prevailing party to such dispute shall be entitled to recover its reasonable costs incurred in prosecuting or defending against such dispute, including its reasonable attorneys’ fees and experts’ fees. Notices. Member must provide any notice required in accordance with this Agreement via the Member Account or the following email address: hi@scoot.co. Scoot Networks’ routine communications regarding the Services and any legal notices will be sent to the Member either electronically (via Member Account, the Member email address on record or by text message to the Member’s mobile device using the number provided by Member), by United States mail or by courier, except that Scoot Networks may give notice of an amendment to the Agreement by posting the notice on the Site, the Member Account, or by email to the email address on record. By providing Member’s mobile telephone number to Scoot Networks, Member consents to receive text messages from Scoot Networks relating to the provision of the Services. Notices are deemed received as of the time delivered. Scoot Networks may periodically send Member messages of an informational or advertising nature via email. Member may choose to “opt-out” of receiving these messages by selecting the “opt-in” or “opt-out” link, as the case may be, at the foot of every such email, or by replying to a text message with the word STOP. Member acknowledges and agrees that notwithstanding Member’s request to opt out from such messages, Scoot Networks may still send and Member may still receive emails or text messages reasonably required for the proper conduct of the Services. If Member does not wish to receive any messages from Scoot Networks, Member must terminate its Membership and cease using the Services. Data Breach Notification. Notwithstanding Member’s determination to opt-out of receiving electronic messages or cease use of the Services, Member agrees that in the event an incident occurs in which a third party obtains unauthorized access to Member’s personal data provided to Scoot Networks, Member agrees that should Scoot Networks become legally obligated to provide notice of such unauthorized access Scoot Networks may provide such notice to Member electronically by using the email address or mobile telephone number provided by Member. Miscellaneous Provisions Privacy. Use of the Services is governed by Scoot Networks’ Privacy Policy located at https://scoot. co/privacy, which policy is hereby expressly incorporated into this Agreement by reference. Corporate Membership Agreement. Under this Agreement, an employee or member of a business or other legal entity has entered into a Corporate Membership Agreement shall be treated as a Member for purposes of this Agreement. The entity and such Member are jointly and severally responsible for their commitments to Scoot Networks and for any claim or other action Scoot 110 of 117 Networks might take against them. Assignment. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by Member, but may be assigned by Scoot Networks without restriction. Any assignment attempted to be made by Member in violation of this Section 13.b. shall be void. This Agreement will be binding upon and inure to the benefit of the parties hereto, and permitted successors and assigns. No delay or omission by Scoot Networks to exercise any right or power occurring upon any noncompliance or default by the Member with respect to any of the terms of this Agreement shall impair any such right or power or be construed to be a waiver thereof. A waiver by Scoot Networks of any of the covenants, conditions, or agreements to be performed by the Member shall not be construed to be a waiver of any succeeding breach thereof or of any covenant, condition, or agreement herein contained. Unless stated otherwise, all remedies provided for in this Agreement shall be cumulative and in addition to and not in lieu of any other remedies available to either party at law, in equity, or otherwise. Severability. If any part of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, the remainder of this Agreement shall be interpreted so as to reasonably affect the intention of the parties. The parties further agree to substitute for the invalid provision a valid provision that most closely approximates the intent and economic effect of the invalid provision. Force Majeure. Neither party will be liable for any delay or failure in performance to the extent the delay or failure is caused by events beyond the party’s reasonable control, including, a significant failure of the Internet, fire, flood, acts of God, explosion, war or the engagement of hostilities, strike, embargo, labor dispute, government requirement, civil disturbances, or civil or military authority. Entire Agreement. This Agreement constitutes the entire agreement between the parties hereto regarding the subject matter contained herein and the parties acknowledge that they have not relied on any promise, representation, or warranty, express or implied, that is not contained in this Agreement. Scoot Networks is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Scoot Networks. If there is a conflict between the terms of the Application or a Schedule and the Agreement, the Agreement will govern. Independent Contractors. Scoot Networks is an independent contractor and neither party is an agent of the other and neither party has the right to bind the other on any agreement with a third party. Headings; Captions. The headings and captions used herein are for convenience only and are not part of the Agreement. Date: [to be completed electronically] Signature: [to be completed electronically] 111 of 117 RULES SCHEDULE In addition to the rules and obligations set forth in the Membership Agreement, Members are required to abide by the rules set forth in this Rules Schedule. By becoming a Member, you are deemed to have accepted and agree to abide by the rules set forth below. Failure to abide by this Rules Schedule may result in suspension or termination of your Membership. Capitalized terms used herein, shall have the same meaning as given in the Membership Agreement. Who May Operate a Scoot Only Members in good standing may operate a Scoot. Non-Members are expressly prohibited from operating a Scoot. Subletting or re-letting of the Scoot to another person, even to another Member, is expressly prohibited. Only persons over the age of 18 years old may become a Member and may operate a Scoot. Persons under 21 years old may be required to attend an in-person orientation. Persons over 250 pounds may not operate a Scoot or Scoot Cargo, as such weight exceeds the maximum weight limit for a Scoot. Scoot Quad do not have weight limits. Only one person may ride a Scoot at a time, except Scoot Quad, which may carry one passenger in addition to the driver. Members without a motorcycle license (M1) or moped license (M2) are prohibited from renting a Scoot or Scoot Cargo in California for more than 48 hours at a time. Prohibited Uses Scoots shall not be used as follows: By anyone not wearing a helmet (except Scoot Quad, which does not require a helmet but does require wearing a seat belt); To carry a passenger, unless the member has a motorcycle license and the vehicle is designed to carry two people (scoot and scoot cargo, cannot carry passengers; Scoot Quad can carry one passenger in addition to the driver); To propel or tow any vehicle, trailer, or other object; To instruct an any person in the operation of a Scoot (send them to Scoot’s in-person orientation); To “lane split” in moving traffic – riding between lanes of traffic or lanes of traffic and parking in order to pass other vehicles while those vehicles are also moving; To ride in designated bicycle lanes; To transport animals of any kind or nature, living or otherwise; 112 of 117 During a race, competition or to perform tricks; For the primary purpose of transporting people or operating a taxi service; By a Member while under the influence of drugs or alcohol; During the commission of a crime or other illegal activity; In a negligent or abusive manner or for any use outside the scope of a Scoot’s intended purpose (violating a traffic law, or receiving a ticket in an accident is not automatically a violation of this provision, but may be an indication that a violation of this provision has occurred); By anyone who has provided Scoot Networks with false information in order to become or remain a Member; Outside the boundaries of the City of San Francisco, on the Golden Gate Bridge or Bay Bridge, on roads with speed limits over 35 MPH such as freeways or grade-separate highways, on unpaved roads, on sidewalks or in bicycle lanes; To carry over 40 pounds of cargo; While there is inclement weather, including heavy rain, snow, electrical storms or strong wind, which make it more dangerous to operate a Scoot; or While texting, emailing, using a cell phone, or otherwise using a mobile device other than to operate the Scoot that may distract from driving safely or otherwise engaging in any activity that may be prohibited by law. The foregoing list is not intended to be exhaustive and any unreasonable or inappropriate use of a Scoot, as determined by Scoot Networks in its sole discretion, or any violation of law will be deemed to be a violation of this Rules Schedule. Reserving Scoots Scoots are available to Members on a first-come-first-served basis or via reservation. Members using a Scoot on a first-come-first-served basis will be billed for the time they use the Scoot according to the Rate Schedule. If a reservation is made available by Scoot Networks, Members shall make such reservation via the Site or an App in advance of use and will be billed at the time of the reservation. Reservations can be extended via the Site or App. Members may cancel or change an existing reservation via the Site or App until fifteen minutes after the reservation was made. Scoot Use Member must return the scoot to a Scoot location with available parking selected via the app, secured, clean and in good working condition, and plug the scoot into a power outlet if one is available at the Scoot location. 113 of 117 Member is responsible for ensuring that a Scoot retains enough charge to be returned by Member to its designated location during a Member’s use of such Scoot. If Member fails to so ensure, Member will be solely responsible for the reasonable cost incurred by Scoot Networks to return the Scoot to its designated location. Prior to taking possession of a Scoot, Member must inspect the Scoot for evidence of damage and disrepair (e.g., obvious dents, flat tires, out of service brake lights, turn signals, and working brakes). If any damage or disrepair is discovered, Member must notify Scoot Networks immediately to avoid being held responsible for such damage or disrepair. If Member fails to report any evidence of damage prior to using the Scoot, Member may be liable for the cost of repairing the Scoot. For Member’s own safety, Member is prohibited from operating a Scoot if any of the following equipment is not in good working order: tires, brakes, lights and signals, or mirrors. Members are responsible for all charges and costs incurred, and any damages, related to the Scoot from the time a Member activates a Scoot until the Scoot is returned and secured at its designated location. Members must operate the Scoot in accordance with the Orientation received and any operation manuals provided by Scoot Networks. Member must notify Scoot Networks immediately in the event that the Scoot: malfunctions; is damaged; or is stolen. In the event that, through no fault of Member, the Scoot malfunctions or is damaged to an extent that it is no longer serviceable and Member is no longer able to return the Scoot to its designated location or the Scoot is stolen, the Member may use an alternate form of transportation, like a taxi, and Scoot will give the Member ride credit of up to $10. Member is responsible for any violations, including but not limited to traffic violations incurred, including fines for late payment and any processing fees, due to Member’s use of a Scoot. Member agrees to pay for all violations incurred. Such violations must be reported to Scoot Networks as soon as reasonably possible, but in any event, in advance of the deadline to respond to the notice of violation. If Member fails to pay for any violations incurred, and Scoot Networks pays such violations, member agrees that Scoot Networks may charge member’s payment method on record in accordance with the Agreement. RATE SCHEDULE This schedule will be changed from time to time as Scoot Networks makes changes to its service without advance notice. Members are responsible for reviewing the price estimates before riding and reviewing changes to ride costs emailed, posted in the app, or otherwise communicated to the Member. Ride estimates are based on the first 30 minutes of a Member’s ride only. Please refer to scoot.co/prices for the most up to date rates. Members may be charged a one-time signup fee that currently varies from $0-79. Use Fees: For rides on Scoots and Scoot Cargos 114 of 117 Prices usually range between $3 and $5 for up to 30 minutes, $0.10 per minute afterward. Prices are variable based on the Scoot’s charge level, the Member’s parking destination, the time of day, availability of Scoots, and other relevant factors. Some rides may be further discounted based on Scoot’s discretion. Fees and Penalties Not plugging your scoot in: $10. If you don’t plug in your Scoot and you could have at the Scoot location where you parked it, it won’t be ready for another person to ride, which is bad for them and bad for Scoot, so we will charge you a $10 fee to plug it in. In cases when you can’t plug in, you will not be charged. Parking citations or traffic violations during or after your scoot trip: +$10. You are responsible for any parking citations or traffic violations that occur as a result of your use of a scoot during your ride or after you drop off. If you get a ticket and know it, please go ahead and pay it, and let Scoot know. Otherwise, Scoot will get a bill and we’ll add the ticket to your account, plus a $10 service fee. If you attempt to dispute a ticket with the issuing authority, you must pay Scoot first and we’ll refund the payment only if you’re successful in your dispute. Please know that Scoot gets notices of citations in bulk and it may take more than a month before we notify you of your citation. When in doubt, park carefully. Parking at a Scoot Spot or Scoot Garage without reserving your space: $50. If you do not use the app to reserve your parking space at a Scoot location, you might be parking in someone else’s space, and we may have to move your scoot for you, so we will charge you a $50 fee if the vehicle is a scoot or scoot cargo. We will charge a $50 fee if it is a Scoot Quad. Ending your ride on the street outside of a Blue Zone: $50+. If you end your ride and leave your scoot on the street outside of our designated on-street parking areas (Blue Zones on the map in the app), we will have to go get it and bring it back, so we will charge you a fee for that. You are responsible for any tickets or parking violations on that scoot until we retrieve it. Leaving your scoot unlocked: $25. If you forget to lock up your Scoot (including the seat, helmet box, and handlebars or center stand), the scoot could get stolen, which is bad. We will charge you a $25 fee for re-securing your scoot. Getting towed: $400+. You are responsible for paying tickets and towing fees that occur as a result of your use of a scoot during your ride or after you drop off. You will have to pay any tickets and towing fees — usually more than $400 (yikes!) — plus a $50 fee for us to rescue the scoot from the tow lot. You will be charged right after Scoot pays the towing fee and parking citation. If you dispute the towing charges with the authority that towed the scoot and you succeed, Scoot will refund your towing fees and any citations if you provide proof. Don’t get towed! Safety violations: $25. If you ride without a helmet, carry a passenger, let someone else ride your scoot, or use your scoot in any other way that is unsafe to you or others, including moving violations while scooting, we will charge you a $25 fee and may limit your use of the service. Lost or Damaged Equipment Costs: Lost/damaged helmet: $75. If you lose or damage a helmet to a scoot, or accidentally take a hel- 115 of 117 met home with you after your ride, we will charge you $75 per item to replace it. If you return the helmet you will only be charged for the scoot rental time between when you took the helmet and when it is returned. Running out of juice in a Scoot Quad: $200. If you run out of battery and can’t get your Quad back to a Scoot garage, we will have to tow it and we will charge you $200. Damage Fee/Deductible: Up to $500 per Scoot or Scoot Cargo, $2,000 for Scoot Quad. Accidents happen. If you report the damage to Scoot and pay your deductible(s), then we will not charge you more than these amounts (and usually much less). We don’t make money on repairs and often give Members discounts. Damage fees/deductibles for scoots do not include deductibles for third party injuries or property damage, which also have a $500 deductible for each claim. Scoot’s coverage is contingent on the Member paying any and all $500 deductibles per each claim that arises out of an incident. Stolen Scoot: If your Scoot is stolen during your rental and we are unable to recover the vehicle through our tracking technology or other means, Scoot Networks may charge you $500 for the scoot or scoot cargo, or $2,000 for Scoot Quad. If your Scoot is stolen due to your actions, you may be liable for up to $5,000 (for a scoot or scoot cargo) or $10,000 for Scoot Quad. 116 of 117 4 Thank you! -Team Scoot 117 of 117
