We realize that electric scooter sharing is a new phenomenon, and we are excited to potentially play a role in shaping its evolution in a way that achieves goals and that benefits all stakeholders. We believe Ridecell would be a very strong partner for the city in this scooter sharing pilot program. We would contribute a unique perspective, likely very different from the pure play scooter sharing operators who recently launched in the city. Our perspective comes from our wide-ranging experience in the new mobility services sector, and our track record of working collaboratively with city and state regulatory agencies. Ridecell?s software has enabled over 20 million on-demand ridesharing trips to date, with customers including: 0 University and corporate campuses, such as UC Berkeley, USC and Google 0 Minneapolis area Southwest Transit?s Southwest Prime service 0 The pilot with the Santa Clara Valley Transportation Authority Our software has_also launched highly successful carsharing services for top US. and global organizations, including: Gig service in Oakland and Berkeley (500 cars) I ReachNow service in Seattle, Portland, and New York (>1,000 cars, including electric cars) - Renault and Ferrovial?s joint venture Zity service in Madrid (500 electric cars) Beyond expertise developed as a technology provider, we have also developed deep operational and marketing expertise from three years of running Summon, our consumer ridesharing service in San Francisco. Through Summon, we worked closely with the CPUC to help define the criteria for a TNC license. We were then awarded the first TNC license in California, before Uber or received theirs. Further enhancing our operational experience - a significant percentage of our employee population has served previously in consumer carsharing and ridesharing companies. In 2012, we worked closely with the SFTMA (Donovan Corliss, Travis Fox and others) to get their input and consensus before launching our ridesharing service. And we changed our name from lnstantCab to Summon when we were asked not to include ?cab? in the name of our service. This combination of experience in running our own mobility service and serving as a strategic technology partner to commercial scale mobility service providers has helped us evolve and improve our technology. Our platform now provides a rich set of features that deliver significant benefits to both the end user and to the mobility service operator. Thus, while new to scooter sharing, our robust platform can easily be adapted for this purpose. Throughout our experience at Ridecell and even earlier when we were running Summon, we saw the importance of understanding complex usage patterns between different mobility options. This information could not only help cities plan their future infrastructure needs better but may also help operators understand how to optimize their fleet assets. For example, in 2013 we launched the first partnership between a carsharing and ridesharing company when Summon partnered with BMW DriveNow in San Francisco. This partnership enabled Summon drivers to use all electric BMW's at a discounted hourly rate during times of otherwise low carsharing demand. This leveraged the differences between peak demand for carsharing vs ridesharing services and it created a win-win for both Summon and DriveNow. As the market for scooter sharing evolves, our intention is to similarly seek to identify natural connections with a broader range of mobility options (both public transit and private mobility services) that could enable improved overall system efficiency. In seeking to enter this San Francisco scooter sharing pilot our goal (if awarded a permit) would be to partner with you to jointly explore more innovative approaches than we have seen to date, including: 0 Providing a broader range of pricing options packages with lower per minute prices) than currently on the market. These may be especially helpful to city residents who could use the scooter for longer trips than non-residents who use the service only for first mile and last mile trips. - Enabling the creation of different user groups, with different service characteristics. For example, we are proposing providing a 50% discount to low-income residents and to city employees for city business trips. 0 Focusing our recruiting efforts for scooter recharging and repositioning contractors on low- income residents and on local mom?and-pop small businesses. This could both create opportunities for disadvantaged residents and engender a tighter connection to the local community that in turn would deliver multiple benefits. 0 Partnering with a local carsharing provider to provide low cost overnight car rental options for residents seeking to become contractors but who lack access to a car. 0 Providing real?time usage information to the city through our data pipeline service, which could be helpful in areas such as managing special events, coping with major transit disruptions, and optimizing multiple transportation services. We devel0ped this proposal based on our current understanding of needs but have flexibility in modifying it to best align with your evolving needs. Pricing Structure The scooter sharing companies that launched in San Francisco in the spring of 2018 all used the same one-size-fits-all pricing model: a base rental of $1 plus $0.15 per minute. At Ridecell, we believe a wider range of pricing models is needed and our experience across a broad range of new mobility services has led us to develop a very flexible pricing model. We believe the following approach would serve as a good starting point: 0 Since our registration process includes scanning the user?s driver license, we can verify they live in a disadvantaged community. 0 To identify disadvantaged communities, we are open to using definitions provided by San Francisco Municipal Transportation Agency or other City agencies. As a starting point, we propose using the definitions in California Senate Bill 535 and Assembly Bill 1550. These criteria have been used in other new mobility services projects (such as Electrify America in Sacramento) to target investments that help disadvantaged communities. Garmin, For low-income users who live outside these designated low-income areas and would therefore not automatically qualify for the affordability membership based on their address, the user can send us proof of Calfresh, Care, or Muni Lifeline membership as a proxy for the affordability membership. For users who lack credit or debit cards and/or otherwise wish to pay in cash, we propose the following approach: - Users can purchase a pre-paid credit card using cash. . While there are fees that reduce the value of cash added to the pre-paid card, we are offering substantial discounts on ride prices for low-income residents that will offset the impact of these pre-paid card fees. B. Scooter Availability and Service Area Hours of operatio we plan to conduct scooter operations between 7:00am and 8:00pm local time. We also plan to offer a customer service center that is available 24 7 to cover calls from either users or contractors. Storage of scooters during non-operational hours we plan to use contractors to pick up scooters that need to be recharged, recharge them overnight, and distribute the fully charged scooters to the service area by 7:00am the next morning. Proposed fleet size and service area at launch we understand the SFMTA is allowing up to 5 operators to operate up to 1,250 scooters in the first six months (250 scooters per operator if distributed evenly). Given this constraint, we propose to conduct a beta with 25 scooters, then ramp up to a commercial launch with a fleet of 250 scooters. Our commercial launch service region has been selected to address the following objectives: 0 Achieving a reasonable density such that users will be able to find a scooter within a short walk. 0 Serving high demand areas in order to generate the revenue needed to fund the service. 0 Including low-income and disadvantaged areas in order to support the broad community of users. The area in the map below outlined in green is our proposed Service Region at launch. It focuses on the Northeast section of the city, and includes: 0 In blue: AB 1550 low-income communities 0 In gray: Both SB 535 Disadvantaged Communities and AB 1550 Low-income Communities 0 In purple: AB 1550 Low-income Communities within a 1/2 mile of a SB 535 Disadvantaged Community Impact on Deployment Depending on Number of Scooters We Are Permitted If we are permitted more than the 250 scooters, we would consider expanding to the west, thus including the low-income areas of the Richmond and Outer Richmond districts. If we are permitted less than 250 scooters, we would shrink the proposed Service Region by shifting the western boundary to the east. Method for Deploying and Redistributing Scooters We will use independent contractors to deploy and redistribute scooters after recharging them overnight. Our deployment plan will incorporate the following practices: 0 After recharging overnight, our contractors will distribute scooters to areas of high demand in the morning. 0 Ensure that our entire Service Region is covered, and a minimum density of scooters is achieved across all neighborhoods. This will ensure that low?income neighborhoods are still served if the demand in these neighborhoods is below average. 0 During the day, we will use contractors to redistribute scooters to areas of higher demand as needed. Areas Where Users Are Allowed to Deposit Scooters Our technology platform and apps provide us with tight controls over areas where users are allowed to end their scooter rentals. We will add exclusion regions to prevent users from leaving scooters parked in areas where they are not allowed in a private parking lot, at the Caltrain station, etc.). We will also provide space in several strategically located private parking lots where the scooters can be picked up and dropped off by users, and where our contractors will deliver them when repositioning. C. Plan for Safe Riding and Storage of Scooters Proposed Approach to Compliance with Laws As with all of our services, one of our key focus areas will be in ensuring safety for our users and the general public. We will remind users of the importance of complying with laws that prohibit riding motorized scooters on sidewalks and safe parking of scooters at several customer touch points: 0 In the initial registration process, where we will provide education in our mobile app 0 When the user sees a scooter, there will be visible reminders on the scooter itself 0 When the user starts a rental, we will have reminders in our mobile app Education, Incentives, Training, Scooter Modifications and Notifications Beyond the education mentioned above (at registration, at start of each rental), we will also provide FAQ's that explain why following these laws is important in an effort to have users internalize a commitment to comply. We plan to add the following gamification solutions: - Riders would be asked to commit to stay off sidewalks at the beginning of their ride in return for a modest credit, and then asking them to report at the end of the ride if they were successful in doing so (relying on honor system). 0 Riders will be offered the opportunity to snap a selfie at the beginning oftheir ride to confirm that they are wearing a helmet in exchange for a modest credit (see screenshots of mobile app). How We Would Monitor Compliance and Address Noncompliant Users Regarding parking, we plan to have users take a photo of their scooter when ending the rental to confirm that it has been parked appropriately. By itself, this will encourage proper parking. And we will monitor these photos for non-compliance. Regarding driving on sidewalks, we are exploring how GPS technology and/or vibration technology (vibration patterns are different on sidewalk vs. street) could potentially help in monitoring (and preventing) users from riding on sidewalks, though these are not current capabilities. Additional Measures if Initial Approach Doesn?t Achieve Desired Levels of Compliance If additional measures are needed, we would evaluate more intrusive mechanisms. For example, this could include requiring users to commit to abiding by the rules at the start of each rental or requiring users to watch a short video and then answer questions about the content. Our goal is to help incentivize users to do the right thing, rather than trying to simply penalize them. However, if necessary, when we get validated reports of repeat violations, we can block the user from our service. Ensuring Customers Have a Valid Driver License As part of our new user registration flow, the user must scan in their driver license and take a selfie. The driver license is then checked to ensure its validity, and the photo on the license is compared to the user?s selfie to confirm their identity. We will also use this information to ensure that the user is at least 18 years old. D. Scooter Recharging Plan How Scooters Will Be Recharged We plan to use contractors to pick up scooters that need to be recharged, recharge them overnight, and then redistribute the fully charged scooters by 7:00am the next morning. Our operation will incorporate the following practices: 0 Our contractors will have a mobile app that shows the location of scooters that need charging - We will work with a local carsharing partner to provide a low cost, overnight micro-lease for contractors who lack their own vehicle 0 Contractors will be equipped with charging cords that can handle multiple scooters and will charge them at their home (or office if a small business) 0 After recharging overnight, our contractors will distribute scooters to areas of demand in the early morning 0 The target deployment locations will be chosen to ensure that our entire Service Region is covered, and a minimum density of scooters is achieved across all neighborhoods. This is important so that that low?income neighborhoods are still served if the demand in these neighborhoods is below average During the day, we may use contractors to redistribute some scooters to areas of higher demand as needed. How We Know When Scooter Needs to Be Recharged Our scooters have battery level meters and will be connected through the cellular phone system to report their battery level. Depending on the scooter location, we will set thresholds for what level of remaining battery life would require recharging. in areas with steep hills, we plan to set a higher threshold than in areas where the ground is level. How Independent Contractors Will Be Used Independent contractors are a vital element in our overall business system. It is in our best interest to create a professional and stable contractor workforce and avoid contractor turnover. Thus, we will: Recruit and vet contractors carefully (including checking their driving record) Provide robust training on a continuing basis Monitor contractor performance Provide feedback to help them improve We will focus on recruiting low-income contractors, as well as small businesses within our Service Region. Doing so will create multiple benefits, including: Providing income generating opportunities to low-income SF residents Creating incremental revenue streams for small businesses Building channels to create awareness in the community among potential end customers Establishing a local flavor to our business, which will engender a sense of ownership in the service that can lead to contractors and users taking better care of the scooters Our incentive structure will be based on the location and degree of difficulty of retrieving scooters for recharging and/or repositioning: 0 $5.00 for scooters that are easy to retrieve $10.00 for scooters with medium difficulty to retrieve - $15.00 for scooters with a high degree of difficulty to retrieve How We Will Minimize Potential Negative Impacts While seemingly simple, this is actually a complex business and we will continually monitor key issues and work to resolve them systematically. To prevent issues in the first place, we plan to proactively: 0 Provide our contractors with extensive training on how to safely recover scooters left on private property, educating on need to follow parking rules when retrieving or dropping off scooters, etc.) 0 Provide our contractors with shirts, hats, and identity badges that identify them as working for us, so that when they need to enter private property to retrieve a scooter a front ya rd), they don?t cause undue alarm for the property?s residents 0 Provide the city with a list of our contractors, and their vehicles, so that the city can notify us to take corrective action with contractors who may be blocking bus stops, generating parking tickets, etc. Tracking of Vehicle Miles Generated We plan to use our mobile app to collect data that will enable us to track the mileage accumulated by our contractors in the collecting, recharging, and redistributing process. E. Maintenance, Cleaning and Zero Waste Plan How We Will Know When Scooter Needs Maintenance We will use a multi-faceted approach to understand when a scooter needs maintenance: 0 We will track the usage of each scooter, so we understand how much mileage is being accumulated and use this to plan for routine preventive maintenance 0 Our mobile app has a feedback system where users rate their experience at the end of every ride thus providing users the opportunity to report any maintenance issues 0 Our contractors who recharge and reposition the scooters will be trained on how to inspect the scooters to identify maintenance needs 0 We will also identify scooters that are never rented even though located in high demand areas, as a possible indicator that they need maintenance Approach to Maintenance, Cleaning, and Repair of Scooters Once maintenance needs detected, our contractors will perform basic maintenance, cleaning and simple repairs. More complex repairs will be handled directly by us in our San Francisco office. Scooter lifespan is highly dependent upon proper usage, and we will make every effort to train end users on proper use, and to build a sense of community among frequent users such that they are personally committed to proper use avoiding abusive practices). Battery lifespan is dependent upon the number of recharging cycles, which we will track at the individual scooter level. We will be using scooters that have regenerative braking capabilities, which will help to extend battery life. San Francisco's Zero Waste Policy As described above, we plan to have rigorous processes for maintaining and repairing our scooter fleet, so as to prolong useful life and prevent unnecessary waste. However, we realize that abuse sometimes happens, and we will stock the spare parts needed to quickly repair and return damaged scooters to the active fleet. Also, we plan to remarket the scooters before they reach the end of their useful life, likely at around 80% of their useful life span. Since the average owner would put much less usage on the scooter than when shared across many users per day in a service like ours, this will greatly extend the duration of the scooter life compared to leaving it in our scooter sharing service for its full lifespan. 10 However, for those scooters that are damaged beyond repair and can?t be remarketed, we will endeavor to strip them of any parts that can be reused as spares and recycle the remaining materials as appropriate. We will pay close attention to ensuring that batteries are recycled appropriately. Size of Fleet to Maintain Given Number of Active Scooters While many maintenance and simple repair processes will be conducted during the overnight recharging process, and thus minimizing downtime, other repairs will take longer. And some scooters will be difficult to retrieve on the first attempt. We estimate that having 5% additional capacity is needed to maintain active capacity. Thus, to have an active fleet of 250 scooters, we plan to have a total fleet size of 265 scooters. F. Hiring and Labor Plan Initially, Ridecell envisions a need for the following hired staff if selected as an operator: 1 General Manager 1 Marketing Manager 1 Customer Service Manager 1 Customer Service Associate 1 Fleet Manager 1 Fleet Maintenance Technician 1 Finance Manager 1 Manager of Local Partnerships Contractors Beyond our direct staff positions listed above, we estimate that we would create 20 jobs for recharging contractors with a deployment of 250 scooters, and 40 jobs with 500 scooters. Each contractor would recharge ~15 scooters per day, with a mix of $5 and $10 per scooter likely amounting to earnings of $90 per day for part time work. Contractors would have the opportunity for additional hourly earnings when serving as our brand ambassadors in the community. Our Automated Fleet Management tool will also enable our contractors to work efficiently, mapping out the optimal sequence of scooter pick up. This will help contractors minimize their time and maximize their effective hourly earnings. We also realize that potential contractors may lack a data plan on their smartphone, and we plan to offer subsidized data plans for our contractors, which will have the additional benefit of helping to connect the unconnected. Ridecell is an EEOC company that aligns with local city, state and country employment requirements. We post our new jobs externally and track applicants through Greenhouse. We interview qualified candidates in terms of experience, skill sets, and culture fit teamwork, communication skills, etc). We pay above minimum wage and comply with hourly employment requirements. We perform standard 11 background checks on all employees using the service ofa 3rd party, Checkr. And Ridecell provides training for all staff and contractors. G. Community Outreach Plan Our community outreach program will be organized around stakeholder groups and our objectives with each group. Our objectives include: Informing: creating awareness of our program, its benefits, and our strategies for mitigating potential impacts 0 Consulting: capturing feedback from stakeholders about how we can improve the service - Engaging: promoting the use of scooter sharing systems, especially in low income communities We will conduct community outreach through our marketing programs as well as ?brand ambassadors" working directly in the neighborhoods. We view outreach as being important notjust to prevent or address any potential community issues, but also to stimulate demand for our service particularly in underserved communities. As mentioned above, we will focus on recruiting low-income contractors, as well as mom-and-pop small businesses within our Service Region to pick up, recharge, and deploy the scooters. We will also will use this team as brand ambassadors, train them to be able to articulate the benefits ofour program, and arm then with answers to They will be paid on an hourly basis for their brand ambassador activities, which will include: 0 Attending community events local block parties, farmers markets, holiday events, etc.) to provide community members with information about our program, answer their questions, etc.) 0 Scheduling and conducting meetings with local resident neighborhood leaders and community benefit organizations to explain our program and capture feedback on any issues 0 Hand out informational flyers, with promotional offers for trial usage, with a focus on low- income communities 0 Conducting "safe scootering" sessions in the community to provide best practices to avoid accidents or injuries - Placing posters in small businesses and public bulletin boards for safe scootering (please see example Be Free poster at Exhibit A) Meeting with small business owners in commercial districts to explain the program and get their feedback on how it could be improved 0 Highlighting our ?refer a friend? program, that provides ride credits to individual who refer a friend once the friend makes their first ride 0 Highlighting our 50% discount available to low?income city residents (even those who live outside of our initial Service Region), and the simple qualification procedure (address based, per earlier discussion, if permitted by the city) This brand ambassador team will come from the community, and therefore have language skills representative of the community, as well as a good understanding of any cultural sensitivities. Our basic posture in dealing with cities is to be pro-active. And we changed our name from lnstantCab to Summon when we were asked not to include ?cab? in the name of our service. 0 More recently, when we recently wanted to conduct some testing with our autonomous vehicles on Treasure Island, we reached out to Rachel Hiatt of the SFCTA for permission. She let us know from that meeting that we did not need permission from the city touch with Elizabeth of the Treasure Island Development Authority. But we were glad we asked. The vehicles used via the Services are equipped with vehicle tracking and anti-theft technology that uses Global Positioning System (GPS). GPS is a network of satellites that allows us to determine the location (latitude and longitude) of the vehicles used by you during your reservation. Additionally, the vehicles have an on-board device that may monitor the state of the vehicle from moment to moment whether in a reservation or not. The information may include its location and driver behavior monitoring such as crash detection factors or rate of braking or acceleration. This information is transmitted to Ridecell and stored. Ridecell uses this information for a variety of important purposes. For example (but not limited to) we may monitor or store vehicle or GPS data to help you find a car you have reserved, to assist with roadside assistance, to assist in making a car available at the place and time you have reserved, to improve our service, to assist us in enforcing our legal rights, or to locate lost or stolen vehicles. If you contact a driver via the Services, we collect information about your communications via phone call and text messages with drivers that you connect with using the Services. Such information may include the date and time of the communication, phone numbers, and/or content of messages. If you permit us to access your address book on your device, we may access, use and store this information to enable interactions that you initiate while using the Services or for purposes stated at the time you provide consent. WHERE WE STORE PERSONAL INFORMATION Ridecell maintains servers within the European Union and the United States of America and we may choose to maintain servers in additional countries without notice. Information of customers physically located in the US will be maintained on servers located in the US. POSSIBLE TRANSFER OF PERSONAL INFORMATION TO THIRD PARTIES Ridecell shares information with third parties outside of Ridecell in various limited circumstances such as when it is necessary to provide the certain features and functionality of the Services, fulfill a transaction you have requested, offer you personalized services, verify your identity, perform database monitoring, provide customer support, provide data storage services, assist with the transmission, display and analysis of data or in other circumstances that are permitted by law and consistent with the purposes for which we collected the information. Such third-party identification credentials authorization company may store these images and information. In addition, if you are associated or affiliated with another primary account (for example, if you are an associate member or affiliated with the account of a business or university or offering of the Services), the primary account holder or the provider of our Services (such as a business or university) will generally have access to certain information regarding your account or your use ofthe Services, including specific reservation details. In addition, if you use certain of the Services, certain information regarding your account may be shared with other users of such Services to whom you give permission/who are in your contact list. We may disclose your personal information in connection with a corporate transaction, proceeding, or reorganization involving the business activities for which the information was collected and is maintained. In the event that ownership of Ridecell or its business was to change as a result of a merger, acquisition or transfer to another company, your personal information may be shared or transferred. Ridecell may disclose your personal information, including location/GPS data, in response to legal process (for example, a court order, search warrant or subpoena) or requests from law enforcement or regulatory authorities; in other circumstances in which Ridecell believes the Services or our vehicles are being or have been used in violation ofour policies, applicable law or otherwise in the commission of a crime; when we have a good faith belief that there is an emergency that poses a threat to the safety of you or another person; or when necessary to protect the rights or property of Ridecell or third parties. In addition, Ridecell may also share information about you and your use of the Services with law enforcement officials or third parties in connection with traffic and parking violation citations, accident reports, tolls, and other citations, violations, fines or similar items and/or to comply with law or requests by law enforcement or governmental agencies. We may share your information with third party drivers employed by third party entities or transportation companies who use our Services. In addition, we may share your information with our customers and partners who offer the Services directly to you, as applicable. INDEPENDENT LICENSEES The Services may be offered and operated by an independent licensee not owned or controlled by Ridecell (each an "Independent Licensee"), and in those instances this Privacy Policy does not apply. Each Independent Licensee may collect personal information and use the personal information for its own purposes. Ridecell does not control the Independent Licensee's use of personal information. Ridecell Does Not Provide Transportation Services RIDECELL DOES NOT PROVIDE TRANSPORTATION SERVICES AND RIDECELL IS NOT A TRANSPORTATION CARRIER. IT IS UP TO THE ORGANIZATION TO DECIDE WHETHER OR NOT TO OFFER A RIDE TO A RIDER CONTACTED THROUGH THE SERVICE, AND IT IS UP TO THE RIDER TO DECIDE WHETHER OR NOT TO ACCEPT A RIDE FROM ANY THIRD- PARTY ORGANIZATION. ANY DECISION BY A USER TO OFFER OR ACCEPT TRANSPORTATION ONCE SUCH USER IS CONNECTED THROUGH THE SERVICE IS A DECISION MADE IN SUCH SOLE DISCRETION. RIDECELL DOES NOT PROVIDE TRANSPORTATION SERVICES OR ACT IN ANY MANNER AS A TRANSPORTATION CARRIER AND HAS NO RESPONSIBILITY OR LIABILITY FOR ANY TRANSPORTATION SERVICES OBTAINED BY YOU OR PROVIDED BY ANY THIRD-PARTY ORGANIZATION USING THE SERVICES. By signing up you agree to receive marketing text messages or email, which may be sent through an automatic telephone dialing system to the mobile number provided. Apple-Enabled Software Applications Among other platforms, Ridecell offers Software (as defined below) applications that are intended to be operated in connection with products made commercially available by Apple Inc. ("Apple"). With respect to Software that is made available for your use in connection with an Apple-branded product (such Software, "Apple-Enabled Software"), in addition to the other terms and conditions set forth in these Terms of Service, the following terms and conditions apply: Ridecell and you acknowledge that these Terms are concluded between Ridecell and you only, and not with Apple, and that as between Ridecell and Apple, Ridecell, not Apple, is solely responsible for the Apple-Enabled Software and the content thereof. You may not use the Apple-Enabled Software in any manner that is in violation of or inconsistent with the Usage Rules set forth for Apple-Enabled Software in, or otherwise be in conflict with, the App Store Terms of Service. Your license to use the Apple-Enabled Software is limited to a non-transferable license to use the Apple-Enabled Software on an Product that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service. Apple has no obligation whatsoever to provide any maintenance or support services with respect to the Apple-Enabled Software. Apple is not responsible for any product warranties, whether express or implied by law. In the event of any third-party claim that the Apple-Enabled Software or the end-user's possession and use of that Apple-Enabled Software infringes that third party's intellectual property rights, as between Ridecell and Apple, Ridecell, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim. Insurance Ridecell operates the Service to assist facilitation of rides between riders and third-party drivers using vehicles belonging to third-party organizations. INTELLECTUAL PROPERTY RIGHTS Service Content, Software and Trademarks You hereby acknowledge and agree that Ridecell owns all rights, titles and interest in and to the Service and to any and all proprietary and confidential information contained therein (the "Ridecell Information"). The Service and the Ridecell Information are protected by applicable intellectual property laws, including without limitation copyright, patent, trademark, trade secret and any and all other proprietary rights, and any and all applications, renewals, extensions and restorations thereof, now or hereafter in force and effect worldwide. Any use of the Service other than as specifically authorized herein is strictly prohibited. The technology and software underlying the Service or distributed (including without limitation, the Mobile Services) in connection therewith is the property of Ridecell, our affiliates and our partners (the "Software"). Ridecell's name and logos are trademarks and service marks of Ridecell (collectively the "Ridecell Trademarks"). Other company, product, and service names and logos used and displayed via the Service may be trademarks or service marks of their respective owners who use the Service. Nothing in these Terms or the Service should be construed as granting, by implication, estoppel, or othenivise, any license or right to use any of Ridecell's Trademarks displayed on the Service, without our prior written permission in each instance. All goodwill generated from the use of Ridecell Trademarks will inure to Ridecell's exclusive benefit.
