PRELIMINARY STATEMENT Skip has been pleased to cooperate with and to have engaged in fruitful conversations with Staff from the San Francisco Municipal Transportation Agency regarding the development of the San Francisco Pilot Program Requirements (the ?Pilot Requirements?). Skip takes great pride in backing up its assurances of respect for the rule of law and cooperation with policymakers with demonstrable action. Skip was pleased to see that the SFMTA Board of Directors mandated an amendment to the Pilot Requirements directing SFMTA to take into account the prior actions of applicants in deciding whether to grant permits and in determining the number of scooters to be allocated to potential applicants. Other operators will attempt to distract the SFMTA with assertions (or even threats of legal action) that they should not be ?penalized? by their ?launch first? behavior. They will argue that their actions were not ?illegal? at the time their management decided to maximize profits and gain a head start. They will point to half-hearted and last minute agreements to take fleets off the street at the point of a gun as evidence of good behavior. The SFMTA, however, should not to be distracted. Veiled assertions of due process violations are simply a red herring because, arrogance aside, no operator has a vested property right or entitlement to a permit. Bird, Limebike and Spin are not entitled to a permit simply because they chose to ask for forgiveness and dump thousands of scooters on the streets of San Francisco before policymakers were finished with their regulatory scheme. Instead, the clear purpose behind the Board of Directors? amendment was to empower the SFFMA to exercise its vested discretion to be absolutely clear about what type of operator it wants to do business in this City, and what type of behavior it wants to incentivize for the privilege of doing business here. It is less about denial than about choosing with whom the City desires to do business. San Francisco unquestionably has this right, and as the leader in civic government that it is, it has this chance to send a clear message to all the cities facing this issue and all the operators arrogant enough to presume that they can game the system. Actions should have consequences. While there are only four operators who actually have experience operating an electric scooter share business on the streets of America, only one? Skip?is operating where it has legal permits exclusively. Of those four, only Skip has not received a single cease and desist letter. Our demonstrated commitment to act responsibly is not the only thing that sets Skip apart in the sea of scooter operators. Only Skip is founded by executives who created and ran the leading electric skateboard company (Boosted), a company that was at the forefront of innovative mobility solutions and the regulations that govern them. By virtue of our Founders? product DNA, Skip is unmatched in its ability to design, build and implement custom scooters. Anybody can mass produce and deploy inferior off-the-shelf scooters in the hopes that consumers will not know better. But Skip alone retained one of the industry?s best heads of product design (Paul Nangeroni), first to retrofit our current scooter to allow innovation right skip Page 2 of 21 now, and second, to design and build a completely customized and vastly superior offering in the months to come. Skip?s work has already yielded innovation in the present scooter. Skip?s scooter is more durable, has a wider base for more stable ride, dual suspension for a safer ride, a larger battery for longer range, and the industry?s only adjustable handlebars for better ergonomics and a more stable ride matched to user height. We have the only folding design in the area today, which allows for more efficient collection, storage, deployment and redistribution. Our technology currently allows us to use assisted GPS for more accurate reporting of scooter location and better data because it can rely on cell phone tower triangulation and known 88le in dense City areas. Skip?s current technology allows us to be the only operator beta testing electronic ?tip over? parking detection, and we are virtually alone with a working prototype of a ?lock to? mechanism to help solve the sidewalk parking issue. We are actively at work researching and developing ?sidewalk detection,? which we believe will allow us to control speeds on sidewalks either as part of an approved sidewalk ?speed limit? or as a disincentive for users to want to ride on sidewalks at all. Skip, however, hasn?t stopped its innovation just at the scooter technology. Instead, we are making a commitment to investing heavily in our home City. We firmly believe that our scooters are an effective first and last mile solution and we foremost deploy each day on routes that feed public transit and at the most heavily trafficked and congested Uber/Lyft routes so we can show users that scooters are more efficient, cheaper and more environmentally positive than cars or ridesharing. Our unmistakable goal is to help end San Francisco?s dependence on cars as the predominant means of daily transport. As part of our transparency reports, we will be tracking and reporting the percentage of trips that start or end near public transportation locations, and setting aggressive targets. To ensure that we are responsive to the community in which we live, we are creating a 16-person Community Advisory Board that will have each District Supervisor appoint one (1) member, with the Mayor appointing another five (5) members at large. We have committed, over the next two (2) years to invest $500,000 in the creation of calmed shared streets and protected bike and scooter lanes across San Francisco. Our verifiable investment will take the form of financial donations to advocacy groups like the SF Bicycle Coalition, direct donations to specific capital projects, support of Vision Zero SF, Livable City/Sunday Streets and other efforts focused on quickly developing safe streets for all road users. We expect to engage with SFMTA, City Supervisors and street safety advocates to best allocate these funds and achieve our shared goals of zero traffic fatalities and increased mode share by scooter, bicycle, transit and other zero emission transportation. Similarly, over those same two (2) years, we are donating an additional $500,000 to organizations focused on training and retraining of workers for mechanic and other technical positions like City College of San Francisco, Tipping Point and New Door Ventures. We are devoting a substantial amount of funds to actively promote our toll free number so that non- users as well as users can report undesirable behavior. To support enforcement of our Rider Code of Conduct, we are turning on the camera in our app to let anyone take photo evidence of bad behavior. We want our users to be responsible and to respect the rights of others, so skip Page 3 of 21 when we receive credible evidence, we take action. We are creating new shifts of ?Skip Monitors? whose job it is to rove areas of highest utilization to flag down users to educate them about basic legal compliance (such as sidewalk riding prohibition) and to have a supply of helmets. In short, although unlike Bird, Limebike and Spin, Skip cannot point to two-plus months of non?permitted San Francisco operations, we can point to our ability to build, deploy, maintain and support a successful fleet of scooters over nearly four (4) months of legally permitted operation in Washington, D.C. We have demonstrated the level of responsibility and collaboration to justify the privilege of being a partner to SFMTA and to help it reduce this City?s reliance on cars and congestion. II. APELICATION MATEFLLALS A. Skip?s Pricing Structure Justifies A Permit Because It Has A Base Plan, A Low Income Plan, A Credit Card Fee Option, And A Non- Smart Phone Option. Skip?s pricing structure justifies grant of a permit. In addition to a base pricing plan, which currently is $1 to unlock and $.15 per minute, Skip?s San Francisco launch plan includes a low income plan that will help qualified users realizes the benefits of its cheap and efficient first and last mile transportation solution, (ii) credit and debit card?free options for users who want to turn cash into Skip balances, and a smart phone-free option that can allow users with older technology to lock and unlock Skip scooters and realize the benefits, Skip?s low income plan currently involves qualification through one of three (3) accepted programs.? Qualified users are eligible to receive balances of approximately $120, with the goal of funding an average of two free rides per day to be used exclusively for Skip scooter rides. Our low-income plan backs up our promise to represent a different kind of technology company, one that allows our first and last mile transportation solution to be a viable means of commuting and one that provides real links to the City?s public transportation system. Skip is also innovating for the use of cash and non-credit card or electronic payment options. We are partnering with Cashstar, a leading provider of merchant solutions for physical gift card, eCard, and digital cards, to create and offer Skip-branded card solutions. Users who want to turn their cash into Skip balances will be able to purchase Skip branded gift cards and eCards at popular retail outlets and use the codes on those cards to fund Skip balances for scooter rides. Similarly, Skip is preparing an application to become an accepted service provider eligible for Clipper Card payments, will support Clipper Card as a functioning payment method for our scooters no later than year-end. 1 Users can qualify for our tow-income plan through participation in the California Department of Social Services CalFresh program, a supplemental nutrition assistance program (ii) Pacific Gas Electric Company?s CARE Program, under which users may qualify under any one of eleven (11) different programs or through income verification, or the Lifeline Program. skip Page 4 of 21 In the meantime, our community outreach plan includes multiple ?pop up? Skip Kiosk events in communities of concern for the express purpose of allowing residents of neighborhoods to have access to our personnel and technology to create accounts and fund them based on cash payments. At these events, we plan to give away free helmets under our giveaway program so we can start changing user behavior and convince users to carry their helmets with them. After the events, we expect to have dedicated customer care personnel available at our offices and scooter distribution centers to be able to accept cash in exchange for creation of Skip balances. Our Skip Kiosks and help center also will serve users who do not have smart phone technology to use company-provided phones to create and fund balances on their accounts. Lastly, our technology supports the use of non-smart phone text messaging technology and 24/7 Customer Support to remotely lock and unlock scooters so that access is not restricted to smart phone users. Accordingly, our inclusive initial roll out plan strongly supports the grant of a permit to operate in San Francisco during the pilot period. B. Recognizing The City?s Desire To Limit Supply During The Initial Phase Of The Pilot, Skip?s Measured Request For Scooters And Planned Deployment Area Justifies A Permit. Skip takes seriously the caution to bear in mind that the Pilot Program provides for a maximum of 1250 scooters during the first six months and a maximum of five permits. Though it firmly believes that it is the best qualified applicant, our core values eschew acting like an ?entitled tech company,? and we believe that any operator seeking the oven/vhelming majority of scooter allocations is only proving why they are not worthy of the privilege of doing business here. Skip understands that the purpose of the pilot is to develop real world experience, to help solve the problems caused by indiscriminate dumping of scooters, and to generate data useful in fashioning a permanent program. We believe exclusive city contracts stifle competition and innovation and we support vigorous competition to allow the best operating companies and the most responsible scooter rider communities to rise to the top. Recognizing that the number of scooters allocated to any one permit holder is likely to be less than sufficient to blanket the city, Skip has developed a moderate, reasoned approach to its planned deployment. Thus, our planned deployment strategy involves dividing the City into four quadrants: - Northeast (SOMA, Financial District, North Beach, Fisherman?s Wharf, Russian Hill, Nob Hill, Chinatown and Downtown) Southeast (Castro, Mission, Potrero Hill, The Port, Noe Valley, Bernal Heights, Excelsior and Hunters Point) Northwest (Marina, Presidio, Richmond, Golden Gate Park, Haight, Western Addition and Pacific Heights) Southwest (Sunset, Twin Peaks, Lake Merced and lngleside) Our core principle in serving these four (4) quadrants is not only to serve areas of demonstrated demand (borne out by data analytics), but to serve traditionally underserved areas sufficiently until the demand develops, and then increase the fleet to meet proven demand. We also aggressively view our system as a means of providing first and last mile skip Page 5 of 21 links to public transportation and just as aggressively station our scooters at public transportation locations and track the percentages of rides that start and end there. Because of our proven record in Washington, D.C., as well as our unmatched evidence of responsible corporate behavior here in not seeking forgiveness, we believe the City should award it a permit to operate more than what a suggested pro rata share would be (250). We therefore believe that an allocation of 350?500 scooters is justified. However, because 350-500 scooters is still below saturation for this market, Skip does not believe it reasonably can blanket all four zones, and does not believe in making a false promise in order to obtain a permit. Instead, we have proposed a measured deployment in the Northwest and Southeast zones in an eighty percent to twenty percent ratio. An additional 200 scooters (bringing the fleet to 500 in the first six months) would allow Skip to start serving the Southwest and far West areas of the City, and it is committing to deploy additional allocations in roughly its 80% - 20% split until the geography can be blanked. A skip Page 6 of 21 West and Southwest deployment would allow us to start reaching areas like Crocker Amazon, lngleside, Outer Richmond and the Sunset. Skip does not currently charge, and does not favor, penalties for out of ?drop zone? termination. We believe that our hiring plan and street and fleet operations allows for efficient and cost effective scooter pick up and drop off, and our hours of operation are currently 6:00 am. when scooters start to be deployed to their starting places, until 8:30 pm. when the fleet is shut down to facilitate pickup, charging, cleaning and maintenance. Based on Washington, DC. operations, and to ameliorate ?grave yard? problems, our goal is to pick up the entire city fleet by 11:30 pm. each night. With regard to the Application question about deploying and redistributing scooters, Skip currently operates three separate teams throughout the day to ensure our scooters are charged, checked for maintenance, and placed in optimal locations for public consumption. Street Team: The Street Team is a local team used to crowdsource charging of our scooters, and typically is comprised of independent consultants who are compensated under contracts based upon the number of scooters picked up and the time(s) of drop-off. Unlike some other operators, these independent consultants are not presented an online ?term of service.? Consultants have separate physical agreements that clearly and unambiguously spell out the contractual rights and responsibilities of both parties, including the compensation terms. Street Teams are made up of both customers who want to subsidize their own commutes by making money charging scooters, as well as individuals who are interested in picking up dozens of scooters each night, and we are working with the latter to help train them to create independent businesses to serve both our company and others in the industry. As part of our launch in San Francisco, Skip is committed to a pilot program of hiring 15 percent of Street Team support as a new category of employed worker at not less than minimum wage. At 6:00 pm. each evening, we enable Street Team members to begin picking up scooters, starting with ones that have low batteries. At 8:30 pm, we shut down the remaining scooters so that they cannot be checked out, and we make the remaining scooters in our fleet available for pickup (typically 25% of the fleet is available for pick up at 6:00 pm. and the remaining 75% available at 8:30 pm). Street Team members are either in cars suitable for transporting scooters, or operate on foot. We equip them with a special app to scan in scooters. We also provide training to determine if a scooter is in need of repair. if there is a repair, we dynamically compensate consultants for bringing it back to our Repair Center. The daily goal for the Street Team is to have all scooters picked up by 11:30 pm. and we provide financial incentives to increase the team size to make this happen through dynamic pricing in the mobile app. All other qualifications being equal, our selection criteria for Street Team consultants places a premium on electric or hybrid vehicles. Along with our data analytics team, Street Team members consider several factors in determining general drop off locations. We want to be a different type of technology company and seek to connect to mass transit so we always start heavily with locations close to public transportation. Other considerations include density, foot traffic (walk score), access to safe skip Page 7 of 21 riding infrastructure (separated bike lanes, paths, and ?sharrows? [shared anes]), and first/last mile convenience. Public data is influential as well such as popularity of existing bike share stations and high volume transit routes. In choosing specific locations within targeted blocks, we consider landmarks for tourists, businesses that cater to a morning crowd (coffee shops), general visibility, and having ample space in the furniture zone so the scooters are not blocking the pedestrian right of way. Finally, Street Team members are directed to private businesses with which we have contractual arrangements to locate scooters at the start of the day in their private rights of way (called ?Skip Starts?). Fleet Driver Team: Our Fleet Drivers are employees who are responsible for our initial deployments of scooters that come from our Repair Center. We have a morning shift that starts at 6:00 when the Drivers arrive at our Repair Center and load up the scooters that have been repaired during the previous day. The Drivers will take the scooters to designated areas for drop off, which include origin points for morning commuters. After the drop off, the Drivers will then make the rounds to collect any scooters that have been marked as repairs by the Street Team during their morning drop offs. Our goal is to identify and collect most repairs at night, but occasionally repairs will only be noticed in the morning, like for instance if they have trouble charging. The Drivers? job is to get them off the street as soon as possible so they can be repaired. Our Drivers are also a public face of our company. They interact with many customers who are interested in trying our service, and assist them in getting the app set up, and learning how to safely ride. Our Driver shift will be 6:00 am. until 3:00 pm. Roll Team: The Roll Team (made up of employees) has been specifically designed to find missing scooters and comply with city regulations around rebalancing scooters that are improperly parked. The team is made of specially trained workers who can courteoust find scooters that have been reported in either improper areas or out of the way areas. These areas can include the public pedestrian right of way, ADA accessible parking ramps, public parks, and any kind of private property. The Roll Team works in shifts between 6:00 am. and 6:00 pm. We will always have a Roll Team member on call to respond to complaints or urgent situations. Additionally, we currently schedule two rebalance runs (called ?Skip Sweeps?) after the morning rush and before the afternoon commute (currently 1130 am. and 2:30 pm. to avoid increasing congestion) to make sure that our scooters generally remain in balance. This typically involves a review of internal data to help assure adequate percentages in communities of concern. C. Skip?s Plan For Safe Riding And Storage Of Scooters Relies Upon Superior Education, Technological And Operational Innovation, Self- Enforcement, Incentives And Data Analysis, Justifying Grant Of A Permit To Operate During The Pilot Period. Responsibility is not only core a value for our Company as a whole, but a required value for users and riders in our community. We consider ourselves to be members of the community we serve and thus one of our top priorities is to ensure that users respect their neighbors, surrounding businesses and government regulations. We believe that we are presently cultivating in Washington DC, and will cultivate here and elsewhere, the most sk?n Page 8 of 21 responsible community of riders. We do this though a mix of education, technological and operational innovation, self?enforcement, incentives, data analysis and cooperation with policymakers. Identity and Age Verification Safe riding starts first and foremost with ensuring that only users who are legally permitted to unlock and ride scooters are doing so. Skip?s driver?s license scanning is not simply about verifying licenses, but about verifying that users are over the age of 18. Required DL Check Age Verification Unlike other operators, however, Skip does not want to discriminate against adult tourists who want to ride scooters in our City, and therefore, it?s scanning system supports passports and other identity documents. Initial Training Materials and Required Acknowledgement Our ?Skip University? education system is unmatched, and begins with the command to respect others. Unlike other operators, we did not opt for cartoon training slides in our mobile app, but instead elected for real world photos that more accurately teach our riders not only the basics of safe riding, but also minimum requirements for compliance. Face-to-Face Meetup Training Sessions But users to not ?graduate? Skip University just by agreeing to the basics. Our users are made aware of the requirements to park within furniture zones, and not to block sidewalks, pedestrians or specially designated areas such as fire hydrants, access for disabled persons or other parts of the pedestrian right of way. We have invested in the creation of online tutorials that are accessible on the website and on the web and we have developed an extensive calendar of pop up ?meet up? training rides to give users classroom and on-the-scooter training lessons. We are in active discussions with several elected Supervisors to support the Skip University Meet Ups in their districts, and are partnering with bicycle coalitions to educate San Franciscans on protected bike lanes and basic safety for shared transportation. We currently have reserved approximately 30-50 scooters from our San Francisco?located fleet for a series of these ?hands on? and classroom training meetups. Tip Over Detection Is Already Here Skip University and our compliance efforts also involve meaningful technological and product innovation. Our Founders? deep roots in designing and creating innovative products at Boosted, means we are already in the process testing various scooter modifications. Tip Over detection already exists on our Washington, DC. fleet, and our scooters send us a ping when they are parked and tipped over. Our data from testing shows that approximately eighty percent of tipped over scooters are resolved in one (1) hour. Skip can commit to SFMTA skip Page 11 of 21 that when scooters are tipped over and not resolved in ninety (90) minutes we can dispatch a team to remedy it. Look To and Other Technological Innovations Skip already has a hands-on prototype of a ?lock to? mechanism that will require our users to physically lock our scooters to physical objects. We are hopeful that this technology can help to improve sidewalk parking issues, and are preparing to bring it to market though we have observed that parking issues diminish over time as city populations get accustomed to scooters. We are happy to bring it to SFMTA offices and share how it could work at any time. We view lock to as a potential step in a broader strategy to sidewalks and parking in which we share the goal of making the streets safer by expanding bigger and better protected bike lanes, and removing curbside parking (particularly tiny spaces that most normal sized cars park have to spread into red zones to fit) to make room for newer forms of clean transportation. We are developing other lower-tech ways to help, such as cell phone mount, to enable us to send multiple warnings to users, not just at account creation or before the first ride. We are evaluating and experimenting with reminders before each ride, as well as in?ride reminders (if we can safely do so without distracting riders). We also believe that cell phone mounts will facilitate the development of turn by turn directions that can steer riders to bike lanes for even safer travel. Helmet Giveaway Program and Skip Compliance Monitors But Skip isn?t stopping at just the technology. As with bicycles in California, while we may not be able to force every rider to wear a helmet, our goal is to help ensure that every rider has access to helmets and we hope to start changing user behavior so that users will beginning to carry helmets with them. We are finalizing our own helmet program to give up to 50,000 helmets and carabiner clips to users who want them, so we can help users to see that helmets are an essential part of their everyday gear. We are developing shifts of ?Skip Monitors? to rove high traffic areas during periods of heavy usage to warn and remind users that sidewalk riding is strictly prohibits and to carry a supply of helmets to riders who want them. Skip Code of Conduct, Self-Enforcement and Transparency Reports Lastly, we have developed the Skip Code of Conduct that underscores our self- enforcement of proper rider behavior. Skip has broadly defined behavior in categories of ?Safety Incidents? 9., use of scooters in connection with a criminal act, being impaired while operating a scooter, using a scooter with the intent to cause harm to the public or our property) and ?Safety Infractions? incorrect parking, incorrect lane riding, incorrect use of helmet). Safety Incidents are subject to a ?zero tolerance? policy where if we receive reasonable evidence establishing a violation, the user?s account is deactivated and the user is blocked from the platform. ?Safety Incidents? are subject to a ?three strike policy of escalating warnings, required Skip University classes and eventual deactivation. We will release transparency reports to track and report on the number of safety incidents and the steps we take to ameliorate them (in addition to the usual data on the number of government requests and subpoenas for user information). These reports are an essential topic to be discussed at our Community Advisory Board meetings. Skip constantly monitors these and other methods to help create the most responsible ridership in the industry. There are no obstacles to the development of new and different ways to stimulate desired behavior. We plan to use ongoing consultation with the SFMTA and our Community Advisory Board to identify new approaches and do not foresee obstacles to continued additional measures if the initial approach does not achieve compliance. Accordingly, we believe that our plan for safe riding and storage supports the grant of a permit to operate in the San Francisco pilot. skip Page 13 of 21 D. Skip?s Scooter Recharging Plan Supports The Grant Of A Permit To Operate During The Pilot Period. Skip?s backend system compiles information about the charged status of its fleet, and therefore it possesses real time information on whether scooters need to be recharged. As set forth above in the deployment and redistribution section, Skip uses three distinct teams to help ensure that its fleet is charged. The majority of charging is done by our consultant corps, however, we have committed to piloting a new team of 15 percent employees for Street Support. Our chargers receive training on safe charging practices and are only permitted to use approved charging equipment. When we contract with independent consultants for charging and repositioning, our selection criteria favors those who have electric and hybrid vehicles. For our van services, we have committed to purchasing and leasing only electric or hybrid vehicles in order to minimize the impact to the local environment. Lastly, we appreciate the Application?s question regarding documentation of new vehicle miles. However, we respectfully disagree with the Agency that the documentation of new vehicle miles is the correct statistic. ?New? vehicle miles do not exist in isolation, and it would be improper simply to assume that vehicle miles related to electric scooter share operations are new at all. The request for documentation seems to assume that the persons doing scooter charging and distribution are somehow ?new? to the City or that the miles relating to charging are additive, when it fact they may be substitutes for miles driven in other capacities. Moreover, a ?new? vehicle miles even compared against another ?new? vehicle mile is not necessarily equal. A new mile created between 8:30 pm. and 11:30 pm. when the roads are devoid of traffic and pollution is at minimal levels is clearly not ?equal? to a mile between 5:00 and 6:00 pm. when traffic and pollution are heavier. Skip wants to work with the SFMTA to develop a metric that might better achieve its objectives. Accordingly, with the exception of working through issues on the new mile documentation, there are no issues with Skip?s recharging plan that stand in the way of a grant of permission to operate during the pilot pe?od. E. Skip?s Maintenance, Cleaning And Waste Disposal Program Is An Essential Element Of Its Safety Policies And Warrants A Grant To Operate In San Francisco During The Pilot Period. Skip is acutely aware that its business demands the public trust and its core values include providing safe, responsible and fun transportation. As set forth above, safety encompasses many parts of the Company from product (scooter) design and manufacture, mobile app design and coding, rider training, education, trust and safety, but it starts with proper repair and maintenance. Skip therefore maintains a 7-day a week repair/maintenance operation, staffed with trained technicians and detailed checklists for direction of the work, and ongoing education and additional training through bulletins and courses in the Skip University. Based upon current guidelines, Skip currently requires a ratio of 1 Shop Manager for every 200 to 500 scooters deployed, 4 Technicians (mechanics) and 1 Lead Technician for every 100 scooters deployed in a given city. skip Page 14 of 21 Our Repair/Maintenance Shop in the City is located in two locations. The main shop at 535 Alabama Street in the Mission District, and a deployment facility and workshop at 159 Fell Street in San Francisco. Skip uses a two-level approach to maintenance. First because the Street, Vehicle and Roll teams are in contact with the scooters each day and night, those teams complete the initial phases of our checks. Depending upon the results of the initial checks, scooters in need of repair are scheduled for repair and queued into the repair shop. Eligible scooters may be shipped back to the manufacturer for warranty repairs or replacement. A repair and maintenance log is kept for each scooter and is available for export to governments. To meet quality and reliability standards and to direct repair, Skip has developed an industry-leading 45-point maintenance checklist (see Appendix). All of our scooters undergo a daily inspection of 19 points, ranging from inspection of the frame, to resiliency of folding joints, to an inspection of tire tread depth and rear fender assembly. Every week (on a seven day cycle), our scooters undergo the remainder of the 45 point check. These checks include detailed inspection of the folding hinges, the brake system, including the brake levers, the throttle levers and the computerized diagnostic checks that check battery levels, charging, the state of our Jelly systems. Our scooters are ride tested weekly and checked for functioning headlights, taillights and properly functioning LCDs. If a scooter is not scheduled for repairs within the 7-day period, it is automatically flagged and pulled from the fleet and sent top the repair facility. Lastly, we schedule a comprehensive maintenance check at every 100 miles ridden regardless of the level of prior service. Our Repair/Maintenance operation is designed to be as environmentally friendly as possible, while running efficiently and effectively. Undamaged, useful parts from otherwise inoperable scooters are re-designated for scooters in need, and we have arranged to dispose of waste products responsibility. Currently we plan to dispose batteries that cannot be recycled at the San Francisco Transfer Station at 501 Tunnel Ave, San Francisco. To maintain a fleet size of 500 rentable scooters, we believe a fleet size of 700 scooters is necessary. F. Skip?s Labor Intensive Operation Will Put Significant Numbers of San Franciscans To Work And It Is Heavily Investing In Job Retraining Programs To Help Local Residents Obtain The Skills Necessary To Compete. Skip?s fleet In San Francisco will require substantial staffing to rebalance, charge, and maintain a reliable and trustworthy fleet. Based on our experiences running a successful scooter?sharing pilot in Washington, D.C., we know that our staffing needs are an opportunity to further invest in local communities and even provide skills training for future career development of many local residents. Our donation to job training and retraining organizations is a huge step toward helping real San Franciscans re?learn skills that can turn into productive careers. First, all of our Repair Team technicians are hired as W-2 employees. We do this because the skills of our technicians demands it, but also because we require considerable control over the means and method of technician?s work in order to meet our safety and quality skip Page 15 of 21 obligations to the public. While other companies have resorted to using independent contractors for ?on demand? maintenance in the field, we instead want the public to appreciate that Skip stands behind its maintenance operation. We require consistent training, education and experience for our technicians, and we require that our company-vetted procedures for maintenance and repairs be followed precisely as dictated. While independent consultants are a valuable part of the support of our Company, we firmly believe that maintenance and repair are functions not well suited to variability that comes with having consultants control the means and methods of safety repairs and maintenance. At current guidelines for the size of the requested fleet for the pilot here, we expect to hire in excess of twenty technicians, with three leads and two managers. Second, our Roll and Vehicle Teams similarly are made up of employees and not contractors. At current guidelines, we hire up to five (5) W-2 employees per 100 scooters in our fleet. We hire these employees to maintain consistent shift planning and consistency in handling rebalancing and other requests, and because we supply the equipment (fleet vans) needed to complete these tasks. Finally, as mentioned above, to date we have primarily relied upon independent contractors to supply our Street Team, who use a version of the mobile app to locate, pick up, charge, and deploy scooters. At current guidelines, we plan to onboard over one hundred (100) active independent contractors for every 100 scooters in our pilot program, with 20 people working each evening on average. We recruit these contractors using a variety of methods, and have found that there is strong supply of consultants because compensation based upon a per scooter basis can yield a significant compensation per hours spent. We also use dynamic pricing to activate the fleet and to incentivize certain pickups and drop offs when necessary. As stated above, Skip is committed, however, to exploring whether we can sustainably and cost effectively support our Street Teams through development of a new class of Street Team support on a W-2 basis. G. Skip Is A Member Of The Community It Serves And Is Committed To Sustained Community Involvement. Even if San Francisco was not our hometown, we regard ourselves as members of the communities we serve. We are deeply committed to providing real, efficient and safe first and last mile transportation to the residents and visitors of the City, and to working with forward thinking policymakers to end our dependence on cars as the primary method of transportation. Inclusion. As we noted at in the Preliminary Statement, inclusion is not just about visiting the offices of elected officials and non?governmental organizations. Inclusion means impowering residents with the real ability to help us identify and implement innovative solutions and to affect meaningful change on our Company direction. Accordingly, we have announced a plan to create a 16-member Community Advisor Board that will represent all communities and constituencies in San Francisco. Under our plan, each District Supervisor will appoint one member to the Board (11 in total) and the Mayor can appoint an additional five (5) citizens at large. The goal of our Board is to get the community?s direction on goals and objectives, to provide feedback on new product plans and enhancements, to raise concerns from the skip Page 16 of 21 community and to provide ongoing monitoring of our commitments. We expect to tackle issues such as safety, sidewalk riding, parking compliance, sidewalk detection and a host of other issues with the Board?s guidance. We expect that the Board will have a role in helping direct the investments we commit to making below, and our CEO and one member of our Board of Directors will attend each Board meeting. Moreover, we commit to publicly posting answers to the questions and concerns raised so that those not in attendance can participate as well. Inclusion also includes our low-income plans, our Skip University Meetups, and Skip ?pop?up? Kiosks which we will be hosting in neighborhoods across the City to introduce our scooters, and to help users understand how to find them and how to use them. We are already in discussions with several elected Supervisors to host these events in their districts and a chief goal of the district is to sign up users who may not have access to smart phone technology or who wish to use cash to set up Skip balances. We plan to work with community participants to learn from them the areas they want to see scooters for start up locations so that they can quickly and efficiently use them to get to and from work, public transportation and their daily activities. Skip already hired its first Community Manager for San Francisco, and she will be working with merchants, neighborhood groups, police organizations, safety groups, and community benefit groups to minimize disruption and to identify key areas for public advocacy. Among our projects, we expect to work with groups like the Bike Coalition to help advocate for better ?15 infrastructure? (aka bike lanes), highlight the importance of bike lane infrastructure improvements to both modes of transport, mobilize our ridership to support bicycle infrastructure improvements and related events (such as human protected bike lanes, Sunday Streets, or Bike to Work Da Investment. We are investing heavily in our home city, because we expect to be here for a long time, and we care about making it better. As we stated above, Skip has committed, over the next two (2) years to invest $500,000 in the creation of calmed shared streets and protected bike and scooter lanes across San Francisco. Our verifiable investment will take the form of financial donations to advocacy groups like the SF Bicycle Coalition, direct donations to specific capital projects, support of Vision Zero SF, Livable City/Sunday Streets and other efforts focused on quickly developing safe streets for all road users. We expect to engage with SFMTA, City Supervisors and street safety advocates for how best to allocate these funds and achieve our shared goals of zero traffic fatalities and increased mode share by scooter, bicycle, transit and other zero emission transportation. Similarly, over those same two (2) years, we are donating an additional $500,000 to organizations such as City College of San Francisco, Tipping Point, and New Door Ventures that are committed to retraining local workers for mechanic and other technical positions. Transparency. Skip has committed to conducting anonymous surveys of its users to understand the demographic, racial, gender, and ages of our riders, in addition to surveying non?users on the availability of scooters in their communities. Even if the data reflects a lack of diverse usage or gaps in availability, we commit to continually surveying our riders and sharing the data publicly so we can keep getting better. This is one of the data sets that will be reviewed by the Skip Community Advisory Board on a basis along with our CEO and skip Page 17 of 21 at least one member of our Board of Directors. Skip Is The Only Company With Real World Experience Operating A Scooter Share Program That Has Also Proven That It Respects The Regulatory Process And Therefore It Is Uniquely Qualified To Receive A Permit To Operate In San Francisco During The Pilot Pe?od. Skip?s experience and qualifications in running a scooter pilot in cooperation with local transit authorities is unmatched. We were the first system to work with a local authority (District Department of Transportation, or DDOT) to adapt their dockless bikeshare permit for scooters, and we were the first to launch pilot testing under legal guidelines established by local transit authorities. Since our launch, our vehicles are being used an industry?leading 7 times per day, thanks to our best?in-class battery pack and our sturdy and reliable vehicle. We have encouraged safe parking behavior, which includes implementing fleet-wide testing of tip-over detection, and safe riding behavior by deploying a scooter designed for bike lanes and not sidewalks. With dual front and rear daytime running lights, we get consistent high marks from our users. Our app on the app store has an average of 4.4 out of 5 stars over 1,600 ratings (without attempts by us to game the rating system from within the app like other players). Our operations speak for themselves. in addition, our team has deep experience in design and maintenance of robust vehicles. Much of our team previously worked on Boosted Boards, another local Bay Area company, where we?ve maintained vehicles that are 3+ years old where some have covered 5,000 miles and beyond. Our strong safety record, our commitment to quality and reliability, and our training of in-house repair mechanics are also part of our culture at Skip. While other players may claim that they have operated in greater numbers of vehicles or in San Francisco to date and that this implies experience or qualification, we have resisted the temptation to launch without permission and instead waited to work closely with our hometown of San Francisco and launch a pilot program as successful and collaborative as that in Washington, DC. You may use electric scooters provided by Skip ("Scooters") belonging to Skip as part of the Services. Skip is and remains the owner of the Scooter and any other vehicles, devices, accessories (such as helmets or locks) or materials made available by Skip to you for use with the Services (?Skip Materials?). You do not, by this Agreement or otherwise, acquire any ownership rights in the Skip Materials. Skip provides the Services personal to You. You may not permit any other person to use the Services on Your behalf. Should you wish to permit any other person to use the Services, such person must enter into a Skip User Agreement with Skip. Permitting another person to use the Services on your behalf will be considered a material breach of this Agreement. Eligibility To be eligible to use the Services, You must: Own or control a mobile device that is compatible with the Apps and the Scooters. You are responsible for obtaining, at your own expense, such mobile device and all other equipment and services needed to access the Services. Be a safe and competent electric scooter operator. You represent and warrant that you have sufficient knowledge to operate and are sufficiently physically capable of operating an electric scooter safely without any risk to the health and safety of Yourself or others. You represent and warrant further that you will comply with all laws relevant to your use of the Services, including but not limited to laws applicable to the operation of electric scooters of the jurisdiction within which You use the Services. Allow Skip to track Your movements whenever the App is running on Your mobile device, to the extent permitted by law. No Guarantee of Availability; No Responsibility for Personal Property Skip does not guarantee the availability or functionality of a Scooter or any Skip Materials for use by You, whether or not reserved. Use of a Scooter or any Skip Materials is subject to availability at a given location on a first?come, first-served basis, and due to the nature of the Service, Skip cannot guarantee that supply of Scooters will be adequate to provide a Scooter to You at any given time. You must inspect the Scooter and any Skip Materials and ensure they are in good condition working order prior to your use of the Services, and You should inform Skip of any Skip Materials found not to be in good condition or working order. You are responsible for the safe use of the Skip Materials (including but not limited to helmets and locks). Skip is not responsible for any loss of, or damage to, any goods in or on the Scooter, including Your mobile device that is running the App. Fees The User agrees to pay to Skip the fees set forth on Skip?s website or App. User agrees that Skip may charge User's selected payment method for any such payments. Skip accepts payments through payment methods detailed on the applicable payment screen. User may be asked to provide Skip with a credit card number from a card issuer that Skip accepts in order to activate and/or pay for any fees related to the Services. Skip may seek pre-authorization of User?s credit card account prior to a fee or cost becoming due to verify the credit card is valid and/or has the necessary funds or credit available to cover such fees or costs. No Refunds All fees relating to the User, including the User Fees and other costs and fees payable by the User as provided in this Agreement and the Rate Schedule are final and nonrefundable. Disputed Charges PLEASE NOTE: USER AGREES TO SUBMIT ANY DISPUTES REGARDING ANY CHARGE TO USER IN WRITING TO SKIP WITHIN 30 DAYS OF SUCH CHARGE, OTHERWISE SUCH DISPUTE WILL BE WAIVED AND SUCH CHARGE WILL BE FINAL AND NOT SUBJECTTO CHALLENGE. Delinquent Accounts Any User Account which is delinquent will be suspended or terminated solely at Skip?s discretion. Any credit card which is rejected may result in suspension or termination of User?s User solely at Skip?s discretion. The User must notify Skip in the event of the credit card on record being changed, expiring, or being no longer valid and replace it with a valid credit card. Scooter may seek third party assistance with unpaid or delinquent accounts if the User does not pay outstanding charges. Miscellaneous Changes to this Agreement Skip reserves the right to revise this Agreement in its sole discretion at any time and shall give notice to User of such revisions. Notice will be considered given when the revised Agreement is posted to the Site or on the Apps or when sent by email to the User email address on file with Skip. Any revisions to the Agreement are effective upon such notification. The Agreement will be identified as of the most recent date of revision. User should visit this page regularly to ensure its continued acceptance of this Agreement. User? 5 continued use of the Services after any revision to these Terms constitutes its binding acceptance of the revised Agreement. Notwithstanding the preceding sentences of this Section, no revisions to this Agreement will apply to any dispute between User and Skip that arose prior to the date of such revision. Term and Termination of the Agreement; Renewal The Agreement shall be in force until terminated as described below or as otherwise provided in the Agreement, as applicable. Termination by User. User may terminate this Agreement at any time without cause upon one week written notice to Skip. This Agreement shall be automatically and immediately terminated, upon written notice by Skip to the User if the User: is not paying its debts as such debts generally become due; becomes insolvent; files, or has filed against it, a petition (or other document) under any bankruptcy law or similar law that is unresolved within sixty (60) days after the filing of such petition (or document); proposes any dissolution, liquidation, com position, financial reorganization or recapitalization with creditors; makes a general assignment for the benefit of creditors; if a receiver, trustee, custodian or similar agent is appointed or takes possession of any of its property or business; or is convicted of a driving?related criminal offense such as driving under the influence of alcohol or controlled substances, hit-and- run, reckless driving). Skip may, at any time, without notice, immediately terminate the Agreement if the User fails to pay any sum due under the Agreement or the Rate Schedule. Skip may, at any time, without notice, immediately terminate the Agreement if the User does not comply with any term or condition specified in the Agreement. in case of termination, the User agrees to return immediately to Skip any Scooter, or any other article User might have in its possession under the User. User agrees to pay any attorneys? fees, court costs or costs of other legal procedures necessary for Skip to recover any amounts due and owing, the Scooter or any other object the User might have in its possession under this Agreement. User shall be responsible for any fees or costs incurred up to and including the date of termination. Penalties In addition to all its other rights and recourses set out in the Agreement, Skip reserves the right to impose service fees on the User, in case of non-observance by the User of any provision of this Agreement, in the manner and amounts specified in the Agreement and/or the Rate Schedule. Choice of Law; Venue Any dispute arising out of or relating to this Agreement or the breach thereof shall be governed by the federal laws of the United States and the laws of the State of California, USA for all claims, without regard to or application of choice of laws, rules or principles. The parties hereby consent to the exclusive jurisdiction of the state and federal courts in California, USA, for all claims and both parties expressly waive any objections or defense based upon lack of personal jurisdiction or venue. The prevailing party to such dispute shall be entitled to recover its reasonable costs incurred in prosecuting or defending against such dispute, including its reasonable attorneys? fees and experts? fees. Notices User must provide any notice required in accordance with this Agreement via the User Account or the following email address: hello@skipscooters.com. Skip?s routine communications regarding the Services and any legal notices will be sent to the User either electronically (via User Account, the User email address on record or by text message to the User?s mobile device using the number provided by User), by United States mail or by courier, except that Skip may give notice of an amendment to the Agreement by posting the notice on the Site, the User Account, or by email to the email address on record. By providing User?s mobile telephone number to Skip, User consents to receive text messages from Skip relating to the provision of the Services. Notices are deemed received as of the time delivered. Skip may periodically send User messages of an informational or advertising nature via email. User may choose to "opt-out? of receiving these messages by selecting the "opt-in? or "opt-out? link, as the case may be, at the foot of every such email. User acknowledges and agrees that notwithstanding User?s request to opt out from such messages, Skip may still send and User may still receive emails or text messages reasonably required for the proper conduct of the Services. If User does not wish to receive any messages from Skip, User must terminate its User and cease using the Services. Data Breach Notification Notwithstanding User?s determination to opt-out of receiving electronic messages or cease use of the Services, User agrees that in the event an incident occurs in which a third party obtains unauthorized access to User's personal data provided to Skip, User agrees that should Skip become legally obligated to provide notice of such unauthorized access Skip may provide such notice to User electronically by using the email address or mobile telephone number provided by User. Privacy Use of the Services is governed by Skip?s Privacy Policy located at privacy, which policy is hereby expressly incorporated into this Agreement by reference. Corporate User Agreement Under this Agreement, an employee or member of a business or other legal entity has entered into a Corporate User Agreement shall be treated as a User for purposes of this Agreement. The entity and such User are jointly and severally responsible for their commitments to Skip and for any claim or other action Skip might take against them. Assignment This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by User, but may be assigned by Skip without restriction. Any assignment attempted to be made by User in violation of this Section shall be void. This Agreement will be binding upon and inure to the benefit of the parties hereto, and permitted successors and assigns. No delay or omission by Skip to exercise any right or power occurring upon any noncompliance or default by the User with respect to any of the terms of this Agreement shall impair any such right or power or be construed to be a waiver thereof. A waiver by Skip of any of the covenants, conditions, or agreements to be performed by the User shall not be construed to be a waiver of any succeeding breach thereof or of any covenant, condition, or agreement herein contained. Unless stated otherwise, all remedies provided for in this Agreement shall be cumulative and in addition to and not in lieu of any other remedies available to either party at law, in equity, or otherwise. Severability If any part of this Agreement is found invalid or unenforceable by a court of competentjurisdiction, the remainder of this Agreement shall be interpreted so as to reasonably affect the intention of the parties. The parties further agree to substitute for the invalid provision a valid provision that most closely approximates the intent and economic effect of the invalid provision. Force Maieure Neither party will be liable for any delay or failure in performance to the extent the delay or failure is caused by events beyond the party?s reasonable control, including, a signi?cant failure of the Internet, fire, flood, acts of God, explosion, war or the engagement of hostilities, strike, embargo, labor dispute, government requirement, civil disturbances, or civil or military authority. Entire Agreement This Agreement constitutes the entire agreement between the parties hereto regarding the subject matter contained herein and the parties acknowledge that they have not relied on any promise, representation, or warranty, express or implied, that is not contained in this Agreement. Skip is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Skip. If there is a conflict between the terms of the Application or a Schedule and the Agreement, the Agreement will govern. Independent Contractors Skip is an independent contractor and neither party is an agent of the other and neither party has the right to bind the other on any agreement with a third party. Headings; Captions The headings and captions used herein are for convenience only and are not part of the Agreement. Rules Schedule In addition to the rules and obligations set forth in the User Agreement, Users are required to abide by the rules set forth in this Rules Schedule. By becoming a User, you are deemed to have accepted and agree to abide by the rules set forth below. Failure to abide by this Rules Schedule may result in suspension or termination of the User Agreement and your right to use the Services. Capitalized terms used herein, shall have the same meaning as given in the User Agreement. Who May Operate a Scooter 0 Only Users in good standing may operate a Scooter. Non?Users are expressly prohibited from operating a Scooter. Subletting or re-letting of the Scooter to another person, even to another User, is expressly prohibited. 0 Only persons over the age of 18 may become a User and may operate a Scooter. - Only one person may ride a Scooter at a time. Prohibited Uses Scooters shall not be used as follows: a To propel or tow any vehicle, trailer, or other object; a To transport animals of any kind or nature, living or otherwise; 0 During a race, competition or to perform tricks; - By a User while under the influence of drugs or alcohol; 0 During the commission of a crime or other illegal activity; 0 in a negligent or abusive manner or for any use outside the scope of a Scooter?s intended purpose (violating a traffic law, or receiving a ticket in an accident is not automatically a violation of this provision, but may be an indication that a violation of this provision has occurred); 0 By anyone who has provided Skip with false information in order to become or remain a User; 0 While there is inclement weather, including heavy rain, snow, electrical storms or strong wind, which make it more dangerous to operate a Scooter; or 0 While texting, emailing, using a cell phone, or otherwise using a mobile device other than to operate the Scooter that may distract from driving safely or otherwise engaging in any activity that may be prohibited by law. The foregoing list is not intended to be exhaustive and any unreasonable or inappropriate use of a Scooter, as determined by Skip in its sole discretion, or any violation of law will be deemed to be a violation of this Rules Schedule. Reserving Scooters Scooters are available to Users on a first-come?first-served basis or via reservation. Users using a Scooter on a first-come-first-served basis will be billed for the time they use the Scooter according to the fees set forth in the App Rate Schedule. If a reservation is made available by Skip, Users shall make such reservation via the Site or an App in advance of use and will be billed at the time of the reservation. Reservations can be extended via the Site or App. Users may cancel or change an existing reservation via the Site or App until fifteen minutes after the reservation was made. Scooter Use User must secure the Scooter in clean and in good working condition after their trip. Prior to taking possession of a Scooter, User must inspect the Scooter for evidence of damage and disrepair. if any damage or disrepair is discovered, User must notify Skip immediately to avoid being held responsible for such damage or disrepair. If User fails to report any evidence of damage prior to using the Scooter, User may be liable for the cost of repairing the Scooter. For User?s own safety, User is prohibited from operating a Scooter if any of the following equipment is not in good working order: tires, brakes, lights. Users are responsible for all charges and costs incurred, and any damages, related to the Scooter from the time a User activates a Scooter until the Scooter is returned and secured. User must notify Skip immediately in the event that the Scooter: malfunctions; is damaged; or is stolen. User is responsible for any violations, including but not limited to traffic or moving violations incurred, including fines for late payment and any processing fees, due to User?s use of a Scooter. User agrees to pay for all violations incurred.
