NOW, THEREFORE, CWA and GM agree to the following for the employment of GM by the CWA; 1. Duties: CWA agrees to employ GM as General Manager of the CWA, and GM promises to perform all duties specified by law, code, and other duties as assigned by the Board of .Directors of the CWA ("Board") starting on January 16, 1996. 2. Term: The Agreement shall continue until terminated as provided herein. GM agrees to remain in the exclusive employ of CWA during the term of this Agreement and not to engage in other public or private employment except as authorized by Board. GM acknowledges that CWA has made no implied or expressed oral or written assurances of continued employment with the CWA other than as set forth in this Agreement. . 3. Resignation. Termination. and Severance Pay: If GM is terminated by CWA when GM is able and willing to perform the duties under this Agreement, CWA agrees to pay GM as severance pay a lump-sum cash payment in an amount equal to six (6) months of GM's then current salary, plus any vacation or leave time accrued as of the date of termination provided, however, that CWA shall have no obligation to provide any severance pay if GM is terminated because of any felonious act or crime of moral turpitude or is unable to perform the duties due to drug or alcohol abuse. GM agrees that under no circumstances will GM be able to contest the nature of GM's at-will status and waives any legal remedy of reinstatement or back pay. The payment of severance pay shall fully discharge CWA from any further liability to GM for termination of GM's services. If GM voluntarily and without the request of CWA resigns, GM shall give written notice to CWA at least two months in advance of the final date of employment, unless the parties otherwise agree. Such resignation shall not be deemed to be a termination within the meaning of the severance pay provision. GM if requested by Board will provide CWA with an orderly transition and assist CWA in the recruitment of a successor. 4. Compensation: The annual salary of GM shall be $132,000 and will be reviewed annually for a possible merit increase in connection with the evaluation of GM as set forth in CWA's Code: 5. Other Terms and Conditions of Employment: The GM shall receive al the benefits applicable to other management employees, except as follows: a car allowance of $550 per month, paid vacation at the rate of 25 days per year, which may be accumulated from year to year up to 50 days. 6. General Provisions: The text herein shall constitute the entire Agreement between the parties. This Agreement shall be binding upon and inure to the benefit of the heirs at law and executors of GM. This Agreement may be amended only upon the written consent of both parties. This amendment implements a salary increase of $9,207, which is an increase of 3.5 percent over preexisting salary of $263,058 (comprised of regular salary specified in Paragraph 4 and additional salary under Paragraph 5 of the preexisting Base Agreement) prior to implementation of the deferred compensation program described in Amendment No. 9. The increase is allocated to the adjustments in salary and in deferred compensation provided in paragraphs 1and2 of this amendment. It is the parties intention to that the combined regular salary and deferred compensation amounts be the basis for future salary adjustments, if any. 9. STAPLETON That certain San Diego County Water Authority Employment Agreement with Maureen A. Stapleton for employment as General Manager, dated December 14, 1995, as amended by Amendment No. 4, the Special Amendment, paragraph l(b) of Amendment No. 5, paragraph 1 (b) of Amendment No. 6, paragraph 2 of Amendment No. 9, and paragraphs 1 -4 of Amendment No. 10 (the "Base Agreement") is amended as follows: I. Effective July 1, 2010, the salary under Paragraph 4 of the Base Agreement is $246,241. Effective July I, 2011, the salary under Paragraph 4 of the Base Agreement is $251,166. 2. Paragraph 5 of the Base Agreement is amended to delete the following sentences: "The Authority shall pay up to $1,500 per year for an annual physical evaluation by a medical professional, or other medical professionals, selected by the GM, or other personal medical, dental or vision expenses, to the extent not expended for the physical evaluation. As an alternative, the GM may select a bi-annual physical evaluation for which the Authority will contribute twice the annual amount." 3. Paragraph 5 of the Base Agreement is amended to add the following sentence: The General Manager will cost share the Water Authority's employer contribution to the California Public Employees' Retirement System in the same manner as provided for executive employees pursuant to Resolution No. 2010-10 (total employee cost share 4.5%). STAPLETON This amendment implements changes to compensation of the General Manager for fiscal years 2012-2013 and 2013-2014 as follows: a. Effective the fourteenth pay period of 2012 • The General Manager's cost share of the Water Authority's employer PERS contributions will increase by 1.75 percent from 3.50 to 5.25 percent by mandatory deduction from gross pay. • The General Manager will receive a merit salary increase of 2.85 percent. • Seven days of meritorious leave are eliminated and the General Manager will receive an offsetting salary increase of 1.5 percent. b. Effective January 1, 2013: • The deferred compensation plan previously established by the Water Authority for the General Manager will be amended to reduce the Water Authority's annual contribution of $30,000 by $25,000 and to provide a like amount as additional salary. This amount will not be subject to the 2013 merit increase. c. Effective the fourteenth pay period of 2013: • The General Manager's cost share of the Water Authority's employer PERS contribution will increase by an additional 1.75 percent from 5.25 to 7 percent by mandatory deduction from gross pay. This increase in contribution achieves full employee contribution of retirement payments. • The General Manager will receive a merit salary increase of 2. 75 percent on the salary effective July l, 2012. Stapleton for employment as General Manager, dat_ed December 14, 1995, as amended by Amendment No. 4, the Special Amendment, paragraph l(b) of Amendment No. 5, paragraph 1 (b) of Amendment No. 6, paragraph 2 of Amendment No. 9, paragraphs 1 - 4 of Amendment No. 10, and Amendment No. 12 (the "Base Agreement") is amended as follows: 1. Effective the fourteenth pay period of 2012, the salary under Paragraph 4 of the Base Agreement is $262,092, subject to the paragraph 3 of this amendment. Effective the fourteen pay period of 2013, the salary under Paragraph 4 of the Base Agreement is $294,300. 2. Paragraph 5 of the Base Agreement is amended by the amendment of the sentence added by Amendment No. 12 to read as follows: The General Manager will cost share the Water Authority's employer contribution to the California Public Employees' Retirement System in the same manner as provided in the compensation plan for executive employees and Resolutions 2012-09 and 201210. 3. Paragraph 5 of the Base Agreement is amended by the amendment of the third sentence of that paragraph to read as follows: Effective January l, 2013, the deferred compensation retirement plan previously established will be amended to reduce the Water Authority's contribution from $30,000 per year to $5,000 per year as an employer pick-up in lieu of employee contributions; there shall be no additional employer or employer in lieu of employee contributions. Effective January 1, 2013 $25,000 will be added to salary but will not be subject to the 2013 merit increase. 4. The General Manager will be included in the compensation survey of executive and senior manager employees to be performed in 2013. 5. Pursuant to Title 5, Division 2, Article 2.6 of the California Government Code (Abuse of Office), the General Manager will fully reimburse to the Water Authority any cash settlement related to the termination of the General Manager under this agreement if the General Manager is convicted of a crime involving an abuse of her position or office.
