Hill 3400 Hillpoint Drive Charleston, West Virginia 25302 Dear Dr. Hill: I am pleased to inform you that the West Virginia Higher Education Policy Commission (Commission) voted to extend your appointment as Chancellor on this date, under the following terms and conditions, contingent upon adequate funding, and which will serve as a contractual agreement between you and the Commission. 1. Your annual state funded salary will continue at the current rate of $227,] 19, which will consist totally of state funds. 2. Family health and life insurance will be provided through the West Virginia Public Employees Insurance Agency (PEIA) and you will be eligible to participate in the retirement plan(s) available to employees of the Commission. 3. You are authorized to incur travel, hospitality, and other reasonable expenses as necessary in the performance of your duties as Chancellor for all of which you will be reimbursed in accordance with prevailing laws, regulations, and guidelines of the Commission. 4. You are responsible to the Commission, and you will report to the Commission through its Chair. 5. Annual leave will accumulate at the rate of two days per month. You are authorized to accumulate up to two times your yearly annual leave entitlement. 6. Sick leave will accumulate at the rate of 1 and V2 days per month. 7. You shall receive a vehicle allowance in the amount of$ ,100 a month, totaling $13,200 a year. Your duties and responsibilities as Chancellor shall be as determined by the Commission. You will also be expected to comply with and enforce all federal and state laws, rules, and regulations attendant to your position as Chancellor, as well as the directives, policies, procedures, and rules ofthe Commission. You may not serve on the board of directors of, or paid consultant to, any public or private corporate or associational body without prior permission of the Commission. In addition, you may not accept any salary supplement from any source intended to compensate you for performing the duties of Chancellor. You will be required to comply with the West Virginia Ethics Act at all times during your service to the Commission taking careful regard for provisions of the Act regarding con?icts of interest and use of public office for personal gain. In addition, you should be aware of any provisions of the West Virginia Ethics Act which may affect your immediate family?s relations with the Commission or institutions under its supervision. Contingent upon available funding, the Commission shall employ you as Chancellor or in some other capacity, in a position to be determined by it, at the Chancellor?s salary provided for herein, for a term ending on July 1, 2018, and any extension of such term, unless you voluntarily resign or retire, or are terminated for cause, all as provided for herein. Your appointment as Chancellor after that date shall be at the will and pleasure of the Commission unless further modified. Should you voluntarily step down from the Chancellorship at any time during the term of this agreement, the Commission will employ you in a tenured Vice Chancellor, Director, or Emeritus advisory capacity at a minimum of your rate of compensation of record prior to occupying the position of Chancellor in January 2012. Should you elect to resign your position as Chancellor, the Commission expects at least thirty days notice before your last day in the of?ce. Should Commission employees be granted pay increases during the term of this contract, you shall be provided with the same percentage increase commensurate with all other Commission staff. Also contingent upon available funding and assuming no reduction in Commission revenues, you shall receive increased deferred compensation of $15,000 payable on July 1, 2018, at the completion of this contract. For purposes of this contract, ?cause" is defined to include all acts of malfeasance or misfeasance and may include acts of commission or omission or acts in contravention of the policies or directives of the Commission, its designees, or this agreement, or acts of moral turpitude. If you are terminated for cause during your appointment as Chancellor (or during any reassignment pursuant to the terms of this contract or any extension hereof), such termination will be without recourse to any further salary or employment Page 3 from the Commission.
