DECLARATION OF MARK WATTON

I, Mark Watton, declare as follows:

1.

I am over the age of 18 and testify to the follow based upon my own personal

knowledge.

2.

I am the General Manger of the Otay Water District.

3.

During a conversation I had with reporter Ry Rivard, I told him that if Brownstein

Hyatt Farber Schreck had been successful in the wheeling rates case (referring to inclusion of
State Water Project costs), the Otay Water District may have considered purchasing water form
Cadiz.

4.

I was well aware of the fact that Brownstein Hyatt Farber Schreck and Scott

Slater have relationships with Cadiz, and, therefore, in the event of any negotiations with Cadiz,
I would have obtained separate counsel.
