RE: NOTICE OF TERMINATION
Dear Ms. Dillingham:

Pursuant to Paragraph 5.3 of the Professional Services Agreement between San Ysidro School District (?District?)
and Greater San Diego After-School All Star dba, hrspirement Tribe (?Inspirement Tribe?) dated July 15, 2016, the
District hereby provides you this Notice of Termination. As contractually required, the effective date of the
termination shall be October 13, 2016.

As required by the Compensation and Payment Schedule, Exhibit A of the Professional Services Agreement, on
August 9, 2016, the District issued Inspirement Tribe a check for Two Hundred and Seventy-Six Thousand, Six
Hundred, Thirty-Four Dollars and Thirty-Eight Cents 65% of the total contract amount. Paragraph
5.3 provides that upon notice of termination, Inspirement Tribe shall only be compensated for those services which
have been adequately rendered to the District through October 5, 2016. The District expects a ?nal itemized billing
statement no later than October 24, 2016, with the appropriate reimbursement to the District included. The District
will then review the ?nal Invoice and notify Inspirement Tribe if any amounts are in dispute.

Inspirement Tribe provided the District a detailed Invoice for the $276,634.38, dated July 14, 2016. The Invoice
included the purchase of uniforms, team equipment, and league equipment for elementary soccer, baseball program,
basketball program and cheer program. If Inspirement Tribe is claiming any costs associated with the above
referenced purchases, or any other purchase, please note that the items purchased will also have to be delivered to the
District by November 4, 2016. The District will notify Inspirement Tribe if it agrees that it has received all the items
purchased, and if such purchase is authorized.
