I am also the Chief Business Development Officer for Clinicas del Camino Real, Inc. and the Acting CEO of AmericasHealth Plan, Inc. AmericasHealth Plan is a wholly owned subsidiary of Clinicas del Camino Real, Inc. At the October 29, 2018 Commission meeting, agenda item #15 was a joint presentation by AmericasHealth Plan (AHP) and Gold Coast Health Plan (GCHP). There was no quorum and no action being proposed for this agenda item. At this meeting, I recused myself from the Chair and Commission position and on advice from my legal counsel I sat in the audience to hear the presentation. I have recused myself from every meeting prior to this and have left the room completely when presentations are made to the Commission on the progress of the implementation of the PIan?to-Plan contract between GCHP and AHP. Since there was no quorum and no action being taken, I sat in the audience to hear the presentation. To provide you some history and background information, the Commission voted unanimously to allow GCHP to contract with AHP for a plan-to-plan Page 1 of 2 contract under a pilot project during the June 26, 2017 meeting. I was not the Acting CEO for AHP during this time, however, I was conflicted clue to my employment at Clinicas. I left the room completely during this June 2017 meeting since the Commission was going to vote for the contract between GCHP and AHP. Subsequently, if there was an agenda item related to AHP recused myself every time and left the room except for the October 29, 2018 meeting for the reasons I stated above. In the complaint, it states that ?was trying to push through a contract for AHP with The Commission had already decided unanimously to approve such a contract 18 months prior. Again, the contract between GCHP and AHP was approved by the Commission on June 26, 2017. The other allegation that I ?clearly make decisions or steer the Commission to make decisions that are self-serving for his company, Clinicas and is false. I don?t have that power or authority. The full Commission votes on issues. The composition of the Board is two (2) seats for Clinicas, six (6) for the County of Ventura, one (1) for patient advocate, one (1) for the Hospital Association and one (1) representing independent providers. As you can see, every Commissioner has a conflict of interest since every agency represented on the Commission are contracted with GCHP except the Patient Advocate seat.
