COMMONWEALTH OF PENNSYLVANIA COUNTY OF DAUPHIN PENNSYLVANIA GAMING CONTROL BOARD August 14, 2019 8416-2019 IN RE: Application of Stadium Casino RE, LLC, Docket #105232 Renewal of Category 2 Slot Machine License ORDER AND NOW this 14th day of August 2019, based upon the full and careful consideration of the record of evidence before it, the provisions of the Pennsylvania Race Horse Development and Gaming Act (“Act”) (4 Pa.C.S. §§ 1101 – 1904), as amended, and the Act’s accompanying regulations, the Pennsylvania Gaming Control Board (“Board”) issues the following: IT IS ORDERED THAT the Board hereby renews the Category 2 license for Stadium Casino RE, LLC, subject to the continuing compliance with the Act, including the Board’s regulations promulgated thereunder, and satisfaction of the following conditions: 1. The payment by Stadium Casino RE, LLC, in accordance with the terms of this Order, of the guaranteed sum of three million dollars ($3,000,000.00) as a contribution to the costs of constructing an I-76 westbound on-ramp at 7th Street in Philadelphia. After the receipt of all permits and required approvals, for the construction of the westbound on-ramp at the identified 7th Street location, the governmental entity with authority to oversee the project shall submit a notice that the permits and required approvals have been obtained with the Board’s Clerk and Executive Director no later than August 14, 2024 (five years form the date of this order). If such notice is timely filed by August 14, 2024, the Board Clerk shall serve such notice on Stadium Casino RE, LLC and the Office of Enforcement Counsel. Within ten business days of the receipt of that notice, Stadium Casino RE, LLC shall pay the guaranteed sum to the appropriate governmental entity for use in the construction of the I-76 westbound on-ramp at 7th Street. 2. Should the notice contemplated in the foregoing paragraph not be timely submitted by August 14, 2024, the obligation of Stadium Casino RE, LLC to make the ramp payment shall expire, and then Stadium Casino RE, LLC shall be obligated to fund up to one million dollars ($1,000,000) in traffic improvements identified by Stadium Casino RE, LLC and the City of Philadelphia, in consultation with each other, to mitigate traffic conditions impacting the neighborhoods located within the Stadium District. Any traffic improvements that are to be identified under this paragraph, and the accompanying obligation to fund such improvements consistent with this paragraph, must be identified by the parties by August 14, 2025. Stadium Casino RE, LLC shall provide to the Office of Enforcement Council notice of the traffic improvements and the accompanying expenditures made in accordance with this paragraph. 3. The payment of any outstanding fees, as determined by the Board pursuant to 4 Pa.C.S. §§ 1208 and 1326; 4. The agreement to the Statement of Conditions to Category 2 Slot Operator License, as evidenced by the signing of the same by Stadium Casino RE, LLC’s executive officer or authorized designee within ten days of the receipt of the Statement of Conditions from the Board. IT IS FURTHER ORDERED THAT, the Board hereby approves the licensure of the principals identified below in paragraph 5, subject to continuing compliance with the Act, including the Board’s regulations promulgated thereunder, based on its review of the applications of each entity and individual, and the reports of the Bureau of Licensing and the Office of Enforcement Counsel relating thereto, and the following findings: 5. The eligibility and suitability of the principals identified in Paragraph 5 have been investigated and each identified entity and individual has satisfied the requirements for licensure as part of the Stadium Casino RE, LLC’s Category 2 slot machine license renewal. 7. Pursuant to 4 Pa.C.S. § 1202(a)(1) (relating to general powers), the Board has sole regulatory authority and jurisdiction over every aspect of the authorization, operation and play of slot machines, table games and interactive gaming devices and associated equipment in this Commonwealth. 8. All entities and individuals licensed pursuant to this Order are subject to all conditions, restrictions and requirements of the Act and all regulations of the Board. 9. Pursuant to 4 Pa.C.S. § 1326 (license renewals), the licenses are subject to renewal every five years. 10. Pursuant to 4 Pa.C.S. § 1202(b) (12) and (15) (relating to specific powers), the Board has authority and retains the right to issue, approve, renew, revoke, suspend, condition or deny the issuance or renewal of any slot machine license or any other type of license. 3 11. Pursuant to 58 Pa. Code § 421a.1(a) (general requirements), a license or other approval issued by the Board is a revocable privilege. BY THE BOARD: ___________________________ David M.
