Dear Mr. Dandridge:

At the request of General Counsel Denise J. Smyler, I hereby appoint you and your ?rm,
Schnader Harrison Segal Lewis LLP (the ?Firm?), to provide advice and counsel to and
representation of an employee of the Department of Environmental Protection in the
above-captioned matter. This engagement will be governed by all terms and conditions in
connection with your criminal law contract for legal services.

This letter sets forth: (1) information regarding the engagement and speci?c scope of
work to be performed; and (2) compensation to be paid for these services.

1. Information Regarding the Engagement and Scope of Work

The purpose of this speci?c appointment is for the Firm to provide advice and counsel to
personnel employed by the Department of Environmental Protection

interest posed in the proposed representation of the Department of Environmental Protection in

2. Compensation

It is agreed upon by the inn and all parties to this agreement, consistent with its proposal
for this engagement, that the Firm shall be paid at the following rates: Partners will be billed at
$342 per hour, and associates will be billed at $225 per hour. Your principal contact for billing-
related purposes will be my colleague Alexandra C. Chiaruttini, Chief Counsel, Department of
Environmental Protection. Ms. Chiaruttini may be reached at or via such other
contact information as she may provide.

By accepting this appointment, you are acknowledging that the Firm has completed a
con?ict of interest analysis and identi?ed nothing to be reported prior to the acceptance of work
on behalf of the Department of Environmental Protection. Should a con?ict or potential conflict
be identi?ed at any time during the term of this engagement, the Firm is under a continuing
obligation to disclose such matter, in writing, to the Department of Environmental Protection and
the Of?ce of General Counsel main of?ce.

Please acknowledge your receipt and acceptance of this letter by signing where indicated
and returning the original correspondence to Dana D. Governor?s Of?ce of General
Counsel, 333 Market Street Tower 17th Floor, Harrisburg, PA 17101.

Due to the urgent need for legal services, approval has been granted for the Firm to begin
work immediately.
