As of February 17, 2016, they only have workers in Tampa, Florida. Number of Employees Currently, there are approximately(b) (4) employees working in the corporate office. These employees are all directlyrelated to both owners (mother, children and siblings). Prior to the initial conference, there were approximately(b) 4 employees in total between Tampa, Miami and Boston. InvestigativePeriod January 10, 2016 to February 20, 2016. Limitation of Investigation This is a limitedinvestigationof the missed payrollsfor VHU Express, Inc. The employees who were jointlyemployed with Amazon Logistics, Inc. have been moved into the Amazon Logistics,Inc. Case ID: 1785930 Page 5 VHU Express Inc. Case ID: 1783381 MODO Information Tampa is the MODO for VHU Express, Inc. Please Note: Since joint employment has been established with Amazon Logistics, Inc., their MODO is the Seattle DO. Sent MODO control record request to the Atlanta DO on January 25, 2016. (See Exhibit D-1) Prior History There is no prior history of this employer. Joint Employment VHU Express, Inc. was performing duties as Delivery Service Providers with Amazon Logistics,Inc. via a work order agreement. Based on the followingfactors, it has been determined that there is jointemployment between VHU Express and Amazon Logistics. Page 6 VHU Express Inc. Case ID: 1783381 Directing,Controlling,or Supervisingthe Work Performed: According to Mrs. Bythewood,in a signed statement, Amazon controlledthe amountof routes they were giveneach day at each facility. There was no set amount in the originalwork order and Amazon had the abilityto not provideroutes at all. When VHU Express started performing Delivery Service duties for Amazon Logistic, she mandated that her “employees”wear VHU logoshirts, hats and safety vests. She was also able to set rates of pay for the Driver Associates (DA). Mrs. Bythewood stated that changed when Amazon Logisticschanged their policyand mandated that all DA's wear Amazon logo shirts, hats, safety vests, Amazon logoswere required to be put on all deliveryvans and Amazon set the rates of pay for all DA's as well. Also Amazon sent an email to all Delivery Service Providers (including VHU Express) stating the rates of pay for the DA's will now change and Amazon said they are based on the U.S. Labor Statistics Median Wage for SOC Code 53-3033 and became effective 10/6/2015. Amazon also sets the rate for the routes (which also vary based on locations), fuel allowances and dispatcher fees. (See Exhibits B-2, B-3, D-4, D-7 and D-10) ControllingEmploymentConditions: VHU Express, Inc. entered into a Work Order agreement with Amazon Logistics,Inc. as a Delivery Service Provider (DSP) on May 5, 2015 to provide delivery services to Amazon customers. Ms. Lisa Bythewood, CEO of VHU Express, Inc. stated the Amazon Work Order (b) (4) of their total revenue income. On October 16, 2015, VHU Express received an email from Amazon Logistics outliningtheir new background check policy for Driver Associates (DA) making deliveries for Amazon Logistics. This new policy required VHU Express, Inc. to use a company called Accurate Background (for criminal background checks and motor vehicle record checks). Amazon providedthis company with their required background check search components and decisioncriteria. This change required VHU Express to pay a (b) (4) depositto the company,(b) (4) . In addition,each background check willcost VHU Express (b) (4) per DA applicantplus any applicablecourt and/or state fees. Based on the background checks, Amazon would then inform VHU Express which DA's they wanted on the contract. In addition to the required company for background checks, Amazon required all DA's who met their approval to take the required Amazon drivingtest as well. Prior to the contract with Amazon, VHU decided which company they would use to provide their background checks and would also administer their own drivingtest. (See Exhibits B-2, C-1, D-4, and D-9) Page 7 VHU Express Inc. Case ID: 1783381 In additionto hiringof DA's, Mrs. Bythewood indicated Amazon would also dictate who they no longerwanted workingas Driver Associates. In a signedstatement, Mrs. Bythewoodsaid they had a situation with a DA in the Boston warehouse. This DA was subjected to a drug test by the (b) (6), (b) (7)(C) Amazon Site Manager, The Site Manager stated he smelledmarijuanaon thisindividual, required the VHU dispatcher drug test the individualand provided the drug test. This test was administered at the Amazon warehouse site. When this drug test came back negative, the Site Manager directed the VHU Dispatcher to administeranother drug test the next day. Accordingto Mrs. Bythewood, this employee was using a lotionthat had hemp oil as an ingredientand this was the cause of the smell. Once this was explained,the Site Manager allowed the individualto remain working at the Amazon warehouse. (See Exhibit B-2 ) Permanency and Duration of Relationship: The work order agreement between VHU Express and Amazon Logisticsdoes not have an end date and the abilityto be placed at other Amazon distribution warehouses was within the agreement. According to Mrs. Bythewood, this Amazon work order represented (b) (4) of their total gross earning for VHU Express and they were anticipating performing delivery services in their additionalwarehouses. (See Exhibits B-2, C-1 and D-4) Repetitiveand Rote Nature of Work: All DA's are required to report to the Amazon warehouse. The DA's are required to clock in/out,meet with dispatcher to obtainroute and then deliverpackages to the Amazon customers. This work is the same each day and the onlythingthat changes is who the packages are delivered to. The worked performed by the DA's are the same for all Delivery Service Providers that have work orders with Amazon Logistics. Integral to Business: According to Mrs. Lisa Bythewood, this Amazon work order was(b) (4) of total business income. Since Amazon Logistics does not have employees who perform the delivery duties, they are dependent on Delivery Service Providers to meet the demands of the Amazon customer purchases. (See Exhibit C-1) Page 8 VHU Express Inc. Case ID: 1783381 Work Performed on Premises: All work performed by the DA's starts at the Amazon Warehouse and the work performed by the Dispatcher is spent at the Amazon warehouse. All Dispatchers, DA's and Amazon employees are required to wear the Amazon badge to enter the Amazon facility. When the Dispatcher arrives, they are issued an Amazon laptop for which they perform all tasked required by them. The DA's are required to use the Amazon scanners when delivering the customer packages for tracking purposes and all the packages are packed into the vans using the Amazon cargo bags. All DA's must return at the end of the routes to the Amazon warehouse and finish their day downloadingthe scanners and returning all Amazon equipment. (See ExhibitB-2) Performing Administrative Functions Commonly Performed by Employers: All Delivery Service Providers are required to work out of the Amazon warehouses, each DSP are given one table located in the warehouse, issued an Amazon laptop for the day and provides all DA's with a scanning devices known as DORAs. Before any DA's are hired with DSP's, per Amazon policy, they are to utilizethe Amazon backgroundcheck company to determine if Amazon Logisticswants that person to work at their warehouse and must go through the Amazon driving test. (See Exhibits B-2 and B-3 ) EXEMPTIONS The followingexemptionsare claimed and properly appliedhowever since this investigationwas limitedto the missed payrolls,no other exemptions were explored: Page 9 VHU Express Inc. Case ID: 1783381 541.100 Lisa Bythewood-CEO, 4 /year Craig Bythewood-CFOI/year Owners: Mr. Mrs. Bythewood own VHU Express, Inc. They both earn a salary more than $455 per week. Their primaiyduty is to manage the business, make all fmancialdecisions and manage the department heads along with the administrativestaff. As owners, their exemptionstatus was not questioned. (See Exhibits B-X and C-1) Other have notbeen checked for the exemption due to FOH 52f12. 213(b)(1) This exemptionis not applicabledue to the fact that the workers are drivinga cargo type van that weighs less than 10,000 lbs. Each cargo van weighs approximately4,000 to 5,8001bs. and varies due to the Make and modelwhich was providedby Mrs. Bythewood. The make/models are Dodge Pro Master 4420 and the Ford Transit 5800. Case ID: 1783381 FLSA SECTION 206 Minimmnwage violationswere found dm?ing the course of the investigation. Due to the missed payrolls, minimmnwage was formd for the workers who were not paidwages for the hom?s worked. The computation was made for weeks in which the employee did not work hom?s over 40 by multiplyinghe hours worked by federal minirmunwage of $7.25/hour. (See Exhibits A-l to A-ll) Example:27.25 hom?s worked $197.56due 11 EE's are due a total of $13,421.86 in MW BW's. FLSA SECTION 207 Overtime violations occrured during the course of the investigation. Due to the missed payrolls, there were overtime violations that occurred for the employees who worked hours over 40 in each week. Since all hom?s for the employee have been computed at the Federal Minimrun wage for reporting pluposes, the difference between the regular rate paid and the minimum wage computed was multiplied by all hours worked for hourly employees. Page 12 VHU Express Inc. Case ID: 1783381 The additional half time (of the regular rate) was paid for hours over Exhibits A?l, A-8, A-10 and A-ll 7 EE's are due a total of $6,568.8 in OT BW's. Total of 143 EE's due $19,990.72 in MW AND OT BW's. FLSA SECTION 211 The company has dailde weekly stalt and endingtime for all employees recorded at the payrollcompany, however is unable to provide it to DOL claimingthey owe the payrollcompany-who willnot provide the detaihmtilthey pay the outstandingdebt owed. Sincethe employeiis not providinghose records, (and untilis proven that they are maintained),Section21 is consideredinviolation VHU Express, Inc. providedweekly total how that employees do not dispute are accm?ate. FLSA SECTION 212 Dlu'ingthe initiabonference, Lisa Bythewood stated that they onlyhire workers who are 21 years or older due to the nature of the business. FMLA The FMLA Act is applicableto this employer. This emplo eropened the business in March 2015. For the last 20 weeks of the calendar year, this employer had up tow employees on payroll. Since the employerhad employeesbased inBoston and Miami,there were more than 50 employeesat each location. Duringthe initial conference, Ms. Bythewood stated they do not have anyone currently on FMLA. Page 13 VHU Express Inc. Case ID: 1783381 DISPOSITION Orr February 17, held the initialconference with Lisa Bythewood,CEO. She was given the FLSA handyr'efer'ence guidewith allthe A informatiornecessary and they indicatedthat there are no 16(b) lawsuitspendingas of this date. Mrs. Bythewoodconfmnedthat there were 4 weeks of pay that have not been paidto the Miami,Boston and Tam a drivers and dispatchers and 2 weeks of pay that have not been paidto the salariedemployees. WHI informedher that she cannotwork employeesknowing she does not have the money to pay for the horns worked. Also, informedher that she willneed to conre 11p with the funds necessary to meet the payrollsand also explainedthe minimumwage and overtime requirements of the FLSA. Dru?ingthe initiabonference, it was explainedthat AmazonLogisticsstarted payingthe invoicessent Ex ress about 90? 120 days late which was the cause of the cash ?ow issues since the Amazon work order is of their gross income. In order to get cash ?ow needed to pay the worker wages and nraintainthe delivery vehicles,VHU Express contracted with 4 (a factoring company), who pays of the Amazon invoice. Once Amazonpays the invoiceto 4 ,they willthen pay the remaininglb) (4) less their fee of-on that invoiceto VHU Express. Accordingto Mrs. Bythewood,she stated that Amazon was not payingany of invoiceswhich in turn let to -not payingthe- of any invoicessubmittedto Amazon. Mrs. Bythewoodstated she was meetingat 6:00pn1via teleconference withAmazonan- 4 to try to resolve the issue of the outstandinginvoicesnot paid. On February 22, 2016,a conversationwas held with ADD Nicolas Ratmiroff about the situationof the missed payrollsand that ointemploymenthas been ADD Ratmiroffstated to send a MODO inquiryto Seattle DO about Amazon Logistics and to contact?to Mrs. Bythewoodis stating. On Tuesday, February 23, 2016, WHI received a call from the Seattle DO (6), (7X0) They stated they wanted WHI to send the 7 factors for joint employmentbetween VHU Express and Amazon Logistics. They also stated that a call to Amazon was permitted and to discuss the liabilitydue to the worker's. Page 14 VHU Express Inc. WHI spoke Lisa Bythewood who stated that 4 will be f? is It, releasin - some funds that the have received by Fridayor Mondayof next week. WHI also spoke to (bl 68? 7C ?10 con?nnthisinformatiomnd to also discussthe issues withAmazon. stated that he sent in forensic acc01u1tants to VHU Lendingto review invoicesand to t1y to providea good dollaramount to Amazon that is stilloutstandingand needs to be paid. He said they shouldhave a good dollar amormt by next Wednesday and willcall with that ?gure. (ll) WHI spoke to Attorne Neil Alexander ??om Littler Mendelson who is representing Amazon on Friday.Februa1y 26, 2016. WHIM informedof the issues s1ur01mdingthe violationsand he stated that they wouldlike to resolve the issues with any and all outstandinginvoices.\Vhen WHI is )1 discussed the variables with Amazon changes to their accomits payable and accormts receivable departments such as: Amazon institutinga new accomitingsoftware system that they are stilltroubleshooting Initiateda new invoicecalculator and they had some issues with implementation Amazonmovedtheiracc01u1ts payabledepamnentto Indiawhichhas caused some transitionissues and also has impacted timingand communication Amazon has their ?nance depaitment The is new to the position Each site manager (4 of them) is new Mr. Alexander stated they wanted to resolve this issue in any way possibleand willspeak to his client about possiblefundingof the invoices. A conference call was set up for Tuesday, March 1. 2016at 1:30pm. He suggested that perhaps DOL can receive and distributethe funds to all missed payrollemployees. He stated they are workingwit 4 to tri to reconcile the invoicesand to make payments so that the workers can get paid. Also, a call was made to to informhimthat Amazonwouldliketo resolve the issues. He stated he wouldcall their attorney to see if he could work this immediately. Mr. Alexander called WHI on March 3, 2016. He stated Amazon wants to pay the back wages by next week and inhis opinio is holdingout to try to obtainthe funds since they have such a de?citwith the money they have lent to VHU Express. Mr. Alexander is concerned that if the money went to 4 or VHU Express, the workers willnot be paid. removedthe VHU Express employees who worked in Tampa only(not on the Amazonwork order) from the WH-56, Unpaid Wages and sent via email to Mr. Alexander. He stated that he received the WH-56 and will work with Amazon get a check cut for the entire total and the Department willdisbru'se the funds to the workers. On Monday,March 7, received a letter ?'om Attorney Brian H. Pollock,F air Law inn in Miami,Florida. This letter provideda listofmmworkers who choose to exercise their private rightof action and is suinng. Mrs. Bythewood for any and all wages due to them. These workers were removed from the WH-56 and Mr. Alexander was informedof who the workers are so that when they submita check for the back wages due, these workers willbe removed. Mr. Alexander also stated that Amazonis inthe process of cuttingthe check for the entire amormt due inback wages for the 120 workers and that this check willbe sent via UPS by Tuesday, March 08,2016. He also sent a letter statingthat althoughAmazon has agreed to pay the workers, they are not ointemployersand expressly deny any that VHU Express, Inc. is an IndependentContractor Service Provider. PLEASE NOTE: On March 7, set 11p a case called Amazon Logistics,Inc. (Case ID: 1785930)(b) . Once WHI was ?nallyable to jointlyemploy all the workers who performed work inthe Miamiand Boston Amazon warehouses to Amazon,those workers were transferred to that case which would allow the Department to receive the check from Amazon to pay the workers. . The hours inthe case diarythat were for the Amazoncase remainedinthisVHU Express, Inc. case and were not transferred over. There are approxinrately60-65 hours that shows on the VHU Express case are Page 16 VHU Express Inc. Case ID: 1783381 really for the Amazon Logistics Case. During the course of this investigation,Mrs. Lisa Bythewood was able to pay some monies to the Tampa workers in small amounts as she received payment from the contract they had worked on. (b) 4 During the Final conference on April 1, 2016 held at the Tampa DO with Mrs. Bythewood, WHI discussed the findingof the case. (b) 6 & (b) 7C (b) 6 & (b) 7C During the course of the investigation,WHI has been discussing the requirements of the FLSA however Regulations206, 207 and 211 were discussed at length again. Mrs. Bythewood understands that she must always ensure minimumwage and overtime is paid for all hours worked. She also understands that you cannot employ and work someone if you do not have the money to pay for the hours worked. She was informed that there is a recordkeeping violationfor not maintainingthe hours worked and payroll records. She stated that going forward; she will enforce each worker to clock in and out and ensure they maintainthe payrollrecords as well. Mrs. Lisa Bythewood agreed to future compliance and stated that he will: Ensure that all hours worked records are maintained for a minimum of 2 years, Continue to pay all hours worked at the applicable minimum wage rate or higher, Continue to pay hours over 40 in a week at time and one-half the employees regular rate, Continue to ensure that all employees record their hours worked each day, Continue to maintain the payroll records for a minimum of 3 years , Continue to pay employees on the regularly scheduled payday and Pay the back wages due no later than May 2, 2016. Liquidateddamages were not computed on this case since it was a missed payrolland the employer has been showing efforts to try to pay the Tampa workers. Page 17 VHU Express Inc.
