COMPLAINT Comes now the Executive Director of the Campaign Spending Commission (?Commission?) Kristin E. Izumi?Nitao, pursuant to Hawaii Revised Statutes ?11~ 402(b), and hereby files this Complaint against Respondents Save Our City LLC and Sarah Houghtailing (?Houghtailing?). The undersigned alleges as follows: 1. The Commission has jurisdiction in this proceeding pursuant to HRS ??11~314 and 11?401 to 412. 2. Respondent SOC is a noncandidate committee that registered with the Commission on October 3, 2016. 3. Respondent SOC ?led an amended Organizational Report on October 31, 2016. See, Exhibit 1. 4. Respondent SOC is an independent expenditures committee or Super PAC. Respondent Houghtailing is, and was at all relevant times herein, the chairperson and treasurer of Respondent SOC. 5. On August 28, 2018, Respondents filed the Preliminary Primary Report (January I-Iuly 27, 2018) which showed that Respondent SOC had $118,039 cash on hand at the beginning of the reporting period as well as a surplus of $118,039 at the close of the reporting Docket No. 19?17 Save Our City LLC and Sarah Houghtailing period, which in effect means that Respondents had zero activity for the reporting period and the 2018 election period which began on November 9, 2016. Exhibit 2. This report was due on August 1, 2018 and was filed 27 days late, but Commission staff did not pursue a fine for the late-filed report because Respondents? contributions and expenditures for the 2018 election period as reported in the Preliminary Primary Report was $1,000 or less, and thus, pursuant to HRS ?1l~339, Respondents need only ?le the Final Election Period Report for the reporting period of January 1, 2018 to November 6, 2018, subsequent Supplemental Reports, and not any earlier reports Final Primary Report, 15? Preliminary General Report, and 2nd Preliminary General Report). 6. Respondents did not file the Final Primary Report (July 28?August 11, 2018) that was due on August 31, 2018. 7. On October 17, 2018, Respondents filed the Preliminary General Report (August l2~?September 26, 2018). See, Exhibit 3. The report was due on October 1, 2018 and was filed 16 days late. 8. The Preliminary General Report showed that Respondent SOC had $0 cash on hand at the beginning of the reporting period and zero activity for the reporting period. Based upon Respondents? previously ?led Preliminary Primary Report (January 1-July 27, 2018) which ended with a surplus of $118,039, this amount should have been the cash on hand at the beginning of the Preliminary General reporting period; however, the $118,039 in cash simply vanished from Respondent report. 9. On October 18, 2018, Commission staff received Respondents? Request for Termination of Registration. See, Exhibit 4. Docket No. 19?17 Save Our City LLC and Sarah Houghtailing 10. Due to the discrepancies reported in Respondents? 15? Preliminary General Report, on October 23, 2018, Commission staff issued a subpoena duces tecum to First Hawaiian Bank which is listed on Respondents? Organizational Report as their campaign depository institution seeking Respondent bank records (signature card, statements, checks, and deposits) for the period from August 1, 2016 to October 31, 2018. Exhibit 5. 11. Respondents did not file the 2?1d Preliminary General Report (September 27.. October 22, 2018) that was due on October 29, 2018. 12. On November 9, 2018, Commission staff received the bank records. Exhibit 13. The records showed that, inter alia, Respondent Houghtailing zeroed out and closed the bank account on March 20, 2018 by negotiating a First Hawaiian Bank check drawn upon Respondent account in the amount of $24,059.94. Exhibit 7. The check was made payable to ?Cash Sarah Houghtailing.? 14. Respondents late?filed Preliminary Primary Report (January 1?July 27, 2018) thus falsely reported zero activity during that reporting period and an opening and closing balance of $118,039. 15. Further, since Respondents? activity during the 2018 election period far exceeded $1,000, HRS ?ll-339 did not apply and Respondents were required to file all of the 2018 election period reports and all subsequent supplemental reports. 16. By letter dated November 14, 2018, Commission staff informed Respondents that their request for termination of registration could not be processed because staff was in the process of reviewing Respondents? bank records. See, Exhibit 8. Docket No. 19?17 Save Our City LLC and Sarah Honghtailing 17. Respondents did not file the Final Election Period Report (October 23?November 6, 2018) that was due on December 6, 2018. 18. Respondents did not file the Supplemental Report (November 7?December 31, 2018) that was due on January 31, 2019. 19. On February 1, 2019, Respondent Houghtailing sent an email to Commission staff seeking confirmation of registration termination. Exhibit 9. 20. On February 7, 2019, Commission staff responded to Respondent Houghtailing that Respondent registration could not be terminated due to discrepancies in reports and bank records. Exhibit 10. 21. Respondents did not file the Preliminary Special Report (January 1?March 29, 2019) that was due on April 3, 2019. 22. Respondents did not file the Final Election Period Report (March 30-April 13, 2019) that was due on May 13, 2019. 23. Respondents did not file the Supplemental Report (April l4~June 30, 2019) that was due on July 31,2019. 24. HRS ??11?335 and 11?336 require treasurers of noncandidate committees to timely file preliminary, final and supplemental disclosure reports that disclose the activity of the noncandidate committee and to continue to ?le all reports until the committee?s registration is terminated as provided in HRS ?l L326. HRS ?ll?33l requires that every report to be filed by a noncandidate committee shall be certified as complete and accurate by the chairperson and treasurer. 25. HRS ?ll?3 l4, relating to the duties of the Commission, provides in relevant part as follows: Docket No. 19-17 Save Our City LLC and Sarah 26. The duties of the commission under this part are to: (5) Ascertain whether any person has failed to file a report required by this part or has filed a substantially defective or de?cient report. The commission shall notify the person by first class mail that a fine may be assessed for the failure to file or the filing of a substantially defective or de?cient report, and the defective or de?cient report shall be corrected and explained. All fines collected under this section as authorized by sections ll~340 and 11?410 shall be deposited in the general fund of the State; . . (7) Investigate and hold hearings for receiving evidence of any violations pursuant to snbpart I of this part;? HRS ?l 1340 provides in relevant part: True and accurate reports shall be filed with the commission on or before the due dates specified in this part. The commission may assess a fine against a person that is required to file a report under this part if the report is not filed by the due date or if the report is substantially defective or deficient, as determined by the commission. The ?ne for not filing a report by the due date, if assessed, shall not exceed $50 per day for the ?rst seven days, beginning with the day after the due date of the report, and shall not exceed $200 per day thereafter; provided that: (I) In aggregate, the fine shall not exceed twenty~?ve per cent of the total amount of contributions or expenditures, Whichever is greater, for the period covered by the report; and (2) The minimum fine for a report filed more than four days after the due date, if assessed, shall be $200. (0) Subsection notwithstanding, . . . if a noncandidate committee does not file the preliminary primary report or the second preliminary general report by the due date, the fine, if assessed, shall not exceed $300 per day; provided that, in aggregate: Docket No. 19-17 Save Our City LLC and Sarah Houghtailing The ?ne shall not exceed twenty~?ve per cent of the total amount of contributions or expenditures, whichever is greater, for the period covered by the report; and (2) The minimum fine, if assessed, shall be $300.? 27. HRS 1 1?4 10(a) provides: ?The commission may make a decision or issue an order affecting any person violating any provision of this part or section 281?22 that may provide for the assessment of an administrative fine as follows: (1) If an individual, an amount not to exceed $1,000 for each occurrence or an amount equivalent to three times the amount of an unlawful contribution or expenditure; or (2) If a corporation, organization, association, or labor union, an amount not to exceed $1,000 for each occurrence; provided that whenever a corporation, organization, association, or labor union violates this part, the violation may be deemed to be also that of the individual directors, officers, or agents of the corporation, organization, association, or labor union, who have knowingly authorized, ordered, or done any of the acts constituting the violation,? 28. HRS ?11?410(h) provides that: ?This section shall not apply to any person who, prior to the commencement of proceedings under this section, has paid or agreed to pay the fines prescribed by sections 11?340 and In situations where Respondents have failed to file a disclosure report which would have permitted the Commission to compute a fine pursuant to HRS ?1 1?340, the Commission relies on the administrative fine set forth in HRS ?l 1?410. 29. HRS ?l 1-411 provides that, lieu of an administrative determination that a violation of this part has been committed, the commission may refer the complaint to the attorney general or county prosecutor at any time it believes the respondent may have recklessly, knowingly, or intentionally committed a violation,? Under HRS ?il-404, ?The commission shall determine, without regard to chapter 91, to: (1) Summarily dismiss the complaint; (2) Investigate further; (3) Make a preliminary determination; or (4) Refer the complaint to an appropriate prosecuting attorney for prosecution under section 11?411.? COUNT I VIOLATION OF HRS ?11-336(a) FOR FAILING TO TIMELY FILE THE PRELIMINARY PRIMARY REPORT 31. HRS provides that: ?The filing date for preliminary primary reports are: (1) Ten calendar days prior to a primary, special, or nonpartisan election.? Further, it provides that ?[e]ach preliminary report shall be current through the fifth calendar day prior to the filing of the report.? 32. Respondents? Preliminary Primary Report for the period covering January 1, 2018 through July 27, 2018 was due no later than 11:59 pm. Hawaii standard time on August 1, 2018 because the primary election was on August 11, 2018. See, HRS 33. Respondents did not electronically file this report by the deadline. On August 2, 2018, Commission staff sent Respondents a letter (Notice of Late Report) Via first class mail informing them that the aforementioned Preliminary Primary Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. ?ee, Exhibit ll. HRS ?ll-322(b) requires all noncaudidate committees to report to the Commission any change of information in the Organizational Report within ten days. 34. On August 28, 2018, Respondents electronically filed the Preliminary Primary Report which was 27 days late. Notably, no late report ?ne was issued because the false 7 Docket No. 19- 17 Save Our City LLC and Sarah Houghtailing Preliminary Primary Report had zero contributions and expenditures for the reporting period and 2018 election period; however, if the report had been filed accurately to include the $24,059.94 check dated March 20, 2018 made payable to ?Cash Sarah Houghtailing,? then the ?ne assessed pursuant to HRS ?l 1?340(c) would have been $6,014.99 which is 25% of the total amount of expenditures for the period. COUNT II VIOLATION OF HRS FOR FAILIN TO TIMELY FILE THE 1St PRELIMINARY GENERAL REPORT 35. HRS provides in relevant part that: ?The filing date for preliminary primary reports are: (3) October I of the year of a general election. . . Further, it provides that ?[e]ach preliminary report shall be current through the ?fth calendar day prior to the filing of the report.? 36. Respondents? 1St Preliminary General Report for the period covering August 12, 2018 through September 26, 2018 was due no later than 11:59 pm. Hawaii standard time on October 1, 2018 because this was the year of a general election November 6, 2018). See, HRS 37. Respondents did not electronically file this report by the deadline. On October 2, 2018, Commission staff sent Respondents a letter (Notice of Late Report) via first class mail informing them that the aforementioned 1st Preliminary General Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. S_ee_, Exhibit 12. HRS ?11?322(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten days. Docket No. l9~17 Save Our City LLC and Sarah Houghtailing 38. On October 17, 2018, Respondents electronically filed the 1st Preliminary General Report which was 16 days late. Notably, no late report fine was issued because the 1St Preliminary General Report had zero contributions and expenditures for the reporting period; however, had a fine been assessed pursuant to HRS it would have been $200 which is the minimum fine. COUNT VIOLATION OF HRS ?11-336(b) FOR FAILIN TO FILE THE FINAL PRIMARY REPORT 39. HRS ?11?336(b) provides that: ?The filing date for the final primary report is twenty calendar days after the primary, initial special, or initial nonpartisan election. The report shall be current through the day of the applicable election.? 40. Respondents? Final Primary Report for the period covering July 28, 2018 through August 1 1, 2018 was due no later than 11:59 pm. Hawaii standard time?on August 31, 2018 because the primary election was on August 11, 2018. See, HRS ?ll?33 Me). 41. Respondents did not electronically file this report with the Commission. On September 4, 2018, Commission staff sent Respondents a letter (Notice of Late Report) Via first class mail informing them that the aforementioned Final Primary Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. See, Exhibit 13. HRS ?11?323(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten days. 42. Respondents have not ?led the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?11?410, it would have been $500. Docket No. 19~17 Save Our City LLC and Sarah Houghtailing VIOLATION OF HRS FOR FAILIN TO FILE THE 2nd PRELIMINARY GENERAL REPORT 43. HRS provides in relevant part that: ?The filing date for preliminary primary reports are: . . . (2) Ten calendar days prior to a general election.? Further, it provides that ?[e]ach preliminary report shall be current through the fifth calendar day prior to the ?ling of the report.? 44. Respondents? 2nd Preliminary General Report for the period covering September 27, 2018 through October 22, 2018 was due no later than 11:59 pm. Hawaii standard time on October 29, 2018 because the general election is on November 6, 2018. See, HRS 45. Respondents did not electronically file this report with the Commission. On October 30, 2018, Commission staff sent Respondents a letter (Notice of Late Report) Via ?rst class mail informing them that the aforementioned 2nd Preliminary General Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. i353, Exhibit 14. HRS ?l 1?323(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten days. 46. Respondents have not filed the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?l 1?410, it would have been $500. 10 Docket No. 19-17 Save Our City LLC and Sarah Houghtailing COUNT VIOLATION OF HRS ?11-336(c) FOR FAILING TO FILE THE FINAL ELECTION PERIOD REPORT 47. HRS ?11~336(c) provides that: ?The filing date for the final election period report is thirty calendar days after a general, subsequent special, or subsequent nonpartisan election. The report shall be current through the day of the applicable election.? 48. Respondents? Final Election Period Report for the period covering October 23, 2018 through November 6, 2018 was due no later than 11:59 pm. Hawaii standard time on December 6, 2018 because the general election was on November 6, 2018. See, HRS ?11- 331(e). 49. Respondents did not electronically file this report with the Commission. On December 7, 2018, Commission staff sent Respondents a letter (Notice of Late Report) via first class mail informing them that the aforementioned Final Election Period Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. See, Exhibit 15. HRS ?11?323(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten days. 50. Respondents have not filed the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?11?410, it would have been $500. VIOLATION OF HRS ?11-336(d) FOR FAILING TO FILE THE SUPPLEMENTAL REPORT 51. HRS ?1l~336(d) provides in relevant part: ?The ?ling date for supplemental reports are: 11 Docket No. 19?17 Save Our City LLC and Sarah Houghtailing (1) January 31; and (2) July 31 after an election year. The report shall be current through December 31 for the report filed on January 31 and current through June 30 for the report filed on July 31.? 52. Respondents? Supplemental Report for the period covering November 7, 2018 through December 31, 2018 was due no later than 11:59 pm. Hawaii standard time on January 31, 2019? See, HRS 53. Respondents did not electronically ?le this report with the Commission. On February 1, 2019, Commission staff sent Respondents a letter (Notice of Late Report) via first class mail informing them that the aforementioned Supplemental Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. Exhibit 16. HRS ?11~323(b) requires all noneandidate committees to report to the Commission any change of information in the Organizational Report within ten days. 54. Respondents have not filed the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?l 1?410, it would have been $500. COUNT VII VIOLATION OF HRS ?1l-336(a) FOR FAILING TO FILE THE PRELIMINARY SPECIAL REPORT 55. HRS provides that: ?The filing date for preliminary primary reports are: (1) Ten calendar days prior to a primary, special, or nonpartisan election.? Respondents? Preliminary Special Report for the period covering January 1, 2019 through March 29, 2019 was due no later than 11:59 pm. Hawaii standard time on April 3, 2019 because the special election was on April 13, 2019. See, HRS 57. Respondents did not electronically file this report with the Commission. On April 4, 2019, Commission staff sent Respondents a letter (Notice of Late Report) via first class mail informing them that the aforementioned Preliminary Special Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. See, Exhibit 17. HRS ?11?323(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten . days. 58. Respondents have not filed the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?l 1?410, it would have been $500. COUNT VIOLATION OF HRS ?11-336(c) FOR FAILING TO FILE THE FINAL ELECTION PERIOD REPORT 59. HRS ?11?336(c) provides that: ?The filing date for the final election period report is thirty calendar days after a general, subsequent special, or subsequent nonpartisan election. The report shall be current through the day of the applicable election.? 60. Respondents? Final Election Period Report for the period covering March 30, 2019 through April 13, 2019 was due no later than 11:59 pm. Hawaii standard time on May 13, 2019 because the special election was on April 13, 2019. See, HRS 61. Respondents did not electronically file this report with the Commission. On May 14, 2019, Commission staff sent Respondents a letter (Notice of Late Report) via first class mail informing them that the aforementioned Final Election Period Report was not filed and that a 13 Docket No. 1917 Save Our City LLC and Sarah Houghtailing fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. S_ee, Exhibit 18. HRS ?11?323(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten days. 62. Respondents have not filed the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?11-410, it would have been $500. COUNT IX VIOLATION OF HRS ?11-336(d) FOR FAILIN TO FILE THE SUPPLEMENTAL REPORT 63. HRS ?l 1-336(d) provides in relevant part: ?The ?ling date for supplemental reports are: (3) January 31; and (4) July 31 after an election year. The report shall be current through December 31 for the report filed on January 31 and current through June 30 for the report ?led on July 31.? 64. Respondents? Supplemental Report for the period covering April 14, 2019 through June 30, 2019 was due no later than 11:59 pm. Hawaii standard time on July 31, 2019. S_e_g, HRS 65. Respondents did not electronically file this report with the Commission. On August 1, 2019, Commission staff sent Respondents a letter (Notice of Late Report) via first class mail informing them that the aforementioned Supplemental Report was not filed and that a fine would be imposed. This letter was addressed to Respondents at the addresses listed on their Organizational Report. ?ee, Exhibit 19. HRS ?11?323(b) requires all noncandidate committees to report to the Commission any change of information in the Organizational Report within ten days. 14 Docket No. 19-17 Save Our City LLC and Sarah Houghtailing 66. Respondents have not filed the aforementioned report. Notably, had an administrative fine been assessed pursuant to HRS ?11-410, it would have been $500. COUNT FALSE REPORTING 67. Pursuant to HRS ?l the chairperson and treasurer certifies that each report filed with the Commission is complete and accurate. 68. Pursuant to Hawaii Administrative Rule a report filed by a noncandidate committee ?shall be certified by the chairperson and treasurer as a true, complete, and accurate statement of the committee?s activity during the reporting period.? 69. Commission staff compared the bank records with the reports that were filed by Respondents during the 2016 and 2018 election periods. 70. Respondents reported contributions and expenditures that did not appear in the bank records. On May 20, 2019, Commission staff sent a letter to Respondent Houghtailing asking Respondents if the committee had additional bank accounts and, if so, to amend their Organizational Report to identify these accounts. The deadline to respond was May 27, 2019. See, Exhibit 20. 71. Respondents did not respond to this letter. 72. On July 22, 2019, Commission staff sent another letter to Respondent Houghtailing seeking a response by August 2, 2019. See, Exhibit 21. In addition to the address contained in Respondent Organizational Report, this letter was also sent to Respondent Houghtailing?s place of business. In this letter, Commission staff requested a response to the letter dated May 20a?; and also sought copies of committee records to justify the March 20, 2018 FHB bank check in the amount of $24,059.94 that was made payable to ?Cash?Sarah 15 Docket No. 19?17 Save Our City LLC and Sarah Houghtailing Houghtailing.? Commission staff also sought copies of committee records to justify nine committee checks that were paid to individuals between November 2 and December 3, 2016 totaling $2,005.56. These expenditures had not been reported by Respondents. See, Exhibit 22. 73. Both letters were also emailed to Respondent Houghtailing on July 22, 2019. _S_ee, Exhibit 23. 74. On the day that Respondents? response was due, Respondent Houghtailing emailed Commission staff a request for a twowweek extension of time August 16, 2019) to respond to staff?s July 22, 2019 letter. gee, Exhibit 24. 75. Commission staff agreed to the extension of time. gee, Exhibit 25. 76. As of the date of the filing of the Complaint, Respondents have not provided the information requested in the two letters. 77. Respondents latewfiled Preliminary Primary Report (January l?July 27, 2018) falsely reported zero activity during that reporting period and an opening and closing balance of $118,039. The bank records show that as of January 1, 2018, the beginning balance in Respondent account was $24,059.94. The bank records also showed that Respondent Houghtailing withdrew that amount from the account on March 20, 2018, thus zeroing out the account. This expenditure was not reported by Respondents. 78. In summary, upon comparing the contributions reported by Respondents with their bank records, there are 3 contributions totaling $171,000 that were reported but not re?ected in the bank statements.
